3. Bei vom AG gewünschten technischen Änderungen bzw. Erweiterungen nach Auftragserteilung, die einen Mehrpreis bedingen, ist dem Einkauf rechtzeitig ein Kostenvoranschlag einzureichen. Mündliche Absprachen nach Auftragserteilung bedürfen der schriftlichen Bestätigung. Für Mehrkosten, die vom AG nicht schriftlich anerkannt wurden, kommt der AG nicht auf.
4. Gewährleistung
Werden die vom AN zugesagten Leistungsdaten nicht erreicht, so hat der AN auf seine Kosten die entsprechenden Maßnahmen im Einvernehmen mit dem AG zu treffen, erforderlichenfalls auch Umbauten vorzunehmen, bis die bestellte Anlage die vereinbarten Daten erreicht. Führen die Umbaumaßnahmen nicht innerhalb angemessener Frist zu den vereinbarten Werten der Anlage oder kommt der AN seinen Verpflichtungen innerhalb angemessener Frist zu den vereinbarten Werten der Anlage nicht nach bzw. sollte die Nachbesserung endgültig fehlschlagen, hat der AG das Recht auf die gesetzlichen Gewährleistungsansprüche (Minderung, Wandlung, Schadenersatz) zurückzugreifen.
Es steht dem AG frei, die Maschine/Anlage trotzdem zu übernehmen. Voraussetzung ist jedoch, daß bezüglich der Wertminderung eine Einigung erzielt wird.

Die Gewährleistungsfrist beträgt …… Monate und beginnt nach der Anlieferung beim AN (Woche …. / ….). Verschleißteile sind nicht im Gewährleistungsumfang enthalten.
Während der Gewährleistungsfrist gerügte Mängel des Liefergegenstandes, zu denen auch das Fehlen zugesicherter Eigenschaften gehört, hat der AN nach schriftlicher Aufforderung des AG innerhalb einer angemessenen Frist ab Erhalt der Aufforderung, unentgeltlich (einschl. Nebenkosten z.B. Frachten, Aus- und Einbauten) zu beseitigen. Kommt der AN dieser schriftlichen Aufforderung trotz Fristsetzung nicht nach, so ist der AG berechtigt, die Mängel nach vorheriger Abstimmung zu Lasten des AN zu beseitigen oder beseitigen zu lassen.
5. Ersatz- und Verschleißteile
Der AG erhält vom AN mit dem Angebot des Anlage eine Empfehlung, welche Ersatz- und Verschleißteile bestellt werden sollten. Dazu stellt der AN eine Preisliste mit Klassifizierung nach Ersatz- und Verschleißteilen einschließlich der jeweiligen Lieferzeiten zur Verfügung. Die aufgeführten Preise gelten für einen Zeitraum von mindestens 24 Monaten. Basierend auf der Empfehlung entscheidet der AG über die Bestellung von Ersatz- und Verschleißteilen.
6. Service- und Dienstleistung
Nach Eingang der Störmeldung an Werktagen (Mo-Fr.) bis 12 Uhr muss der Monteur spätestens im Laufe des darauf folgenden Werktages beim Auftraggeber (innerhalb Slowenien, Deutschland) zur Verfügung stehen. Für die Entgegennahme der Störmeldungen gelten die üblichen Geschäftszeiten (Mo.-Fr. 7:30 bis 18:00 Uhr).
7. Projektierung
Sämtliche Kosten des AN für Entwicklung und Projektierung sind im Preis enthalten.
8. Geheimhaltung
Alle Schriftstücke, Musterteile, Zeichnungen und sonstige Unterlagen, die dem AN vom AG anvertraut wurden, bleiben Eigentum des AG und sind vertraulich zu behandeln. Dies gilt ebenso für Informationen über Produkte, Verfahren und Entwicklungen die der AN vom AG erhält. Sie dürfen einem Dritten nur mit schriftlicher Zustimmung des AG zugänglich gemacht werden und nur solchen Mitarbeitern bekannt gegeben werden, die sie zur Erfüllung ihrer Aufgaben benötigen. Die Mitarbeiter sind zur Geheimhaltung zu verpflichten.
Auf Verlangen des AG wird der AN alle Unterlagen und Musterteile zurückgeben ohne Kopien davon zu behalten. Eine Präsentation von Musterteilen des AG auf Messen und Ausstellungen ist erst nach vorheriger schriftlicher Zustimmung des AG möglich. Falls der AN gegen die Bestimmungen der Geheimhaltungsklausel verstößt, kann der AG für den entstandenen Schaden die Erstattung einer Vertragsstrafe fordern.
Der AG wird den AN unverzüglich informieren falls er die Vertragsstrafe anwenden will. Über die zu ergreifenden Maßnahmen, insbesondere Vergleichsverhandlungen, erfolgt eine Abstimmung zwischen den Vertragspartnern.
9. Technische Dokumentation
Die Dokumentation ist jeweils in 2-facher Ausfertigung spätestens 2 Wochen nach Anlieferung der Anlage in Deutsch und / oder Slowenisch zu liefern. Sollte die Dokumentation nicht geliefert werden, gilt die vertragliche Leistung als nicht erfüllt.
10. Haftung
Die Schadenersatzpflicht ist gegeben, wenn den AN ein Verschulden an dem von ihm verursachten Schaden trifft. Der AG wird den AN über Schadenersatzansprüche informieren und dem AN Gelegenheit zur Untersuchung des Schadens geben. Über die zu ergreifenden Maßnahmen zur Schadensabwehr werden sich die Vertragspartner abstimmen.
Der Lieferant hat eine Betriebshaftpflichtversicherung abzuschließen. Die Deckungs-summen dieser Versicherung betragen für Personenschäden und für Sachschäden mindestens 3 Mio. Euro. Der Deckungsumfang darf erhöht werden, nicht aber ohne Zustimmung von xxx während der Dauer dieses Vertrages verringert werden. Der Lieferant verpflichtet sich, die Prämien regelmäßig und rechtzeitig zu entrichten und alle übrigen Obliegenheiten aus dem Versicherungsvertrag gewissenhaft zu erfüllen. Auf Verlangen muss xxx eine Versicherungsbestätigung innerhalb von 5 Arbeitstagen zugänglich gemacht werden.
11. Lieferverzugentschädigung
Wird der vereinbarte Anliefertermin (siehe Punkt 1.) aufgrund Verschulden des AN nicht eingehalten, behält sich der AG vor, für jede Woche Verzögerung eine Verzugsentschädigung in Höhe von 1% bis max. 10% des Preises an den AN zu belasten. Die Entschädigung wird fällig, ohne dass der AN von seiner Verpflichtung zu vertragsgemäßer Lieferung entbunden wird. Ausgenommen sind Verzögerungen infolge höherer Gewalt. Der entsprechende Nachweis ist vom AN zu erbringen.
12. Terminplan
Der AN erstellt einen Terminplan und stellt diesen dem AG spätestens mit der Auf-tragsbestätigung zur Verfügung. Der AG kann nach Bedarf den Projektfortschritt im Werk des AN prüfen.
13. Eigentumsvorbehalt
Der AN bleibt Eigentümer bis der gesamte Kaufpreis entrichtet worden ist. Bis zum
Übergang des Eigentums auf den AG verpflichtet sich dieser sorgsam mit der Anlage zu verfahren und sie auf seine Kosten gegen Diebstahl und Brand zu versichern. Der AN ist berechtigt die Anlage nach Abstimmung mit dem AG zu besichtigen. Der AG haftet dem AN gegenüber bis zum Übergang des Eigentums für Schäden an der Anlage.
14. Zahlungs- und Lieferbedingungen
30% Zahlbar gegen Auftragsbestätigung und selbstschuldnerische Anzahlungsgarantie zahlbar auf erstes Anfordern ausgestellt durch eine erstklassige deutsche Bank. Die Bürgschaft ist befristet bis zum TT.MM.JJJJ.
30% Zahlbar bei Beginn der Endmontage gegen selbstschuldnerische Anzahlungsga-rantie zahlbar auf erstes Anfordern ausgestellt durch eine erstklassige deutsche Bank. Die Bürgschaft ist befristet bis zum TT.MM.JJJJ.
30% Zahlung nach Anlieferung beim AG im Werk Schwaikheim und erfolgreichem run at rate sowie sicherheitstechnischer Abnahme und Endabnahme.

1. Delivery deadline

2. Changes after the placement of the order
3. In case of technical amendments or supplements desired by the Principle after the order has been placed, which require a surcharge, a cost proposal is to be submitted in advance to Purchasing. Verbal agreements made after the place-ment of the order require written confirmation. Additional costs which have not been accepted in writing by the Principle, will not be paid.
4. Warranty
If the performance data promised by the Agent is not achieved, the Agent has to carry out appropriate measures at its expense in coordination with the Principle, and where necessary it has to perform modifications, until the ordered equipment conforms to the agreed data. If the modifications do not bring the equipment up to the agreed level within a suitable period of time or if the Agent does not meet its obligations regarding the values of the equipment before the expiry of a suitable deadline, the Principle has the right to revert to legal warranty claims (price reduction, rescission or compensation).
The Principle is permitted to accept the machine/equipment in spite of this. The prerequisite however is that an agreement has been made about the reduction in price.

The warranty term is …… months and start after the delivery by the Agent (week …. / ….). The warranty does not cover wear parts.
Defects to the subject matter of the delivery notified during the term of the warranty, also including the lack of assured characteristics, have to be resolved by the Agent after a written request from the Principle within a suitable period of time after receipt, without charge (including additional costs e.g. for transportation, disassembly and as-sembly). If the Agent does not meet this written request despite the setting of a dead-line, then the Principle is permitted to remove the defect or have it removed after prior consultation at the expense of the Agent.
5. Replacement parts and parts subject to wear
With the equipment offer, the Principle receives a recommendation from the Agent regarding which replacement parts and parts subject to wear should be ordered. For this purpose the Agent shall provide a price list with a classification into replacement parts and parts subject to wear including the respective lead times. The listed prices are valid for a period of at least 24 months. Based on this recommendation the Principle shall make a decision about the order of replacement parts and parts subject to wear.
6. Maintenance and service
After receipt of a notification of defect on working days (Mon.-Fri.) by 12 pm, a techni-cian must be at the principle‘s site at the latest in the course of the next working day (in Slovenia and Germany). For the receipt of notifications of defects the standard opening hours apply (Mon.-Fri. 7:30am to 6:00 pm).
7. Project planning
All costs of the Agent associated with development and project planning are included in the price.
8. Non-disclosure
All papers, sample parts, illustrations and other documents, which the Principle has entrusted the Agent with, remain the property of the Principle and are to be treated as confidential. This also applies to information about products, processes and develop-ments which the Agent receives from the Principle. A third party is only allowed access to them with the written consent of the Principle and they can only be disclosed to employees who require them to fulfil their responsibilities. The employees are to be bound to a non-disclosure obligation.
On the request of the Principle, the Agent shall hand back all documentation and sample parts without retaining any copies. A presentation of sample parts of the Principle at trade fairs and exhibitions is only possible with the prior written consent of the Principle. If the Agent violates the conditions of this non-disclosure clause, the Principle can demand a contractual penalty as compensation for the incurred costs.
The Principle shall inform the Agent immediately if it wishes to apply the contractual penalty. An agreement shall be reached between the contractual partners about the measures to be taken and in particular about the settlement negotiations.
9. Technical documentation
The documentation is to be provided in duplicate at the latest 2 weeks after the delivery of the equipment in German and/or Slovenian. If the documentation is not supplied, the contractual service is deemed not to have been performed.
10. Liability
An obligation to provide compensation exists if the Agent is responsible for damage. The Principle shall inform the Agent about compensation claims and give the Agent the opportunity to examine the damage. The contractual partners shall agree the measures to be taken to limit the damage.
The supplier has to conclude commercial liability insurance. The insured sums must be at least 3 million Euros for personal injury and property damage. The scope of coverage can be increased but cannot be decreased with the consent of xxx during the term of this contract. The supplier is obliged to pay the premiums regularly and on time and to ensure it meets all other obligations from the insurance contract. On request, xxx has to be provided access to a confirmation of insurance within 5 working days.
11. Compensation for delivery delays
If the agreed delivery deadline (see point 1) is not met due to the fault of the Agent, the Principle reserves the right to charge the Agent compensation for the delivery delay of 1% to a maximum of 10% of the price for each week’s delay. The compensation is due without releasing the Agent from its obligations to deliver in accordance with the con-tract. Delays due to force majeure are exempted from this. Corresponding proof is to be provided by the Agent.
12. Schedule
The Agent shall issue a schedule and provide the Principle with it at that latest upon confirmation of the order. Where necessary the Principle can check the progress of the project at the Agent’s site.
13. Retention of title
The Agent remains the owner of the equipment until the purchase price is paid in full. Until the transfer of ownership, the Principle is obliged to handle the equipment carefully and to insure it against fire and theft at its own expense. The Agent is permitted to view the equipment after agreement with the Principle. The Principle is liable to the Agent for damage to the equipment until the transfer of ownership.
14. Payment and delivery conditions
30% payable upon receipt of the order confirmation and a directly-enforceable payment guarantee payable on first demand, issued by first class German bank. The guarantee expires on DD.MM.YYYY.
30% payable at the start of final assembly upon receipt of a directly-enforceable pay-ment guarantee payable on first demand, issued by first class German bank. The guar-antee expires on DD.MM.YYYY.
30% payment due after the delivery to the Principle’s Schwaikheim site and the suc-cessful completion of the run at rate procedure, as well as the safety acceptance and final acceptance.
10% final payment after the completion of the outstanding points in the final acceptance
certificate. At the earliest, however, 3 months after the delivery to the Principle.
The delivery is to be made DDP from the Agent’s site … including packaging (incoterms 2000). Transport insurance is to be concluded by the Agent and the costs incurred for this are included in the price.
