УЧРЕДИТЕЛЕН АКТ НА xxxxxxxxxxxxxx
Чл. 1 С настоящия учредителен акт-устав се образува еднолично дружество с ограничена отговорност наричано по-нататък в настоящия устав “дружество”.
Чл. 2 Дружеството е юридическо лице с обособено имущество, самостоятелен баланс, собствена банкова сметка.
Чл. 3 Наименоването на дружеството е xxxxxxxxxxxxxx, което се изписва и на латиница.
Чл. 4 Седалището и адресът на управление са в Пловдив, България.
Чл. 5 В търговската кориспонденция на дружеството се посочва фирмата, седалището и адресът на управление, съда, в който е регистрирано дружеството, номера на регистрация и банковата сметка.
Чл. 6 Дружеството може да разкрива клонове и представителства в страната и чужбина.
Чл. 7 Дружеството може да участвува с пари или друго имущество в местни и чуждестранни дружества, съобразно действащото българско законодателство.
КАПИТАЛ НА ДРУЖЕСТВОТО
Чл.11 (1) Капиталът на дружеството с ограничена отговорност е в размер на 5000 лв - пет хиляди лева, разпределен на 100 – сто равни и неделими дяла по 50 - петдесет лева всеки от тях.
Към момента на регистрацията са внесени 70% или 3 500 - три хиляди и петстотин лева по сметка основен капитал на дружеството. Остатъкът ще се внесе в срок от три месеца от регистрацията.
(2) Капиталът на дружеството може да бъде увеличаван или намаляван с решение на собственика.
(3) Капиталът не може да бъде намаляван под 5000 лева - пет хиляди лева.
(4) Намаляването на Капитала се извършва на основанията, посочени в чл. 149 от ТЗ, при спазване процедурата на чл. 150 и чл. 151 от ТЗ.

ATTO COSTITUTIVO DEL XXXXXXXXXX
Art.1 Con il presente atto costitutivo – statuto si costituisce la società a responsabilità limitata con socio unico, nominata di seguito nel presente statuto “Società”.
Art.2 La Società è persona giuridica сon beni articolati, bilancio indipendente e proprio conto corrente bancario.
Art.3 La denominazione della Società è XXXXXXXX, il quale è scritto anche con i caratteri dell’alfabeto latino XXXXXXXXXX.
Art.4 La Sede Legale è nella città di Plovdiv, Bulgaria
Art.5 Nella corrispondenza commerciale della Società sono indicate la denominazione della società e la sede legale, il tribunale presso il quale è registrata la società, il numero della registrazione, il conto corrente.
Art.6 La Società può aprire filiali e uffici di rappresentanza sia in Bulgaria che all’estero.
Art.7 La Società può partecipare con il denaro od altri beni in altre società locali o estere conformemente alla legislazione bulgara attualmente in vigore.
CAPITALE SOCIALE
Art.11 (1) Il capitale della Società a responsabilità limitata è di 5 000 leva (cinque mila leva) distribuiti in 100 (cento) quote uguali ed indivisibili, pari a 50 leva ciascuna. Al momento della costituzione della Società è stato versato in conto capitale sociale un ammontare di 3 500 leva (tremilacinquecento leva) pari al 70 % del Capitale sociale. La restante parte sarà versata entro il termine di tre mesi dalla data di costituzione.
(2) Il capitale della Società può essere aumentato o diminuito a seguito della decisione del proprietario.
(3) Il capitale della Società non può essere diminuito al di sotto della cifra di 5000 leva (cinque mila leva).
(4) La diminuzione del Capitale si effettua in base all’art.149 della Legge del Commercio osservando la Procedura dell’art.150 e art.151 della Legge del Commercio.

I. ПРЕДМЕТ НА ДОГОВОРА
Чл.1Възложителят възлага, а Изпълнителя приема да извърши “Доставка, монтаж и гаранционно обслужване на нови стоманени предпазни огради или ремонт и възстановяване на елементи от съществуващи огради по пътищата от ХХХХХХХ”.
Чл. 2 Работите по чл. 1 трябва да бъдат извършени съгласно изискванията на техническата спесификация, документацията за участие в процедурата и приетата от възложителя оферта, със съответните приложения към нея.
Чл. 3 Видовете работи се извършват съгласно утвърдено от Възложителя задание, в съответствие с изискванията на нормативните документи, като се допускат до 10% непредвидени видове работи, които се доказват с двустранно подписани Констативни протоколи.

I. OGGETTO DEL CONTRATTO
Art.1 L’Ente Appaltante assegna еd l’Impresa Aggiudicataria accetta di eseguire “Fornitura, montaggio e assistenza nel periodo di garanzia, di nuove barriere stradali in acciaio o riparazione e ripristino di elementi di barriere stradali preesistenti della rete stradale della XXXXXX”
Art.2 I lavori di cui all’art.1 devono essere eseguiti così come previsto dal capitolato tecnico, dalla documentazione per la partecipazione nella procedura e dall’ offerta con i rispettivi allegati, approvata dall’ Ente Appaltante.
Art.3 I lavori devono essere eseguiti secondo la Lettera di Impegno approvata dall’Ente Appaltante ed in conformità con le normative vigenti in materia.
