Jahresabschluss zum 30.9.2007 und Lagebericht
1. Pruefungsauftrag
In der Gesellschafterversammlung am 27. Maerz 2007 der
RUETGERS Chemicals GmbH, Castrop-Rauxel,
- im folgenden auch kurz “RC” oder “Gesellschaft” genannt -
sind wir zum Abschlusspruefer fuer das Rumpfgescaeftsjahr vom 1. Januar 2007 bis zum 30. September 2007 gewaehlt worden. Der Aufsichtsrat hat uns demzufolge den Auftrag erteilt, den Jahresabschluss zum 30. September 2007 unter Einbeziehung der Buchfuehrung und den Lagebericht zu pruefen.
Im Rahmen der Pruefung des Jahresabschlusses wurden wir aufgefordert, weitergehende, gesetztlich nicht geforderte Aufgliederungen und Erlaeuterungen zu einzelnen Posten des Jahresabschlusses abzugeben. Wir haben diese ergaenzenden Aufgliederungen und Erlaueterungen in den Anlagen 7-12 dieses Pruefungsberichts dargestellt.
Ergaenzend wurden wir damit beauftragt, in diesen Pruefungsbericht eine betriebswirtschaftliche Analyse der Vermoegens-, Finanz- und Ertragslage der Geselllschaft aufzunehmen. Diese Analyse haben wir im Abschnitt 6 dieses Berichts dargestellt.
Dieser Pruefungsbericht wurde nach den Grundsaetzen des IDW Pruefungsstandards 450 erstellt.
Dem Auftrag liegen die als Anlage 13 beigefuegten "Allgemeine Auftragsbedingungen fuer Wirtschaftspruefer und Wirtschaftspruefungsgesellschaten in der Fassung vom 1. Januar 2002 zu grunde. Die Hoehe unserer Haftung bestimmt sich nach § 323 Abs. 2 HGB. Im Verhaeltnis zu Dritten sind Nr. 1 Abs. 2 and Nr. 9 der Allgemeinen Auftragsbedingungen massgebend. | Translation - English

Annual Statement of Accounts as of 30 September 2007
and Review of the Situation
1. Audit Order
In the shareholder meeting of
RUETGERS Chemicals GmbH, Castrop-Rauxel,
- hereinafter also referred to in short as “RC” or “Company” -
held on 27 March 2007, we were selected as auditors for the shortened financial year from 1 January to 30 September 2007. As a result, the Management Board awarded us the contract to audit the annual statement of accounts as of 30 September 2007 including the book-keeping and the review of the situation.
Within the framework of the audit of the annual statement of accounts, we were requested to give continuative, non-statutory itemisations and explanations of the individual postings of the annual statement of accounts. We have represented these continuative itemisations and explanations in Enclosures 7-12 of this audit report.
Additionally, we were assigned the task of adopting a business management analysis of the assets, financial and earnings situation of the company in this audit report. We have represented this analysis in Section 6 of this report.
This audit report was prepared according to the principles of auditing standard 450 determined by IDW (Institute of German Auditors).
The order is based on the General Terms and Conditions for Auditors and Audit Companies in the version from 1 January 2002, attached as Enclosure 13. The highest sum of liability is determined according to § 323 Para 2 HGB. In third-party relationships, No. 1 Para. 2 and No. 9 of the General Terms and Conditions shall be authoritative.
