2º.- XXX, S.A. atiende a su solicitud de incluir el término “XXX” en su denominación social siempre y cuando se cumplan las siguientes condiciones:
a) Sólo podrá utilizar el término “XXX” junto con otros, quedando autorizada la utilización para su denominación “XXX Deutschland YYY Vertrieb GmbH”.
b) Sólo se podrá utilizar el término en una única Compañía con sede en Alemania estando expresamente prohibida la cesión a terceros de esta autorización.
c) Los productos que fabrique o comercialice su Compañía no se vendan, directa o indirectamente, o a través de persona interpuesta, en territorio que no sea el de la Republica Federal de Alemania.
d) Ante cualquier confusión que se pudiera producir en el mercado estén dispuestos a dar cumplida información de que nuestras Compañías son total y absolutamente independientes.
e) Cuidar en todo momento del prestigio de la denominación “XXX” obligándose a comunicar a tal efecto a XXX, S.A. de cualquier actuación de un tercero en descrédito de la misma para la mejor defensa de la denominación social y marca.
f) La Compañía autorizada no puede utilizar las patentes, marcas y demás signos distintivos propiedad del XXX, S.A. en el mercado alemán sin previa aceptación caso por caso.

Zweitens.- XXX, S.A. berücksichtigt Ihren Antrag, um den Begriff “XXX” in ihren Firmennamen einzufügen, vorausgesetzt dass folgende Bedingungen erfüllt werden:
g) Der Begriff “XXX” darf nur in Verbindung mit anderen benutzt werden, indem seine Verwendung für die Bezeichnung “XXX Deutschland YYY Vertrieb GmbH” genehmigt wird.
h) Der Begriff darf nur in einer einzigen, in Deutschland ansässigen Firma verwendet werden, indem die Übertragung der Genehmigung an Dritte ausdrücklich verboten ist.
i) Die von Ihrer Firma hergestellten oder vertriebenen Produkte, dürfen nicht auf anderen Gebieten außer der Bundesrepublik Deutschland, entweder direkt oder indirekt verkauft werden.
j) Um jeder Verwechslung vorzubeugen, die sich auf dem Markt produzieren könnte, sind sie bereit die Informationen rechtzeitig zu liefern, zum Nachweis dessen, dass unsere Firmen total und vollständig unabhängig sind.
k) Das Prestige der Bezeichnung “XXX” muss stets geschützt werden, indem sie sich dazu verpflichten, an XXX, S.A., jede Handlung eines Dritten im Verruf dessen mitzuteilen, um die Verteidigung der Firmenbezeichnung und der Marke zu ermöglichen.
l) Die bevollmächtigte Firma darf nicht die Patente, Marken und anderen Erkennungszeichen, die das Eigentum von XXX, S.A. darstellen, auf dem deutschen Markt, ohne vorherige Zustimmung von Fall zu Fall, benutzen.
