Inditex, la cadena textil española propietaria de las marcas Zara y Massimo Dutti, entre otras, ha designado coordinadores globales de su salida a bolsa a las entidades bancarias BBVA, BSCH, Morgan Stanley Dean Witter y Schroders Salomon Smith Barney, según ha comunicado la compañía gallega.
El grupo textil tiene previsto colocar en bolsa alrededor de un treinta por ciento de su capital social, posiblemente en la primavera de 2001, con una valoración próxima al 3.000 millones de euros. La operación se efectuará mediante una Oferta Pública de Venta (OPV) y una pequeña ampliación de capital, acompañado por un plan de remuneración de altos directivos, unos 150, mediante opciones sobre acciones del grupo.
Fuentes de la empresa aseguraron que la salida a bolsa no tiene como objetivo la obtención de liquidez para llevar a cabo nuevos proyectos del grupo, ya que la política de Inditex es financiar su expansión mediante los ingresos de caja (cash flow). La mayoría de los títulos que se colocarán pertenecen al presidente y fundador de la compañía, Amancio Ortega, y a su grupo familiar, mientras que el resto serán de nueva emisión.
Inditex no empleará la marca de su empresa estrella, Zara, para llegar al público minorista durante la salida a bolsa, que se producirá bajo la marca Inditex.
La cadena textil gallega obtuvo unos beneficios netos en el ejercicio de 1999 de 202 millones de euros, un 34% más y la cifra de negocio creció un 26%. El grupo Inditex, propietario de las cadenas de moda textil Zara, Massimo Dutti, Pull & Bear, Bershka y Stradivarius, cuenta con 922 tiendas (603 en España y 319 en el extranjero), que tienen una superficie de venta total superior a los 400.000 metros cuadrados.
En el año 2000 el grupo Inditex tiene previsto abrir 150 nuevas tiendas, en España, Europa, América del Norte, América del Sur, Asia y Oriente Próximo. La cadena textil gallega destinó en el año 1999 a inversiones 417 millones de euros, lo que representa un incremento del 52 por ciento sobre las del año anterior.

Inditex, the Spanish clothing retailer, whose brands include Zara and Massimo Dutti, has appointed the banks BBVA (Banco Bilbao Vizcaya Argentaria), BSCH (Banco Santander Centro Hispano), Morgan Stanley Dean Witter and Schroders Salomon Smith Barney to lead manage the offering according to a statement by the company.
The group plans to offer about 30% of its share capital, valued at nearly 3 billion euros, possibly in the spring of 2001. The sale will be carried out through an initial public offering and a small increase in capital, along with a bonus scheme for about 150 senior executives through stock options from the group.
Company sources have stated that the aim of the flotation is not to raise fresh capital for the group’s new projects since the policy of Inditex is to finance its expansion through cash flow. Most of the shares to be offered belong to the chairman and founder of the company, Amancio Ortega and his family, while the remaining shares are to be newly issued.
Inditex will not be using the brand name of its flagship company, Zara, to attract retail investors during the launch, but the shares will be offered under the Inditex name.
