China National Machinery Industry Corporation / China National Electric Equipment Corporation, incorporated and consorted in accordance with the law of the People’s Republic of China, has been selected as the overall contractor of the project by the contract giver through public tender and have made an EPC turn-key overall contract (“master contract”) with PT Perusahaan Listrik Negara (PLN) (hereinafter referred to as the “demander”).
The Company, an enterprise incorporated in accordance with the law of the People’s Republic of China, has been selected by the overall contractor and approved by the contract giver as the equipment provider of this project (hereinafter referred to as the “supplier”) after being examined as qualified to produce and manufacture the equipment/materials under the contract.
The Contract requires among other things the supplier to provide all equipment, materials, spare parts, built-for-purpose tools, etc. to the demander in the scope of supply of materials, to provide patents and the products of proprietary technology, designing and technical documents to the demander, to provide technical service such as installation guidance, test and adjustment, training, etc. at the request of the demander, as well as to undertake all responsibilities and obligations defined by the Contract and its attachments.
The Contract is jointly made by the demander and supplier on the date defined by the Contract, and both the demander and the supplier agree:
