XYZ déclare exercer l’activité de production, promotion et distribution des produits énumérés en Annexe 1 dans de nombreuses régions du monde (ci-après désignés les « Produits » / liste en Annexe1),
Le Distributeur déclare exercer l’activité de vente et de promotion de produits manufacturés et souhaiter vendre et promouvoir la vente des Produits dans tout le Territoire.
Le principal objectif des parties dans le cadre de la conclusion du présent Accord, est de développer et de promouvoir la vente des Produits sur le Territoire.
1. ENGAGEMENT DU DISTRIBUTEUR
1.1 XYZ accorde au DISTRIBUTEUR les droits exclusifs d’importation
et de distribution des Produits sur le marché national de vente acquittée français (à l’exclusion des DOM TOM) et dans la Principauté de Monaco, à l’exclusion de la zone de Ville A (le « Territoire »). Dans la zone de Ville A, le distributeur commercialisera les produits du portefeuille XYZ auprès des enseignes françaises de la grande distribution et les grossistes indépendants locaux. XYZ se réserve le droit d’exécuter des commandes avec les enseignes britanniques de distribution ( Txxxx, Sxxxxx, Oxxxxx and Mxxxxx) et quelques partenaires historiques locaux.
1.2 XYZ se réserve le droit d'exécuter des commandes de Produits qu'il pourrait recevoir directement de points de vente hors taxe, de Corps Diplomatiques étrangers ou de toute autre organisme similaire bénéficiant de droits extraterritoriaux sur le Territoire. Aucun paiement de commission, d’indemnités ou autres ne sera effectué par XYZ au distributeur relativement à ces ventes.
2. DUREE
Le présent Accord aura une durée de validité de xxxxx (X) ans à compter du xx xxxxx xxxx, sous réserve du respect intégral de toutes les clauses et sous réserve des stipulations de la Clause 13, et sera tacitement renouvelé pour deux périodes successives d’une année, sauf résiliation anticipée par l’une quelconque des parties sur notification écrite adressée six (6) mois avant la fin de la période en cours.
3. FOURNITURE
3.1. Pendant la durée de validité du présent Accord, XYZ s’efforcera de fournir les Produits au Distributeur, et le Distributeur s’efforcera de commander les Produits selon les quantités et les qualités marchandes acceptables propres à lui permettre de s’acquitter de son obligation de toujours maintenir des stocks adéquats des Produits dans diverses tailles, afin de servir les demandes du marché et de répondre, en conséquence, à la demande sur le Territoire. Dans l'hypothèse où XYZ ne serait pas en mesure de fournir les quantités nécessaires, XYZ informerait le Distributeur le plus rapidement possible de cette incapacité et de son refus par écrit, étant entendu, toutefois, que tout retard de livraison ne confère au Distributeur aucun droit de prétendre au paiement de quelconques dommages-intérêts pour rupture de contrat.
Le délai de livraison entre les Etats-Unis et la France sera de XX jours à compter de la réception de la commande. Pour les produits livrés depuis nos entrepôts européens, le délai de livraison sera de xxxxx semaines à compter de la réception de la commande.
3.2. XYZ informera le Distributeur par écrit des éventuelles lignes supplémentaires des Produits développées par XYZ et jugées par cette dernière appropriées à la commercialisation sur le Territoire. Dans le délai d’un mois à compter de la date de cette notification, le Distributeur peut, sur notification écrite adressée à XYZ, choisir d’inclure cette éventuelle ligne supplémentaire des Produits conformément aux termes du présent accord. Bien que le Distributeur détienne les droits exclusifs en vertu de la clause 1.1 des présentes, s’il ne choisit pas d’inclure les nouveaux produits conformément aux termes du présent Accord, XYZ peut distribuer ou vendre directement la ligne supplémentaire des Produits sur le Territoire, soit lui-même, soit par l’intermédiaire d’un tiers qu’il aura désigné à cet effet, avec ou sans exclusivité. Les produits devront dans ce cas être commercialisés sous des marques différentes de celles dont le distributeur à la charge (liste Annexe1).

WHEREBY IT IS AGREED as follows:
STATEMENTS:
XYZ states that it is dedicated to the production, promotion and distribution of the products listed in Appendix 1 in many regions around the world (hereafter “the Products”, listed in Appendix 1).
The Distributor states that it is dedicated to the sale and promotion of manufactured products and wishes to sell and promote the sale of the Products throughout the Territory.
The principal objective of the Parties in entering into this Agreement is to develop and promote the sale of the Products in the Territory.
1. TERMS OF DISTRIBUTION
XYZ hereby grants the DISTRIBUTOR the exclusive rights to the import and distribution of Products on the French duty-paid market (excluding the French overseas departments and territories) and in the Principality of Monaco, and excluding the Ville A area (the “Territory”). In the Ville A area, the Distributor shall sell products from the XYZ portfolio through large French retail brands and independent local wholesalers. XYZ reserves the right to supply orders from British retail brands (Txxxx, Sxxxxx, Oxxxxx and Mxxxxx) and a small number of historic local partners.
1.2 XYZ reserves the right to supply any orders for Products received directly from duty free points of sale, foreign diplomatic corps or from all other similar organisations benefiting from extraterritorial rights in the Territory. XYZ shall not make any payment of commission, losses, or of any other type to the Distributor for these sales.
2. CONTRACT PERIOD
This Agreement shall remain in force for the period of xxxxx (X) years from xx xxxxxx xxxx, subject to full compliance with all of its clauses and subject to the stipulations of Clause 13, and shall be automatically renewed for two successive periods of one year, unless terminated in advance by either party giving the other prior notice in writing six (6) months before the end of the period in progress.
3. SUPPLY
3.1. During the continuance of this Agreement, XYZ shall undertake to supply the Products to the Distributor, and the Distributor shall undertake to order the Products according to the quantities and acceptable marketable quality required to enable the Distributor to fulfil its obligation to maintain adequate stock levels of the Products in different sizes at all times, in order to meet the demands of the market, and thereby meet the demand in the Territory. In the event that XYZ is unable to supply the quantities required, XYZ shall inform the Distributor of this failure in writing as soon as possible, on the understanding, however, that any delay in delivery does not grant the Distributor any right to claim for the payment of any damages for breach of contract.
The delivery time between the USA and France shall be within XX days on receipt of the order. For products delivered from our European warehouses, the delivery time shall be within xxxx weeks on receipt of the order.
3.2. XYZ shall inform the Distributor in writing of any additional Product lines developed by XYZ and deemed appropriate by the latter for sale in the Territory. Within one month after receipt of this notification, the Distributor may, subject to the provision of written notice thereof to XYZ, choose to include the new Product line under the terms of this Agreement. Though the Distributor retains the exclusive rights under Clause 1.1 of this Agreement, if it chooses not to include the new Products under the terms of this Agreement,
XYZ may distribute or sell the new line of Products in the Territory, itself directly, or through a third party which it may appoint for this purpose, with or without the rights to exclusive distribution. In this case, the products must be marketed under different brand names from those sold by the Distributor (listed in Appendix 1).

VACUNA X es la primera vacuna terapéutica contra la Infección Tuberculosa Latente
Los ensayos clínicos comenzarán durante las próximas semanas
El laboratorio farmacéutico EMPRESA X ha obtenido la autorización de la Agencia Española de Medicamentos y Productos Sanitarios (Ministerio de Sanidad y Consumo) para iniciar el ensayo en humanos de VACUNA X, la primera y única vacuna terapéutica antituberculosa.
EMPRESA X es la empresa que lidera el proyecto de VACUNA X. Tras haber superado con éxito las fases preclínicas de investigación básica y experimentación de la vacuna, la compañía estaba a la espera de esta autorización para poder inocular VACUNA X en humanos. El doctor x, director científico de EMPRESA X e investigador FIS del Hospital Universitario Germans Trias i Pujol, inició sus investigaciones sobre los modelos de desarrollo de tuberculosis en 1997 en la Unidad de Tuberculosis Experimental del Instituto de Investigación en Ciencias de la Salud Germans Trias i Pujol que pertenece al Hospital Universitario Germans Trias i Pujol.
La resolución de la Agencia Española de Medicamentos y Productos Sanitarios, con fecha del pasado 16 de marzo, autoriza a EMPRESA X al “estudio de fase I, doble ciego, aleatorizado, controlado con placebo para estudiar la tolerabilidad e inmunogenicidad de cuatro distintas dosis de vacuna antituberculosa VACUNA X en voluntarios sanos”. La empresa tiene previsto comenzar los ensayos clínicos durante las próximas semanas en la Unidad de Fase I del Hospital Universitario Germans Trias i Pujol –dirigida por el Dr. Y- con 24 voluntarios. La inoculación de la vacuna se hace con dosis crecientes para comprobar la tolerabilidad e inmunogenicidad en cada caso. Esta Fase I se alargará hasta diciembre de 2008 y sus resultados serán supervisados por la Agencia Española de Medicamentos y Productos Sanitarios. Tras haber superado esta fase, toda investigación médica pasa a una Fase II en la que se pone a prueba la inmunidad y eficacia de la vacuna con una muestra representativa de 72 voluntarios. Por último, la Fase III se lleva a cabo con una muestra masiva de 3.000 personas.
Modelo de colaboración
Esta autorización convierte a EMPRESA X en el primer laboratorio farmacéutico que ensaya en humanos una vacuna contra la Infección Tuberculosa Latente, situándose a la cabeza de todas las investigaciones que se están llevando a cabo contra la ITBL. Para XXXXXX, director general de la compañía, “EMPRESA X es un claro ejemplo de un proyecto que nace en un centro público y que se desarrolla gracias a la colaboración de la empresa privada. Por ahora nuestro proyecto, fruto de la integración de organismos públicos y financiación privada, está demostrando ser todo un éxito”.
El inicio de esta colaboración se remonta al año 2000 cuando el Dr X se puso en contacto con JM, mecenas del proyecto y fundador de EMPRESA X. En octubre del 2003, tras haber obtenido la patente de VACUNA X, el laboratorio farmacéutico produjo el primer lote de la vacuna en condiciones GMPs (Good Manufacturing Practices) gracias a la Sala Blanca que la compañía tiene en sus instalaciones de Mataró. En julio de 2005 entró en el capital de EMPRESA X el fondo de capital de riesgo “FonsInnocat” con una inversión de X millones de euros. “FonsInnocat” está orientado a PYMES ubicadas en Cataluña que se propongan desarrollar proyectos innovadores. Este fondo está gestionado por HighGrowth y en él participan el Institut Català de Finances Holding, el Fondo Europeo de Inversiones, EDF, la Mútua de Propietarios y la Mútua de Ingenieros. VACCINE X is the first therapeutic vaccine against latent tuberculosis infection (LTBI).
Clinical trials will begin over the next few weeks.
Pharmaceutical laboratory COMPANY X has received authorisation from the Spanish Agency for Medicines and Medical Devices (Agencia Española de Medicamentos y Productos Sanitarios) of the Spanish Ministry of Health and Consumer Affairs to begin human trials of VACCINE X, the first and only anti-tuberculosis (TB) therapeutic vaccine.
COMPANY X is the company leading the VACCINE X project. Following the successful completion of the basic and experimental preclinical research phases of the vaccine, the company was awaiting authorisation to test the VACCINE X on humans. Dr X, Scientific Director at COMPANY X and FIS (Health Research Fund) researcher at the Germans Trias i Pujol University Hospital, began researching TB development models in 1997, at the Experimental Tuberculosis Unit of the Germans Trias i Pujol Institute for Health Sciences Research (Institut d’Investigació en Ciències de la Salut Germans Trias i Pujol), an affiliate of the Germans Trias i Pujol University Hospital.
The Spanish Agency for Medicines and Medical Devices’ resolution, dated 16th March, authorises COMPANY X to conduct “a double-blind, placebo-controlled, phase I study to test the tolerability and immugenicity of four different doses of the VACCINE X on healthy volunteers”. The company intends to begin the clinical trials over the coming weeks in the Phase I Unit of the Germans Trias i Pujol University Hospital. Led by Dr. Y, the trials will include 24 volunteers. A dose run-up test of the vaccine will be carried out to assess tolerability and immugenicity in each case. Phase I will run until December 2008, and results will be supervised by the Spanish Agency for Medicines and Medical Devices. Following completion of this phase, testing will move on to Phase II, which will test the immunity and effectiveness of the vaccine with a representative sample of 72 volunteers. Lastly, Phase III will be conducted with 3,000 volunteers.
A model of collaboration
This authorisation will make COMPANY X the first pharmaceutical laboratory to test a LTBI vaccine on humans, and places it firmly at the forefront of current ITBL research. According to the company’s Managing Director, XXXXXX, “COMPANY X is a clear example of a project that began in a state-run centre and has developed thanks to the collaboration of a private company. So far, this project, which has developed as a result of integrating public resources with private funding, is proving to be a total success.”
The beginnings of this collaboration date back to 2000, when Dr X contacted JM, sponsor of the project and founder of COMPANY X. In October 2003, after obtaining a patent for VACCINE X, the pharmaceutical laboratory produced the first batch of the vaccine under GMP (Good Manufacturing Practice) conditions, in the company’s cleanroom at its facilities in Mataró. In July 2005, COMPANY X received a X million euro investment from the capital risk fund FonsInnocat. The FonsInnocat fund is aimed at SMEs in Catalonia planning to develop innovative projects. This fund is managed by HighGrowth and participators include the Institut Català de Finances Holding, the European Investment Fund, EDF, the Mútua de Propietarios (property insurance company) and the Mútua de Ingenieros (engineers’ friendly society).
