Продажа предприятия (бизнеса) должника Продажа предприятия (бизнеса) должника В целях удовлетворения требований кредиторов план внешнего управления может предусматривать продажу предприятия (бизнеса) должника как имущественного комплекса. При продаже предприятия (бизнеса) отчуждаются все виды имущества, предназначенного для осуществления предпринимательской деятельности должника, включая земельные участки, здания, сооружения, оборудование, инвентарь, сырье, продукцию, права требования, а также средства, индивидуализирующие должника (фирменное наименование, товарные знаки, знаки обслуживания), его товары, работы и услуги, другие исключительные права, принадлежащие должнику, за исключением прав и обязанностей, которые не могут быть переданы другим лицам. При продаже предприятия (бизнеса) оценка его имущества проводится оценщиком с оплатой его услуг за счет имущества должника. Оценщик утверждается собранием кредиторов или комитетом кредиторов. С согласия собрания кредиторов внешний управляющий вправе реализовать предприятие (бизнес) в рассрочку сроком не более одного года при условии предоставления покупателем соответствующих гарантий обслуживающего банка. Sale of a debtor’s enterprise (business) In order to meet creditors’ claims, an external management plan may foresee selling a debtor’s enterprise (business) as a property complex. When selling an enterprise (business), all kinds of assets intended for carrying out entrepreneurial activities by the debtor shall be alienated including land plots, buildings, facilities, equipment, implements, raw materials, produce, legal claims as well as means individualising the debtor by name (trade name, trademarks, service marks), goods, works and services, other exclusive rights owned by the debtor with the exclusion of rights and obligations that cannot be passed on to other parties. When selling an enterprise (business) a valuator shall exercise valuation of its assets with valuator’s services to be paid at the expense of the debtor’s assets. The meeting of creditors or committee of creditors shall approve the valuator. Subject to approval of creditors’ meeting, an external manager shall be entitled to sell the enterprise (business) against payment in instalments covering a period not exceeding one year, provided the buyer presents appropriate guarantees issued by a serving bank. When selling an enterprise (business), labour agreements in force at the time of the sale of enterprise (business) remain valid, and the employer’s rights and obligations shall pass to the buyer of the enterprise (business). The enterprise (business) shall be sold by holding public bidding if no article or external management plan specifies otherwise. The form and terms of holding bids shall be defined by a creditors’ meeting or committee of creditors. (Read with paragraph 1) of Article 1 of the Law of the Republic of Uzbekistan dated 20.12.2005) In case the enterprise (business) owns assets that are assets of limited circulability, sale of such an enterprise (business) shall be made by holding closed bidding with the participation of parties that may own the stated assets by right of ownership or other law of property in accordance with laws. The starting selling price of enterprise (business) offered for bids shall be established by decision of the meeting of creditors or committee of creditors whilst taking into account valuation of the enterprise’s assets carried out by the valuator if the laws do not specify otherwise. Terms and conditions for holding bids shall foresee receipt of proceeds from sale of enteprise (business) no later than thirty days prior to external management expiry date. External manager acts as an organiser of bids or invites a specialised organisation with services to be paid at the expense of debtor-owned assets for this purpose. A specialised organisation holding bids may neither be an interested party in relation to the debtor nor to the external manager. The external manager must publish announcement on sale of the enterprise (business) at public bids in an official publication al least thirty days prior to the date of holding bids. The announcement shall contain: • Information on the enterprise (business) and procedure for familiarisation with it; • Deadline, time and place to submit applications for participation in bids; • Starting selling price of the enterprise (business); • Date and place of holding bids and finalising results; • Terms and conditions for signing the sales contract and payments; • Other information required as per law.

Все вышеперечисленное призвано привлечь на Google.ru обычных пользователей. И хотя на посещаемость портала, очевидно, связана с прибылью от контекстной рекламы (а это главный источник доходов Google), двум другим категориям потребителей - владельцам рекламных площадок и рекламодателям - нужно еще кое-что, помимо расширенной поддержки русского языка. Если простота вхождения в партнерскую программу AdSense Google на руку, то неочевидная схема вывода заработков владельцев площадок и отсутствие отлаженных механизмов работы с российскими рекламодателями в течение долгого времени сдерживали развитие бизнеса Google на одной шестой части суши. Между тем, русских вебмастеров в AdSense уже достаточно, и многим из них приходится использовать чудовищно кривые схемы с обналичиванием чека по доверенности, теряя на каждой транзакции может и не очень большой, но близкий сердцу процент от заработанного. Менее очевидная (но по недополученным суммам гораздо более серьезная) потеря заработков вебмастеров вызвана малым количеством российских компаний, дающих рекламу на AdWords. Таким образом, главная задача при локализации этих сервисов это вовсе не перевод, а подгонка под наши условия, включая привычные для России способы вывода денег (например, поддержка платежных систем «Яндекс.Деньги" или WebMoney может оказаться вполне приемлемым вариантов для тысяч русских вебмастеров, пытающихся зарабатывать на AdSense). Если же Google действительно хочет, чтобы к нему пошли российские рекламодатели, то ему необходимо встроить в AdWords не только поддержку распространенных в России платежных систем, но и реализовать генерацию необходимых по требованию российского законодательства документов. Поскольку по нашему же законодательству просто распечатать счет-фактуру из браузера, мягко говоря, недостаточно - официальная бумага должна быть подписана и проштемпелевана - какой-то части работников московского офиса Google придется постоянно заниматься неприятной бумажной возней, рассылая и сверяя счета при работе с юридическими лицами. В Европе подобные платежи делаются с корпоративной кредитной карты, и ни у одного контролирующего органа такая схема вопросов не вызывает. Впрочем, не исключено, что и у нас многие рекламодатели предпочтут «упрощенный вариант" покупки рекламы, выставляя вместо юридического вполне физическое лицо. Логика здесь следующая: при небольших рекламных кампаниях заниматься бумажным оформлением просто невыгодно, и не исключено, что многим мелким клиентам будет проще расплатиться через WebMoney, например. Главный вопрос - успеет ли в Google разобраться со всеми «русскими традициями" к середине года (по нашим данным, именно эта дата является условным дедлайном для локализации AdWords и AdSense). Удаленная разработка предполагает некую латентность - пока все всё поймут, пока всё согласуют, а ведь еще и код писать кому-то надо… Достаточные условия Весь предыдущий раздел был посвящен условиям необходимым, но не достаточным. Даже если Google научится генерировать необходимые документы, подключит платежные системы, ему еще предстоит отвоевывать пользователей у сегодняшних лидеров - «Рамблера" и «Яндекса". На рынке контекстной рекламы компании, по сути, предстоит конкурировать с ними же: сервис «Яндекс.Директ" является прямым конкурентом Google AdWords (а когда «Яндекс" отменит ограничения на вхождение в свою рекламную сеть, то «Директ" вместе с ней и вовсе превратится в универсальное, подобное связке AdWords-AdSense решение), тогда как рекламная сеть «Бегуна" по концепции близка к AdSense. Однако не исключено, что растущий рынок российской Интернет-рекламы вполне способен переварить еще одного сильного игрока. На руку Google может сыграть уже то, что на рынке появилась новая крупная площадка - некоторым крупным рекламодателям банально не хватает мощностей «Директа" и «Бегуна", и они вполне могут запустить дополнительные рекламные кампании на Google, не прерывая при этом заключенных ранее контрактов, а дополняя их. Ограничения Будущих клиентов-рекламодателей на Google ожидает не только повышенный уровень сервиса и дисконтная система размещения объявлений (пересказывать ее долго, но суть в том, что она позволяет рекламодателям немного экономить при размещении, а на больших кампаниях это «немного" вполне может оказаться не принципиальным, но приятным дополнением), но и некоторые ограничения. Translation - English “Google” LLC Over the last six months Google has been getting increasing attention from the Russian press, from which one learns that: 1) Google will participate in the construction of a techno-park in St Petersburg, and upon completion will hire three thousand developers. 2) Google plans to enter the Russian market with the intention of eliminating all the competition, having invested over $30 million in marketing. 3) Google is going to open a Russian Representative office to be headed by Cliff Ghontlet. 4) Google is going to open a Russian Representative office to be headed by Vladimir Dolgov. 5) Google is going to open a Russian Representative office to be headed by Vladimir Dolgov and Cliff Gontlet. Almost none of these statements bear any relation to reality. The only true statement in the list is the fourth one. ‘Google’ LLC (the name under which the Russian Representative Office of the company was registered in December last year) is headed by Vladimir Dolgov, ex-Director of “Ozone” e-shop. At present there are two more staff members at ‘Google” LLC. Russian Google will grow not through developers, but through specialists in selling advertising. Vladimir Dolgov stated that last year the company opened several regional R&D-centers in: London Zurich Trondheim (Norway) Haifa (Israel). But for now the main objective of the Moscow office was to sell advertising in Russia. In the past six months Google has opened several such representative offices in: Poland Israel Turkey As for Google’s investment in its own operations in Russia, this is a more complicated matter. However, there is no indication that $30 million has been spent on the operation. As a rule, Google relies on word of mouth. It does not buy prime-time television commercials or put up advertising banners along roads. All of which implies totally different scales of advertising budgets. Most likely the $30 million fairy-tale originated from an overseas source. It is said that a business-plan presented in Seattle, indeed foresaw such marketing expenses and became the source of this tale. But it is not necessarily true that this business plan has any relation to Google. The opposite is more likely. The problem with promotion in Russia lies the fact that over the five years that the company has been operating in the market (Dolgov himself dates the history of Google in Russia back to 2001 when Google.ru was opened) word of mouth has brought little help. Today, estimates of Google’s share of the search traffic range from 6% to 18%. The company needs to start afresh with its three categories of clients: service users, owners of spaces and advertisers. All of whom have different needs and requirements. How to explain Google to those who do not know it – and such people do exist. This is a question to which the Russian Representative Office, it seems, has no clear answer. The major stake is concentrated on the localization of major services (and in this respect Google, for understandable reasons is behind both Yandex and Rambler) and as mentioned earlier, word of mouth. Localization means not only translation of interface (Google has been doing this for a long time very successfully), but also adjusting existing services to Russian conditions (maps of Moscow and St. Petersburg for Google Maps. Russification of Google Earth, Russian Google News – judging by development rates of the Israeli Representative Office, it is planned to finish this by the end of the year). Google is already able to search with the Russian word-forms, though the technology has not been debugged yet. The fact that the Russian morphology appears exactly now is not accidental. It is obvious that improvement of Russian-language search is timed to launch of Google’s business in Russia (The reverse is true as well: Google’s decision to earn money in Russia has provoked an upsurge in activity on localization of company’s products). All the above mentioned is designed to attract ordinary users to Google.ru. And although portal traffic is related to the profit from the context-dependent advertising (which is the main source of Google’s income), two other consumer categories – owners of advertising spaces and advertisers - need something else apart from expanded support to Russian language. In one respect, Google has a small advantage over Yandex. Yandex launched its advertising network last year and so far only fairly large sites may enter it. There is one more limitation of an organizational nature. To date Yandex has been working only with legal entities or with entrepreneurs who do not have the status of a legal entity (EWSLE). This limitation is not very significant (at the end of the day, nobody prevents registering EWSLE. It is cheap, fast, plus it is possible to share the status acquired between several friendly webmasters). Psychologically it is much easier for a webmaster to register itself in AdSense, where during registration he/she is not asked anything at all apart from availability of a space itself where he/she intends to promote ads. If simplicity of entering the AdSense partnership program assisted Google, then the non-transparent scheme of withdrawing earnings of owners of spaces and the lack of effective mechanisms of working with the Russian advertisers over a long period of time prevented the expansion of Google’s business on one-sixth of the Earth's land area. Meanwhile, there are already enough Russian webmasters in AdSense. Many of them have to use highly complicated schemes when cashing in cheques under power of attorney. On each transaction they lose a small but sensitive for their pockets percentage of earnings. Less evident but much more serious is the loss of webmasters’ earnings as a result of the small number of Russian companies publishing advertisements on AdWords. Thus, the main objective when localizing these services is not translation at all but adjusting to local conditions. This includes the customary ways of withdrawing money in Russia (for instance, support of payment systems ‘Yandex. Dengi’ or WebMoney may turn out to be quite an acceptable option for the thousands of Russian webmasters who try to earn on AdSense). If Google really wants Russian advertisers to come to it, it needs to build in the payment systems commonly used in Russia in AdWords and produce the documentation required by Russian law. According to our laws it is not sufficient, to put it mildly, to simply print an invoice from the browser. An official paper has to be signed and stamped. Some of the staff in Google’s Moscow Office will have to be constantly engaged in sorting out the paper mess resulting from them having circulated and reconciled accounts when dealing with the legal entities. In Europe such payments are made by using a corporate credit card, and such a scheme raises no questions from a supervisory authority. Nevertheless, it is possible that many Russian advertisers would also prefer the ‘simplified option’ of buying advertising and nominating a natural person instead of a legal entity. The logic in this is that it is simply not remunerative to be engaged in paper work for small advertising campaigns, and for many small clients it would be much easier to pay through e.g. WebMoney. The main question is: Will Google have enough time to gain an understanding of all the ‘Russian traditions’ by mid year? (According to our data, this is the dead-line for localization of AdWords and AdSense). Remote development implies some latency - it will take time for everybody to understand everything, for everything to be coordinated, and surely somebody will have to write a code.... Sufficient Conditions The previous section dealt with the conditions that are necessary but not sufficient. Even if Google learns to produce the necessary documents and builds in payment systems, it still has to win over users from today’s leaders – Rambler and Yandex. It has to compete with them also in the market of context-dependent advertising of company: ‘Yandex. Direct' service is a direct rival of Google AdWords (when Yandex removes restrictions to enter its ad network Direct will turn into a universal solution similar to AdWords AdSense) whereas the ad network of ‘Begun’ is closer in concept to AdSense. It is however possible that the growing market of Russian web ads is quite capable of absorbing one more strong player. For some large advertisers the capacities of Direct and Begum are insufficient and this may assist Google. They may launch new ad campaigns on Google without terminating the earlier signed contracts but rather supplementing them. In addition so far Google has only attracted a few Russian advertisers. Based on the AdWord’s word pricing model which allows campaigns to be conducted which are cheaper compared to their competitors. Another plus is that Google’s technologies, covering very large advertisers allow for the monitoring of ad positions in real time. Simple example: if a page is advertising binoculars, then AdSense will show the user an ad for this item but before automatically connecting to the advertiser’s site it will advise on availability and current price. Limitations Future advertising clients on Google will enjoy both an increased service level and a discounted system of ad publishing (in brief it gives advertisers a small saving when publishing. For large companies this “small saving” can turn into a significant and pleasing addition). But there are some limitations. Do you speak Russian? It is of course too early yet to forecast what share of the market Google will win over from Rambler and Yandex. The Russian Representative Office has only been operating for a short period and a lot will depend on the effectiveness of the American developers and the flexibility of the European Office. Under the most favorable scenario Google’s business in Russia may grow greatly (even if Google’s search traffic increases only slightly) at the expense of adjustment of generally accepted practices to local standards. Source text - English "Interbank Rate" means, for each Interest Period, the offered rate per annum for deposits in the Loan Currency which appears on the Reference Page as of 11:00 a.m., Brussels time, on the relevant Interest Determination Date for the period which is closest to the duration of such Interest Period (or, if two periods are equally close to the duration of such Interest Period, the average of the two relevant rates); provided that: (a) if, for any reason, the Interbank Rate cannot be determined at such time by reference to the Reference Page, the Interbank Rate for such Interest Period shall be the rate per annum which the Bank determines to be the arithmetic mean (rounded upward, if necessary, to the nearest 1/16%) of the offered rates per annum for deposits in the Loan Currency in an amount comparable to the portion of the Loan scheduled to be outstanding during such Interest Period for a period equal to such Interest Period which are advised to the Bank by three major banks active in the Euro-zone interbank market selected by the Bank; and (b) if the Bank determines that deposits in the Loan Currency are not being offered in the Euro-zone interbank market in such amounts or for such period, the Interbank Rate for such Interest Period shall be the cost to the Bank (expressed as a rate per annum) of funding the portion of the Loan scheduled to be outstanding during such Interest Period from whatever sources it selects.
