BUSINESS CHALLENGE
In order to boost the level of assurance in its food safety program, McDonald’s Europe decided to outsource its supply chain auditing. More specifically, McDonald’s Europe targeted certification bodies to audit its food suppliers. The company required an unbiased view from certification leaders capable of evolving into veritable partners for McDonald’s and its suppliers. As a result, McDonald’s Europe provided its suppliers with a short-list of pre-approved certification bodies from which they could select one to conduct required audits. For a certification company to make it onto the list, it had to undergo a stringent six-month approval process.
SOLUTION
McDonald’s Europe approved and added Bureau Veritas to its European third party auditor short-list. Bureau Veritas serves as an independent certification body that offers management system audits against certification standards. Most importantly, helping suppliers evolve their food safety systems stands as McDonald’s Europe’s key requirement for its third party certification bodies. Bureau Veritas meets this requirement by leading suppliers towards ISO 22000 certification, a newly created global standard for the food sector. Bureau Veritas holds a particular expertise in the subject matter, as it headed the steering committee that created this certification. Now, starting with the fish filet provider, different McDonald’s European suppliers have chosen Bureau Veritas as their external auditor. For example, the Denmark-based dairy provider chose Bureau Veritas as its preferred certification body because Bureau Veritas is qualified to conduct both country-specific certifications and McDonald’s Europe’s audits. McDonald’s Europe also selected Bureau Veritas for this reason, and moreover because of its robust reporting processes, which help establish food safety for the entire system.
BENEFITS
Working with an independent body such as Bureau Veritas enables McDonald’s Europe to assure the highest possible objectivity when it comes to food safety, for its direct needs as well as for its supply chain. Also, by providing suppliers with a certification body capable of fulfilling multiple requirements, McDonald’s Europe allows them to reduce costs and time associated with food safety auditing and ultimately frees suppliers to focus more energy on their core business. Annex to the Contract
The Contract between the Member and the Employee is hereby amended in accordance with the provisions of this Annex.
1. Article 1 (Subject and duration of the contract) is replaced by the following:
"Article 1 - Subject, duration and termination of the Contract
1. The Employee shall assist the Employer with the execution of his parliamentary mandate. In particular, the activities of the Employee shall consist of:

- upon the end of mandate of the Employer as a Member of the European Parliament.

4. Termination of the employment relationship as specified in paragraph 3 constitutes valid and just cause for termination, requiring no prior notice by either party.
5. (a) Either party may unilaterally terminate in writing the employment relationship before its normal expiry as specified in paragraph 1. To do so, the Employer shall give no less than two weeks´ notice within the first two years of employment and no less than four weeks´ notice thereafter, observing any higher minimum under the applicable national law. The Employee shall give two weeks´ notice to the Employer.
(b) After notice of termination has been given by either party, provided the terms of this Contract - including on remuneration - continue to be observed, the Employer in his absolute discretion can, for all or part of the period of notice, exclude the Employee from his or her places of activity and require that the Employee ceases to execute part or all of the duties specified in the job description until the termination of his employment.
(c) Once notice of termination of the employment relationship has been given by the Employer, the Employee shall be entitled to take reasonable time off during working hours without loss of pay before the end of the notice in order to look for new employment or make arrangements for training for future employment.
6. Notwithstanding paragraph 4, when the end of mandate of the Employer results from resignation, the Employee has the right to be served with notice in accordance with paragraph 5(a) above. Where, for objective reasons, this is not possible, the Employee shall be given payment in lieu of notice corresponding to three weeks´ pay where the Employee has worked for up to two years, or six weeks´ pay if he has worked for more than two years, subject to any more favourable provisions under national law."
2. Article 7 (Paid leave) is replaced by the following:
"Article 7 - Paid leave
1. The Employee shall have a basic entitlement to _________ days´ leave per calendar year at full pay, in addition to the normal public holidays (fill, observing the minimum under the applicable national law). Aneks do Umowy
Zgodnie z postanowieniami niniejszego Aneksu, w Umowie pomiędzy Członkiem a Pracownikiem wprowadza się następujące zmiany.
1. Art. 1 (Przedmiot i okres obowiązywania umowy) otrzymuje brzmienie:
„Art. 1 – Przedmiot, okres obowiązywania i rozwiązanie Umowy
1. Pracownik będzie pomagać Pracodawcy w wykonywaniu jego mandatu parlamentarnego. W szczególności, działania Pracownika będą polegać na:

W tym celu, Pracodawca złoży wypowiedzenie z terminem co najmniej dwutygodniowym w ciągu pierwszych dwóch lat zatrudnienia, zaś po upływie tego okresu – z terminem co najmniej czterotygodniowym, z dotrzymaniem dłuższego terminu wypowiedzenia, jeśli przewiduje go stosowne prawo krajowe. Pracownik zobowiązany jest złożyć Pracodawcy dwutygodniowe wypowiedzenie.
(b) Po złożeniu wypowiedzenia przez którąkolwiek ze stron, pod warunkiem dotrzymywania warunków niniejszej Umowy, włącznie z postanowieniami o wynagrodzeniu, Pracodawca wedle własnego uznania może, na cały lub częściowy okres wypowiedzenia, pozbawić Pracownika dostępu do miejsc dotychczasowego prowadzenia działań i zażądać od Pracownika zaprzestania wykonywania wszystkich lub części obowiązków służbowych określonych w zakresie obowiązków do czasu rozwiązania jego stosunku pracy.
(c) Po złożeniu przez Pracodawcę wypowiedzenia stosunku pracy Pracownikowi przysługuje, w rozsądnym wymiarze, pewna ilość wolnego czasu podczas godzin pracy, bez utraty zapłaty z tytułu wynagrodzenia, na poszukiwanie nowego zatrudnienia lub zapisanie się na szkolenie celem znalezienia przyszłej pracy.
6. Niezależnie od ust. 4, w przypadku gdy mandat Pracodawcy wygaśnie z powodu rezygnacji, Pracownik posiada prawo do otrzymania wypowiedzenia zgodnie z ust. 5 lit. (a) powyżej. Jeżeli, z przyczyn obiektywnych, nie jest to możliwe, Pracownik w miejsce wypowiedzenia otrzyma zapłatę w wysokości odpowiadającej wynagrodzeniu za trzy tygodnie pracy, jeśli Pracownik przepracował okres do dwóch lat lub za sześć tygodni pracy, jeśli przepracował więcej niż dwa lata, z zastrzeżeniem bardziej korzystnych przepisów przewidzianych prawem krajowym."

Today we have voted in favour of the resolution, drawn up on basis of the report by Mr X, on a European Consensus on Humanitarian Aid. I would like to thank the rapporteur and confirm once again my approval of this important document.
We are well aware of the fact that the European Union – and here I am thinking of the Commission and the Member States – is the leading provider of humanitarian aid. The EU contribution for 2006 amounted to only EUR 2 billion. I completely agree with the opinion that the EU should determine where to set the limit for the new level of humanitarian aid. On the other hand, the EU has to define its position in view of the new international initiatives and the implementation of the reform initiated by the United Nations. As a member of the Committee on Budgets, I would like to point out the third problem that the EU needs to solve, namely improving the coordination of Community and Member States’ resources with a view to making them easily accessible for the victims of humanitarian disasters.
I hope that Parliament’s concrete and precise position will facilitate the achievement of our common objectives and help find consensus on the subject of humanitarian aid.
Mr President, I am glad to hear there is a European consensus on humanitarian aid and of course no reasonable person objects to aid for countries that do really need it. But we must also be honest and admit that there is manifestly no European consensus on a code of conduct as regards dictators.
The UK’s intention to boycott the EU-Africa summit if Mugabe attends is simply being ignored by other Member States, and humanitarian tragedies – as we all know – very often arise as a result of wars or criminal misrule, as is the case in Zimbabwe. The enduring truth is that Africa is the scene of bloody conflicts and that Africans spend more on arms than they receive in development aid.

W dniu dzisiejszym głosowaliśmy za przyjęciem rezolucji sporządzonej na podstawie sprawozdania pana posła X dotyczącego europejskiego konsensusu w sprawie pomocy humanitarnej. Pragnę podziękować sprawozdawcy i jeszcze raz potwierdzić swoją aprobatę dla tego istotnego dokumentu.
Zdajemy sobie dobrze sprawę z tego, że Unia Europejska –mam tu na myśli Komisję i państwa członkowskie – jest głównym dawcą pomocy humanitarnej na świecie. W 2006 r. wkład UE na rzecz pomocy humanitarnej przekroczył 2 mld euro. W pełni zgadzam się z opinią, że UE powinna określić, jaki jest jej nowy zakres pomocy humanitarnej. Z drugiej strony Unia musi określić swoje stanowisko wobec nowych inicjatyw międzynarodowych oraz procesu reform zainicjowanych w ramach Narodów Zjednoczonych. Jako członek Komisji Budżetowej pragnę zwrócić uwagę na trzeci problem, jaki Unia musi rozwiązać, a mianowicie poprawę koordynacji zasobów Wspólnoty i państw członkowskich w celu ich łatwego udostępnienia ofiarom katastrof humanitarnych.
Mam nadzieję, że konkretne i precyzyjne stanowisko Parlamentu ułatwi osiągnięcie naszych wspólnych celów i pomoże znaleźć konsensus w sprawie pomocy humanitarnej.
Panie przewodniczący! Miło mi słyszeć, że istnieje europejski konsensus w sprawie pomocy humanitarnej. Oczywiście nikt rozsądny nie zaprzeczy, że należy udzielić pomocy krajom, które naprawdę jej potrzebują. Jednak musimy także uczciwie przyznać, że ewidentnie nie ma europejskiego konsensusu co do kodeksu postępowania w sprawie dyktatorów.
Zamiar Zjednoczonego Królestwa zbojkotowania szczytu UE-Afryka, jeśli Mugabe weźmie w nim udział, jest po prostu ignorowany przez pozostałe państwa członkowskie, a tragedie ludzkości – jak wiemy – często następują w następstwie wojen lub złych, skorumpowanych rządów, jak w przypadku Zimbabwe. Prawda jest taka, że Afryka nieprzerwanie pozostaje terenem krwawych konfliktów, a naród afrykański wydaje więcej na zbrojenia niż otrzymuje w ramach pomocy rozwojowej.

LEASE CONTRACT (the "Contract")
concluded on X, in X between:
X Spółka z ograniczoną odpowiedzialnością w organizacji (In formation), with its seat at X registered in the National Administrative Register of Business Entities maintained by the National Statistical Office (GUS) under number REGON X (hereinafter the "Lessor"), represented by X, member of the board of the aforementioned company;
and
X Spółka z ograniczoną odpowiedzialnością with its seat at X, entered in the register of business entities of the Domestic Court Register, maintained by the Warsaw District Court, XIII Commercial Division of the Domestic Court Register, under number KRS X (hereinafter the "Lessee"), represented by X, member of the board of the aforementioned company.
The Lessor and the Lessee hereinafter are jointly referred to as the "Parties" and each of them individually, a "Party".
Whereas
1. The Lessor is the owner as well as has a share in the co-ownership of the Property (as defined below).
2. The Lessor is interested in leasing the Property to the Lessee.
3. The Lessee conducts business activity in the scope of distribution of sports accessories and does not have premises which are required to conduct such activity.
4. The Lessee is interested in renting the Property from the Lessor.
§1-
Subject of the lease
1. The Lessor declares that it is the owner of the property with an area of 2,487 m2, consisting of plots No. 56 and 59 for which the land and mortgage register No. WA1M/00189788/9 is maintained and has a share of 2000 / 61820 in the co-ownership of the property with a total area of 10,428 m2, consisting of plot No. 58 for which the land and mortgage register No. WA1M/00013480/6 is maintained, situated at X in Warsaw (hereinafter the "Property"), and the owner of the office and warehouse building, located on the Property with a total usable area of 2,068.54 m2 (hereinafter the "Building"). Copies of the extracts from land register KW No. WA1M/00189788/9 and KW No. WA1M/00013480/6 are attached hereto as Schedule No. 1 to this Contract.
2. The Building comprises the following premises:
a) warehouse premises, located on the ground floor of the Building, with a total usable area of approx. 2000 m2;
b) office premises, located on the ground and first floors of the Building, with a total usable area of approx. 450 m2.
3. A detailed description of the Building is attached as Schedule No. 2 to this Contract.
4. The Lessor declares furthermore that part of the Property constitutes land located outside the area of the Building, with an area of approx 2500 m2, constituting the parking area earmarked for approx. 30 car parking places (hereinafter the "Parking Area"). A map of the Property specifying the borders of the Parking Area is attached as Schedule No. 3 to this Contract.
§2.
Declarations of the Parties
1. On the basis of this Contract, the Lessor undertakes to lease the Building and Parking Area for a payable use to the Lessee and in exchange the Lessee undertakes to pay the Lessor the agreed rent.
2. The Lessee will use the Building and Parking Area solely for conducting its business activities in the scope of the distribution, sale, storage and presentation of sports accessories. The Parking Area will be used to provide car parking places to the Lessee and its clients, guests, employees, suppliers and other persons benefiting from the Lessee's services or those co-operating with the Lessee (hereinafter the "Agreed Use").
3. The Lessee declares that it is aware of the legal status of the Property and the Building and in particular of the fact that with respect to part of the Property and the Building the Lessor has a share in co-ownership thereof. Lessee's declaration herein does not release the Lessor from its obligations under § 6.2 of this Contract.
§3.
Declarations of the Lessor
1. The Lessor declares that:
a) It is authorised, as the entity exclusively using (wyłącznie korzystający) the Building and the Property, to use the Building and the Property to the extent resulting from this Contract.
b) The Building is equipped with a complete and functioning water supply system, sewage system, electricity, gas, central heating, alarm system, and telephone.
c) The Agreed Use for which the Building and the Parking Area will be leased to the Lessee does not infringe any legal provisions concerning the exploitation and use of the Property, the Building, nor other provisions and regulations on occupying and using property, and the Lessor accepts the legal and material liability for any third-party claims which could be directed against or to the Lessee in connection with this Contract to the extent such claims result from the Agreed Use by the Lessee of the Building and/or the Parking Area; and, furthermore, the Building and the Parking Area fulfil all the technical parameters and norms specified by legal provisions which allow them to be used in accordance with the Agreed Use.
d) Any work, in particular any renovations or maintenance work, carried out in the area of the Property will be planned and conducted by the Lessor in the way which is least onerous for the Lessee and will be limited to the necessary minimum. The Lessor will inform the Lessee about the deadline and scope of such works in writing within at least 14 (fourteen) days before it intends to commence the same.
§4.
Term of the lease and the delivery of the subject of the lease
1. This Contract is concluded for a specified period of [five years counted from Completion date]. Provided that the Lessee is not in default under any of the material terms or conditions of this Contract at the time of exercising the option, the Lessee shall have an option to extend the period of this Contract by an additional five years (hereinafter the "Extension Term") on the terms and conditions agreed by the Parties. The Lessee shall deliver a written notice to the Lessor on the exercising of the option to extend the Contract by the Extension Term no later than six months before the lapse of the first five-year period.
2. The term commences on the date of acquisition of the ownership and the share in the co-ownership of the Property by the Lessor (hereinafter the "Delivery Date").
3. Delivery of the Building and the Parking Area will occur on the Delivery Date on the basis of a delivery protocol signed by the Parties. The Lessee declares that it is fully aware of the state of the Building and the Parking Area and shall not raise any claims towards the Lessor in connection therewith.
§5.
Rent and additional charges
1. The rent in respect of this Contract will be payable to the Lessor by the Lessee monthly from the Delivery Date.
2. The monthly rent will be 50,000 PLN (in words: fifty thousand zloty) for leasing the Building and the Parking Area, subject to § 5.3 below.
3. Tlie first monthly rent will be in the amount referred to in § 5.2 increased by a one-off initial payment calculated as follows: the monthly rent specified in § 5.2 multiplied by the number of months from 02 June 2008 until the Delivery Date, prorated with respect to any month which is not a full month.
4. The rent will be increased by VAT at the applicable rate.
5. The rent has been determined at market terms.
6. The rent will remain unchanged for the first full calendar year after the Delivery Date. After the first full calendar year after the Delivery Date the rent will be subject to an annual adjustment to reflect the increase of the price indices of consumer goods and services in the preceding calendar year as announced by the Polish Statistical Office (Główny Urząd Statystyczny). The adjustment shall be determined by the Lessor by the end of March of a given year and notified to the Lessee. The Lessee shall pay the adjusted rent as of the first January of the given calendar year and shall settle any payments due from the Lessee to the Lessor in connection with the adjustment of the rent for a given calendar year.
7. The rent will be payable by bank transfer to the account of the Lessor No. PL 10 1050 1025 1000 0023 3087 8675 no later than on the fifteenth day of each month following the month for which the rent is due.
8. If the Lessee fails to pay any sum due to the Lessor under this Contract within the due date for payment (or if no date is specified from the date of demand), the Lessee shall pay statutory interest on the such sum to the Lessor at the rate of statutory interest as in force from time to time.
9. The Lessor is obliged to issue an invoice to the Lessee before the end of the month for which the rent is due.
10. In addition to the rent, the Lessee bears the costs of utilities in respect of the Building including but not limited to:
a) electricity, according to the meter readings;
b) central heating according to the meter readings;
c) cold and hot water; according to meter readings;
d> supervision and security of the building;
e) sewage and waste disposal;
f) maintenance of electrical, alarm and air-conditioning equipment and
installations.
The Lessee shall conclude with each utility provider an agreement and all the aforementioned costs will be paid directly by the Lessee to a utility provider on the basis of an invoice issued to the Lessee by such a utility provider. The Lessee shall present the Lessor with a copy of each of the agreements concluded with the utility providers within [30] days from Delivery Date.
11. All payments to the Lessor from the Lessee are deemed to be paid on the date when bank account specified by the Lessor is credited with the sum corresponding to the amount of rent due by the Lessee.

X Spółką z ograniczoną odpowiedzialnością w organizacji, z siedzibą pod adresem: X, zarejestrowaną w krajowym rejestrze urzędowym podmiotów gospodarki narodowej prowadzonym przez Główny Urząd Statystyczny (GUS)
pod numerem REGON X (zwaną dalej „Wydzierżawiającym”), reprezentowaną przez Teresę Al Ahmad, Członka Zarządu spółki;
a
X Spółką z ograniczoną odpowiedzialnością z siedzibą pod adresem:X, zarejestrowaną w krajowym rejestrze handlowym prowadzonym przez Sąd Rejonowy w Warszawie, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego pod numerem KRS X (zwaną dalej „Dzierżawcą”), reprezentowaną przez X, Członka Zarządu.
Wydzierżawiający i Dzierżawca zwane są dalej łącznie „Stronami”, zaś osobno „Stroną”.
Zważywszy, że:
1. Wydzierżawiający jest właścicielem Nieruchomości oraz ma udział w jej współwłasności w sposób określony poniżej.
2. Wydzierżawiający pragnie oddać Nieruchomość w dzierżawę Dzierżawcy.
3. Dzierżawca prowadzi działalność gospodarczą w zakresie dystrybucji obuwia sportowego i odzieży sportowej i nie posiada siedziby wymaganej do prowadzenia tego typu działalności.
4. Dzierżawca pragnie wynająć Nieruchomość od Wydzierżawiającego.
§ 1.
Przedmiot dzierżawy
1. Wydzierżawiający oświadcza, że jest właścicielem nieruchomości o powierzchni 2.487 m², składającej się z działek o numerach 56 i 59, dla których prowadzona jest księga wieczysta nr WA1M/00013480/6 i posiada udział w wysokości 2000/61820 we współwłasności nieruchomości o łącznej powierzchni 10.428 m², składającej się z działki o numerze 58, dla której prowadzona jest księga wieczysta nr WA1M/00013480/6, położonych w Warszawie, przy ul. X (zwanych dalej „Nieruchomością”) oraz właścicielem budynku biurowego i magazynu, położonych na Nieruchomości, o łącznej powierzchni użytkowej 2.068,54 m² (zwanych dalej „Budynkiem”). Kopie wypisów z ksiąg wieczystych o numerach WA1M/00189788/9 i WA1M/00013480/6 zostały dołączone do niniejszej Umowy jako Załącznik 1.
2. Budynek składa się z następujących pomieszczeń:
a) magazynu położonego na parterze Budynku o łącznej powierzchni użytkowej ok. 2000 m²;
b) pomieszczeń biurowych położonych na parterze i pierwszym piętrze Budynku o łącznej powierzchni użytkowej ok. 450 m².
3. Szczegółowy opis Budynku został dołączony do niniejszej Umowy jako Załącznik 2.
4. Ponadto Wydzierżawiający oświadcza, że częścią Nieruchomości jest grunt o powierzchni ok. 2500 m², położony poza terenem Budynku, stanowiący powierzchnię parkingową przeznaczoną na ok. 30 miejsc parkingowych (zwany dalej „Powierzchnią Parkingową”).
5. Mapa Nieruchomości wytyczająca granice Powierzchni Parkingowej, została dołączona do niniejszej Umowy jako Załącznik 3.
§ 2.
Oświadczenia Stron
1. Na podstawie niniejszej Umowy Wydzierżawiający zobowiązuje się przekazać Dzierżawcy Budynek i Powierzchnię Parkingową do płatnego użytkowania, w zamian za co Dzierżawca zobowiązuje się płacić Wydzierżawiającemu czynsz dzierżawny w uzgodnionej wysokości.
2. Dzierżawca będzie użytkować Budynek i Powierzchnię Parkingową wyłącznie w celu prowadzenia działalności gospodarczej w zakresie dystrybucji, sprzedaży, składowania i prezentacji obuwia sportowego i odzieży sportowej. Powierzchnia Parkingowa będzie wykorzystywana w celu zapewnienia miejsc parkingowych Dzierżawcy oraz jego klientom, gościom, pracownikom, dostawcom i innym osobom korzystającym z usług Dzierżawcy lub współpracującym z Dzierżawcą („Uzgodniony Sposób Użytkowania”).
3. Dzierżawca oświadcza, iż jest świadomy stanu prawnego Nieruchomości i Budynku, a zwłaszcza faktu, że w odniesieniu do części Nieruchomości i Budynku Wydzierżawiający ma udział we współwłasności. Oświadczenie Dzierżawcy zawarte w niniejszej Umowie nie zwalnia Wydzierżawiającego z jego zobowiązania podjętego na podstawie § 6.2 niniejszej Umowy.
§ 3.
Oświadczenia Wydzierżawiającego
1. Wydzierżawiający oświadcza, że:
a) jako podmiot wyłącznie korzystający z Budynku i Nieruchomości jest upoważniony do użytkowania Budynku i Nieruchomości
w zakresie wynikającym z niniejszej Umowy.
b) Budynek jest wyposażony w kompletny i funkcjonujący system wodociągowy i kanalizacyjny, instalacje elektryczne i gazowe, centralne ogrzewanie, system alarmowy i instalacje telefoniczne.
c) Uzgodniony Sposób Użytkowania, dla którego Budynek i Powierzchnia Parkingowa zostaną przekazane Dzierżawcy, nie narusza przepisów prawnych dotyczących eksploatacji i użytkowania Nieruchomości i Budynku ani innych przepisów dotyczących zajmowania
i wykorzystywania nieruchomości. Wydzierżawiający przyjmuje na siebie odpowiedzialność prawną i materialną z tytułu wszelkich roszczeń ze strony osób trzecich skierowanych przeciwko lub wobec Dzierżawcy w związku z niniejszą Umową, o ile roszczenia te wynikają z Uzgodnionego Sposobu Użytkowania przez Dzierżawcę Budynku oraz/lub Powierzchni Parkingowej. Ponadto, Budynek
i Powierzchnia Parkingowa są zgodne z wszystkimi parametrami technicznymi i normami określonymi przepisami prawnymi, które umożliwiają korzystanie z nich zgodnie z Uzgodnionym Sposobem Użytkowania.
d) Wydzierżawiający będzie planować i prowadzić wszelkie prace na terenie Nieruchomości, zwłaszcza remontowe i konserwacyjne,
w sposób jak najmniej uciążliwy dla Dzierżawcy i w zakresie ograniczonym do niezbędnego minimum. Wydzierżawiający poinformuje Dzierżawcę na piśmie o terminie i zakresie prac na co najmniej 14 (czternaście) dni przed rozpoczęciem prac.
§ 4.
Okres dzierżawy i przekazanie przedmiotu dzierżawy
1. Niniejsza Umowa zostaje zawarta na czas określony [pięć lat licząc od daty jej podpisania]. Dzierżawca ma możliwość przedłużenia okresu ważności Umowy o kolejne pięć lat (zwane dalej „Okresem Przedłużenia Umowy”) na warunkach uzgodnionych przez Strony
z zastrzeżeniem, że w chwili korzystania z tej możliwości Dzierżawca nie narusza żadnego z istotnych warunków Umowy. Dzierżawca dostarczy Wydzierżawiającemu pisemne powiadomienie o skorzystaniu z możliwości przedłużenia Umowy o Okres Przedłużenia nie później niż na sześć miesięcy przed upływem pierwszego pięcioletniego okresu.
2. Okres dzierżawy rozpoczyna się w dniu nabycia przez Wydzierżawiającego prawa własności i współwłasności Nieruchomości („Data Przekazania Nieruchomości”).
3. Budynek i Powierzchnia Parkingowa zostaną przekazane w dniu stanowiącym Datę Przekazania Nieruchomości na podstawie protokołu zdawczo-odbiorczego podpisanego przez Strony. Dzierżawca oświadcza, iż jest w pełni świadomy stanu Budynku i Powierzchni Parkingowej i nie będzie wnosić żadnych roszczeń wobec Wydzierżawiającego z tego tytułu.
§ 5.
Czynsz dzierżawny i opłaty dodatkowe
1. Z tytułu niniejszej Umowy Dzierżawca będzie płacił Wydzierżawiającemu czynsz dzierżawny miesięcznie, począwszy od Daty Przekazania Nieruchomości.
2. Miesięczny czynsz dzierżawny z tytułu użytkowania Budynku i Powierzchni Parkingowej będzie wynosić 50.000 PLN (słownie: pięćdziesiąt tysięcy złotych), z zastrzeżeniem § 5.3 poniżej).
3. Pierwsza miesięczna rata czynszu dzierżawnego będzie płatna w wysokości określonej w § 5.2. zwiększonej o jednorazową opłatę wstępną obliczoną w sposób następujący: miesięczny czynsz dzierżawny określony w § 5.2. pomnożony przez liczbę miesięcy od 2 czerwca 2008 r. do Daty Przekazania Nieruchomości, proporcjonalnie w przypadku niepełnego miesiąca.
4. Do czynszu dzierżawnego doliczany będzie podatek VAT w obowiązującej wysokości.
5. Czynsz został ustalony na warunkach rynkowych.
6. Wysokość czynszu nie ulegnie zmianie przez pierwszy pełen rok kalendarzowy od Daty Przekazania Nieruchomości. Po upływie pierwszego pełnego roku kalendarzowego od Daty Przekazania Nieruchomości czynsz będzie corocznie aktualizowany zgodnie z publikowanym przez Główny Urząd Statystyczny wskaźnikiem wzrostu cen towarów i usług konsumpcyjnych w poprzednim roku. Wydzierżawiający ustali zaktualizowaną wysokość czynszu do końca marca danego roku i poda ją do wiadomości Dzierżawcy. Dzierżawca będzie płacił czynsz
w nowej wysokości, zaktualizowanej na dzień pierwszy stycznia danego roku kalendarzowego i ureguluje wszelkie płatności należne Wydzierżawiającemu zgodnie z korektą czynszu za dany rok kalendarzowy.
7. Czynsz dzierżawny będzie płacony przelewem bankowym na rachunek Wydzierżawiającego nr PL 10 1050 1025 1000 0023 3087 8675 najpóźniej do piętnastego dnia każdego miesiąca następującego po miesiącu, za jaki czynsz ten jest należny.
8. Jeżeli Dzierżawca nie dotrzyma terminu płatności kwoty należnej Wydzierżawiającemu na podstawie niniejszej Umowy (lub jeśli nie określono terminu płatności – od daty żądania zapłaty), Dzierżawca zapłaci Wydzierżawiającemu odsetki ustawowe od zaległej kwoty
w obowiązującej wysokości.
9. Wydzierżawiający jest zobowiązany do wystawienia Dzierżawcy faktury do końca miesiąca, za który czynsz jest należny.
10. Poza czynszem dzierżawnym Dzierżawca ponosi koszty mediów dostarczanych do Budynku, obejmujących, między innymi:
a) energię elektryczną, zgodnie ze wskazaniami licznika;
b) centralne ogrzewanie, zgodnie ze wskazaniami licznika;
c) zimną i ciepłą wodę, zgodnie ze wskazaniami licznika;
d) nadzór i ochronę budynku;
e) usuwanie ścieków i odpadów;
f) konserwację sprzętu i instalacji elektrycznych, alarmowych i klimatyzacyjnych.
Dzierżawca zawrze umowę z każdym z dostawców mediów. Dzierżawca będzie płacił wszelkie koszty, o których mowa powyżej, bezpośrednio dostawcom mediów na podstawie faktury wystawionej przez danego dostawcę. Dzierżawca przedstawi Wydzierżawiającemu kopię każdej umowy zawartej z dostawcami mediów w ciągu [30] dni od Daty Przekazania Nieruchomości.
11. Wszelkie płatności dokonywane przez Dzierżawcę na rzecz Wydzierżawiającego będą uważane za uiszczone w dniu, gdy rachunek bankowy podany przez Wydzierżawiającego zostanie uznany kwotą odpowiadającą wysokości czynszu należnego od Dzierżawcy.

AKT ZAŁOŻYCIELSKI SPÓŁKI Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ
§ 1. Stawający oświadcza, że w celu prowadzenia działalnoś¬ci gospodarczej w imieniu reprezentowanej osobę prawnej zawiązu¬je spółkę z ograniczoną odpowiedzialnością, w dalszym ciągu tego aktu zwaną Spółką.
§ 2. Spółka będzie prowadzona pod firmą "X" ¬Spółka z ograniczoną odpowiedzialnością. Spółka może używać nazwę w skrócie "X" Sp. z o. o. i wyróżniającego ją znaku graficznego.
§ 3. Siedzibą Spółki jest miasto stołeczne Warszawa.
§ 4. Terenem działania Spółki jest obszar Rzeczypospolitej Polskiej oraz inne kraje.
§ 5. Czas trwania Spółki jest nieograniczoną.
§ 6. Na obszarze swego działania Spółka może powoływać oddziały, zakłady, przedstawicielstwa i inne jednostki organizacyjne, a także przystępować do innych spółek w kraju i za granicą oraz uczestniczyć we wszystkich dopuszczonych prawem powiązaniach organizacyjno-prawnych.
§ 7. Przedmiotem działania Spółki jest - z włączeniem przypadków przewidzianych w art. 4 ustawy z dnia 14 czerwca 1991 roku o spółkach z udziałem zagranicznym (Dz.U.n 60 poz. 253) - prowadzenie działalności w sektorze elektronicznym a w szczególności:
- import, eksport i dystrybucja elementów elektronicznych,
- import, eksport i dystrybucja podzespołów i instalacji elektronicznych,
- programowanie,
- świadczenie usług w tym zakresie.
Wpłaty na udziały dokonane zostały gotówką, zgodnie z art. 10 powołanej ustawy o spółkach z udziałem zagranicznym.
¬Jeżeli podjęcie lub prowadzenie działalności gospodarczej ¬określonej w wyżej wymienionym przedmiocie działania Spółki, z ¬mocy przepisów szczególnych wymaga zgody, zezwolenia lub konces¬ji, to rozpoczęcie lub prowadzenie takiej działalności może nastąpić po uzyskaniu takiego zezwolenia, zgody lub koncesji.
§ 8. Kapitał zakładową Spółki wynosi kwotę złotych 4.000,00 ( cztery tysiące ) i dzieli się na 40 (czterdzieści) udziałów po 100,00 (sto) złotych każdy.
§ 9. Udziały w Spółce są równe i niepodzielne. Każdy Wspólnik może posiadać więcej udziałów niż jeden.
§ 10. Kapitał zakładowy Spółki pokryty zostaje wkładami pieniężnymi w ten sposób, że X obejmuje 40 (czterdzieści) udziałów po 100,00 (sto) złotych każdy o łącznej wartości 4.000,00 ( czterech tysięcy ) złotych.
§ 11. Kapitał zakładową Spółki może być podwyższony uchwałą Zgromadzenia Wspólników. Podwyższenie kapitału zakładowego do pięćdziesięciokrotności kapitału zakładowego Spółki nie stanowi zmiany niniejszego aktu.
§ 12. Udziały mogę być umarzane zarówno z kapitału zakładowego jak i z czystego zysku bez obniżania kapitału zakładowego.
§ 13. Władzami Spółki są: Zarząd, Rada Nadzorcza i Zgromadzenie Wspólników.
§ 14. Zarząd Spółki składa się z jednego lub większej liczby członków. Ogólne uprawnienia do reprezentowania Spółki przysługują Zarządowi. Do składania oświadczeń i podpisywania w imieniu Spółki uprawniony jest każdy członek Zarządu samodzielnie.
§ 15. W skład pierwszego Zarządu Wspólnik powołuje pana X.
§ 16. Rada Nadzorcza składa się z pięciu członków powoływa¬nych, zawieszanych i odwoływanych przez Zgromadzenie Wspólników. Kadencja Radą Nadzorczej trwa trzy lata.
§ 17. W skład pierwszej Radą Nadzorczej powołano następują¬ce osoby:
§ 18. Każdą członek Radą Nadzorczej może wykonywać nadzór ¬indywidualnie.
§ 19. Rada Nadzorcza sprawuje stały nadzór nad działalnością Spółki. Zarząd obowiązany jest zasięgać zezwolenia Rady Nadzorczej w następujących sprawach:
- zasięgania porad prawnych,
- kupna, dzierżawy lub najmu nieruchomości,
- przejmowania innych podmiotów gospodarczych,
- zawierania przez Spółkę umów o wartości przewyższającej równo¬wartość w złotych, licząc według kursu średniego NBP, kwoty ¬$20.000,00 (dwudziestu tysięcy dolarów amerykańskich) z wy¬jątkiem umów zawieranych w ramach działalności statutowej Spół¬ki,
- podwyżki zarobków lub innych form wynagrodzenia w odniesieniu do członków Zarządu i innych pracowników Spółki,
- przyjęcia przez Spółkę budżetu zaproponowanego przez Zarząd. ¬
Przed przyjęciem decyzji w jakiejkolwiek z wyżej wymienia¬nych spraw, Zarząd obowiązany jest uzyskać pisemną zgodę Rady Nadzorczej.
§ 20. Zgromadzenie Wspólników może być zwyczajne lub nadz¬wyczajne i odbywa się w siedzibie Spółki.
§ 21. Porządek obrad każdego Zwyczajnego Zgromadzenia Wspólników będzie ustalony przez Radę Nadzorczą i będzie zawie¬rał w szczególności następujące sprawy:
- zatwierdzenie pisemnego sprawozdania Zarządu dotyczącego spraw Spółki i działalności za ostatni rok,
- zatwierdzenie rocznego bilansu oraz rachunku zysków i strat za poprzedni rok,
- decyzje dotyczące podziału zysku i pokrycia strat Spółki jak ¬również wyłączenia zysków od podziału między Wspólników, podej¬mowane na podstawie zaleceń Rady Nadzorczej,
- skwitowanie Zarządu i Rady Nadzorczej za prawidłowe wykonanie obowiązków w poprzedzającym roku.
§ 22. Uchwała Zgromadzenia Wspólników wymagana jest w spra¬wach znajdujących się na porządku obrad Zwyczajnego Zgromadzenia Wspólników oraz w następujących sprawach:
- zmiana aktu założycielskiego Spółki,
- zmiana kapitału zakładowego Spółki,
- połączenie z innymi spółkami,
- rozwiązanie Spółki,
- zbycie, wydzierżawienie lub oddanie w użytkowanie przedsię¬biorstwa Spółki,
- umarzanie udziałów,
- tworzenie kapitałów rezerwowych lub innych funduszy celowych,
- postanowienia dotyczące roszczeń o naprawienie szkody wyrzą¬dzonej przez osobę trzecie przy zawiązywaniu Spółki lub sprawo¬waniu zarządu lub nadzoru,
- ustalenie regulaminu określającego zasady funkcjonowania Rady Nadzorczej i zakres obowiązków jej poszczególnych członków.
§ 23. Każdy udział uprawnia do jednego głosu na zgromadze¬niu Wspólników.
§ 24. Uchwały Zgromadzenia Wspólników podejmowane są zwyk¬łą większością głosów oddanych chyba, że niniejszy Akt lub inne przepisy stanowią inaczej.
§ 25. Rok obrachunkową Spółki kończę się dnia 30 czerwca każdego roku. Pierwszy rok obrachunkową rozpoczyna się z datą ¬rejestracji a upływa z dniem 30 czerwca 1997 roku.
¬§ 26. Zarząd sporządza:
- bilans według stanu na ostatni dzień roku obrachunkowego,
- roczną rachunek zysków i strat według stanu na ostatni dzień ¬roku obrachunkowego,
- szczegółowe pisemne sprawozdanie z działalności Spółki w danym roku obrachunkowym,
- propozycję podziału zysku Spółki i wypłaty dywidendy. ¬
Powyższe dokumenty powinny być sporządzone zgodnie z międzynarodowymi zasadami rachunkowości ogólnie przyjętymi w Polsce.
Zarząd sporządza i przedstawia Radzie Nadzorczej wzmianko¬wane wyżej dokumenty w ciągu trzech miesięcy od zakończenia ro¬ku obrachunkowego w językach polskim i angielskim.
¬§ 27. We wszystkich sprawach nie unormowanych niniejszą umową mają zastosowanie przepisy kodeksu handlowego.
¬§ 28. Stawiający oświadcza, że znana jest mu treść art. art. 171 i 172 kodeksu handlowego.

§ 29. Wypisy tego aktu mogą być wydawane Spółce i Wspólni¬kowi w dowolnej ilości.

DEED OF ASSOCIATION OF A LIMITED LIABILITY COMPANY
§ 1. The appeared person declares that in order to conduct economic activity in the name of the represented legal person he hereby establishes a limited liability company, hereinafter referred to as the Company.
§ 2. The Company shall carry on its activities under the name "X" Limited Liability Company. The company may use its abbreviated name "X" Sp. z o. o. and a distinctive logo.
§ 3. The seat of the Company shall be the Capital City of Warsaw.
§ 4. The Company shall operate within the territory of the Republic of Poland and abroad.
§ 5. The Company shall be established for an unlimited period of time.
§ 6. The Company may establish branches, enterprises, representative offices and other organisational units on the territory of its operation, appear in other companies in Poland and abroad and participate in any organisational and legal interrelations, as permitted by law.
§ 7. The scope of the Company’s operation – except for the cases referred to in the Art. 4 of the Act of 14 June, 1991 on companies with participation of foreign capital (Dziennik Ustaw No. 60, item 253) – shall be to conduct economic activity in the electronic sector, in particular:
- imports, exports and distribution of electronic elements,
- imports, exports and distribution of sub-assemblies and electronic installations,
- programming,
- rendering services in the areas listed above.
Contributions to the share capital were made by cash, pursuant to the Art. 10 of the Act on Companies with Participation of Foreign Capital referred to above.
¬If by virtue of special provisions undertaking or conducting economic activity in the aforementioned scope of the Company’s operation requires a consent, permission or licence, such operation may be commenced or conducted after obtaining such a consent, permission or licence.
§ 8. The share capital of the Company shall be 4,000.00 ( four thousand) zlotys and shall be divided into 40 (forty) shares of 100.00 (hundred) zlotys each.
§ 9. Shares in the Company are equal and indivisible. Each shareholder may hold more than one share.
§ 10. The share capital of the Company shall be paid for by cash contributions in the following manner: X takes up 40 (forty) shares of 100,00 (hundred) zlotys each with a total value 4,000,00 ( four thousand) zlotys.
§ 11. The share capital of the Company may be increased by a resolution of the Meeting of Shareholders. An increase of the share capital up to 50 (fifty) times of its value shall not be an amendment of this Deed.
§ 12. The shares may be redeemed both from the share capital and from net profit without decrease of the share capital.
§ 13. The Company’s authorities are: Management Board, Supervisory Board and Meeting of Shareholders.
§ 14. The Company’s Management Board shall consist of one or more members. The Management Board shall be vested with the general power to represent the Company. Each member of the Management Board shall have the power to make statements and sign in the name and on behalf of the Company individually.
§ 15. The Shareholder appoints X a member of the first Management Board.
§ 16. The Supervisory Board shall consist of five members appointed, suspended and recalled by the Meeting of Shareholders. The Supervisory Board shall be appointed for a term of three years.
§ 17. The first Supervisory Board is appointed as follows:
§ 18. Each member of the Supervisory Board shall have the right to exercise supervision individually.
§ 19. The Supervisory Board shall exercise constant supervision over the Company’s operation. The Management Board shall be obliged to seek a consent of the Supervisory Board in the following matters:
- seeking legal advice,
- purchase, lease or rent of real estates,
- taking over other economic entities,
- the Company’s entering into agreements whose value exceeds a PLN equivalent of the amount of $20,000,00 (twenty thousand US dollars) calculated according to the average rate of exchange published by the National Bank of Poland, except for agreements concluded within the framework of the Company’s statutory activities,
- raising of salaries or any other forms of remuneration granted to the members of the Management Board and other employee’s of the Company,
- the Company’s adopting of the budget proposed by the Management Board. ¬
Before taking a decision in any of the aforementioned matters, the Management Board shall be obliged to obtain a written consent of the Supervisory Board.
§ 20. The Meeting of Shareholders may by ordinary and extraordinary and is held in the Company’s registered office.
§ 21. The agenda of each Ordinary Meeting of Shareholders shall be specified by the Supervisory Board and shall include, in particular, the following items:
- approval of the written report of the Management Board covering the Company’s affairs and activities in the previous year,
- approval of the annual balance sheet and the profit and loss account for the previous year,
- decisions concerning distribution of the Company’s profit and covering losses, as well as exclusion of profit from distribution between shareholders, taken on the basis of recommendations of the Supervisory Board,
- acknowledgement of fulfilment of duties by the Management Board and Supervisory Board in the previous year.
§ 22. A resolution of the Meeting of Shareholders is required in the matters being on the agenda of the Ordinary Meeting of Shareholders and in the following matters:
- amendments to the Deed of Association of the Company,
- change of the Company’s share capital,
- merger with other companies,
- dissolution of the Company,
- transfer or leasing of the enterprise of the Company or establishment of the right of usufruct thereon,
- redemption of shares,
- establishment of reserve capital or other earmarked funds,
- provisions applicable to claims for redress of damages caused by third parties during the Company’s formation or the exercise of management or supervision,
- passing the by-laws defining the rules of functioning of the Supervisory Board and the scope of duties of its individual members.
§ 23. Each share shall give the right to one vote on the Meeting of Shareholders.
§ 24. Resolutions of the Meeting of Shareholders shall be adopted by simple majority of votes cast, unless otherwise provided by this Act or other provisions.
§ 25. The financial year of the Company shall end on 30 June each year. The first financial year of the Company shall start on the registration date and end on 30 June 1997.
¤ 26. The Management Board shall prepare:
- a balance sheet as on the last day of the financial year,
- an annual profit and loss account as on the last day of the financial year,
- a detailed written report on the Company’s activities in a given financial year,
- a proposal of distribution of the Company’s profit and payment of dividends. ¬
The above documents shall be prepared in accordance with international principles of accountancy, generally adopted in Poland.
The Management Board shall draw up and present to the Supervisory Board the aforementioned documents in Polish and English languages within three months from the end of the financial year.
¤ 27. Matters not regulated hereby shall be governed by the provisions of the Commercial Code.
¤ 28. The appeared person declares that he is familiar with the content of the art. art. 171 and 172 of the Commercial Code.

§ 29. Copies of this Deed shall be issued to the Company and Shareholder in any number.

My name is Lidia Lewandowska-Nayar. I have 20 years of experience as a translator and an interpreter. I hold a postgraduate diploma in legal and business translations from the Institute of Applied Linguistics, Warsaw University and postgraduate Public Relations diploma from the Main School of Commerce (SGH) in Warsaw.
