PROTOKOLL DER ORDENTLICHEN MITGLIEDERVERSAMMLUNG
Im Jahr 2007 am 30. Tag des Monats März um 10.00 Uhr hat sich im Hauptsitz die Allgemeine Ordentliche Versammlung der Mitglieder der Geie vereint, um über folgenden
TAGESABLAUF
zu diskutieren und zu beschließen.
· Annahme der am 31.12.2006 abgeschlossenen Geschäftsbilanz und Verwendung des entsprechenden Ergebnisses.
Herr ....., Verwalter, übernimmt gemäß seines gültigen Status die Leitung der Versammlung.

STELLT FEST
§ dass das Versammlungsgremium komplett ist;
§ dass alle Mitglieder, die das gesamte Stammkapital vertreten, anwesend sind;
§ dass alle Anwesenden erklären, über die Argumente des Tagesablaufes informiert zu sein;
SCHLÄGT denselben VOR
sich in einer Versammlung zu organisieren, um über den oben zitierten Tagesablauf zu diskutieren.
Alle stimmen dem Vorschlag zu und verzichten auf jegliche gegensätzliche Ausnahme.
Der Präsident erklärt die Versammlung hiermit für gesetzlich vertretbar und ruft Frau Dr. ... als Schriftführer zur Verfassung des vorliegenden Protokolls auf.
Bei der Durchführung des ersten Punktes des vom Tagesablauf vorgesehenen Programms teilt der Präsident unter den Anwesenden eine Kopie der am 31/12/2006 abgeschlossenen Bilanz aus und veranschaulicht dieselbe. Schließlich kommt es zur Prüfung der Bilanz und nach einer ausreichenden Diskussion, in der der Präsident auf alle Fragen seitens der Mitglieder eingeht,
BESCHLIESST
die Versammlung einstimmig
ü die Bilanz vom 31/12/2006 zu genehmigen;
ü den Geschäftsgewinn in Höhe von ... Euro für die Deckung der Verluste der vorhergehenden Bilanzen vorzusehen.
Da es nichts Weiteres zu beschließen gibt und sich niemand Anderes zu Wort gemeldet hat, wird die Versammlung um ca. 10.45 Uhr vom Präsidenten für beendet erklärt, der – zusammen mit der Schriftführerin – das vorliegende Protokoll unterschreibt.

L'anno 2007, il giorno 30 del mese di marzo, alle ore 10.00, presso la sede sociale si è riunita l'Assemblea Generale Ordinaria dei Membri del Geie per discutere e deliberare sul seguente
ORDINE DEL GIORNO
· Approvazione del bilancio dell’esercizio chiuso al 31.12.2006 e destinazione del relativo risultato.
Assume la presidenza dell'Assemblea, ai sensi del vigente Statuto Sociale, il signor ..., Amministratore.

CONSTATATO
§ che è presente l'organo Amministrativo al completo;
§ che sono presenti tutti i Membri rappresentanti l'intero Capitale Sociale;
§ che tutti gli intervenuti si dichiarano edotti sugli argomenti posti all'Ordine del Giorno;
PROPONE
agli stessi di costituirsi in Assemblea per discutere sul sovracitato ordine del giorno.
Tutti aderiscono alla proposta rinunziando, ciascuno per quanto lo riguarda, a qualsiasi contraria eccezione.
Il Presidente dichiara quindi l'Assemblea validamente costituita e chiama a fungere da segretario, per la redazione del presente verbale, la Dott.ssa ............
Passando allo svolgimento del primo punto posto all'Ordine del Giorno, il Presidente consegna ai convenuti copia del Bilancio al 31/12/2006 ed illustra quindi lo stesso. Si procede quindi all'esame del Bilancio e, dopo ampia discussione nella quale tutte le richieste di chiarimento da parte dei Membri vengono soddisfatte dal Presidente, l'Assemblea, all'unanimità
DELIBERA
ü di approvare il Bilancio al 31/12/2006;
ü di destinare l’utile di euro ..... a copertura delle perdite degli esercizi precedenti.
Null'altro essendovi da deliberare e più nessuno avendo chiesto la parola, la seduta è dichiarata chiusa alle ore 10.45 circa, dal Presidente che, unitamente al Segretario, sottoscrivono il presente verbale.
