ARTICLES OF ASSOCIATION

PRELIMINARY
1. The regulations contained in Table A of the Companies Law (2004 Revision) do not apply to the Company and the following are the articles of association of the Company.
INTERPRETATION
2. In these Articles unless otherwise defined:-
"the Articles" means the articles of association of the Company as originally hereby framed, or as altered by Special Resolution from time to time;
"the Auditors" means the persons for the time being performing the duties of auditors of the Company;
"the Company" means the above-named Company;
"debenture" includes debenture stock, mortgages, bonds and any other securities of the Company whether constituting a charge on the assets of the Company or not;
"the Directors" means the persons for the time being occupying the position of directors of the Company, or as the case may be, the directors assembled as a board and a "Director" shall be construed accordingly;
"dividend" includes bonus;
"the Law" means the Companies Law (2004 Revision) of the Cayman Islands as amended from time to time and every statutory modification or re-enactment thereof for the time being in force;
"member" has the meaning assigned to it in the Law;
"month" means calendar month;
"paid-up" means paid-up and/or credited as paid-up;
"the Register" means the register of members of the Company required to be kept by the Law;
"the registered office" means the registered office for the time being of the Company;
"the Seal" means the common seal of the Company and includes every duplicate seal;
"the Secretary" includes an assistant secretary and any persons appointed to perform the duties of the secretary of the Company;
"Special Resolution" has the meaning assigned to it in the Law.
Expressions referring to writing shall, unless the contrary intention appears, be construed as including references to printing, lithography, photography and other modes of representing or reproducing words in a visible form. Except where otherwise provided or where the context requires otherwise, words importing the masculine gender only include the feminine and neuter and vice versa and words importing the singular number only include the plural number and vice-versa. Words importing individuals only include corporations.
Subject as aforesaid, any words or expressions defined in the Law shall, if not inconsistent with the subject or context hereof, bear the same meanings as in the Articles. References to any law or provision of any law shall include a reference to any law or provision of any law which amends or replaces, or has amended or replaced, it.
3. The business of the Company may be commenced as soon after incorporation as the Directors shall see fit, notwithstanding that part only of its shares may have been allotted.
4. The Directors may pay, out of the capital or any other monies of the Company, all expenses incurred in or about the formation and establishment of the Company including the expenses of registration.
ALTERATION OF ARTICLES
5. The Company may from time to time alter or add to these Articles by passing a Special Resolution in the manner prescribed by the Law. No member shall be bound by any alteration made to the memorandum of association or to the Articles after the date on which he became a member if and so far as the alteration requires him to take or subscribe for more shares than the number held by him at the date on which the alteration is made, or in any way increases his liability as at that date to contribute to the share capital of, or otherwise to pay money to, the Company unless such member agrees in writing to be bound by the alteration either before or after it is made.
ISSUE OF SHARES
6. The shares of the Company shall be at the disposal of the Directors and they may allot or otherwise dispose of them to such persons (including any Director) on such terms and conditions and at such time as the Directors may determine. The Company may issue fractions of a share and references in these Articles to a "share" shall where the context so permits include fractions of a share and, save where the Articles otherwise provide, a fraction of a share shall rank pari passu and shall have proportionately the same rights as a whole share of the same class.
7. Subject to the provisions, if any, in that behalf in the memorandum of association and to the Law and to any direction that may be given by the Company in general meeting and without prejudice to any special rights previously conferred on the holders of any existing shares or class of shares, any share in the Company may be issued with such preferred, deferred, or other rights or such restrictions, whether in regard to dividend, voting, return of capital or otherwise as the Directors may from time to time determine.
REDEMPTION AND PURCHASE OF OWN SHARES
8. Subject to the provisions of the Law and the memorandum of association:-
(a) shares may be issued on the terms that they are, or at the option of the Company or the shareholder are, liable to be redeemed on such terms and in such manner as the Directors, before the issue of the shares, may determine; and
(b) the Company may purchase shares, including any redeemable shares, issued by the Company upon the terms and in such manner as the Directors may from time to time determine, provided that the manner of such purchase has first been authorised by the Company by ordinary resolution; and
(c) the Company may make payment in respect of any redemption or purchase of its own shares in any manner authorised by the Law, including out of capital.
VARIATION OF RIGHTS OF SHARES
9. If at any time the share capital of the Company is divided into different classes of shares, the rights attached to any class (unless otherwise provided by the terms of issue of the shares of that class) may, whether or not the Company is being wound up, be varied with the consent in writing of the holders of at least three-fourths of the issued shares of that class or with the sanction of a resolution passed at a meeting of the holders of such class of shares by the holder or holders of at least three-fourths of such shares present in person or by proxy at such meeting. To the extent not inconsistent with this Article, the provisions of these Articles relating to general meetings shall apply to every such meeting of the holders of one class of shares except that the necessary quorum shall be one person holding or representing by proxy at least three-fourths of the issued shares of the class and that any holder of shares of the class present in person or by proxy may demand a poll.
10. The rights conferred upon the holders of the shares of any class issued with preferred or other rights shall not, unless otherwise expressly provided by the terms of the issue of the shares of that class, be deemed to be varied by the creation or issue of further shares ranking pari passu therewith.
COMMISSION ON SALE OF SHARES
11. When permitted by law the Company may pay to any person a commission in consideration of his subscribing or agreeing to subscribe (whether absolute or conditional) for any shares or debentures of the Company; provided that such commission shall not exceed 10 per cent of the price at which such shares or debentures are issued, or an amount equivalent to such percentage. Any such commission may be satisfied by the payment of cash or in fully paid-up shares or debentures of the Company or partly in one way and partly in the other.
NON-RECOGNITION OF TRUSTS
12. Except as required by law or otherwise provided by these Articles, no person shall be recognised by the Company as holding any shares upon any trust, and the Company shall not be bound by or be compelled in any way to recognise (even when having notice thereof) any equitable, contingent, future or partial interest in any share or any interest in any fractional part of a share or any other rights in respect of any share except an absolute right to the entirety thereof in the registered holder or in the case of a share warrant or bearer share in the bearer of the warrant or share certificate for the time being.
CERTIFICATES FOR SHARES
13. Every person whose name is entered as a member in the Register shall be entitled without payment to receive one certificate for all his shares or several certificates each for one or more of his shares. Every certificate shall be under the Seal and shall specify the shares to which it relates. Provided that in respect of a share or shares held jointly by several persons the Company shall not be bound to issue more than one certificate and delivery of a certificate for a share to one of several joint holders shall be sufficient delivery to all such holders.
14. Certificates representing shares shall be in such form as shall be determined by the Directors. Such certificates shall be signed by such person or persons as are authorised from time to time by the Directors or by the Articles. All certificates for shares shall be consecutively numbered or otherwise identified. The name and address of the person to whom the shares represented thereby are issued, with the number of shares and date of issue, shall be entered in the Register. All certificates surrendered to the Company for transfer shall be cancelled and no new certificate shall be issued until the former certificate for a like number of shares shall have been surrendered and cancelled. Notwithstanding the foregoing, if a share certificate is defaced, lost or destroyed, it may be renewed on such terms (if any) as to evidence and indemnity and the payment of out of pocket expenses of the Company incurred in investigating evidence as the Directors think fit.
JOINT OWNERSHIP OF SHARES
15. If several persons are registered as joint holders of any shares they shall be severally as well as jointly liable for any liability in respect of such shares, but the first named upon the Register shall, as regards service or notices, be deemed the sole owner thereof. Any of such persons may give effectual receipt for any dividend or other distribution.
LIEN
16. The Company shall have a first and paramount lien and charge on every share for all monies, whether presently payable or not, called or payable at a fixed time in respect of that share, and the Company shall also have a first and paramount lien and charge on all shares standing registered in the name of a member (whether solely or jointly with others) for all monies, liabilities or engagements presently owing by him or his estate to the Company either alone or jointly with any other person, whether a member or not; but the Directors may at any time declare any share to be wholly or in part exempt from the provisions of this Article. The Company’s lien and charge, if any, on a share shall extend to all dividends or other monies payable in respect thereof. The registration of a transfer of any such share shall operate as a waiver of the Company’s lien and charge (if any) thereon.
17. The Company may sell, in such manner as the Directors think fit, any shares on which the Company has a lien and charge, but no sale shall be made unless a sum in respect of which the lien and charge exists is presently payable, nor until the expiration of fourteen days after a notice in writing, stating and demanding payment of such part of the amount in respect of which the lien and charge exists as is presently payable, has been given to the registered holder or holders for the time being of the share, or the person, of which the Company has notice, entitled thereto by reason of his death or bankruptcy.
18. To give effect to any such sale the Directors may authorise some person to transfer the shares sold to the purchaser thereof. The purchaser shall be registered as the holder of the shares comprised in any such transfer, and he shall not be bound to see to the application of the purchase money, nor shall his title to the shares be affected by any irregularity or invalidity in the proceedings in reference to the sale.
19. The proceeds of the sale shall be received by the Company and applied in payment of such part of the amount in respect of which the lien and charge exists as is presently payable, and the residue, if any, shall (subject to a like lien and charge for sums not presently payable as existed upon the shares before the sale) be paid to the person entitled to the shares prior to the sale.
CALLS ON SHARES
20. The Directors may from time to time make calls upon the members in respect of any monies unpaid on their shares (whether on account of the nominal value of the shares or by way of premium or otherwise) and not by the conditions of allotment thereof made payable at fixed times. Each member shall (subject to receiving at least fourteen days’ notice specifying the time or times and place of payment) pay to the Company at the time or times and place so specified the amount called on his shares. A call may be revoked or postponed as the Directors may determine.
21. A call shall be deemed to have been made at the time when the resolution of the Directors authorising the call was passed and may be required to be paid by instalments. The joint holders of a share shall be jointly and severally liable to pay all calls in respect thereof.
22. If a sum called in respect of a share is not paid before or on the day appointed for payment thereof, the person from whom the sum is due shall pay interest on the sum from the day appointed for payment thereof to the time of actual payment at such rate not exceeding 8 per cent per annum as the Directors may determine, but the Directors shall be at liberty to waive payment of such interest wholly or in part.
23. Any sum which by the terms of issue of a share becomes payable on allotment or at any fixed date (whether on account of the nominal value of the share or by way of premium or otherwise) shall for the purposes of the Articles be deemed to be a call duly made and payable on the date on which by the terms of issue the same becomes payable, and in case of non-payment all the relevant provisions of the Articles as to payment of interest and expenses, forfeiture or otherwise shall apply as if such sum had become payable by virtue of a call duly made and notified.
24. The Directors may, on the issue of shares, differentiate between the holders as to the amount of calls or interest to be paid and the times of payment.
25. The Directors may, if they think fit, receive from any member willing to advance the same, all or any part of the monies uncalled and unpaid upon any shares held by him, and upon all or any of the monies so advanced may (until the same would, but for such advance, become payable) pay interest at such rate not exceeding (unless the Company in general meeting shall otherwise direct) 8 per centum per annum, as may be agreed upon between the Directors and the member paying such sum in advance.
26. No such sum paid in advance of calls shall entitle the member paying such sum to any portion of a dividend declared in respect of any period prior to the date upon which such sum would but for such payment become presently payable.
TRANSFER OF SHARES
27. Every instrument of transfer shall be left at the registered office for registration, accompanied by the certificate (if any) covering the shares to be transferred and such other evidence as the Directors may require to prove the title of the transferor to, or his right to transfer, the shares.
28. The instrument of transfer of any share (which need not be under Seal) shall be signed by or on behalf of the transferor and the transferor shall be deemed to remain the holder of the share until the name of the transferee is entered in the Register in respect thereof.
29. Subject to such of the restrictions of the Articles as may be applicable, any member may transfer all or any of his shares by instrument in writing in any usual or common form or any other form which the Directors may approve. Upon every transfer of shares the certificate held by the transferor shall be given up to be cancelled and shall forthwith be cancelled accordingly and a new certificate shall be issued without charge to the transferee in respect of the shares transferred to him, and if any of the shares included in the certificate so given up shall be retained by the transferor a new certificate in respect thereof shall be issued to him without charge. The Company shall also retain the transfer.
30. The Directors may, in their absolute discretion and without assigning any reason therefor, refuse to register any transfer of any share, whether or not it is a fully paid up share.
31. Without prejudice to the generality of the immediately preceding Article, the Directors may decline to recognise any instrument of transfer if:-
(a) the instrument of transfer is not accompanied by the certificate covering shares to which it relates, and/or such other evidence as the Directors may require to prove the title of the transferor to, or his right to transfer, the shares; or
(b) the instrument of transfer is in respect of more than one class of share.
32. If the Directors refuse to register a transfer they shall within two months after the date on which the transfer was lodged with the Company send to the transferee notice of the refusal.
33. The registration of transfers may be suspended at such times and for such periods as the Directors may from time to time determine, provided always that such registration shall not be suspended for more than thirty days in any year.

INTRODUÇÃO
1. As disposições constantes do Quadro A da Lei das Sociedades (2004 Revisão) não se aplicam à Sociedade sendo os seguintes os estatutos da Sociedade.
INTERPRETAÇÃO
2. Nestes estatutos, salvo definição em contrário:-
“ os Estatutos” significa os estatutos da Sociedade conforme neste inicialmente elaborado ou conforme eventualmente alterado por Deliberação Especial;
“os Auditores” significa as pessoas que num determinado momento exerçam as funções de auditores da Sociedade:
“a Sociedade" significa a Sociedade supra mencionada;
“títulos de dívida” inclui acções preferenciais, hipotecas, títulos de crédito e quaisquer outras garantias da Sociedade quer constituam ou não ónus sobre o activo da Sociedade;
“os Administradores” significa as pessoas que num determinado momento ocupem o cargo de administradores da Sociedade, ou conforme possa ser o caso, de administradores reunidos em Conselho e um “Administrador” será interpretado em conformidade;
“dividendo” incluí bónus;
“ a Lei” significa a Lei das Sociedades (2004 Revisão) das Ilhas Caimão, conforme eventualmente alterada, e qualquer modificação legal ou promulgação da mesma em vigor num determinado momento;
“sócio” tem o significado que lhe é consignado pela Lei;
“mês” significa mês do calendário;
“pago” significa pago e/ou creditado como pago;
“o Registo” significa o registo de sócios que é obrigatório manter por lei;
“a sede social” significa a sede social da sociedade num determinado momento;
“o Selo” significa o selo comum da Sociedade e inclui qualquer duplicado do selo;
“o Secretário" inclui um secretário assistente e quaisquer pessoas nomeadas para executar as funções de secretário da Sociedade;
“Deliberação Especial” tem o significado que lhe é consignado pela Lei.
Expressões que se refiram a “por escrito” serão, excepto no caso de intenção contrária expressa, interpretadas como incluindo referência a impressão, litografia, fotografia e outros meios de representação ou reprodução de palavras de uma forma visível. Salvo indicação em contrário ou onde o contexto exija o contrário, as palavras referentes somente ao género masculino incluem o feminino e neutro e vice-versa e as palavras referentes somente ao singular incluem o plural e vice-versa. Palavras referentes somente a pessoas singulares incluem pessoas jurídicas.
Em conformidade com o supra mencionado, quaisquer palavras ou expressões definida na lei serão, caso não sejam inconsistentes com o assunto ou o contexto do presente, terão os mesmos significados constantes nos estatutos. As referências a qualquer lei ou disposição de qualquer lei incluem a referência a qualquer lei ou disposição de qualquer lei que a altere ou substitua ou conforme alterada ou substituída.
3. A actividade da Sociedade pode ter início logo após a constituição conforme os Administradores tiverem por conveniente, não obstante somente uma parte das suas acções ter sido distribuída.
4. Os Administradores podem pagar, com o capital ou quaisquer outros fundos da Sociedade, todas as despesas incorridas na ou com a formação ou estabelecimento da Sociedade, incluindo as despesas de registo.
ALTERAÇÃO DOS ESTATUTOS
5. A Sociedade pode, ocasionalmente, alterar ou ampliar estes estatutos por meio de uma Deliberação Especial na forma prescrita por Lei. Sócio algum será vinculado por qualquer alteração efectuada ao acto constitutivo ou aos Estatutos após a data em que o mesmo se tornou sócio se, e contanto que a alteração exija que ele assuma ou subscreva mais acções do que o número por ele detido à data na qual a alteração foi efectuada, ou de qualquer forma aumente a sua responsabilidade à data para contribuir no capital social da Sociedade, ou de qualquer forma pagar dinheiro à Sociedade, excepto se esse sócio concorde, por escrito, a vincular-se pela alteração, quer seja antes ou depois da mesma ser tomada.
EMISSÃO DE ACÇÕES
6. As acções da Sociedade estarão à disposição dos Administradores e estes podem rateá-las ou de outra forma dispor delas para tais pessoas (incluindo qualquer Administrador) nos termos e condições e sempre que os Administradores o determinem. A Sociedade pode emitir fracções de uma acção e as referências nestes Estatutos a “acção” incluirá, onde o contexto o permitir, fracções de uma acção e, salvo disposição em contrário nos Estatutos, uma fracção de uma acção será classificada pari passu e terá proporcionalmente os mesmos direitos de uma acção completa da mesma classe.
7. Em conformidade com as disposições, se existentes, nesse sentido nos estatutos e com a Lei e com qualquer direcção que possa ser dada à Sociedade em Assembleias Gerais e sem prejuízo de quaisquer direitos especiais previamente conferidos aos titulares de quaisquer acções existentes ou classe de acções, qualquer acção na Sociedade pode ser emitida com os direitos preferenciais, diferidos ou outros ou as restrições, quer em relação a dividendos, direitos de votos, retorno do capital ou de outra forma, conforme os Administradores possam eventualmente determinar.
RESGATE E AQUISIÇÃO DE ACÇÕES PRÓPRIAS
8. Em conformidade com as disposições legais e com os estatutos:-
(a) as acções podem ser emitidas nos termos em que, quer por opção da Sociedade quer dos sócios, são passíveis de ser resgatadas em tais termos e da forma que os Administradores, antes da emissão das acções, possam determinar; e
(b) a Sociedade pode adquirir acções, incluindo quaisquer acções resgatáveis, emitidas pela Sociedade nos termos e da forma que os Administradores possam eventualmente determinar, contanto que a forma de tal aquisição tenha sido previamente autorizada pela Sociedade por deliberação ordinária; e
(c) a Sociedade pode efectuar o pagamento relativo a qualquer resgate ou aquisição das suas próprias acções em qualquer das formas autorizadas por Lei, incluindo com o capital.
ALTERAÇÃO DOS DIREITOS DAS ACÇÕES
9. Se em qualquer altura o capital social da Sociedade for dividido em diferentes classes de acções, os direitos inerentes a qualquer classe (excepto se disposto em contrário pelos termos de emissão de acções dessa classe) podem, quer a Sociedade esteja ou não a ser liquidada, ser alterados com o consentimento por escrito dos titulares de pelo menos três quartos das acções emitidas dessa classe ou com a sanção de uma deliberação aprovada numa assembleia dos titulares de tal classe de acções, pelo titular ou titulares de pelo menos três quartos de tais acções presentes em pessoa ou por procuração em tal assembleia. Contanto que não sejam inconsistentes com estes estatutos, as disposições deste pacto relativas a assembleias gerais serão aplicadas a todas as assembleias de titulares de uma classe de acções, sendo que o quórum necessário será de uma pessoa detendo ou representando por procuração pelo menos três quartos da acções emitidas dessa classe e que qualquer titular de acções da classe presente em pessoa ou por procuração possa exigir o voto por escrutínio.
10. Os direitos conferidos aos titulares de acções de qualquer classe emitida com direitos preferenciais ou outros, não serão considerados alterados pela criação ou emissão de mais acções classificadas pari passu com as mesmas.
COMISSÃO NA VENDA DE ACÇÕES
11. Caso a lei o permita, a Sociedade pode pagar a qualquer pessoa uma comissão referente à sua subscrição ou acordo em subscrever (quer absoluta ou condicionalmente) quaisquer acções ou títulos de dívida da Sociedade; contanto que tal comissão não exceda 10 por cento do preço pelo qual tais acções ou títulos de dívida são emitidos, ou montante equivalente a tal percentagem. Uma tal comissão pode ser liquidada pelo pagamento em numerário ou em acções completamente pagas ou títulos de dívida da Sociedade ou parcialmente de uma forma e parcialmente de outra.
NÃO RECONHECIMENTO DE TRUSTS
12. Excepto se obrigatório por lei ou salvo disposição em contrário nestes Estatutos, pessoa alguma pode ser reconhecida pela Sociedade como detendo quaisquer acções sob qualquer trust, e a Sociedade não será vinculada ou, de qualquer forma, obrigada a reconhecer (mesmo tendo sido disso notificada) qualquer interesse equitativo, contingente, futuro ou parcial em quaisquer acções ou qualquer interesse em qualquer parte fraccionária de uma acção ou quaisquer outros direitos em relação a qualquer acção, excepto um direito absoluto da integralidade da mesma do titular registado ou no caso de um certificado de opção sobre acções ou acção ao portador, do portador do certificado de opção ou certificado de acção numa determinada altura.
CERTIFICADOS DE ACÇÕES
13. Qualquer pessoa, cujo nome se encontre registado como sócio no Registo terá o direito a receber, sem pagamento, um certificado de todas as suas acções ou vários certificados de cada uma ou de várias das suas acções. Cada certificado terá aposto o Selo e especificará as acções a que se refere. Contanto que, em relação a uma ou várias acções detidas em co-titularidade por várias pessoas, a Sociedade não seja obrigada a emitir mais do que um certificado e a entrega de um certificado de uma acção a um dos vários co-titulares seja considerada entrega suficiente para todos esses titulares.
14. Certificados representando acções terão a forma que for determinada pelos Administradores. Tais certificados serão assinados pela pessoa ou pessoas eventualmente autorizadas pelos Administradores ou pelos Estatutos. Todos os certificados de acções serão numerados sequencialmente ou identificados de outro modo. Serão registados no Registo, o nome e morada da pessoa a quem as acções nele representadas são emitidas, com o número de acções e data de emissão. Todos os certificados devolvidos à Sociedade para transmissão, serão cancelados e não serão emitidos novos certificados até que o anterior certificado de um número idêntico de acções tenha sido devolvido e cancelado. Não obstante o supra mencionado, se uma acção estiver deteriorada, perdida ou destruída, pode a mesma ser renovada nos termos (caso existam) de prova e indemnização e pagamento de despesas da Sociedade incorridos na investigação da prova, conforme os Administradores tiverem por conveniente.
CO-TITULARIDADE DE ACÇÕES
15. Caso várias pessoas estejam registadas como co-titulares de quaisquer acções, serão individual e solidariamente responsáveis por qualquer obrigação em relação a tais acções, mas o nome que constar em primeiro lugar no Registo, será considerado o único titular das mesmas. Qualquer uma dessas pessoas poderá emitir recibos válidos para qualquer dividendo ou outra distribuição.
ÓNUS
16. A Sociedade terá um título de retenção ou encargo primeiro e soberano sobre quaisquer acções referente a todas as quantias, quer presentemente a pagamento ou não, reclamadas ou a vencer num determinado tempo em relação a essa acção, e a Sociedade terá igualmente um título de retenção e encargo primeiro e soberano sobre todas as acções que se encontrem registadas no nome de um sócio (quer individualmente ou em co-titularidade com outros) por todas as quantias, obrigações ou compromissos devidos à data por ele ou pelo seu património à Sociedade, quer individual quer solidariamente com qualquer outra pessoa, quer esta seja ou não sócio; mas os Administradores podem, em qualquer momento, declarar que uma acção não está total ou parcialmente submetida ao disposto nestes Estatutos. O título de retenção ou encargo, caso existam, sobre uma acção estender-se-á a todos os dividendos ou outras quantias que se vençam em relação à mesma. O registo de uma transmissão de qualquer uma dessas acções terá efeitos de renúncia do título de retenção ou encargo da Sociedade (caso exista) sobre as mesmas.
17. A Sociedade pode vender, da forma que os Administradores tiverem por conveniente, quaisquer acções sobre as quais a Sociedade tenha qualquer título de retenção ou encargo, mas não será efectuada qualquer venda excepto se um valor em relação ao qual o título de retenção ou encargo existe, se vença nessa data, nem até que o aviso de catorze dias após notificação por escrito expire, declarando e exigindo o pagamento de tal parte do montante em relação ao qual o título de retenção ou encargo existe, tal como se encontra a pagamento nessa data, tenha sido entregue ao titular ou eventuais titulares registados da acção, ou à pessoa com esse direito por motivos da sua morte ou falência, de que a Sociedade tenha sido notificada.
18. Para que tal venda seja efectiva, os Administradores podem autorizar algumas pessoas a transmitir as acções vendidas ao respectivo comprador. O comprador será registado como titular das acções abrangidas pela respectiva transmissão, e não é obrigado a tratar da aplicação do dinheiro da compra, nem o seu direito às acções será afectado por qualquer irregularidade ou invalidade nos procedimentos em relação à venda.
19. O produto da venda será recebido pela Sociedade e aplicado no pagamento da parte do montante em relação ao qual existe o título de retenção ou encargo no valor a pagar à data, e o remanescente, caso exista, será (em conformidade com um título de retenção ou encargo por montantes que não se vençam à data tal como existiam sobre as acções antes da venda) pago à pessoa titular das acções antes da venda.
PEDIDO DE PAGAMENTO DE ACÇÕES
20. Os Administradores podem eventualmente efectuar pedidos de pagamento aos sócios em relação a quaisquer quantias por pagar referentes às respectivas acções (quer por conta do valor nominal das acções quer por meio de prémio ou de outra forma) e não pelas respectivas condições de distribuição que se vençam em períodos fixos. Cada sócio pagará (contanto que receba notificação com pré-aviso de catorze dias especificando a data ou datas e local de pagamento) à Sociedade na data ou datas e local especificados o montante exigido sobre as suas acções. Um pedido de pagamento pode ser revogado ou adiado, conforme os Administradores possam determinar.
21. Um pedido de pagamento será considerado como tendo sido efectuado à data em que a deliberação dos Administradores a autorizar o pedido tenha sido aprovada e pode ser solicitado o pagamento em prestações. Os co-titulares de uma acção serão solidária e separadamente responsáveis pelo pagamento de todos os pedidos de pagamento em relação à mesma.
22. Caso uma quantia exigida em relação a uma acção não seja paga antes ou no dia indicado para o pagamento, a pessoa que deve tal quantia pagará juros sobre a quantia, a contar do dia indicado para o pagamento da mesma até à data do seu efectivo pagamento, a uma taxa que não exceda 8 por cento ao ano, conforme os Administradores possam determinar, mas os Administradores terão liberdade para renunciar total ou parcialmente ao pagamento de tais juros.
23. Qualquer quantia que, nos termos da emissão de uma acção, se vença à data da distribuição ou numa data fixa (quer por conta do valor nominal da acção quer por meio de prémio ou de outro modo) será considerada, para efeitos dos Estatutos, como tendo sido devidamente pedida e a vencer na data em que, nos termos da emissão a mesma, se vença, e no caso de não pagamento, aplicar-se-ão todas as disposições relevantes dos Estatutos referentes a pagamento de juros e despesas, caducidade ou outros, como se tal quantia se vencesse em virtude de um pedido de pagamento devidamente efectuado e notificado.
24. Os Administradores podem, na emissão de acções, diferenciar entre os titulares quanto ao montante dos pedidos de pagamento ou juros a pagar e as datas de pagamento.
25. Os Administradores podem, se tiverem por conveniente, receber de qualquer sócio que pretenda efectuar um adiantamento do mesmo, a totalidade ou parte das quantias não pedidas ou não pagas sobre quaisquer acções que ele detenha, e pagar juros sobre a totalidade ou parte das quantias deste modo adiantadas (até que as mesmas se vencessem, não fora o adiantamento) a uma taxa que não exceda (excepto se a Sociedade decida de outra forma em assembleia geral) 8 por cento ao ano, conforme possa ser acordado pelos Administradores e o sócio que pague tal quantia adiantada.
26. A quantia paga antes dos pedidos de pagamento não confere ao sócio que pague tal quantia o direito a qualquer parte de dividendos declarados em relação ao período anterior à data em que a dita quantia se venceria, não fora tal pagamento.
TRANSFERÊNCIA DE ACÇÕES
27. Todos os instrumentos de transferência serão entregues na sede social para registo, acompanhados pelo certificado (caso exista) referente às acções a ser transmitidas e qualquer outra prova, conforme os Administradores possam necessitar para comprovar o título ou direito do cedente para transferir as acções.
28. O instrumento de transferência de quaisquer acções (que não carece do Selo) será assinado por ou em nome do cedente e o cedente será considerado como sendo titular da acção até que o nome do adquirente seja registado para esse efeito no Registo.
29. Em conformidade com as restrições dos Estatutos que possam ser aplicadas, qualquer sócio pode transmitir a totalidade ou parte das suas acções por instrumento escrito de uma forma habitual ou comum ou qualquer outra forma que possa ser aprovada pelos Administradores. O certificado detido pelo cedente será devolvido para ser cancelado aquando de qualquer transmissão de acções e será imediatamente cancelado em conformidade e será emitido um novo certificado sem custos para o adquirente em relação às acções que lhe foram transmitidas, e caso qualquer uma das acções incluídas no certificado devolvido seja mantida pelo transmissor, ser-lhe-á emitido um novo certificado referente à mesma sem custos. A Sociedade reterá igualmente a transmissão.
30. Os Administradores podem, na sua absoluta discrição e sem dar qualquer razão para tal, recusar o registo de qualquer transmissão de qualquer acção, quer se trate ou não de uma acção paga na totalidade.
31. Sem prejuízo da generalidade do Artigo imediatamente precedente, os Administradores podem recusar-se a reconhecer qualquer instrumento de transmissão se:-
(a) o instrumento não estiver acompanhado pelo certificado que cobre as acções às quais se refere, e/ou quaisquer outros documentos que os Administradores possam necessitar para comprovar o título ou o direito do transmissor para transmitir as acções; ou
(b) o instrumento de transferência se referir a mais do que uma classe de acções.
32. Caso os Administradores se recusem a registar uma transferência, enviarão notificação da recusa ao adquirente no prazo de dois meses a contar da data em que a transmissão foi entregue à Sociedade.
33. O registo de transmissões pode ser suspenso nas alturas e períodos em que os Administradores possam eventualmente determinar, contanto que tal registo não seja suspenso por mais de trinta dias por ano.

(a) Ronds de jambe en l’air
When the ronds de jambe is executed en l’air, attention must be given to the shift in body weight. With the extension devant en l’air the body weight remains fully centred over the supporting leg. As the leg is carried to Second Position, through a strong lift on both sides of the body, the weight remains fully centred over the supporting leg. If the working leg continues the movement to the back, the working leg must be fully extended away from the centre, but at the same time the weight must remain over the supporting leg. With the continuous action of the working leg moving from Second Position to derrière, the spine needs to elongate to accommodate the natural turn of the working leg in the hip socket.
The rotation of the working leg en dedans needs specific attention and good understanding. The action needs to be fully assimilated à terre before allowing students to perform en l’air. When executed en l’air, as soon as the full extension of the developpé derrière is achieved with the weight fully centred over the supporting leg and the spine fully extended, the working leg starts to move to Second Position. As soon as this action begins the working leg must start to rotate in the hip socket, extend away from the supporting leg, and as the movement continues the spine is elongated with the weight retained fully centred over the supporting leg until the leg arrives in Second Position with the body upright.

Accompanying the en dedans leg action with a ports de bras from First Position to Second Position will aid the dancer in achieving the lift out of the hips and will allow the body to move to an upright position with as much ease of movement as possible. The rotary action of the leg continues with the movement of the leg from Second Position to devant. During this movement the body weight must be lifted out of the hips and care taken not to allow the weight to fall on to the supporting heel or release into the middle back.
Throughout all these movements the use of eye focus and breath is crucial in allowing the action to be smooth and continuous.
To accompany what you have just read, watch the barre exercises on the XXXXX video Grade 3. Observe how the pupils hold their bodies and how the body weight is transferred from two feet to one foot, firstly à terre and then to en l’air. Observe how the working leg rotates against the strong hold of the supporting leg in the ronds de jambe à terre exercise, and the correct hold of the arms in Second Position stabilises the body and adds poise and elegance to the performance.

Quando o movimento é executado en l’air, logo que o completo esticamento do developpé derrière seja alcançado, e com o peso completamente centrado na perna de sustentação e a coluna completamente esticada, a perna em movimento inicia a deslocação para a Segunda Posição. Acompanhar a acção da perna en dedans com um ports de bras da Primeira Posição para a Segunda Posição irá ajudar o(a) bailarino(a) a conseguir a elevação das ancas aliviando o peso nas mesmas, e irá permitir que o corpo se desloque para uma posição erecta facilmente. A acção rotativa da perna continua com o movimento da mesma da Segunda Posição para devant. Durante este movimento o peso do corpo deve ser aliviado das ancas mas com o cuidado devido para não assentar sobre o calcanhar de apoio ou para não recair sobre a zona dorsal.
Durante todos estes movimentos a utilização da focalização do olhar e da respiração é crucial para permitir que o movimento seja suave e contínuo.

Spain is, after France, the second largest country in the EU. The country’s right-of-centre Popular Party, having won the 1996 election and been re-elected in 2000, seemed to be heading for a third successive term in the run-up to the March 2004 election, until Madrid was hit by terrorist attacks three days before voting day. In the ensuing turmoil, the centre-left Spanish Socialist Workers Party – having previously been in power from 1982 to 1996 – won a narrow victory and formed a minority government, with Jose Luis Rodriguez Zapatero the new Prime Minister. The country is also divided into 17 administrative regions (‘comunidades autónomas’) with directly elected authorities and varying degrees of autonomy. ECONOMIC CLIMATE
Madrid and Barcelona are the twin drivers of Spain’s economy, which – with 2004 GDP estimated at $885.5bn (€661.9bn), a rise of around 2.4% on the previous year – is the thirteenth largest in the world, and the fifth largest in the EU behind Germany, the UK, France and Italy. The services sector has grown to dominate, with tourism a vital industry and retailing, banking and telecoms also essential contributors. On the agriculture side, the country remains an important producer of wine, olive oil and fruit amongst other products, and the country’s fishing industry is highly developed. BILLING
Spain remains very much a buyer’s market in terms of legal services, and the pressure on fees is accordingly high, with the competition in areas such as capital markets and real estate particularly fierce. Hourly rates are the norm, and range from around €300 to €400 for partners. Monthly retainers also exist, and in certain practice areas – private equity in particular, with a growing number of funds active in the market and bidding at auctions – quite complex fee arrangements can come into play in an effort to share some of the risk between client and lawyer.
MARKETING
The Spanish Bar has, over the years, relaxed many of the restrictions surrounding the ways in which law firms are permitted to market themselves. Firms increasingly have the benefit of marketing and business development professionals, and most commercial practices have a website, although a certain reticence about promotion persists amongst some of the country’s more traditional firms.
IN-HOUSE LAWYERS
Substantial in-house teams are to be found in the banking, IT and telecoms sectors, although companies continue to turn to external lawyers for complex advice.

Participants in the new Certified education programme will undertake a total of 6 educational modules (3 in basis training and 3 in career training). Each module lasts from two to three days and begins (starting from the second module) with a short written test to check knowledge learned in the preceding module.
A period of about three weeks between individual modules is reserved for practice. A participant will receive tasks at the end of each module, which he must solve in writing and submit them to the instructor during the course of the following seminar.
Certificate of the XXXXX Salesperson
In order to take tests to acquire a Certificate of the XXXXX Seller the participants must:
undertake all educational modules,
accomplish practice tasks,
directly register for the final exam (with a consent of the dealer).
Certifying the XXXXX salesperson
The process of certifying the XXXXX Salesperson consists of a written part and an oral part.
In addition to successfully passing the final exam, a participant must treat the assigned (selected by lot) theme a list of which he will know in advance in order to acquire the "Certified Seller of the XXXXX Auto Trade Network" certificate. The instructor and a XXXXX Auto representative will always be present at the exam.
A new employee
Each dealer should help the new employee with the integration in his firm. The first impression that the employee gains after taking his new job may permanently influence his motivation and approach to the firm.
Before enrolling the new seller, a dealer should:
Prepare the staff sufficiently in advance for the accession of their new colleague. Inform them about his accession date, give them basic information about his person and ask them to assist the new colleague in his beginnings. This will support his fast integration into the existing team.
Cause that the working site of the new seller is prepared – PC, telephone, stationery, selling material, visiting cards, etc.).
Register the new employee for the "Certified Seller of the XXXXX Auto Trade Network" basic education programme. For this purpose the dealer should use a pre-printed form. The new employee will enter the basic education programme within 6 months following his enrolment at the latest.
The first days in the new job
Much time must be devoted to the new seller on the day of his entry. The dealer should provide the new employee with a basic overview of the firm's structure and introduce him to the remaining staff. The new employee must be clearly told what would be expected from him during the first days and he must be enabled to orientate in his tasks without being overloaded with information.
The dealer speaks to his new employee more frequently also during the following days. He provides him the assistance and, in particular, the "feedback" to his first steps. After taking the first steps, the dealer will discuss the expectations of both sides with the new employee and they mutually determine the first gaols.
During the course of the basic educational programme:
The Dealer appoints a person who will be responsible for the progress of practice stages of the new seller between the individual modules. This person will also supervise sorting out the assigned tasks. The Dealer however continues to remain personally available to the new seller.

Na introdução o formador acolhe todos os participantes da formação, apresenta-se e põe os formandos ao corrente dos tópicos organizacionais. Os participantes são ainda informados sobre o horário, o conteúdo e expectativas dos blocos individuais.
O instrutor explica as regras de trabalho do seminário aos participantes e pede-lhes que preencham os seus nomes nos crachás e na lista de presenças.
Identificar os objectivos do seminário
A satisfação do cliente é um factor vital para a posição no mercado da companhia e o nosso objectivo inclui portanto o seu aperfeiçoamento contínuo.
Embora a qualidade técnica desempenhe aqui um importante papel para a satisfação de cliente, é o homem que é decisivo no contacto com o cliente.
A maneira como um vendedor aborda o cliente no decurso de todas as fases dos seus contactos influenciará a satisfação de cliente.
É extremamente elevada a expectativa que (presentemente) recai sobre os revendedores da marca XXXXX , e essa expectativa irá certamente aumentar no futuro devido à crescente competitividade do mercado e exigências dos clientes a ela associadas. Um vendedor deve tornar-se o verdadeiro embaixador da marca – o seu representante. Ele deve identificar-se com a marca que vende e ser capaz de interessar o seu cliente sobre ela.
A educação do vendedor
Uma pessoa não nasce um bom vendedor – torna-se um vendedor. Várias formas de educação contribuem significativamente neste processo.
A educação básica dos vendedores não é nada de revolucionário. Mas agora surgimos nós com o novo conceito de tal educação. Comparado com o conceito original, a nova educação:
é obrigatório por cada novo vendedor de veículos admitido,
foi concebido como duplo, i.e. é obrigatório tanto para a XXXXX Auto como para o Concessionário porque o participante aplica os conhecimentos adquiridos no seminário no decurso da fase prática entre os módulos individuais e/ou executa as tarefas lhe foram distribuídas e que são a preparação para o módulo seguinte, tudo isso sob a supervisão e com o apoio do Concessionário
foi incrementada significativamente nas esferas da tecnologia automóvel e dos produtos XXXXX.
A educação básica do vendedor foi concebida de acordo com um novo conceito e inclui as seguintes partes:
módulos educacionais (seminários),
Prática,
adquirir um certificado de vendedor XXXXX através da passagem no teste final
Formação profissional dos vendedores foi ainda designada de acordo com os novos conceitos e inclui assuntos especializados caracterizados por áreas individuais (Novos veículos, veículos usados, peças e acessórios originais XXXXX. por forma a adquirir/receber o diploma de vendedor certificado da rede de vendas XXXXX Auto, o vendedor deve:
Obter um certificado de vendedor XXXXX,
frequentar módulos educacionais especializados (seminários),
ser aprovado no exame final.

Os participantes do novo programa de educação certificada levarão a cabo um total de 6 módulos educacionais (3 em formação básica e 3 em formação de carreira). Cada módulo dura de dois a três dias e começa (a partir do segundo módulo) com um teste pequeno teste escrito para verificar os conhecimentos adquiridos no módulo precedente.
É reservado um período entre os módulos individuais para exercícios práticos, de cerca de três semanas. Ao participante ser-lhe-ão atribuídas tarefas no final de cada módulo, que ele deve resolver escrevendo e submetendo o resultado ao formador no decurso do seminário seguinte.
Certificação do vendedor XXXXX
De forma a efectuar os testes para obter o certificado de vendedor XXXXX os participantes devem:
Frequentar todos os módulos educacionais,
Cumprir tarefas práticas,
Inscrever-se para o exame final (com o consentimento do Concessionário).
Certificação do vendedor XXXXX
O processo de certificação do vendedor XXXXX consiste numa parte escrita e numa parte oral.
Para além de ser necessário a aprovação no exame final, o participante deve tratar o tema que lhe foi designado (seleccionado à sorte) de uma lista que deverá conhecer com antecedência para obter o diploma de “Vendedor Certificado da rede de vendas XXXXX” O formador e um representante da XXXXX Auto estarão presentes a todo momento, no citado exame.
Um novo funcionário
Cada Concessionário deve ajudar o novo funcionário na integração da sua firma. A primeira impressão causada ao novo funcionário após aceitar o seu novo emprego pode influenciar de forma positiva a sua motivação e a sua aproximação à firma.
Antes de inscrever o novo vendedor, o Concessionário deve:
Preparar a sua equipa com antecedência suficiente para a entrada do novo colega. Informá-los da data da sua entrada, dar-lhes informação básica sobre a sua pessoa e pedir-lhes para apoiar o novo colega no seu começo. Isto sera um apoio para a sua inegração rápida na equipa já existente.
Proporcionar as condições para que o seu local de trabalho esteja preparado – PC, telefone, material de venda, cartões de visita, etc.).
Registar o novo funcionário programa básico de formação “Vendedor certificado da rede de vendas XXXXX”. Para este fim o Concessionário deverá utilizar um formulário pré-impresso. O novo funcionário iniciará o programa básico de formação, no prazo máximo de 6 meses, seguintes à sua contratação.
Os primeiros dias no novo trabalho
Deve ser dedicado muito tempo ao novo vendedor no dia da sua entrada. O Concessionário deverá providenciar ao novo funcionário uma visão geral da estrutura da firma e apresentá-lo ao resto da equipa. O novo funcionário deve ser claramente informado do que é esperado dele nos seus primeiros dias, e deve ser-lhe providenciada a orientação necessária à execução das suas tarefas sem o sobrecarregar com demasiada informação.
O Concessionário deve dirigir a palavra ao seu novo funcionário com maior frequência também durante os seus primeiros dias. Ele concede-lhe apoio e, em particular, o “feedback” aos seus primeiros passos. Após ter dados os primeiros passos, o Concessionário deverá discutir com o novo funcionário as expectativas de ambos os lados e devem determinar em conjunto os primeiros objectivos.
No decurso do programa de formação básica:
O Concessionário indica uma pessoa que será responsável pelo progresso das etapas práticas do novo vendedor entre os módulos individuais. Esta pessoa irá supervisionar ordenar as tarefas atribuídas. O concessionário, no entanto, continua pessoalmente disponível para o novo vendedor.
