This Letter of Intent (hereinafter known as LOI) confirms that ABC Company (hereinafter known as ABC or the Buyer), a company that was legally founded in accordance with the laws of Delaware State, the United States, intends to acquire the shareholding of XYZ Group and all its operations in Taiwan and mainland China (hereinafter known as XYZ, the Company, or the Business) from the Zhang family (hereinafter known as the Seller). It describes below the agreement concluded between both parties regarding the acquisition of the shareholding of XYZ by ABC (hereinafter known as the Transaction).
ABC and XYZ have reached an agreement on the announcement of matters related to the Transaction. Before obtaining the approval of the other party, neither ABC nor XYZ is allowed to disclose or announce any information. However, this approval only applies within reasonable scope. The obligations stated in this LOI can be terminated when a written agreement is signed between the Seller and ABC. ABC or the Seller can request on that day or later to terminate the obligations in the event that none of the parties has signed a final transaction agreement by March 31, 2006.

Being a Chinese Singaporean, I grew up with two languages - Chinese and English. I consider this my greatest asset as a Chinese-English translator. Chinese is my second mother tongue. My knowledge of the language did not come from classrooms, but through using the language with my family and friends for more than 28 years. In comparison to most of my native English peers, my understanding of the source text (Chinese) is stronger and more in-depth.
