Los recientes colapsos financieros del Grupo Adelag, Fotokina o Disa Securities, despertaron la necesidad de crear nuevas reglas para proteger a quienes invierten en empresas panameñas.
Este proceso no ha sido fácil, pues como se diría en el argot popular, algunos piensan que pagarán " justos por pecadores", con la implementación de nuevos métodos de supervisión y divulgación de información.
En este sentido, la Comisión Nacional de Valores (CNV) impulsa la aprobación del acuerdo de gobierno corporativo, con el que se busca que las empresas panameñas sean más transparentes y con ello, apetecibles para los inversionistas extranjeros que tienen interés de diversificarse.
Sin embargo, un grupo de 14 empresas presentó (dentro del período de consulta que concluyó el 15 de septiembre) una carta ante la CNV, en donde solicitan a la entidad, el retiro en su totalidad el proyecto sobre gobierno corporativo, al considerar que además de exceder las facultades legales de la institución, intenta establecer una normativa inflexible y estática.
El presidente de la CNV, Carlos Barsallo, manifestó que antes de convocar a una audiencia pública, han decidido intensificar un proceso de divulgación, para que los emisores comprendan el acuerdo.
Además, en la medida que sea necesario, se harán los cambios para que se entienda el espíritu de la nueva norma. Barsallo explicó que los inversionistas locales, internacionales e institucionales que manejan pensiones, han demostrado científicamente, que desean invertir en sociedades que además de ser un buen negocio, estén bien gobernadas.
Por ello, la CNV trabaja desde hace dos años en lo que es el gobierno corporativo, que es un acuerdo que servirá de guía o propuesta, para que las empresas tengan mejores mecanismos de auditorías internas, lo que a su vez, despertaría mayor confianza entre los inversionistas.
Según Barsallo, esta guía es de adopción voluntaria, por parte de las empresas registradas en la CNV, que son las que ofrecen sus acciones o valores al público.
Entre los puntos más importantes establecidos en el acuerdo de gobierno corporativo, se establece que las empresas tengan comités de auditorías, paralelos o dentro de la junta directiva, que se especializarían en ver los temas de la información financiera.
Se recomienda la integración de directores independientes a la Junta Directiva, sin embargo, se tiene en cuenta que hay empresas familiares que probablemente no tomen esta determinación.
El acuerdo, también fija nuevos parámetros en la elección de directores, basado en mecanismos de previa evaluación. También se propone una guía de cómo dar información a los compradores de valores y el trato o protección que se le dará a los accionistas minoritarios.
El comisionado Rolando De León, mencionó que estos puntos pueden ser acogidos a libre elección de cada empresa. De aprobarse el acuerdo y en caso de que el emisor decida no adaptarse a la nueva medida, no se le impondrá ninguna sanción.
Sin embargo, se establecerán niveles (no implementado, nivel mínimo, nivel moderado y nivel completo) de acuerdo a los cambios que hayan efectuado, lo que le servirá como un certificado de garantía (transparencia financiera) a los inversionistas.

The recent financial collapse of the Adelag Group, Fotokina or Disa Securities developed the need of creating new rules to protect those who invest in Panamanian companies.
This process has not been easy, because with the implementation of new supervision and disclosure information methods some think, as it would be said in the popular jargon, that “the righteous will pay for sinners”.
In this sense, the National Securities Commission (NSC) is driving the approval of the agreement for a Corporate Government, which aims to make the Panamanian companies to be more transparent and therefore desirable to foreign investors who have an interest in diversification.
However, a group of 14 companies submitted (within the consulting period that ended on September 15th) a letter before the NSC, where they request to the Organization, the complete withdrawal of the Corporate Government Project, considering that apart from exceeding the legal authority of the Institution, it attempts to establish a static and inflexible standard.
The President of the NSC, Carlos Barsallo, expressed that before calling a public hearing, he has decided to intensify a process of disclosure, so that the issuers will understand the agreement.
In addition, as it is required, changes would be implemented so that the spirit of the new regulation is understood. Barasallo explained that local, international and institutional investors who manage pensions, have scientifically proven that they want to invest in partnerships which apart from being profitable are well managed.

The NSC drives the approval of the Agreement for Corporate Government, with which it seeks more transparency for the Panamanian Companies, making them more desirable to foreign investors who are interested in diversifying.

That is why the NSC has been working for two years in what is called Corporate Government, an agreement which will serve as a guide or proposal, so that companies will have better mechanisms for internal audit, something that will also create greater confidence among investors.
According to Barsallo, this guide is of voluntary adoption on the part of the companies registered at the NSC, which are the ones that offer their shares or securities to the public.
Within the most important points established in the agreement for a Corporate Government, it is set that companies which have audit committees, parallel or within the Board of Directors, would specialize in overseeing the financial information topics.
It is recommended the integration of Independent Directors to the Board of Directors; however, it is taken into account that there are family owned companies that probably are not going to take this determination.
The agreement also sets new parameters for the election of Directors, based on mechanisms previously evaluated. A guide on how to offer information to the purchasers of securities and the treatment or protection offered to the minor shareholders is also suggested.
The Proxy Agent, Rolando de León, mentioned that these points can be freely accepted or refused by each company. In case of approval of the agreement and if the issuer decides not to conform to the new rules, no sanction will be applied.
Notwithstanding, different levels will be established (not implemented, minimum level, moderate level and complete level) according to the changes that they have made, what would serve as an assurance certificate (financial transparency) for the investors.
