4. Perfection of Security and Further Security
4.1 The Pledgor hereby irrevocably and unconditionally undertakes to take all action and to make all registrations, notifications and filings and to execute any amendment or supplement to, or variation, modification or replacement of, this Agreement necessary and/or reasonably desirable in relation to this Agreement, in particular with regard to the perfection, maintenance and protection of the Pledge. In addition to acting on its own initiative, the Pledgor shall from time to time, at the request of the Security Agent take all such action as the Security Agent may reasonably require to perfect, maintain and protect the security pursuant to this Agreement.
4.2 This Agreement shall become effective between the Parties at the Effective Date. In order to perfect the Pledge, make it opposable to third parties and gain first priority rank, the Pledgor shall, promptly upon signing this Agreement:
(a) mark in its books the Receivables as being pledged. In the case of electronic bookkeeping, such notice may be replaced by a symbol or abbreviation which clearly refers to the full text of such notice by electronic link. In any event, the recording in the company books must be made in accordance with the laws of Romania and in such manner so as to ensure that any person inspecting the books and records becomes aware of the Pledge;
(b) notify the Assigned Debtors of the Pledge (in form and substance in compliance with the specimen attached hereto as Schedule A) and deliver to the Security Agent executed confirmation notices of the Assigned Debtors; and
(c) register with the Electronic Archive the Pledge created hereunder in favour of the Pledgee and provide the Security Agent with all documents and evidence relating thereto, and take all other actions necessary or desirable to effect, perfect and maintain the Pledge of the Receivables and provide the Security Agent with all documents and evidence relating thereto

4. Îmbunătăţirea Garanţiei şi Garanţii Viitoare
4.1 Debitorul gajist se angajează irevocabil şi necondiţionat prin aceasta să ia toate măsurile şi să facă toate înregistrările, notificările şi completările şi să efectueze orice amendament sau supliment la, sau variaţie, modificare sau înlocuire a, acestui Contract necesare şi/sau dezirabile rezonabil referitoare la acest Contract, în special cu privire la îmbunătăţirea, întreţinerea şi protejarea Gajului. În plus faţă de acţionarea din proprie iniţiativă, Debitorul gajist, din când în când la cererea Agentului de Garantare, va lua toate aceste măsuri pe care Agentul de Garantare le poate cere în mod rezonabil pentru a îmbunătăţi, întreţine şi proteja garanţia în condiţiile acestui Contract.
4.2 Acest Contract va intra în vigoare între Părţi la Data Efectivă. Pentru a putea executa şi îmbunătăţi Gajul, pentru a-l face opozabil faţă de terţe părţi şi să câştige un rang de primă prioritate, Debitorul gajist, imediat după semnarea acestui Contract, va:
(a) marca în registrele sale Creanţele ca fiind date în gaj. În cazul registrelor electronice, o astfel de notificare poate fi înlocuită de un simbol sau abreviere care se referă clar la textul complet al unei astfel de notificări folosind o legătură electronică. În orice caz, înregistrarea în registrele companiei trebuie făcută conform legilor din România şi într-o manieră care să asigure că orice persoană care inspectează registrele şi jurnalele îşi va da seama de Gaj;
(b) notifica Debitorii Cesionaţi despre Gaj (folosind şi urmând specimenul ataşat la acest document ca Anexa A) şi va livra Agentului de Garantare o notificare de efectuare a confirmării către Debitorii Cesionaţi; şi
(c) înregistra la Arhiva Electronică Gajul creat conform acestui document în favoarea Creditorul gajist şi va furniza Agentului de Garantare toate documentele şi dovezile referitoare la aceasta şi va lua toate măsurile necesare sau dorite pentru a îndeplini, perfecta şi menţine Gajul pe Creanţe şi va furniza Agentului de Garantare toate documentele şi dovezile referitoare la aceasta.
4.3 Debitorul gajist va reînnoi înregistrarea la Arhiva Electronică menţionată în Clauza 4.1 , paragraful (b) de mai sus nu mai târziu de 60 (şaizeci) de zile înainte de fiecare a cincia aniversare a datei de înregistrare, pe baza unei împuterniciri în acest scop furnizate de Agentul de Garantare. În cazul în care înregistrarea nu este reînnoită la sau înainte de datele precizate mai sus, Agentul de Garantare va întreprinde, după propria dorinţă şi pe cheltuiala Debitorului gajist, toţi paşii necesari pentru a efectua la timp reînnoirea înregistrării
