FCPA COMPLIANCE GUIDE

With the adoption of the FCPA, Congress sought to eliminate bribery of Government Officials for commercial advantages. A “Government Official” includes any employee, agent or representative of a non-U.S. government, and any non-U.S. political party, party official or candidate. A Government Official can include royalty, legislators, representatives of state-owned business enterprises, and employees of public international organizations, regardless of rank or position. In addition to the statutory definition of a Government Official, P’s policy also extends to individuals acting on behalf of a Government Official and payments made to others with the intent of influencing a Government Official, including payments made to a Government Official’s spouse, family members or staff. Violation of the FCPA may result in enforcement action by the U.S. Securities and Exchange Commission and prosecution by the U.S. Department of Justice. Civil and criminal penalties for violating the FCPA can be imposed on both corporations and individuals and include fines of up to US$2 million per violation and imprisonment of up to five years, both of which can be increased significantly under the Federal Sentencing Guidelines. Engaging in bribery of Government Officials also seriously damages the reputation of the company involved, and may lead to costly lawsuits, cause the cancellation of contracts and result in the appropriation of valuable assets overseas.
Underscoring the worldwide focus on combating bribery of Government Officials, since 1997 thirty-seven countries, including the U.S., have signed the Organization of Economic Cooperation and Development (OECD) Convention on Combating Bribery of Foreign Public Officials in International Business Transactions. By ratifying this Convention, the other signatories agreed to enact legislation similar to the FCPA.
Accordingly, all U.S. and non-U.S. jurisdictions in which P conducts business or has offices have their own anti-corruption laws. As a good corporate citizen, P must also be sensitive to the laws of the jurisdictions in which it operates.

INTRODUCCIÓN
"El Señor creó las plantas medicinales que brotan de la tierra: un hombre inteligente no las menosprecia" (Sirácides 37:4). Este párrafo que se extrae del documento bíblico del antiguo testamento nos revela la importancia de las plantas medicinales en la salud, y de cómo la especie humana a través de los siglos ha sabido aprovecharlos para su beneficio.
Esto no ha sido extraño en nuestra sociedad antigua. En efecto, mucho de nuestra medicina tradicional, que a falta de documentos escritos ha sido trasmitida oralmente de generación en generación, se basa en la utilización de los productos naturales para el tratamiento de diversas enfermedades. Es a partir de la conquista española a mediados del Siglo XVI que se ha podido tener información documentada sobre los usos que daban los nativos andinos y amazónicos a las plantas medicinales. Ello gracias a la importante labor de los cronistas de la conquista española. Uno de ellos, el Jesuíta Bernabé Cobo quien escribió en el siglo XVII su libro "Historia del Nuevo Mundo" nos ha mostrado al mundo diversas plantas y los diferentes usos, muchos de ellos medicinales, que daban a ellas los nativos pre-colombinos.
Uno de estos productos y cuyo uso lo describe claramente Bernabé Cobo en su libro es una planta de la familia de las Brassicaceae (cruciferas) conocida desde entonces como maca. Cobo nos revela que esta crucifera sólo crece en la región de Chinchaycocha, actualmente conocida como Carhuamayo, a más de 4,000 metros de altitud, y que en esta zona tan agreste y ruda donde no debería crecer nada se desarrolla esta planta utilizada para nutrición de los nativos de la zona y para la fertilidad. Desde el Siglo XVII hasta el Siglo XX no hay nada nuevo sobre la maca. Es aquí donde es necesario resaltar la figura de Gloria Chacón quien en 1961 en base a la elaboración de sus tesis de Biología en la Universidad Nacional Mayor de San Marcos realiza el primer estudio científico sobre la maca.

Questo non era inusuale nella nostra società antica. In effetti, gran parte della nostra medicina tradizionale, che in mancanza di documenti scritti è stata trasmessa verbalmente di generazione in generazione, si basa sull'uso di prodotti naturali per il trattamento delle varie patologie. Solo a partire dalla conquista spagnola alla metà del XVI° secolo è stato possibile tenere informazioni documentate sugli usi delle piante medicinali dei nativi delle Ande e dell’Amazzonia. Questo grazie agli importanti lavori dei cronisti della conquista spagnola. Uno di loro, il gesuita Bernabé Cobo nel suo libro del XVII° secolo, "Storia del Nuovo Mondo" ha mostrato al mondo varie piante e usi diversi, molti di quei medicinali usati dai nativi dell’epoca pre-colombiana.

Uno di questi prodotti il cui uso è descritto chiaramente da Bernabé Cobo nel suo libro è una pianta della famiglia delle Brassicaceae (crocifere), da allora nota come Maca. Cobo rivela che questa crocifera cresce solo nella regione di Chinchaycocha, ora nota come Carhuamayo, a oltre 4000 metri sopra il livello del mare, e che in questa zona tanto aspra e impervia dove in pratica nulla potrebbe crescere, si sviluppa questa pianta utilizzata per l'alimentazione dei nativi della zona e per la fertilità. Ein Kommissionsgeschäft kommt nach dem hierzu einvemehmlichen Vortrog der Parteien rechtlich nicht in Betracht. Vielmehr wird es sich sinngemäß um eine Kon¬signationslagerabrede handeln (vgl. Baumbach/Hopt, HGB, 31. Aufl., Überbl. v. § 373 HGB, Rdn. 41}.
Geht man davon aus, dass die der Beklagten ausgehändigte Ware von ihr in Form eines Konsignationslagers verwahrt wurde, so ergaben sich daraus besondere Pflichten, vor allem im Hinblick auf den Abschluß einer Lagerversicherung durch die Beklagte.
Tatsächlich hat die Beklagte eine solche Versicherung auch abgeschlossen. Sie führt bei der XXXXX Versicherung AG eine Transport- und Lagerversicherung betreffend die gelagerten, verwahrten und transportierten Schmuckstücke. Der Abschluss einer Versicherung war Grundlage der Vertragsverhältnisse der Parteien; ohne den bestätigten Abschluss einer solchen Versicherung hatte die Beklagte keine Ware von der Klägerin - und auch von keinem anderen Lieferanten - erhoffen.
Der Abschluss der Versicherung erfolgte also in erster Linie im Interesse des Lieferanten, hier der Klägerin. Es handelt sich somit um einen Vertrag mit Schutzwirkung für Dritte. So ergibt es sich sinngemäß auch aus den Vorschriften zum Lagergeschäft: Der Lagerhalter ist verpflichtet, das Gut auf Verlangen des Einlagerers zu versichern, § 472 HGB, Unbestreitbar hat die Klägerin den Abschluß einer Versicherung verlangt, unstreitig hat die Beklagte dies zugesagt und die Zusage auch eingehalten.
Zwar ist die Beklagte Versicherungsnehmer, so dass sie den Anspruch auf die Versicherungsleistung gegen die XXXXXX Versicherung geltend machen kann. Nach dem Zweck des Abschlusses des Versicherungsvertrages im Innenverhältnis der Parteien steht der Klägerin die Versicherungssumme - ggf. quotenmäßig-zu.
Von daher ist der Klageantrag zu 2. ebenso wie der Hilfsantrag aus dem Schriftsatz der Klägerin vom 08.12.2007 gerechtfertigt.

La stipula di un contratto di assicurazione ha luogo principalmente nell’interesse del fornitore, in questo caso parte attrice, riguarda dunque un contratto con effetto di protezione di beni di terzi. Questo risulta generalmente anche dalle normative in materia di normative per il conto deposito commerciale: il depositario si impegna ad assicurare in modo appropriato dietro richiesta del concedente in deposito, la merce affidatagli in base al paragrafo § 472 HGB, è incontestabile che parte attrice esigeva che la convenuta stipulasse detto contratto di assicurazione, la convenuta si impegnava in merito, e in effetti la promessa venne mantenuta.
La convenuta è assicurata, per cui è in grado di esigere il premio dalla compagnia XXXXXX Versicherung, contro la quale è in corso una causa parallela, la convenuta, in base al rapporto di contratto tra le parti dovrà quindi pagare a parte attrice la parte assicurata pro-quota.

III. Da detta lista di presenze risulta che tutti gli azionisti sono presenti o rappresentati nell’assemblea. Pertanto, l’assemblea risulta regolarmente costituita e può deliberare validamente l’ordine del giorno, di cui gli azionisti sono stati resi edotti prima dell’inizio della presente assemblea.
IV. In seguito alla delibera, l’assemblea assume all’unanimità la seguente risoluzione:
RISOLUZIONE UNICA
L'assemblea generale ha deciso di modificare il punto 3.1 dell’articolo 3 dello statuto come di seguito indicato: Articolo 3 Oggetto 3.1. La società ha come oggetto:
- l'acquisto e la vendita di uve;
- la produzione di vino;
- l’imbottigliamento di vino
- l’acquisto e la vendita di vini all’ingrosso e al dettaglio;
- l'acquisto e la vendita di vino in bottiglia
- L’esportazione di vino;

- l’acquisto e la vendita del materiale occorrente alla produzione e alla commercializzazione di vino in tutte le sue forme;
- l’acquisto e la vendita di terreni (con o senza fabbricati), vigne e vigneti.

In linea generale, la società potrà espletare tutti gli atti, prestazioni, transazioni, iniziative imprenditoriali od operazioni commerciali, industriali, finanziarie, mobiliari o immobiliari direttamente o indirettamente correlate al suo oggetto sociale o di natura tale da facilitarne o svilupparne la realizzazione.
Esaurito l’esame dei punti all’ordine del giorno, il presidente toglie la seduta.

II. Il a été établi une liste de présence renseignant les actionnaires
présents et représentés ainsi que le nombre d'actions qu'ils détiennent,
laquelle liste après avoir été signée par les comparants et signée ne
varietur par le notaire instrumentant restera annexée au présent acte
pour être formalisée avec lui.
III. li résulte de cette liste de présence que tous les actionnaires sont présents ou représentés à l'assemblée. Dès lors l'assemblée est régulièrement constituée et peut valablement délibérer, sur l'ordre du jour dont les actionnaires ont pris connaissance avant la présente as¬semblée.
IV. Après délibération l'assemblée prend à l'unanimité la résolution suivante:
RESOLUTION UNIQUE L'assemblée générale décide de modifier le point 3.1 de l'article 3 des statuts afin de lui donner la teneur suivante: Article 3 Objet "3.1. La société a pour objet:
