(1) Barclays Bank PLC (the “Bank”) whose registered office is at 1 Churchill Place, London, E14 5HP; and
(2) Proyectos & Inversiones PRSBC S.A. (the “Customer”) whose registered office is at

WHEREAS:
(A) The Bank provides custody services to selected clients as a service that is ancillary to such clients' securities trading relationship with the Bank: and
(B) the Customer desires to use these services.
THE PARTIES AGREE as follows:
1. Scope of Agreement
The Bank shall provide custody services to the Customer in relation to securities that have been purchased by the Customer from the Bank or any affiliate of the Bank (collectively, the "Securities"), including the [ ] Notes due [ ] issued by the Bank on [ ], 2007 and purchased by the Customer (the “Notes”).
The Bank and Customer may agree in writing that the scope of this Agreement be extended to cover other securities in which event the term "Securities" when used in this Agreement shall include such securities.
2. Terms and Guidelines
Details of the custody services to be provided (the "Services") and the way in which they will be provided are set out in this Agreement and in the Bank’s Terms and Conditions for Electronic Communications in force from time to time, the current form of which are set out in Schedule 1 (“the Terms”). . As per Schedule 1, any Communication sent by the Customer to the Bank must have the signature of the Bolivian Investor (as defined in Section 3 below).
3. Instructions
Any instructions given by the Customer to the Bank pursuant to this Agreement must be "Proper Instructions", which means instructions which the Bank believes in good faith to have been given in accordance with the Terms. The Bank shall only carry out Proper Instructions, including any standard payment instructions, provided they are given in accordance with the operating mandate attached to this Agreement as Schedule 2, as amended by the Customer by notice to the Bank from time to time. As per Schedule 2, any Proper Instructions sent by the Customer to the Bank must have the signature of the Bolivian Investor (as defined in the next paragraph).
Upon receipt of the written Proper Instructions sent by Customer in accordance with the preceding paragraph, the Bank will transfer all or part of the Securities or any interest or other income generated by the Notes in the Accounts to the natural or legal persons mentioned in the corresponding instructions. The Bank may not transfer the Securities or any interest or other income generated by the Notes in the Accounts in the absence of express Proper Instructions from the Customer. However, the Customer may only dispose of, sell, transfer or withdraw the Notes or any interest or other income generated by the Notes from the Accounts in favour of the Bolivian investor (the “Bolivian Investor”) who purchased through the Bolivian Mercado de Valores and in accordance with Bolivian law the [ ] Notes due [ ] issued by the Customer (collectively, the “Bolivian Notes”) if and when such Bolivian Investor exercises | Translation - Spanish

LAS PARTES ACUERDAN:
1. Alcance del Acuerdo

2. Condiciones y Directrices
Los detalles de los servicios de la custodia de valores que se proporcionarán (los “Servicios”) y de la manera en la cual serán proporcionados se precisan en este Acuerdo y en los Términos y Condiciones del Banco para Comunicaciones Electrónicas vigentes en cada período, cuya forma actual se precisa en la Sección 1 (los “Términos”). De Acuerdo con la Sección 1, cualquier Comunicación enviada por el Cliente al Banco debe tener la firma del Inversor Boliviano (según lo definido en el apartado 3 subsiguiente).
3. Instrucciones
Cualquier instrucción dada por el Cliente al Banco de conformidad con este Acuerdo deben ser “instrucciones apropiadas”, que significa instrucciones que el Banco cree de buena fe que han sido dadas de Acuerdo con los términos. El Banco realizará solamente Instrucciones Apropiadas, incluyendo cualquier instrucción estándar de pago, siempre que se den de Acuerdo con el mandato operativo adjunto a este Acuerdo como Sección 2, de Acuerdo a la enmienda prevista por el Cliente mediante aviso periódico al Banco. De Acuerdo con la Sección 2, cualquier Instrucción Adecuada enviada por el Cliente al Banco debe tener la firma del Inversor Boliviano (según lo definido en el parágrafo subsiguiente).
Al recibir las Instrucciones Apropiadas por escrito enviadas por el Cliente de Acuerdo con el párrafo precedente, el Banco transferirá el todo o una parte de los Valores o cualquier interés u otros réditos generados por los Documentos de las Cuentas de las personas naturales o legales mencionadas en las respectivas instrucciones. The fact is that most of us cannot master many skills without an enormous amount of practice. Even the most talented athletes, musicians, dancers, craftsmen, and professionals invest a lot of time in practicing. And they do this not just to acquire mastery of these skills but to maintain them as well.
