1.1. DIAGRAMA DA SOLUÇÃO TÉCNICA
• Os servidores estarão hospedados no Data Center da EMPRESA XXX na cidade XYZ, sendo que a infra-estrutura prevê a divisão entre servidores de banco de dados ou função equivalentes e os servidores com função de WEB.
• A solução de backup será fornecida pela EMPRESA XXX, sendo proposta uma política de Backup padrão EMPRESA XXX.
• A EMPRESA YYY se responsabiliza pela performance atual do ambiente, não sendo previsto nenhum custo adicional para atualização dos equipamentos.
A seguir descrevemos as principais tarefas a serem executadas pelos profissionais da EMPRESA XXX no transcorrer deste contrato:

1. SCOPE OF THE SERVICES
COMPANY XXX shall provide the services of management of the Data Center Environment of COMPANY YYY to be installed in the Data Center of COMPANY XXX located in City XYZ/SP and the management of the Hardware and Software of the Scope of this Contract.
The information supplied by COMPANY YYY during the process of negotiation shall be validated during the Implementation Stage of the Infrastructure. In case COMPANY XXX detects any conflicting information, the Technical Solution may be amended, with possible increase of Referred to Costs, which shall be subject matter of new negotiations.
COMPANY XXX shall provide the following scope of services:
• Management of the Operational System and Backup;
• Physical management of the Database;
• Management of the Electronic Mail Servers (Lotus Notes);
• Management of the People soft JD Edwards Enterprise One;
• Monitoring, operation and production;
• Internet connectivity;
• Backend connectivity (COMPANY YYY responsibility);
1.1. DIAGRAM OF THE TECHNICAL SOLUTION
• The servers shall be hosted in the Data Center of COMPANY XXX in City XYZ, the infrastructure includes the division between database servers or equivalent functions and the web servers.
• The backup solution shall be supplied by COMPANY XXX, with a proposed backup policy of the COMPANY XXX standard.
• COMPANY YYY is responsible for the current performance of the environment, no additional cost for the update of the equipment is included.
Below is a description of the main duties to be performed by the professional staff of IBM during the execution of this contract:
1.2. MANAGEMENT OF THE OPERATIONAL SYSTEMS AND BACKUP
The activities performed for the Intel Servers, storage and backup devices are:
• Install, maintain, recover and manage the operational system;
• Maintain the backup system;
• Perform the problems determination;
• Effect corrections in case they are needed;
• Execute and maintain the logical and physical security;

Source text - English (a) As collateral security for the prompt and complete payment and performance when due (whether at stated maturity, by acceleration or otherwise) of any and all Obligations, the Borrower hereby assigns, pledges, grants, transfers and conveys to the Bank a continuing first priority lien and security interest in all of its right, title and interest in and to the following property, whether now owned or hereafter acquired and whether now existing or hereafter arising (all being collectively referred to herein as “Collateral”): (i) each Assigned Off-take Contract (collectively, the “Pledged Contracts”), each Export Receivable, all other amounts payable to the Borrower pursuant to the Pledged Contracts, and all rights, options, privileges, powers, claims, remedies and indemnities, whether arising by contract, at law, in equity or otherwise, under the Pledged Contracts; (ii) all Instruments or Chattel Paper evidencing, representing, arising from or existing in respect of, relating to, securing or otherwise supporting the payment of, any amounts under the Pledged Contracts; and (iii) all Proceeds (including insurance proceeds), products, accessions, rents, profits, income, benefits, substitutions and replacements of and to any of the property of the Borrower described in the preceding clauses of this Section 2 (including, without limitation, all causes of action, claims and warranties now or hereafter held by the Borrower in respect of any of the items listed above and all cash proceeds of any collection or other realization of all or any part of the Collateral pursuant to this Agreement). Source text - English 1. Confidential Information. "Confidential Information" shall mean all information disclosed to Recipient by Discloser or its agents or employees in any manner, whether orally, visually or in tangible form (including, without limitation, documents, devices and computer readable media) and all copies thereof, whether created by Discloser or Recipient. Confidential Information means all confidential information pertaining to the business, operations, plans, strategies, financial information and assets of the Discloser that will be furnished to the Recipient. Confidential Information that is disclosed orally or visually shall be identified by Discloser as confidential at the time of disclosure.
Notwithstanding the foregoing, Confidential Information shall not include any information that Recipient can demonstrate:
(a) was in Recipient's possession prior to disclosure by Discloser hereunder;
(b) was generally known, in the trade or business in which it is practiced by Discloser, at the time of disclosure to Recipient hereunder, or becomes so generally known after such disclosure, through no act of Recipient or its employees, agents or independent contractors;
(c) has come into the possession of Recipient from a third party who is not known by Recipient, after due inquiry, to be under any obligation to Discloser to maintain the confidentiality of such information;
(d) was developed by Recipient independently of and without reference to Confidential Information or information that Discloser has disclosed in confidence to any third party.
If a particular portion or aspect of Confidential Information becomes subject to any of the foregoing exceptions, all other portions or aspects of such information shall remain subject to all of the provisions of this Agreement.
2. Use of Confidential Information. Recipient shall use Confidential Information solely for the purpose of evaluation and discussion of a sugar/ethanol project in Brazil (the “Permitted Purpose”).
3. Disclosure of Confidential Information. Recipient shall disclose Confidential Information only to those of its directors, officers, employees, agents and independent contractors (collectively, the “Representatives”) who have a need to know such information to carry out the Permitted Purpose. Recipient shall notify all Representatives who have access to Confidential Information of the terms of this Agreement and require them to agree to and be bound by the terms hereof, and prohibit them from disclosing such information to third parties.
Except as required by law, applicable regulations or request or order of a court or other similar body, without the prior written consent of Discloser, the Recipient shall not, and will cause its Representatives not to, disclose any Confidential Information to any party, including the fact that the Confidential Information has been made available to Recipient or that Recipient has inspected any portion of the Confidential Information, the fact that discussions with respect to any transaction are taking place, or other facts with respect to such discussions, including the status thereof.
In any event, Recipient shall be responsible for any breach of this Agreement by any of its Representatives. Recipient will safeguard the Confidential Information from unauthorized disclosure.

(c) Que entrou na posse do Receptor através de um terceiro, que não era conhecido pelo Receptor e que, após a devida investigação, não estava obrigado com a Divulgadora a manter a confidencialidade de tal informação;
(d) Que foi desenvolvida pelo Receptor independentemente e sem qualquer referência à Informação Confidencial ou informação que a Divulgadora tenha revelado em confidência a qualquer terceiro.
Se uma determinada parte ou aspecto da Informação Confidencial tornar-se sujeita a quaisquer das exceções acima, todas as outras partes ou aspectos de tal informação tornar-se-ão sujeitas a todas as disposições deste Acordo.
2. Utilização da Informação Confidencial. O Receptor utilizará a Informação Confidencial exclusivamente com o propósito de avaliar e discutir um projeto de açúcar/etanol no Brasil (o “Objetivo Permitido”).
3. Divulgação da Informação Confidencial. O Receptor divulgará a Informação Confidencial somente aos seus diretores, funcionários, empregados, agentes e contratantes independentes (coletivamente designados os “Representantes”) que têm necessidade de saber tal informação para colocar em prática o Objetivo Permitido. O Receptor notificará todos os Representantes que tenham acesso à Informação Confidencial, os termos deste Acordo, solicitando-lhes sua concordância e comprometimento aos termos nele contidos, e proibindo-os de divulgar tal informação a terceiros.
Exceto se exigido por lei, regulamentações aplicáveis, ou solicitação ou mandado judicial ou outro similar, o Receptor não divulgará, e mandará que seus Representantes não divulguem, sem o consentimento prévio por escrito da Divulgadora, qualquer Informação Confidencial a qualquer terceiro, incluindo o fato de que a Informação Confidencial foi disponibilizada ao Receptor, ou o fato que o Receptor examinou qualquer parte da Informação Confidencial, ou o fato de que estão ocorrendo discussões com relação a qualquer transação, ou outros fatos com relação a tais discussões, incluindo a situação de tais discussões.
