In this Agreement, save and except as otherwise expressly provided:
(a) all words and personal pronouns relating thereto shall be read and construed as the number and gender of the party or parties requires and the verb shall be read and construed as agreeing with the required word and pronoun;
(b) the division of this Agreement into Articles and sections and the use of headings is for convenience of reference only and shall not modify or affect the interpretation or construction of this Agreement or any of its provisions;
(c) when calculating the period of time within which or following which any act is to be done or step taken pursuant to this Agreement, the date which is the reference day in calculating such period shall be excluded. If the last day of such period is not a business day, the period in question shall end on the next business day;
(d) all monetary amounts are expressed in either United States Dollars or Canadian Dollars, as the case may be. All payments of sums, charges, fees, costs, expenses and other amounts contemplated by this Agreement shall be paid in either United States Dollars or Canadian Dollars, as the case may be. If, pursuant to the judgment or order of any court or otherwise, any amount due or payable hereunder in either United States Dollars or Canadian Dollars, as the case may be (the “Original Currency”) is paid in any other currency (the “Second Currency”), such payment in the Second Currency shall discharge or satisfy the obligation of the party making such payment to pay such amount in the Original Currency only to the extent of the amount of the Original Currency that the party receiving such payment, in accordance with normal banking procedures, can purchase in the New York, New York foreign exchange market (in the case of the Original Currency being United States Dollars) or in the Toronto, Ontario foreign exchange market (in the case of the Original Currency being Canadian Dollars) on the date of such payment with the amount of such payment in the Second Currency (translated at the spot rate of exchange at which the party receiving such payment in accordance with normal banking procedures is able to purchase the Original Currency with the Second Currency on the date of such payment after payment of any premium or costs of exchange payable in connection with such purchase). The party making such payment shall, as a separate and independent obligation, which shall not be merged in any such judgment or order or extinguished by any such payment in the Second Currency, pay or cause to be paid such obligation in respect of the Original Currency not so discharged and satisfied in accordance with the foregoing and indemnify the party receiving such payment and hold the party receiving such payment harmless from and against any losses, costs, damages or expenses which the party receiving such payment may sustain or incur as a result of any such amount being paid in the Second Currency;

The Court finds the statute was passed out of fear of the large influx of recent Chinese immigration, which is characterized in the decision as an invasion.
“In December, 1878, the convention which framed the present constitution of California, being in session, took this subject up, and memorialized congress upon it, setting forth, in substance, that the presence of Chinese laborers had a baneful effect upon the material interests of the state, and upon public morals; that their immigration was in numbers approaching the character of an Oriental invasion, and was a menace to our civilization; that the discontent from this cause was not confined to any political party, or to any class or nationality, but was well nigh universal; that they retained the habits and customs of their own country, and in fact constituted a [130 U.S. 581, 596] Chinese settlement within the state, without any interest in our country or its institutions; and praying congress to take measures to prevent their further immigration.” (Chae Chan Ping v. The Court speaks directly to the legitimacy of regulating immigration, developing the “invasion” theme. It uses the metaphor of war, claiming that this is almost an exercise of the war powers in the name of security.
“To preserve its independence, and give security against foreign aggression and encroachment, is the highest duty of every nation, and to attain these ends nearly all other considerations are to be subordinated. The contrast between adversarial and inquisitorial styles of conducting the criminal process becomes most evident at the trial stage. In inquisitorial systems, the trial is typically dominated by the presiding judge, who selects and calls up the evidence to be presented at trial, makes procedural rulings as necessary, and interrogates defendants, witnesses, and experts. In adversarial systems, the judge's role is limited to presiding over the parties' presentation of the evidence. Advantages and disadvantages of either system have long been the subject of scholarly debate. To some extent, the difference between the modes of trial is technical rather than substantive: as long as the court as well as the parties have the right to question witnesses, the sequence of interrogation is of little relevance. Yet there is one basic difference between adversarial and inquisitorial systems that relates back to differing definitions of the purpose of the process: the inquisitorial judge has the responsibility of making certain that a complete account of the relevant facts is given in court so that the verdict can be based on "the truth"; in the adversary system, by contrast, the finder of fact decides on the factual basis as it is presented by the parties, and neither the court nor the jury have the right to probe into the factual background or (in most systems) to introduce evidence on their own initiative.

Americans tend to regard trial by jury as one of the hallmarks of a civilized system of criminal justice. And it is certainly true that the vagaries of decision-making by a group of lay persons introduces into the criminal process an element of chance that often benefits the accused. On a more rational basis, one can argue that a verdict of guilty is valid only if it can be based both on the law and on the moral persuasion of a group of citizens. Paradoxically, however, decisionmaking by juries has in the United States led to an enormously complex system of rules on the presentation of evidence at trial (Damaska, 1997, pp. 28–46): the attempt to shield jurors from overly prejudicial evidence and to make difficult issues of fact and law palatable to lay persons goes a long way in explaining why American trials are so costly, protracted, and often far removed from the actual facts of the case.

Sin embargo, hay una diferencia fundamental entre los sistemas acusatorio e inquisitivo que se refiere a la propia definición de los fines del proceso: el juez del proceso inquisitivo tiene la responsabilidad de asegurar que en el juicio se reciba un relato completo de los hechos pertinentes para que la resolución final se base en "la verdad"; en cambio, en el sistema acusatorio, quien resuelve sobre los hechos se fundará en base fáctica que aporten las partes, y ni el tribunal ni el jurado tienen derecho a indagar los antecedentes de hecho o (en la mayoría de los sistemas) agregar prueba de oficio.

Los estadounidenses suelen considerar que el juicio por jurado es uno de los distintivos de un sistema de justicia penal civilizado. Y es cierto que los caprichos de la toma de decisiones por un grupo de legos introduce un elemento de azar en el proceso penal que con frecuencia beneficia al acusado. Desde un punto de vista más racional, se puede sostener que un veredicto de culpabilidad solo será válido si se puede fundar tanto en la legislación como en la convicción moral de un grupo de ciudadanos. Parajódicamente, sin embargo, en los Estados Unidos las decisiones por jurados han generado un sistema tremendamente complicado de normas sobre la presentación de la prueba en juicio (Damaska, 1997, págs. 28–46). Los esfuerzos por proteger a los jurados de pruebas demasiado perjudiciales y para que los asuntos de hecho y de derecho complejos resulten inteligibles para los legos explican por qué los juicios en los Estados Unidos resultan tan caros, largos y a menudo tan alejados de la realidad.
