Własność intelektualna
Własność intelektualna i dobra niematerialne to dobra występujące w obrocie cywilnoprawnym, nieposiadające postaci materialnej. Stanowią one wynik twórczości artystycznej, naukowej i wynalazczej, a zatem zaliczają się do nich również programy komputerowe.
Zagadnienia prawne związane z własnością intelektualną regulują różne przepisy, w tym przepisy prawa administracyjnego i karnego.
Uregulowania prawne własności intelektualnej mają swoje zakorzenienie w różnych gałęziach prawa. Podstawowymi aktami prawnymi skupiającymi się na ochronie własności intelektualnej i praw autorskich są:
• W zakresie ochrony własności intelektualnej – własności artystycznej, naukowej i literackiej, czyli prawa autorskiego – Ustawa o prawie autorskim i prawach pokrewnych (Dz.U. z 2000 nr 80, poz. 904).
• Ustawa z dnia 30 czerwca 2000 r. Prawo własności przemysłowej (Dz.U. z 2003 r. nr 11 9, poz. 11 7 ze zm., dalej także jako pwp.
Ustawy te obejmują w zasadzie wszystkie najważniejsze kwestie związane z prawem własności intelektualnej.
W ostatnim czasie popularnym stało się określanie mianem „własności intelektualnej” regulacji dotyczących prawa autorskiego, prawa patentowego i prawa o znakach handlowych mianem. Jednak określenie „własność intelektualna” w tym rozumieniu wydaje się mylne z uwagi na to, iż sugeruje ono, by traktować prawo autorskie, prawo patentowe i prawo o znakach handlowych tak, jak uregulowania dotyczące prawa własności obiektów fizycznych. Prawa własności intelektualnej nie są jednak tożsame z prawami dotyczącymi obiektów fizycznych.
Ochrona prawna a własność intelektualna
W świetle prawa ochroną własności intelektualnej – dóbr niematerialnych - objęte są dobra intelektualne od momentu ich ustalenia bez konieczności dokonywania ich rejestracji. Na podstawie umów międzynarodowych ochrona ta obowiązuje w większości krajów świata.
Jednak ochrona przedmiotów własności przemysłowej obowiązuje pod następującymi warunkami:
• Dokonania ich zgłoszenia do Urzędu Patentowego RP oraz
• wydania przez Urząd Patentowy RP decyzji w sprawie udzielenia patentu, praw ochronnych lub praw z rejestracji.
Zakres tej ochrony jest sposób ograniczony ze względu na położenie geograficzne. Obejmuje bowiem wyłącznie teren RP a ewentualne jej rozszerzenie wymaga zgłoszeń w urzędach patentowych krajów, w których mają taką ochronę.
Narzędzia ochrony własności intelektualnej
Najczęściej stosowaną i najprostszą formą ochrony dóbr niematerialnych jest utrzymanie w tajemnicy. Z punktu widzenia właściciela praw autorskich najlepszym rozwiązaniem jest nieudostępnianie informacji o przedmiocie ochrony. Jednak w przypadku oprogramowania ochrona taka staje się niemożliwa, gdyż z samej natury produkowane oprogramowanie przeznaczone jest do wykorzystania przez szeroką publiczność, która z natury rzeczy ma dostęp do przedmiotu objętego ochroną własności intelektualnej.
W zakresie ochrony rozwiązań technologicznych, a więc także i oprogramowania komputerowego, istnieje możliwość powołania się na prawo autorskie celem zabezpieczenia interesów producenta. Ochronie na podstawie prawa autorskiego podlegają wszelkiego rodzaju utwory, a w szczególności programy komputerowe, utwory literackie, filmowe zdjęcia, rzeźby, a także mapy, utwory sztuki przemysłowej lub utwory architektoniczne.
Prawo autorskie oraz Ustawa o prawie autorskim wciąż pozostaje najważniejszym narzędziem ochrony własności intelektualnej w zakresie oprogramowania komputerowego. W tym przypadku kod oprogramowania chroniony jest w sposób analogiczny do tekstu literackiego. Zapisy Ustawy o prawie autorskim mogą zakazywać kopiowania i rozpowszechniania utworu, którym w tym wypadku jest program komputerowy.

Intellectual Property
Intellectual Property and intangible goods are goods participating in civil/legal circulation and which do not possess a tangible form. They are the result of artistic, scientific and inventive activity, thus computer programs are included as forms of Intellectual Property.
Legal issues concerned with intellectual property are governed by various regulations, including administrative law and criminal law regulations.
Legal regulations of intellectual property have their roots in various branches of law. The essential pieces of legislation concentrated on protection of intellectual property and copyright are as follows:
• In the areas of protection of intellectual property – artistic property, scientific property and literary property, or copyright – Copyright and Related Rights Act (Dz.U. z 2000 nr 80, poz. 904).
• Industrial Property Right Act of 30 June 2000, (Dz.U. z 2003 r. nr 11 9, poz. 11 7 ze zm., later also referred to as “IPR Act”.
These Acts embrace essentially all most important issues concerned with intellectual property law.
Recently, it became popular to describe regulations concerned with copyright, patent law and trademarks law as intellectual property. However, the term “intellectual property” in this context seems incorrect because, as the term suggests, copyright, patent law and trademarks law should be treated in the same manner as regulations concerned with real/tangible property. Intellectual property laws are not, however, identical with laws and rights concerning rights to tangible objects.
Legal protection and Intellectual Property
By law, protection of intellectual property – intangible goods – embraces intellectual goods from the time of their creation without the necessity of their registration. According to international agreements such protection is in force in most countries in the world.
Protection of industrial property, however, is subject to the following conditions:
• Registration with the Patent Office of the Republic of Poland, and;
• An issue by the Patent Office of the Republic of Poland of a decision regarding the issue of a patent, protection rights or rights flowing from registration.
The area of such protection is limited due to geographical location. That is because it covers only the area of the Republic of Poland and its potential extension requires registration in the Patent Authorities/Offices in the countries in which they have such protection.
Mechanisms protecting intellectual property
The most often used and the simplest form of protecting intangible goods is keeping them secret. From the point of view of the owner of copyright, the best solution is making the information about the subject of protection unavailable. In case of computer programs, however, such protection becomes impossible, because by their nature the produced software is aimed to be used widely by the public, which naturally has access to the subject protected by intellectual property law.
In the area of technological solutions, thus also in computer programs, the possibility exists to adopt copyright law in order to protect the interests of the producer. All types of works, and especially computer programs, literary works, film, sculpture, likewise maps, works of craftsmanship or architectural works are subject to Copyright protection.
Copyright and the Copyright Act still remains the most important mechanism of intellectual property protection in the area of computer programs. In this case, the program’s code is protected analogically to a literary text. The provisions of the Copyright Act may prohibit copying and making a work, in this case a computer program, publicly available.

Art. 1
1. Przedmiotem Umowy jest wykonywanie przez Zleceniobiorcę za wynagrodzeniem na rzecz Zleceniodawcy usług konsultingowych na terenie RP w zakresie:

3. Moment rozpoczęcia wykonywania usług, o których mowa w ust. 1 i 2 w przypadku każdego leku wyznacza samodzielnie Zleceniodawca.
Art. 2
1. Zleceniobiorca oświadcza, że posiada odpowiednie uprawnienia i dysponuje wiedzą, doświadczeniem i kwalifikacjami niezbędnymi do prawidłowego wykonywania obowiązków wymienionych w niniejszej Umowie oraz że nie istnieją żadne przeszkody prawne i faktyczne uniemożliwiające mu ich wykonywanie.
2. Zleceniobiorca będzie wykonywał swoje obowiązki wynikające z niniejszej Umowy w miejscu i czasie dowolnie przez siebie wybranym, a za jedyne kryterium tego wyboru przyjmie optymalizację procesów, o których mowa w art.1.
Art. 3
1. Zleceniobiorca zobowiązuje się wykonywać swoje obowiązki w systemie „stand by” starannie i sumiennie, w granicach swoich kompetencji mając na względzie obowiązujące przepisy prawne oraz powszechnie respektowane zwyczaje i zasady etyki.
2. Zleceniobiorca ma obowiązek poinformować niezwłocznie Zleceniodawcę o wydarzeniach, które mogłyby utrudnić lub uniemożliwić optymalny przebieg procesów, o których mowa w art.1.
3. Zleceniobiorca nie może powierzyć wykonywania obowiązków wymienionych w niniejszej Umowie osobom trzecim bez pisemnej zgody Zleceniodawcy.
4. Zleceniodawca udzieli Zleceniobiorcy na piśmie odpowiednich pełnomocnictw do wykonywania przedmiotu niniejszej Umowy o ile polskie przepisy prawne tak stanowią lub Strony uznają to za wskazane.
Art. 4.
1. Zleceniodawca będzie zaopatrywał Zleceniobiorcę w materiały potrzebne do optymalnego wykonywania usług zawierające m.in. szczegółowe wykazy zadań, wskazówki i objaśnienia. Materiały, o których mowa w zdaniu poprzedzającym będą miały formę pisemnych opracowań.
2. Zleceniodawca będzie przekazywał materiały, o których mowa w ust.1 z własnej inicjatywy lub na prośbę Zleceniobiorcy z taką częstotliwością aby umożliwić jak najszerszą optymalizację procesów, o których mowa w art.1.
Art. 5
1. Zleceniodawca udostępni Zleceniobiorcy komputer przenośny do użytku związanego z wykonywaniem obowiązków wynikających z niniejszej Umowy.
2. Zleceniobiorca w celu prawidłowego wykonywania swoich obowiązków zapewni sobie we własnym zakresie odpowiednie siły i środki, w szczególności dostęp do:
1) Internetu,
2) wielofunkcyjnego urządzenia biurowego (faksu, skanera, drukarki, kserokopiarki),
3) telefonu komórkowego.
Art. 6
1. Zleceniobiorca, z zastrzeżeniem postanowień ust.2 ma obowiązek wykonywania pisemnych raportów z każdego miesiąca kalendarzowego obowiązywania niniejszej Umowy i przekazywania ich Zleceniodawcy nie później niż w ciągu piętnastu dni od dnia zakończenia każdego miesiąca, którego dotyczą.
2. W przypadku, gdy niniejsza Umowa będzie obejmować okres krótszy niż miesiąc kalendarzowy postanowienia ust.1 stosuje się odpowiednio.
3. Formę raportów, o których mowa w ust.1 ustala Zleceniobiorca o ile Zleceniodawca czasowo lub na stałe nie postanowi inaczej.
Art. 7
1. Za prawidłowe wykonywanie przedmiotu Umowy Zleceniobiorcy przysługuje zryczałtowane wynagrodzenie za każdy miesiąc kalendarzowy liczony od dnia jej podpisania w wysokości równowartości kwoty 1 500,00 euro brutto (słownie: jeden tysiąc pięćset euro) przeliczonej na złote polskie według zasad podanych w Ustawie z dnia 26 lipca 1991 r. o podatku dochodowym od osób fizycznych (j.t. Dz. U. Nr 14 poz. 176 z późn. zm.), z zastrzeżeniem postanowień ust.2.
2. W przypadku, gdy wynagrodzenie, o którym mowa w ust.1 obejmować będzie okres krótszy niż jeden miesiąc kalendarzowy jego wysokość oblicza się proporcjonalnie do długości tego okresu.
3. Wynagrodzenie do wypłaty obliczone będzie w sposób wskazany w art.10 na podstawie jego wysokości brutto, o której mowa w ust.1 i 2.
4. Wynagrodzenie, o którym mowa w ust.3, płatne będzie do ostatniego dnia każdego miesiąca następującego po miesiącu którego dotyczy, z zastrzeżeniem postanowień ust.5, w sposób wskazany w Załączniku nr 1.
5. Wynagrodzenie za okres od dnia 01 lipca 2007 r. do dnia podpisania niniejszej Umowy płatne będzie jednorazowo w wysokości i na zasadach wymienionych w Załączniku nr 2.
6. Oprócz wynagrodzenia, o którym mowa w ust.1 Zleceniobiorca może otrzymywać dodatkowe nagrody lub premie uznaniowe tzw. bonusy. Decyzje o ich przyznaniu podejmuje samodzielnie Zleceniodawca. Przepisy ust.3 i 4 stosuje się odpowiednio.
Art. 8
1. Zleceniobiorcy z tytułu wykonywania obowiązków, o których mowa w niniejszej Umowie będzie przysługiwać zwroty wydatków poniesionych z tytułów:
1) rozmów telefonicznych o charakterze służbowym wykonywanych z prywatnego telefonu komórkowego, lub
2) wyjazdów służbowych.
2. Zwroty wydatków, o których mowa w ust.1 nastąpią według procedury opisanej w ust. 3 -7.
3. Wydatki, o których zwrot ubiegać się będzie Zleceniobiorca muszą być stwierdzone dokumentami uwzględniającymi postanowienia ust.4 co najmniej takimi jak:
1) w przypadku rozmów telefonicznych (ust.1 pkt 1))
a) wydruki operatora telekomunikacyjnego zawierające:
wykaz rozmów telefonicznych przeprowadzonych z telefonu prywatnego z zaznaczeniem rozmów uznanych za służbowe,
obliczenie w sposób nie budzący wątpliwości kwoty przysługującej do zwrotu,
oraz
b) rachunki telefoniczne z dowodem ich zapłaty za okres, które obejmują dane wydruki, o których mowa w ust.3 pkt 1) lit. a).
2) w przypadku wyjazdów służbowych (ust.1 pkt 2))
a) druki delegacji służbowych lub własne oświadczenia o wyjazdach służbowych,
oraz
b) załączniki do dokumentów wymienionych w ust.3 pkt 2) lit. a), w szczególności ewidencje przebiegu pojazdów, którymi poruszał się Zleceniobiorca, uzupełnione odpowiednimi fakturami lub rachunkami.
4. Dokumenty, o których mowa w ust.3 powinny być wystawione, wypełnione i podpisane według zasad obowiązujących pracowników w rozumieniu przepisów polskiego prawa pracy w tym Ustawy Kodeks pracy oraz Ustawy o podatku dochodowym od osób fizycznych. W szczególności w fakturach i rachunkach w pozycji nabywcy figurować ma Zleceniobiorca.
5. W celu otrzymania zwrotów, o których mowa w ust.1 za dany okres, Zleceniobiorca jest zobowiązany do:
1) przedłożenia dokumentów opisanych w ust.3 do wstępnego zatwierdzenia osobie wyznaczonej przez Zleceniodawcę wymienionej w Załączniku nr 3. Wstępne zatwierdzenia następują przez złożenie co najmniej czytelnego podpisu.
2) przedłożenia Zleceniodawcy wstępnie zatwierdzonych dokumentów, o których mowa w ust.5 pkt 1) nie później niż do dnia przekazania mu raportów wymienionych w art.6 ust.1.
6. Zleceniodawca, z zastrzeżeniem postanowień ust.7 ostatecznie zatwierdza dokumenty, o których mowa w ust.5 pkt 2) poprzez złożenie co najmniej czytelnego podpisu i dokonuje zwrotu wydatków w sposób podany w art.7 ust.4.
7. Zleceniodawca ma prawo:
1) zwolnić Zleceniobiorcę z obowiązku wstępnego zatwierdzania dokumentów w takim zakresie, w jakim uzna to za wskazane,
2) odmówić zwrotu wydatków w uzasadnionych przypadkach w szczególności, jeżeli nie były uprzednio z nim uzgodnione.
Art. 9
1. Zleceniobiorca może także dokonywać w czasie trwania niniejszej Umowy innych wydatków w imieniu i na rzecz Zleceniodawcy w zakresie i na zasadach wymienionych w ust.2 i 3 niniejszego artykułu.
2. Wydatki, o których mowa w ust.1 muszą być:
1) uzgodnione ze Zleceniodawcą jeszcze przed ich poniesieniem,
2) udokumentowane fakturami lub rachunkami, w których w pozycji nabywcy figurować będzie Zleceniodawca.
3. Zwrot wydatków, o których mowa w ust.1 i 2 następuje według procedury wymienionej w art.8 ust. 5 – 7.
Art. 10
1. Wynagrodzenie Zleceniobiorcy do wypłaty, o którym w art.7 ust.3 Zleceniodawca obliczy z uwzględnieniem:
1) zwrotu wydatków, o których mowa w art.8,
2) składek na ubezpieczenie społeczne, o ile odpowiednie przepisy prawne tak stanowią,
3) podatku dochodowego od osób fizycznych,
4) składki na ubezpieczenie zdrowotne.
2. Niezbędne informacje o Zleceniobiorcy do celów obliczenia składek, o których mowa w ust.1 pkt 2) zawierać będzie Załącznik nr 4 do niniejszej Umowy.
3. Zleceniodawca zobowiązany jest zapłacić od wynagrodzenia, o którym mowa następujące należne podatki i składki:
1) na ubezpieczenie społeczne,
2) podatek dochodowy od osób fizycznych,
3) na ubezpieczenie zdrowotne.
4. Zleceniodawca zobowiązany jest także wykonać wszystkie obowiązki sprawozdawcze wymienione w odnośnych przepisach prawnych związane z wypłatami, o których mowa w ust.3.
Art. 11
1. Umowa zostaje zawarta na czas nieokreślony i wchodzi w życie z dniem podpisania z mocą od 01 lipca 2007 r.
2. Rozwiązanie niniejszej Umowy przez każdą ze Stron może nastąpić w następujących przypadkach:
1) za jednomiesięcznym wypowiedzeniem, dokonanym ze skutkiem na koniec miesiąca kalendarzowego,
2) w trybie natychmiastowym na zasadach określonych w ust.3 - 5,
3) za porozumieniem Stron w każdym czasie.
3. Zleceniodawca może rozwiązać niniejszą Umowę w trybie natychmiastowym, o którym mowa w ust.2 pkt 2) jeżeli Zleceniobiorca :
1) dopuścił się jakiegokolwiek zachowania niezgodnego z polskim prawem lub etyką zawodową, mającego wpływ na działalność Zleceniodawcy lub któregokolwiek przedsiębiorstwa stanowiącego składnik stworzonej przez niego grupy kapitałowej,
2) nie stosuje się bez uzasadnionej przyczyny do zgodnych z polskim prawem wskazówek Zleceniodawcy.
4. Zleceniobiorca może rozwiązać niniejszą Umowę w trybie natychmiastowym, o którym mowa w ust.2 pkt 2) jeżeli Zleceniodawca:
1) dopuścił się jakiegokolwiek zachowania niezgodnego z polskim prawem lub etyką zawodową, mającego wpływ na działalność Zleceniobiorcy,
2) nie stosuje się bez uzasadnionej przyczyny do zgodnych z polskim prawem wskazówek i instrukcji Zleceniobiorcy,
3) stał się niewypłacalny, znajduje się w stanie upadłości lub likwidacji (przeprowadzanej w innym celu niż reorganizacja).
5. Jeżeli, z zastrzeżeniem postanowień ust.6, jedna ze Stron nie wywiązuje się z postanowień niniejszej Umowy, w szczególności dopuszcza się zwłoki w wykonaniu zobowiązań z niej wynikających lub uchyla się od wypełniania przyjętych na siebie obowiązków, druga Strona wyznaczy jej dodatkowy czternastodniowy termin do usunięcia uchybień i dopiero w razie bezskutecznego jego upływu będzie uprawniona do rozwiązania Umowy w trybie, podanym w ust.2 pkt 2). Termin, o którym mowa w zdaniu poprzedzającym może być przedłużony lub skrócony na podstawie uzgodnień Stron.
6. Jeżeli nie wywiązywanie się z postanowień Umowy następuje z przyczyn niezależnych od Strony, w szczególności, gdy zachodzą okoliczności opisane w art.15 ust.2 wówczas trybu opisanego w ust.2 pkt 2) niniejszego artykułu nie stosuje się.
7. W przypadku rozwiązania Umowy w drodze wypowiedzenia, o którym mowa w ust.2 pkt 1) Zleceniobiorca zobowiązany jest:
1) za miesiąc, w którym kończy się okres wypowiedzenia – wykonać na jej zasadach wszystkie czynności okresowe będące jej przedmiotem,
2) w terminach wcześniej ustalonych – wykonać na jej zasadach inne czynności obejmujące jej przedmiot jeżeli zostały zlecone przed dniem dokonania wypowiedzenia,
3) zwrócić Zleceniobiorcy pobrany sprzęt, w szczególności komputer przenośny najpóźniej w ostatnim dniu okresu wypowiedzenia o ile Strony nie postanowią inaczej.
Art. 12
1. Zleceniobiorca przenosi na Zleceniodawcę autorskie prawa majątkowe do każdego utworu w rozumieniu przepisów Ustawy o prawach autorskich i prawach pokrewnych, stworzonego przez siebie na podstawie obowiązków wykonywanych w trakcie realizacji niniejszej Umowy.
2. Zleceniodawcy przysługuje prawo do wykorzystywania i rozpowszechniania metod, procedur i sposobów działania stosowanych przez Zleceniobiorcę w trakcie wykonywania obowiązków wynikających z niniejszej Umowy.
Art. 13
1. Zleceniobiorca w czasie trwania niniejszej Umowy, a także przez okres dwóch lat od dnia jej rozwiązania, jest zobowiązany pod rygorem odpowiedzialności odszkodowawczej do zachowania w tajemnicy wszystkich informacji związanych ze Zleceniodawcą z uwzględnieniem postanowień ust. 2, w szczególności dotyczących spraw technicznych, technologicznych, organizacyjnych, księgowych, finansowych, handlowych, cenowych, personalnych, statystycznych, chyba że stan tajemnicy wobec tych informacji ustał lub są one znane publicznie a także wtedy gdy ich ujawnienia zażąda uprawniony do tego organ władzy administracyjnej, sądowej lub pozasądowej.
2. Poprzez zachowanie tajemnicy, o której mowa w ust. 1 Strony rozumieją w szczególności zobowiązanie do nie ujawniania lub nie wykorzystywania informacji dotyczących Zleceniobiorcy lub któregokolwiek z przedsiębiorstw stanowiących składnik stworzonej przez niego grupy kapitałowej w jakiejkolwiek formie wobec osób trzecich.
3. W celu prawidłowej realizacji zobowiązania, o którym mowa w ust. 1 Zleceniobiorca powinien zabezpieczyć i otoczyć należytą ochroną będące w jego posiadaniu dotyczące niniejszej Umowy komputerowe systemy przetwarzania danych oraz bazy tych danych przed dostępem osób nieuprawnionych, zaborem, zniszczeniem lub uszkodzeniem oraz jest obowiązany do niezwłocznego zawiadomienia Zleceniodawcy o każdym usiłowaniu lub dokonaniu takich czynów.
4. Zleceniobiorca i Zleceniodawca są także zobowiązani do zachowania w tajemnicy wszystkich postanowień niniejszej umowy i skutków przez nią wywołanych.
5. Zleceniodawca może zwolnić w całości lub części Zleceniobiorcę z obowiązków zachowania tajemnicy, o których mowa w ust. 1 i 4 lub z powinności, o których mowa w ust. 3.
Art. 14
1. Zleceniobiorca w czasie trwania niniejszej Umowy, a także przez okres dwóch lat od dnia jej rozwiązania, jest zobowiązany pod rygorem odpowiedzialności odszkodowawczej do powstrzymania się od wszelkiej działalności konkurencyjnej wobec Zleceniodawcy z zastrzeżeniem postanowień ust. 2 i 3.
2. Zleceniodawca może zwolnić w części lub w całości Zleceniobiorcę z obowiązków, o których mowa w ust. 1.
3. Za działalność konkurencyjną, o której mowa w ust.1 Strony uważać będą, w szczególności:
1) świadczenie usług w identycznym lub podobnym zakresie, o którym mowa w art.1 osobom trzecim prowadzącym działalność konkurencyjną wobec Zleceniodawcy,
2) prowadzenie działalności gospodarczej na własny rachunek lub na rachunek osób trzecich polegającej na świadczeniu usług w identycznym lub podobnym zakresie, o którym mowa w art.1,
3) wykonywanie czynności, o których mowa w art.1 w charakterze pracownika w rozumieniu przepisów Kodeksu pracy.
4. Zleceniodawca korzystając z prawa, o którym mowa w ust. 2 niniejszym zwalnia Zleceniobiorcę z obowiązków wymienionych w ust. 1 w odniesieniu do wszystkich jego działań na rzecz swojego pracodawcy tj. Spółki z o.o. Premier Research Poland z siedzibą w Warszawie, 02-785 Warszawa ul. Puławska 303, posiadającej NIP 113-21-07-712.
Art. 15
1. Odpowiedzialność Stron tj. Zleceniobiorcy i Zleceniodawcy za należyte wykonywanie postanowień niniejszej Umowy określają odpowiednie przepisy Kodeksu cywilnego.
2. Żadna ze Stron nie ponosi odpowiedzialności, o której mowa w ust.1 z zastrzeżeniem postanowień ust.3, jeżeli nie wykonała swoich obowiązków lub wykonała je nienależycie wskutek okoliczności niezależnych od niej tj. okoliczności, o których nie wiedziała i nie mogła ich przewidzieć lub którym nie mogła zapobiec pomimo dołożenia należytej staranności. Okolicznościami takimi mogą być w szczególności zmiany przepisów prawnych, wydanie lub niewydajnie stosownych decyzji przez organy administracji publicznej, klęski żywiołowe, strajki, zamieszki, wojny, choroby Zleceniobiorcy uniemożliwiające mu podejmowanie działań.
3. Zwolnienie Strony z odpowiedzialności, o której mowa w ust.2 następuje pod warunkiem:
1) natychmiastowego i skutecznego zawiadomienia drugiej Strony o zajściu okoliczności opisanych w ust.2 zdanie drugie,
2) natychmiastowego wznowienia stosownych działań po ustąpieniu przyczyn napisanych w ust.2 zdanie drugie, chyba że Strony postanowią inaczej.
4. Zleceniobiorca zobowiązany jest wykupić ubezpieczenie od odpowiedzialności cywilnej z tytułu wykonywania usług, o których mowa w art.1. Sumę gwarancyjną takiej polisy w stosunku do jednego zdarzenia określa Załącznik nr 5 do niniejszej Umowy. Polisę Zleceniobiorca zobowiązany jest wykupić w ciągu 14 (czternastu) dni od dnia podpisania niniejszej Umowy.
Art. 16
1. Formy pisemnej pod rygorem nieważności, z zastrzeżeniem postanowień ust.2 wymagają:
1) wszelkie zmiany i uzupełnienia niniejszej Umowy oraz oświadczenia woli o jej rozwiązaniu,
2) związane z niniejszą Umową informacje inne niż wymienione w ust.1 pkt 1), w szczególności oświadczenia, wezwania, zawiadomienia, wnioski, informacje i uzgodnienia.
2. W przypadku informacji, o których mowa w ust.1 pkt 2) Strony dopuszczają również formę poczty elektronicznej lub faksu, z uwzględnieniem postanowień ust.3.
3. Formy wyrażania informacji, o których mowa w ust.2 wymagają dla swej ważności:
1) w przypadku poczty elektronicznej – posiadania przez nadawcę co najmniej wydruku potwierdzenia, że wiadomość została wyświetlona na komputerze odbiorcy,
2) w przypadku faksu - posiadanie przez nadawcę co najmniej wydruku potwierdzenia, że wiadomość została wysłana do odbiorcy.
4. Doręczenia dokumentacji, o której mowa w ust.1 pkt 1) będą dokonywane poprzez odbiór osobisty, listami poleconymi lub pocztą kurierską.
5. Doręczenia dokumentacji, o której mowa w ust.1 pkt 2) będą dokonywane sposobami wymienionymi w ust.4 a także za pośrednictwem poczty elektronicznej lub faksu.
6. Przesyłkę wysłaną listem poleconym za potwierdzeniem odbioru lub pocztą kurierską uważa się za doręczoną z upływem 14 (czternastego) dnia od daty pierwszego awizowania, chyba że została doręczona wcześniej. Powyższe dotyczy także przesyłki nie odebranej.
7. Każda ze Stron ma obowiązek zawiadomić drugą o wszelkich zmianach danych niezbędnych do doręczeń, w szczególności adresów podanych w nagłówkach niniejszej umowy, adresów poczty elektronicznej oraz numerów faksów, pod rygorem uznania doręczenia lub wysłania wiadomości na ostatnio podany adres lub numer za skuteczne.
Art. 17
1. Niniejsza Umowa:
1) jest zgodna z polskim prawem i mu podlega,
2) została sporządzona w języku polskim,
3) będzie interpretowana wyłącznie na podstawie polskich przepisów prawnych.
2. Strony dopuszczają możliwość posługiwania się tłumaczeniem niniejszej Umowy na język angielski z tym, że wiążącym dla Stron jest wyłącznie jej tekst w języku polskim.
3. Rozstrzyganie sporów związanych z realizacją przedmiotu niniejszej Umowy należy wyłącznie do właściwości odpowiednich polskich sądów.
Art. 18
We wszystkich sprawach nieuregulowanych niniejszą Umową mają zastosowanie odpowiednie przepisy prawa polskiego, w szczególności Kodeksu cywilnego.
Art. 19
Umowę sporządzono w trzech jednobrzmiących egzemplarzach, odczytano, przyjęto i podpisano.

Art. 1
1. The subject of this agreement is the performance of consulting services by the Contractor for the benefit of the Principal, in consideration for a remuneration, in the area of the Republic of Poland regarding:
1) creating procedures and structures concerning the monitoring and security of the application of medication,
2) monitoring of the security of medication applications,
3) reporting of the current state of monitoring of the security of medication applications,
4) advice in the area of activities and procedures mentioned in sec. 1 (1-3) of this Article.
2. The services mentioned in sec.1 shall be performed by the Contractor in relation to the medications indicated by the Principal.
3. The commencement of the performance of the services mentioned in sec. 1 and 2 in regards to every medication is determined by the Principal alone.
Art. 2
1. The Contractor hereby states to possess appropriate certifications and knowledge, as well as the experience and qualifications necessary for the correct performance of the duties mentioned in this Contract, and that there exist no barriers whatsoever of legal and/or factual nature, which would prevent their performance.
2. The Contractor shall perform her duties flowing from this Contract at the time and place determined freely by herself, the only criteria for such a determination being the optimisation of the processes mentioned in Art.1.
Art. 3
1. The Contractor undertakes to perform her duties on a "stand by" basis, in a careful and conscientious manner within her competences, having regard to the existing legal regulations, as well as to abide by the generally respected customs and rules of ethics.
2. The Contractor’s duty is to immediately inform the Principal about issues which could hinder or prevent the optimal flow of the processes mentioned in Art. 1.
3. The Contractor is not allowed to sub-contract the duties mentioned in this Contract to third persons without a written permission from the Principal.
4. The Principal shall provide the Contractor in writing with adequate authorisations for the performance of the subject matter of this Contract insofar the Polish laws and regulations so prescribe or if the parties decide such authorisations to be desirable.
Art. 4.
1. The Principal shall provide the Contractor with materials necessary for the optimal performance of the services including, among others, detailed task itemisation, instructions and explanations. The materials mentioned in the preceding sentence shall be in the form of written specifications.
2. The Principal shall deliver the materials mentioned in sec. 1 on its own initiative or as a result of a request from the Contractor, with the frequency allowing the widest possible optimisation of the processes mentioned in Art. 1.
Art. 5
1. A portable computer (laptop) shall be made available by the Principal to the Contractor for the use related to the performance of the duties flowing from this Contract.
2. In order to properly perform her duties, the Contractor shall on her own secure appropriate resources and means and, in particular, the access to:
1) the Internet,
2) a multifunctional office device (fax, scanner, printer, copier),
3) a mobile (cellular) phone.
Art. 6
1. The Contractor, subject to the provisions contained in sec. 2, has the obligation to prepare written reports from every calendar month as long as this Contract is in force, and to deliver these reports to the Principal not later than during fifteen days from the last day of the month the reports relate to.
2. In case this Contract covers a period shorter than a calendar month, the provisions contained in sec. 1 will be applied appropriately.
3. The form of the reports mentioned in sec. 1 shall be prescribed by the Contractor, unless the Principal temporarily or generally decides otherwise.
Art. 7
1. In return for proper performance of the subject matter of the Contract, the Contractor is entitled to a flat rate remuneration for every calendar month, counting from the date of signing of the Contract, equal to EUR 1,500.00 gross (in words: one thousand five hundred Euros) converted to PLN according to the rules stated in the Act on Personal Income Tax of 26 July 1991 [Ustawa o podatku dochodowym od osób fizycznych] (Consolidated Text - Dz. U. (Journal of Laws) No.14, Item 176, as amended), subject to provisions under sec. 2.
2. In case the remuneration period mentioned in sec.1 lasts for a period shorter than one calendar month, its amount shall be counted proportionally to the length of such period.
3. The remuneration to be paid out will be counted according to the method specified in Art. 10, based upon its gross amount mentioned in sec. 1 and 2.
4. The remuneration mentioned in sec. 3 shall be paid by the last day of every month after the month it refers to, subject to provisions in sec. 5, and according to the method specified in Annex 1.
5. The remuneration for the period starting on 01 July 2007 until the date of the signing of this Contract shall be paid once, in the amount and according to the rules specified in Annex 2.
6. Apart from the remuneration mentioned in sec. 1, the Contractor may receive additional appreciation awards or premiums, so-called bonuses. The decisions regarding their award shall be made by the Principal alone. The provisions in sec. 3 and 4 shall be applied respectively.
Art. 8
1. Due to the performance of the duties mentioned in this Contract, the Contractor shall be entitled to the reimbursement of her expenses incurred due to:
1) work-related telephone conversations from a private mobile (cellular) phone, or
2) business trips.
2. The reimbursements mentioned in sec.1 shall occur according the procedure explained in sec. 3 -7.
3. The expenses the Contractor is to apply to be reimbursed for must be confirmed by documentation complying with requirements specified under sec. 4, including at least the following:
1) in case of telephone conversations (sec. 1 (1))
a) telecommunications operator’s billing printouts including:
itemisation of telephone conversations conducted from a private telephone indicating conversations recognised as business-related,
the calculation of the reimbursement amount in a clear manner involving no doubt,
and
b) telephone bills accompanied by a payment proof for the period covering the printouts mentioned in sec. 3 (1) (a).
2) in case of business trips (sec. 1 (2)):
a) business trip forms or own statements regarding business trips,
and
b) attachments to the documents mentioned in sec. 3 (2) (a), and especially the vehicle mileage record of the vehicles used by the Contractor, supplemented by adequate invoices or bills.
4. The documents mentioned in sec. 3 should be issued, filled-out and signed according to the rules applying to employees, as defined in Polish employment law, including the Labour Code [Ustawa Kodeks pracy] and the Act on Personal Income Tax. In particular, the Contractor must be stated as the purchaser in the invoices and bills.
5. In order to receive reimbursements mentioned in sec. 1 for a certain period, the Contractor is obliged to:
1) submit to the person designated by the Principal and mentioned in Annex 3 the documents mentioned in sec. 3 for an initial confirmation. Initial confirmations occur by the application of an at least readable signature.
2) submit to the Principal the initially confirmed documents mentioned in sec. 5 (1) no later than by the day of the delivery to the Principal of the reports mentioned in Art. 6, sec. 1.
6. The Principal, subject to the provisions under sec. 7, finally confirms the documents mentioned in sec. 5 (2) by the application of an at least readable signature, and performs the reimbursement of the expenses in a manner specified in Art. 7, sec. 4.
7. The Principal has the right to:
1) exempt the Contractor from the duty of initial document confirmation, to the extent deemed appropriate by the Principal,
2) refuse to reimburse the expenses in substantiated cases and, in particular, when such expenses have not been previously agreed upon.
Art. 9
1. As long as this Contract remains in force, the Contractor may also incur other expenses in the name and on behalf of the Principal, within the scope and according to the terms mentioned in sec. 2 and 3 of this Article.
2. The expenses mentioned in sec. 1 must be:
1) agreed upon with the Principal before they are incurred,
2) documented by invoices or bills in which the Principal appears as the purchaser.
3. The reimbursement of expenses mentioned in sec. 1 and 2 occurs according to the procedure mentioned in Art. 8, sec. 5 – 7.
Art. 10
1. The remuneration to be paid to the Contractor, mentioned in Art.7 sec. 3, will be counted by the Principal with the consideration of:
1) the reimbursement of expenses mentioned in Art. 8,
2) social insurance contributions, insofar it is prescribed by appropriate law,
3) personal income tax,
4) health insurance contributions.
2. Information concerning the Contractor, necessary for the accounting of contributions mentioned in sec. 1 (2), will be included in Annex 4 to this Contract.
3. The Principal is required to pay the following taxes and contributions related to the previously mentioned remuneration:
1) social insurance contributions.
2) personal income tax,
3) health insurance contributions.
4. The Principal is also required to perform all reporting duties mentioned in the corresponding laws concerning payments mentioned in sec. 3.
Art. 11
1. This Contract is concluded for an indefinite term period and enters into force on the day of signing, with effect from 01 July 2007.
2. The termination of this Contract by any of the parties may take place in the following manners:
1) with a monthly notice made effective at the end of the calendar month,
2) with immediate effect according to the provisions in sec. 3-5,
3) at any time by mutual agreement of the Parties.
3. The Principal may terminate this Contract with immediate effect, as mentioned in sec. 2 (2), if the Contractor:
1) behaves in any manner which is not in accordance with the Polish Law or professional ethics, which behaviour has an impact upon the Principal’s business or the business of any member firm of the capital group established by the Principal,
2) does not, without reasonable justification, follow any instructions abiding by the Polish law, which were provided by the Principal.
4. The Contractor may terminate this Contract with immediate effect, as mentioned in sec. 2 (2), if the Principal:
1) behaves in any manner which is not in accordance with the Polish Law or professional ethics, which behaviour has an impact upon the Contractor’s business,
2) does not, without reasonable justification, follow any instructions abiding by the Polish law, which were provided by the Contractor,
3) becomes insolvent, is in the state of bankruptcy or in the process of liquidation (conducted for a purpose other than re-organisation).
5. If, subject to sec.6 provisions, one of the Parties fails to fulfil the terms of this Contract and, in particular, allows delays in the performance of the obligations included therein, or avoids the fulfilment of the contractually imposed obligations, the other Party shall allow the Party in question an additional fourteen-day period in which to remove the oversights and, only in case such time passes without the achievement of the required results, the other Party shall be entitled to terminate this Contract in the manner prescribed in sec. 2 (2). The period of time mentioned in the preceding sentence may be prolonged or shortened by mutual agreement of the Parties.
6. If the non-performance of the terms of this Contract occurs due to reasons not dependant on the Party, in particular in the presence of circumstances described in Art. 15, sec. 2, the procedure described in sec. 2 (2) of this Article does not apply.
7. In case of termination of this Contract by notice, as mentioned in sec. 2 (1), the Contractor is required to:
1) perform all contractual obligations for the period concerned, that is for the month in which the notice expires,
2) to perform, according to the contractual terms and within a pre-agreed time-frame, all other tasks being the subject matter of this Contract, if such tasks were ordered prior to the giving of notice,
3) return to the Principal the collected equipment, in particular the portable computer (laptop), no later than on the last day of the notice period, unless the Parties otherwise decide.
Art. 12
1. The Contractor transfers to the Principal copyright to all works, as defined under the Copyright and Related Rights Act [Ustawa o prawie autorskim i prawach pokrewnych], created by the Contractor in performance of her duties hereunder.
2. The Principal has the right to use and publish the methods, procedures and ways of conduct employed by the Contractor during the performance of her contractual duties hereunder.
Art. 13
1. While this Contract remains in force, and for two additional two years after the day of its termination, the Contractor remains obliged, under the liability for damages, to keep all information concerning the Principal in secrecy, taking account of the provisions under sec. 2, in particular the information concerning technical, technological, organisational, accounting, financial, trade-related, price, personal and statistical issues, unless the secrecy of such information has ceased or the information has become publicly known, as well as when the publication of such information is demanded by an administrative, judicial or extra-judicial institution.
2. By “keeping the information in secrecy" which is mentioned in sec. 2, the Parties shall, in particular, understand the obligation not to release or use any information concerning the Principal or any member firm of the capital group established by the Principal in any way vis-a-vis third persons.
3. In order to properly fulfil the obligations under sec. 1, the Contractor should secure and provide adequate protection of the data processing computer systems and databases related to this Contract which are in the Contractor’s possession, and to protect them from access by unauthorised persons, seizure, destruction or damage, and is required to immediately notify the Principal about any attempted or actual commitment of such deeds.
4. The Contractor and the Principal are also required to keep all terms and conditions of this Contract and the outcomes flowing from it in secrecy.
5. The Principal may exempt the Contractor fully or partially from the secrecy duty mentioned in sec. 1 and 4, or from the requirements mentioned in sec. 3.
Art. 14
1. While this Contract remains in force, and for additional two years after the day of its termination, the Contractor remains obliged, under the liability for damages, to refrain from any activity which is competitive with that conducted by the Principal, subject to provisions under sec. 2 and 3.
2. The Principal may exempt the Contractor fully or partially from the duties mentioned in sec. 1.
3. As ‘competitive activity’ mentioned in sec. 1, the Parties shall understand in particular:
1) provision to third persons acting in competition with the Principal of services identical or similar in scope to the subject matter mentioned in Art. 1,
2) engagement in a commercial activity which is based upon services identical or similar in scope to the subject matter mentioned in Art. 1, on her own behalf or on behalf of third persons,
3) performance of activities mentioned in Art. 1 as an employee, as defined in the Labour Code [Ustawa Kodeks pracy].
4. The Principal, exercising its right mentioned in sec. 2, hereby exempts the Contractor from the duties mentioned in sec. 1 in regards to all of the Contractor's actions on behalf of her employer, i.e. Premier Research Poland Spółka z o.o. with headquarters at: ul. Puławska 303, 02-785 Warszawa, the holder of NIP (Tax Identification Number) 113-21-07-712.
Art. 15
1. The responsibilities of the Parties, i.e. the Contractor and the Principal, for proper fulfilment of the terms and conditions of this Contract are specified in appropriate regulations of the Civil Code [Kodeks Cywilny].
2. None of the Parties bears the responsibility mentioned in sec.1, subject to the provisions under sec. 3, if the Party did not perform its duties, or performed them incorrectly, due to circumstances not dependent on that Party, i.e. the circumstances the Party did not know about and could not anticipate, or which circumstances the Party could not prevent despite proper diligence and care. Such circumstances can include, in particular, changes in the law, the making or not making of appropriate decisions by the public administration authorities, natural disasters, strikes, riots, wars, an illness of the Contractor which prevents the Contractor from the undertaking of activities.
3. A Party can be exempted from responsibility under sec. 2 under the following conditions:
1) immediate and successful notification of the other Party of the circumstances described in the second sentence of sec. 2,
2) immediate resumption of adequate actions once the causes described in sec. 2 cease to exist, unless it is otherwise mutually agreed by the Parties.
4. The Contractor is required to purchase a civil liability insurance covering the performance of services mentioned in Art. 1. The sum guaranteed under such policy in respect of a single event is described in Annex 5 to this Contract. The Contractor is required to purchase such policy during the first 14 (fourteen) days from the day of the signing of this Contract.
Art. 16
1. Written form under pain of nullity, subject to the provisions under sec. 2, shall be required in:
1) all changes and supplements of this Contract and declarations of will to terminate it,
2) information concerning this Contract, other than that mentioned in sec. 1 (1), in particular any statements, appeals, notifications, applications, information and agreements.
2. In case of information mentioned in sec. 1 (2), the Parties, subject to provisions under sec. 3, also allow the communication form by electronic mail or a fax.
3. To be valid, the forms of communicating information mentioned in sec. 2 require:
1) in the case of electronic mail – the sender is required to be in the possession of at least a printout confirming that the message has been displayed on the receiver’s computer,
2) in the case of fax – the sender is required to be in the possession of at least a printout confirming that the message has been sent to the receiver.
4. The delivery of documentation mentioned in sec. 1 (1) shall be performed by personal collection, registered mail or by courier.
5. The delivery of documentation mentioned in sec. 1 (2) shall be performed by the use of the methods mentioned in sec. 4, as well as by electronic mail and fax.
6. An item sent by registered mail with a confirmation of receipt or by courier mail is treated as delivered at the end of the 14th (fourteenth) day from the date of the first notification, unless it is delivered earlier. The above also refers to an uncollected item.
7. Each of the Parties is under the duty to notify the other Party about any changes of details necessary for delivery, in particular the addresses specified in the heading of this Contract, electronic mail addresses and fax numbers; otherwise, the delivery or dispatch of information to the most recently communicated address or number can be treated as delivered.
Art. 17
1. This Contract:
1) complies with and is subject to the Polish law,
2) was prepared in the Polish language,
3) shall be interpreted exclusively on the basis of the Polish law provisions.
2. The Parties allow the possibility to use an English translation of this Contract, however, its Polish version is the only text which is binding for the Parties.
3. Dispute resolution regarding the subject matter of this Contract remains exclusively under the jurisdiction of appropriate Polish courts.
Art. 18
All other issues which are not regulated by this Contract shall be subjected to appropriate Polish laws, and in particular to the Civil Code [Kodeks cywilny].
Art. 19
This Contract has been drawn up in triplicate, read, approved and signed.

I was born and brought up in Poland. I studied Economics (Foreign Trade Faculty) in Warsaw for 3 years, then (1983) moved to Denmark where I studied Economics for 1 year and film for 1 year. I was employed as a translator and Interpreter (English-Polish and Polish-English) at the Australian Embassy (Immigration Section) in Copenhagen for approximately 6 years. I migrated to Australia in 1988.
I studied Information Technology for a few years. After that I studied Law and International Business at the Griffith University in Brisbane, became admitted as a Solicitor of the Supreme Court of Queensland and worked for a while as a lawyer and a translator. Additionally I completed a Masters degree - Master of Laws in Intellectual Property Law.
I decided that I prefer translation work to working as a lawyer...
I am reliable, confident, experienced, conscientious and very well organised.
Regarding legal Danish translations: I believe I prefer to translate from Polish/Danish to English, but can also do the opposite (not to Danish, though).
As my education indicates, I specialise in law and international business, business and commerce in general, but I also enjoy translating literature and texts of a more general nature.
