OF
CJ INTERNATIONAL HOLDINGS, LLC
This Limited Liability Company Agreement (this "Agreement"), made as of the 16th day of June ,. 2003 by and among Charles L. Rosenzweig, residing at 9 Hadley Road, Armonk, New York 10504, Jeffrey S. Rosenzweig, residing at 453 Sterling Road, Harrison, New York 10528, and such other Persons who hereafter become parties hereto (collectively, the "Members").
WHEREAS, the parties have formed a limited liability company and wish to enter into this Agreement as to the conduct of the business and affairs of such company.
NOW, THEREFORE, the parties hereto agree as follows:
ARTICLE I
DEFINITIONS
1.1. As used herein, the following terms and phrases shall have the meanings indicated:
"Act" shall mean the Delaware Limited Liability Company Act, as amended from time to time, and any successor thereto.
"Capital Account" shall have the meaning set forth in Section 5.1.
"Capital Contribution" shall mean the fair market value of any contribution by any Member to the capital of the Company in cash, property or services rendered, or by promissory note or other obligation to contribute cash or property.
"Company" shall mean CJ International Holdings, LLC.
"Code" shall mean the Internal Revenue Code of 1986, as amended from time to time, or corresponding provisions of any succeeding laws.
"Distribution" shall mean any cash or other property transferred to a Member by the Company in accordance with Section 7.1.
"Economic Risk of Loss" shall have the meaning set forth in Treas.Reg.Sec. 1.752-2(bx l ).
"Excess Negative Capital Account Balance" shall have the meaning set forth in
Section 6.2.
"Initial Members" shall mean Charles L. Rosenzweig and Jeffrey S. Rosenzweig.
"Members" shall mean the persons designated as such in this Agreement, any successor(s) to their interests as such in the Company, and any other person who pursuant to this Agreement shall become a Member; and any reference to a "Member" shall be to any one of the then Members.
"Managers" shall mean Charles L. Rosenzweig, Jeffrey S. Rosenzweig and any additional or substitute Manager chosen in accordance with Section 4.5.
"New Members" shall have the meaning set forth in Section 9.1. "Membership Interest" shall have the meaning set forth in Section 3.2.
"Person" shall mean any natural person, corporation, partnership, joint venture, association, limited liability company or other business or legal entity.
"Profits" and "Losses" shall mean an amount equal to the Company's taxable income or loss for each fiscal year or other year, determined in accordance with Code Sec. 703(a) (for this purpose, all items of income, gain, loss or deduction required to be stated separately pursuant to Code Sec. 703(a)(1) shall be included in taxable income or loss) with the following adjustments:
(i) any income of the Company that is exempt from Federal income tax shall be added to such taxable income or subtracted from such loss; and
(ii) any expenditures of the Company described in Code Sec. 705(a)(2)(B) or treated as Code Sec. 705(a)(2)(B) expenditures pursuant to Treas. Reg. Sec. 1.704-1 (b)(2)(iv)(1), and not otherwise taken into account in computing taxable income or loss pursuant thereto, shall be subtracted from such taxable income or added to such loss; and
(iii) any item that is specially allocated pursuant to Section 6.2 shall not be taken into account in computing Profits or Losses.
"Qualified Income Offset Agreement" or "QIOA" shall have the meaning set forth in Section 6.2.
"Substitute Members" shall have the meaning set forth in Section 10.1.
"Taxable Income" shall mean the excess of cumulative taxable income over cumulative taxable losses.
"Tax Matters Member" shall have the meaning set forth in Section 8.5.
"Treas. Reg." shall mean all final, temporary and proposed regulations promulgated under the Code.
"Units" shall have the meaning set forth in Section 3.1.
ARTICLE II
ORGANIZATION OF THE COMPANY
2.1. The name of the limited liability company is CJ International Holdings, LLC.
2.2. The purpose of the Company is to act as a holding company for overseas entities which are engaged in real estate, with the possibility of expanding into various other areas as may be declared by the Manager.
2.3. The principal office of the Company shall be located at c/o United Corporate Services, 15 East North Street, Dover, Delaware 19901, or such other place or places as the Managers may designate from time to time.
2.4. The term of the Company commenced on the date on which its Certificate of Formation was filed with the Delaware Secretary of State and shall continue until the Company is dissolved pursuant to this Agreement or the Act.
ARTICLE III
MEMBERS AND MEMBERSHIP INTERESTS
3.1 The ownership interests in the Company shall be represented in the form of units (each a "Unit"). The Initial Members of the Company and the number of Units held by each are listed on Exhibit A hereto. The name of each New Member and the number of Units held by such New Member shall be entered on Exhibit A hereto at the time such New Member is admitted as a Member of the Company.
3.2 As used herein, a Member's "Membership Interest" in the Company is that Member's percentage interest in the assets, liabilities, capital, Profits and Losses of the Company. Each Membership Interest shall be personal property for all purposes. The Membership Interest of each Member, at a particular time, shall be equal to 100%, multiplied by a fraction the numerator of which is the number of Units held by such Member at the time and the denominator of which is the total number of Units held by all Members at the time.
3.3. New Members may be admitted into the Company as provided for in Article IX, and Substitute Members as provided for in Article X, of this Agreement. Unless named in this Agreement, or admitted to the Company as a New Member as provided in Section 9.1 hereto or a Substitute Member as provided in Section 10.1 hereto, no Person shall be considered a Member of the Company, and the Company need deal only with the Members so admitted. The Company shall not be required to deal with any other Person by reason of an assignment by any Member or by reason of the dissolution, death or bankruptcy of any Member, except as otherwise provided in this Agreement.
3.4. Members shall not have the right to vote on any matter, except as provided in Section 4.5 hereto.
3.5. No Member shall be bound by, or be personally liable for the expenses, liabilities or obligations of the Company.
3.6. No Member shall be entitled to withdraw any part of its Capital Account or to receive any distributions from the Company except as expressly provided in this Agreement.
3.7. No Member shall be entitled to any fees, commissions or other compensation from the Company for any services rendered to or performed for the Company, except as provided in this Agreement or in a written agreement between the Company and such Member.
3.8. No Member may withdraw or resign from the Company prior to the dissolution and winding up of the Company.
ARTICLE IV
MANAGEMENT
4.1. The management and operations of the business and affairs of the Company shall be conducted and controlled solely and exclusively by the Managers who shall act unanimously.
4.2. The Managers may amend this Agreement to reflect the addition or substitution of Members in accordance with this Agreement and to make such other amendments to this Agreement as they deem appropriate; provided, however, except as otherwise provided herein, no amendment may be made to this Agreement without the written consent of each Member adversely affected thereby, which (i) increases the obligation of such Member to make contributions, (ii) alters the allocation for tax purposes of any items of income, gain, loss, deduction or credit, (iii) alters the manner of computing the Distributions to such Member, (v) alters the Membership Interest or Capital Account of such Member, or (vi) alters the voting or other rights of such Member.
4.3. The Managers shall not be liable or accountable in damages or otherwise to the Company or to the Members for any failure to take any action or for the taking of any action within the scope of authority conferred on them by this Agreement, made in good faith ("Permitted Acts"). The Managers shall not be liable to the Members because any taxing authorities disallow or adjust any deductions or credits in the Company's income tax returns or for the return of all or any portion of the Capital Contributions of the Members. A Manager shall be liable, responsible and accountable in damages to the Company and to the Members for any acts performed by such Manager arising out of or resulting from the fraud, criminal action or bad faith of such Manager or from the failure of such Manager to comply in any material respect with any covenant herein ("Excluded Acts"). Nothing in this paragraph shall be deemed to make a Manager liable, responsible or accountable to Persons other than the Company or the Members.
4.4. Each Manager shall be entitled to indemnity from the Company on account of any claim, liability, action or damage arising from or relating to any Permitted Acts and on account of all reasonable attorney's fees and disbursements incurred in connection therewith. A Manager shall not be entitled to indemnity from the Company on account of any claim, liability, action or damage arising from or relating to any of such Manager's Excluded Acts. Any indemnity under this paragraph or otherwise shall be paid out of and to the extent of the Company assets only.
4.5 In the event of the death, resignation, bankruptcy or incompetence of one of the Managers named herein, the other Manager shall serve as the sole Manager with all the rights, authority, powers, duties and obligations of the Managers hereunder. In the event of the death, resignation, bankruptcy or incompetence of the remaining Manager, a substitute Manager shall be chosen at a meeting of the Members called by any Member. The Member calling such meeting shall give written notice of the meeting to each Member not less than five days no more than thirty days before the meeting. The notice shall state the time, place and purpose of the meeting. A Member who is entitled to notice waives notice if before or after the meeting that Member signs a waiver of notice which is filed with the records of the Company, or if that Member is present at the meeting in person or by proxy. At the meeting of the Members, the presence in person or by proxy of Members holding a majority of the Membership Interests shall constitute a quorum. Members may vote either in person or by written proxies signed by the Member or by its duly authorized attorney-in-fact. Action at the meeting shall be by the affirmative vote of a majority of the Membership Interests present in person or by proxy. Members may participate in the meeting by means of conference telephone or similar communications equipment by means of which all persons participating in the meeting have the ability to speak and to hear each other. Such participation shall constitute presence in person at the meeting. This Section shall apply in the event of the death, resignation, bankruptcy, incompetence or, if the substitute Manger is not an individual, the dissolution of any substitute Manager. Any substitute Manager chosen in accordance with this section shall have all the rights, authority, powers, duties and obligations of the original Managers
ARTICLE V
CAPITAL ACCOUNTS
5.1. The Company shall establish and maintain a separate Capital Account for each Member. Such Capital Account of a Member shall be:
(a) increased by the amount of: (i) the Member's Capital Contribution; (ii) allocations of Profits to the Member pursuant to Section 6.1(a); and (iii) special allocations to the Member of items of income and gain pursuant to Section 6.2.
(b) decreased by: (i) the amount of cash and the fair market value of property (net of liabilities secured by such property that such Member assumes or to which such property is subject) distributed to such Member pursuant to Section 7.1; and (ii) the allocations of Losses to the Member pursuant to Section 6.1(b); and
(c) otherwise adjusted in accordance with the accounting principles set forth in Treas. Reg. Sec 1.704-1(b)(2)(iv).
This Section 5.1 is intended to comply with Section 1.704-1(b)(2)(iv) of the Treasury Regulations. If the Managers, by majority vote, determine that it is prudent to modify the manner in which the Capital Accounts are computed in order to comply with Section 1.704 1(b)(2)(iv) of the Treasury Regulations, the Mangers, by majority vote, may make such modification, provided that such modification is not likely to have a material effect on the amounts distibutable to any Member pursuant to Article VII.
5.2 Upon a permitted transfer of a Membership Interest, the Capital Account of the transferring Member shall become the Capital Account of the Person to which or to whom such Membership Interest was transferred in accordance with Treas. Reg. Sec. 1.704-1(b)(2)(iv).
5.3 The foregoing provisions and other provisions of the Agreement are intended to comply with Treas. Reg. Sec. 1.704-1(b), and shall be interpreted and applied as provided in such Treasury Regulations. If, in the opinion of the Managers, the manner in which Capital Accounts are to be maintained pursuant to this Agreement should be modified to comply with Code Sec. 704(b), then the method in which Capital Accounts are maintained shall be so modified, provided that any change in the manner of maintaining Capital Accounts shall not materially alter the economic agreement between or among the Members.
5.4. Except as provided otherwise in the Act or this Agreement, no Member shall have any liability to restore all or any portion of a deficit balance in a Capital Account.
5.5. No interest shall be paid on the Capital Account of any Member.
5.6 Loans by a Member to the Company shall not be considered a Capital Contributions. If any Member shall loan or advance funds to the Company in excess of the amounts required to be contributed by such Member to the capital of the Company, such loan or advance shall bear interest at a per annum rate agreed to by such Member and the Managers, but no higher than 4% over the average prime rate reflected in the New York Times. The amounts of any such loans or advances shall be a debt of the Company to such Member and shall be payable or collectible only out of the Company's assets in accordance with the terms and conditions upon which such loan or advance is made.
ARTICLE VI
ALLOCATIONS OF PROFIT AND LOSSES
6.1. Except as otherwise provided herein, the Profits and Losses of the Company for each fiscal year shall be allocated among the Members as follows:
(a) Profits shall be allocated to the Members in proportion to their respective Membership Interests, as the same may be determined in accordance with Section 3.2 and adjusted in accordance with the provisions hereof.
(b) Losses shall be allocated (i) first to the Members in proportion to their Capital Accounts and (ii) then to the Members bearing the Economic Risk of Loss in proportion to the manner in which the Member or Members bear such Economic Risk of Loss, and (iii) thereafter, if no Member bears the Economic Risk of Loss, in proportion to their respective Membership Interests, as the same may be adjusted in accordance with the provisions hereof.
6.2. Notwithstanding any provision to the contrary, the following special allocations shall be made to the extent necessary to comply with the requirements of Code Sec. 704(b) and the regulations thereunder:
(a) If, at the close of any taxable year, any Member unexpectedly receives any adjustment, allocation or distribution described in Treas. Reg. Sec. 1.704-1(b)(2)(ii)(d)(4), (5) or (6) ("Qualified Income Offset Adjustment" or "QIOA"), and if such QIOA causes or increases a deficit balance in such Member's Capital Account in excess of the amount such Member is obligated to contribute to the Company pursuant to Treas. Reg. Sec. 1.704-(b)(2)(ii)(d) (an "Excess Negative Capital Account Balance"), then items of income and gain in the manner described in the regulations under Code Sec. 704(b) shall be allocated to each Member to the extent required to eliminate such Excess Negative Capital Account Balance resulting from a QIOA. Thereafter, all profits and losses shall be allocated in accordance with the other provisions of this Article VI. This Section is intended to comply with the QIOA requirements of Treas. Reg. Sec. 1.704-1(b)(2)(ii)(d).
(b) Any special allocations of items of income and gain pursuant to this Section 6.2 or items of deduction, loss or Code Sec. 705(a)(2)(B) expenditure shall be taken into account in computing subsequent allocations pursuant to Section 6.1, so that the net amount of any items so allocated and all other items allocated to each Member shall, to the extent possible, be equal to the net amount that would have been allocated to each Member pursuant to the provisions of this Article VI if such special allocation had not been made.
6.3. The allocation of Profits and Losses for any fiscal year during which a Person acquires a Membership Interest shall take into account the Members' varying interests for such fiscal year pursuant to any method permissible under Code Sec. 706 that is selected by the Managers.
6.4. For federal, state and local income tax purposes, all items of taxable income, gain, loss or deduction for each fiscal year shall be allocated among the Members in accordance with the manner in which corresponding items were allocated under this Article VI.

El presente Contrato de Sociedad de Responsabilidad Limitada (en lo sucesivo, el "Contrato"), celebrado el 16 de junio de 2003, entre Charles L. Rosenzweig, con domicilio en 9 Hadley Road, Armonk, Nueva York 10504, Jeffrey S. Rosenzweig, con domicilio en 453 Sterling Road, Harrison, Nueva York 10528, y cualesquiera otras Personas que en el futuro se incorporen como partes del presente Contrato (todos ellos, en conjunto, los "Socios").
CONSIDERANDO QUE, las partes han constituido una Sociedad de responsabilidad limitada y desean celebrar el presente Contrato con el fin de regular los negocios y la actividad de dicha Sociedad.

CLÁUSULA PRIMERA
DEFINICIONES

Por "Socios" se entenderán las personas designadas como tales en el presente Contrato, los cesionarios de sus derechos como tales en la Sociedad y cualquier otra persona que, a tenor de lo dispuesto en el presente Contrato, se convierta en Socio; cualquier referencia a un "Socio" se entenderá realizada a cualquiera de los Socios.
Por "Administradores" se entenderá Charles L. Rosenzweig, Jeffrey S. Rosenzweig y cualquier otro Administrador nuevo o sustituto elegido con arreglo a lo dispuesto en la Cláusula 4.5.
Por "Nuevos Socios" se entenderá el significado estipulado en la Cláusula 9.1.
Por "Participación" se entenderá el significado estipulado en la Cláusula 3.2.
Por "Persona" se entenderá cualquier persona física o jurídica, ya sea en forma de sociedad anónima, sociedad civil, agrupación temporal de empresas, asociación, sociedad de responsabilidad limitada o cualquier otra entidad jurídica o empresarial.
Por "Ganancias" y "Pérdidas" se entenderá un monto equivalente a los ingresos o pérdidas imponibles de la Sociedad correspondientes a cada año fiscal u otro periodo distinto, determinados con arreglo al artículo 703(a) del Código (a estos efectos, todas las partidas correspondientes a ingresos, ganancias, pérdidas o deducciones que deban declararse por separado a tenor de lo dispuesto en el artículo 703(a)(1) del Código habrán de incluirse en los ingresos o pérdidas imponibles) con los ajustes siguientes:
(i) los ingresos de la Sociedad exentos del impuesto Federal sobre la renta se añadirán a los ingresos imponibles o se restarán de las pérdidas; y
(ii) los gastos de la Sociedad descritos en el artículo 705(a)(2)(B) del Código o tratados como gastos de dicho artículo en aplicación de lo dispuesto en el artículo 1.704-1 (b)(2)(iv)(1) de la Norma del Tesoro, y que en general no se toman en consideración al calcular las pérdidas o ganancias imponibles a tenor de lo dispuesto en el mencionado artículo de la Norma del Tesoro, se restarán de dichos ingresos imponibles o se añadirán a tales pérdidas; y
(iii) las partidas de Distribución especial con arreglo a lo dispuesto en la Cláusula 6.2 no se tomarán en consideración al calcular las Pérdidas o Ganancias.
Por "Ajuste de Compensación de Ingresos Cualificados" o "QIOA" se entenderá el significado establecido en la Cláusula 6.2.
Por "Socios Sustitutos" se entenderá el significado estipulado en la Cláusula 10.1.
Por "Ingresos Imponibles" se entenderá el exceso de ingresos imponibles acumulados sobre las pérdidas imponibles acumuladas.
Por "Socio Encargado de Asuntos Fiscales" se entenderá el significado estipulado en la Cláusula 8.5.
Por "Norma del Tesoro" se entenderá toda la normativa propuesta, temporal o definitiva promulgada en virtud del Código.
Por "Unidades" se entenderá el significado estipulado en la Cláusula 3,1.
CLÁUSULA SEGUNDA
ORGANIZACIÓN DE LA SOCIEDAD
2.1. La Sociedad de responsabilidad limitada se denomina CJ International Holdings, LLC.
2.2. El objeto de la Sociedad es actuar como sociedad matriz de entidades en el extranjero que se dedican al mercado inmobiliario, con la posibilidad de expandirse a las diversas áreas que comuniquen los Administradores.
2.3. La sede principal de la Sociedad será c/o United Corporate Services, 15 East North Street, Dover, Delaware 19901, o bien otra ubicación o ubicaciones que los Administradores decidan en su momento.
2.4. La Sociedad inicia su existencia en la fecha en la que se presenta al secretario de Estado de Delaware el Certificado de Constitución y continuará hasta su disolución con arreglo a lo dispuesto en el presente Contrato o en la Ley.
CLÁUSULA TERCERA
SOCIOS Y PARTICIPACIONES DE LOS SOCIOS
3.1 La Participación de los Socios en la Sociedad estará representada por unidades (cada una de ellas una "Unidad"). En el Anexo A adjunto al presente Contrato se especifica el número de Unidades que poseen cada uno de los Socios Iniciales de la Sociedad. En dicho Anexo A se reflejará el nombre de los Nuevos Socios y el número de unidades que posean en el momento en que dicho Nuevo Socio sea admitido como Socio de la Sociedad.
3.2 Tal y como se utiliza en el presente Contrato, la "Participación" de un Socio en la Sociedad constituye el porcentaje de ese Socio en el activo, el pasivo, el capital social y las pérdidas y ganancias de la Sociedad. Cada Participación será un bien personal a todo los efectos. La Participación de cada Socio, en un momento determinado, será equivalente al 100%, multiplicado por el quebrado cuyo numerador es el número de Unidades que posea dicho Socio en ese momento y cuyo denominador representa el número total de Unidades que todos los Socios posean en ese momento.
3.3. En la Cláusula Novena del presente Contrato se estipula la admisión en la Sociedad de los Nuevos Socios y la Cláusula Décima la de los Socios Sustitutos. Ninguna Persona será considerada Socio de la Sociedad a menos que sea designada como tal en el presente Contrato, o admitida en la Sociedad como nuevo Socio con arreglo lo estipulado en la Cláusula 10.1 del presente, y la Sociedad sólo se relacionará con los Socios admitidos por este procedimiento. A menos que se disponga lo contrario en el presente Contrato, los Socios no podrán ceder a otra Persona su condición de Socio, ni voluntariamente ni por causa de disolución, fallecimiento o quiebra, con objeto de que se relacione con la Sociedad.
3.4. Los Socios no tendrán derecho de voto sobre ningún asunto, salvo lo estipulado en la Cláusula 4.5 del presente Contrato.
3.5. Ninguno de los Socios estará obligado o responderá personalmente de los gastos, deudas u obligaciones de la Sociedad.
3.6. Ningún Socio podrá retirar parte de su Cuenta de Capital ni recibir reparto alguno de la Sociedad salvo que se disponga expresamente el presente Contrato.
3.7. Ningún Socio tendrá derecho a recibir honorarios, comisiones u otro tipo de compensación por parte de la Sociedad como contraprestación a servicios prestados o desempeñados para la Sociedad, salvo que se estipula en el presente Contrato o en un Contrato entre la Sociedad y dicho Socio.
3.8. Ningún Socio podrá retirarse o abandonar la Sociedad antes de su disolución y liquidación.
CLÁUSULA CUARTA
ADMINISTRACIÓN
4.1. El funcionamiento y la dirección de la actividad y de los negocios de la Sociedad serán ejercidos y controlados única y exclusivamente por los Administradores, que actuarán unánimemente.
4.2. Los Administradores podrán modificar el presente Contrato para reflejar la incorporación o la sustitución de Socios de acuerdo con lo dispuesto en el presente y para realizar las alteraciones que consideren apropiadas; no obstante, salvo que en el presente se disponga lo contrario, sin el consentimiento previo por escrito del Socio al que le afecten negativamente, no podrán aprobarse modificaciones del presente Contrato que (i) incrementen la obligación de dicho Socio de realizar aportaciones, (ii) alteren la Distribución a efectos fiscales de cualquier partida de ingresos, ganancias, pérdidas, deducciones o créditos, (iii) alteren el modo en que se calcula la Distribución a dicho Socio , (v) alteren la Participación o la Cuenta de Capital de dicho Socio, o (vi) alteren el derecho de voto u otros derechos de dicho Socio.
4.3. Los Administradores no responderán de los daños y perjuicios o de los menoscabos de otra índole causados a la Sociedad o los Socios que se deriven de la adopción u omisión de medidas realizadas de buena fe dentro del ámbito de su potestad conferida en virtud del presente Contrato ("Actos Permitidos"). Los Administradores no responderán ante los Socios a causa de la anulación o el ajuste por parte de las autoridades impositivas de deducciones o abonos en las devoluciones del impuesto sobre los ingresos de la Sociedad o por la devolución de la totalidad o parte de las Aportaciones de Capital de los Socios. Los Administradores responderán de los daños y perjuicios causados a la Sociedad y a los Socios que resulten de acciones fraudulentas, delictivas o de mala fe por su parte o del incumplimiento en cualquier aspecto sustancial de cualquiera de las estipulaciones del presente Contrato ("Actos Excluidos"). Se entiende que nada de lo dispuesto en el presente párrafo hará responder a un Administrador ante Personas que no sean la Sociedad o los Socios.
4.4. En todo lo referente a las reclamaciones, responsabilidades, demandas o daños y perjuicios que se deriven o estén relacionados con los Actos Permitidos, los Administradores podrán solicitar a la Sociedad el resarcimiento de la totalidad de los honorarios legales y desembolsos ocasionados por tales causas. En cambio, en lo que respecta a las reclamaciones, responsabilidades, demandas o daños y perjuicios que se deriven o estén relacionados con los Actos Excluidos, los Administradores no podrán solicitar el resarcimiento de la Sociedad. Los resarcimientos derivados de esta u otras Cláusulas del Contrato se harán única y exclusivamente con cargo a los activos de la Sociedad.
4.5 En el supuesto de fallecimiento, cese, declaración de quiebra o incompetencia de uno de los Administradores designados en el presente, el otro Administrador ejercerá como administrador único con todos los derechos, potestades, deberes y obligaciones de los Administradores en virtud del presente. En el supuesto de fallecimiento, cese, declaración de quiebra o incompetencia del otro Administrador, se elegirá un Administrador sustituto en una reunión de los Socios convocada por cualquiera de ellos. El Socio que convoque dicha reunión deberá notificarla por escrito a cada Socio con una antelación de no menos de cinco días ni de más de treinta días. La notificación indicará la hora, el lugar y el objeto de la reunión. Un Socio con derecho a notificación, renuncia a ella si antes o después de la reunión firma una renuncia de notificación que se deposite en los registros de la Sociedad, o si dicho Socio está presente en la reunión en persona o mediante representante. En la reunión de los Socios el quórum estará constituido por la presencia, en persona o mediante representante, de un número de Socios que sean titulares de la mayoría de las Participaciones de la Sociedad. Los Socios pueden votar en persona o mediante un formulario de representación que lleve su firma, o bien mediante su apoderado debidamente autorizado. Las decisiones en la reunión se tomarán mediante el voto afirmativo de la mayoría de las participaciones de Socios presentes en persona o mediante representante. Los Socios pueden participar en la reunión por medio de conferencia telefónica o equipo similar de comunicaciones mediante el cual todas las personas participantes en la reunión tengan la capacidad de hablar y escucharse entre sí. La Participación por este medio se tendrá por una presencia en persona en la reunión. Esta Cláusula se aplicará en el supuesto de fallecimiento, cese, declaración de quiebra o incompetencia o, si el Administrador sustituto no es una persona física, disolución de cualquier Administrador sustituto. Los Administradores sustituto elegidos con arreglo a lo dispuesto en esta Cláusula tendrán todos los derechos, potestades, deberes y obligaciones de los Administradores originales.
CLÁUSULA QUINTA
CUENTAS DE CAPITAL
5.1. La Sociedad abrirá y mantendrá una Cuenta de Capital separada para cada Socio. Dicha Cuenta de Capital:
(a) se incrementará por los importes de: (i) la Aportación de Capital de los Socios; (ii) las asignaciones de Ganancias a los Socios en aplicación de lo dispuesto en la Cláusula 6.1(a); y (iii) las asignaciones especiales a los Socios de partidas de ingresos y ganancias en virtud de lo dispuesto en la Cláusula 6.2.
(b) se reducirá en: (i) la cantidad de efectivo y el valor justo de mercado de los bienes (descontando la deuda garantizada por tales bienes que asuma el Socio o a la que tales bienes estén sujetos) distribuidos a dicho Socio en virtud de lo dispuesto en la Cláusula 7.1; y (ii) la asignación de Pérdidas entre los Socios con arreglo lo dispuesto en la Cláusula 6.1(b); y
(c) se ajustará en general con arreglo a los principios contables establecidos en el artículo 1.704-1(b)(2)(iv) de la Norma del Tesoro.
Se pretende que la presente Cláusula 5.1 observe el artículo 1.704-1(b)(2)(iv) de la Norma del Tesoro. En el supuesto de que los Administradores, por voto mayoritario, determinen que es prudente modificar el modo en el que se calculan las Cuentas de Capital para cumplir con lo dispuesto en el artículo 1.704 1(b)(2)(iv) de la Norma del Tesoro, éstos, mediante su voto mayoritario, podrán realizar dicha modificación, a condición de que esta modificación no tenga un efecto sustancial sobre las cantidades atribuibles a cada Socio a tenor de lo dispuesto en la Cláusula Quinta.
5.2 Con ocasión de una transmisión autorizada de una Participación, la Cuenta de Capital del Socio transmitente se convertirá la Cuenta de Capital de la Persona a la que se transmitió dicha Participación de acuerdo con lo dispuesto en el artículo 1.704-1(b)(2)(iv) de la Norma del Tesoro.
5.3 Las disposiciones anteriores y otras disposiciones del presente Contrato tienen la función de cumplir con lo dispuesto en el artículo 1.704-1(b) de la Norma del Tesoro, y deberán interpretarse y aplicarse tal y como se dispone en dicha normativa. Si, en opinión de los Administradores, debe modificarse el modo en que se gestionan las Cuentas de Capital para cumplir con el artículo 704(b) del Código, se modificará el método de mantenimiento de dichas Cuentas, con tal de que ello no altere sustancialmente el acuerdo económico de los Socios.
5.4. Salvo que en la Ley o en el presente Contrato se disponga lo contrario, ningún Socio deberá tener responsabilidad en la restitución de la totalidad o parte de un saldo deficitario en una Cuenta de Capital.
5.5. No se abonarán intereses sobre las Cuentas de Cde los Socios.
5.6 Los préstamos que un miembro realice a la Sociedad no se considerarán Aportaciones de Capital. En el supuesto de que un Socio efectúe un préstamo o adelante fondos a la Sociedad en un importe superior al que dicho Socio esta obligado a aportar al capital de la Sociedad, dicho préstamo o adelanto devengará intereses a una tasa anual pactada entre dicho Socio y los Administradores, pero nunca superior al 4% sobre la tasa preferencial promedio publicada en el New York Times. Las cantidades de dichos préstamos o adelantos constituirán una deuda contraída por la Sociedad con dicho Socio y deberán ser pagaderos o recaudables exclusivamente con cargo a los activos de la Sociedad con arreglo a los términos y condiciones en virtud los cuales se efectúa dicho préstamo o adelanto.
CLÁUSULA SEXTA
ASIGNACIONES DE PÉRDIDAS Y GANANCIAS
6.1. Salvo que en el presente se disponga lo contrario, las pérdidas y ganancias de la Sociedad correspondientes a cada año fiscal deberán repartirse entre los Socios del siguiente modo:
(a) las Ganancias se repartirán entre los Socios en proporción a sus respectivas Participaciones, tal y como se determine con arreglo a la Cláusula 3.2 y se ajuste de conformidad con las disposiciones del presente.
(b) las Pérdidas se asignarán (i) en primer lugar a los Socios en proporción a sus Cuentas de Capital (ii) en segundo lugar a los Socios que soporten el Riesgo Económico de Pérdida proporcionalmente al modo en el que el Socio o Socios soporten dicho Riesgo Económico de Pérdida, y (iii) en tercer lugar, si ningún Socio soporta el Riesgo Económico de Pérdida, en proporción a sus Participaciones respectivas, tal y como se ajusten de acuerdo con las disposiciones del presente.
6.2. Sin perjuicio de cualquier disposición en contra, se efectuarán las siguientes asignaciones especiales en la medida en que sea necesario para observar lo dispuesto en el artículo 704(b) del Código y en su reglamento:
(a) Si, al cierre de un año impositivo, un Socio recibe inesperadamente un ajuste, asignación o distribución de los descritos en el artículo 1.704-1(b)(2)(ii)(d)(4), (5) o (6) de la Norma del Tesoro ("Ajuste de Compensación de Ingresos Cualificados" o "QIOA"), y si dicho QIOA es la causa de que se genere o de que aumente un saldo deficitario en la Cuenta de Capital de dicho Socio en una cantidad por encima de la que está obligado a aportar a la Sociedad a tenor de lo dispuesto en el artículo 1.704-(b)(2)(ii)(d) de la Norma del Tesoro (un "Exceso de Saldo Negativo de la Cuenta de Capital"), las partidas de ingresos y ganancias tal y como se describen en el reglamento en virtud del artículo 704(b) del Código se asignarán a cada Socio en la medida que sea necesario para eliminar el Exceso de Saldo Negativo de la Cuenta de Capital originado por un QIOA.. A partir de ese momento, todas las pérdidas y ganancias se asignarán con arreglo al resto de las disposiciones de la presente Cláusula Sexta. El objetivo de la presente Cláusula es cumplir con los requisitos de QIOA estipulados en el artículo 1.704-1(b)(2)(ii)(d) de la Norma del Tesoro.
(b) Cualquier asignación especial de partidas de ingresos y ganancias a tenor de lo dispuesto en esta Cláusula 6.2 o de partidas de deducción, pérdida o gastos regulados en el artículo 705(a)(2)(B) el Código deberá tenerse en cuenta a la hora de calcular las asignaciones subsiguientes en aplicación de la Cláusula 6.1, de modo que la cantidad neta de las partidas así distribuidas y el resto de las partidas distribuidas a cada Socio deberá ser, en la medida de lo posible, equivalente a la cantidad neta que se habría repartido a cada Socio en virtud de las disposiciones de la presente Cláusula Sexta si dicho reparto especial no se hubiese efectuado.
6.3. El reparto de las Pérdidas y Ganancias correspondientes a cualquier año fiscal durante el cual una Persona adquiera una Participación deberá tener en cuenta las diversas Participaciones del Socio en dicho año fiscal con arreglo a cualquier método permisible en virtud del artículo 706 del Código que seleccionen los Administradores.
6.4. A efectos del impuesto de Sociedades federal, estatal y local, todas las partidas de ingresos, ganancias, pérdidas o deducciones imponibles correspondientes a cada año fiscal se asignarán a los Socios con arreglo al modo en que las correspondientes partidas fueron distribuidas en virtud de la presente Cláusula Sexta.
