Thời Hạn và Chấm Dứt Hợp Đòng
1. Hợp đồng này sẽ bắt đầu kể từ ngày ký kết và sẽ kéo dài 30 năm trừ trường hợp các bên cùng thỏa thuận bằng văn bản kéo dài thời hạn.
2. Chấm dứt hợp đồng: Hợp đồng có thể bị chấm dứt trước thời hạn trong những trường hợp sau đây:
a. Hai bên cùng đồng ý chấm dứt hợp đồng bằng cách gửi thông báo bằng văn bản cho bên kia.
b. Bên A lâm vào tình trạng mất khả năng thanh toán, trong
trường hợp này Bên B có thể quyết định chấm dứt hợp đồng.
c. Bên A không thực hiện đúng các nghĩa vụ theo hợp đồng này và gây thiệt hại hoặc mất mát cho Bên B. Trong trường hợp này, Bên B có thể đơn phương chấm dứt hợp đồng và yêu cầu Bên A bồi thường thiệt hại theo quy định của pháp luật Việt Nam.
Phạt Vi Phạm Hợp Đồng
Nếu Hợp đồng bị chấm dứt theo Điều 6.2.b và 6.2.c, Bên A sẽ phải trả cho Bên B một khoản phạt vi phạm. Khoản phạt vi phạm này có giá trị tương đương với toàn bộ các chi phí mà Bên B đã phải trả để xây dựng cơ sở hạ tầng và lắp đặt thiết bị công nghệ cho dự án (không bao gồm tiền lương nhân công và các khoản tiền lãi vay của Bên B) và tất cả các chi phí khác phát sinh (nếu có). Việc thanh toán phí phạt vi phạm sẽ không giải phóng Bên A khỏi các trách nhiệm thanh toán theo hợp đồng này.
Nếu hợp đồng bị chấm dứt theo Điều 6.2.d và 6.2.e Bên B sẽ phải trả cho Bên A tất cả các thiệt hại do Bên B gây ra cho Bên A.
Các Điều Khoản Chung
Hợp đồng này sẽ được quản lý theo Luật Pháp nước Cộng Hòa Xã Hội Chủ Nghĩa Việt Nam. Bất kỳ tranh chấp nào phát sinh ngoài hay trong phạm vi của hợp đồng này, bao gồm cả việc tranh chấp về hiệu lực, sự diễn giải hoặc sự tồn tại của nó, đôi bên sẽ thảo luận trên cơ sở hiểu biết lẩn nhau. Trong trường hợp việc thảo luận không thành công, một trong hai bên có thể đưa vấn đề tranh chấp đến Trung tâm Trọng Tài Quốc Tế Việt Nam (“VIAC”) để thực hiện xét xử theo các điều luật phân xử quốc tế của VIAC bởi ba cơ quan xét xử theo sự bổ nhiệm của luật lệ VIAC. Chi phí cho thủ tục phân xử sẽ do bên thua kiện thanh toán.

Duration and Termination of Contract
1. This contract shall commence on the signing date and will last for 30 years unless extended by mutual agreement in writing between both parties.
2. Termination of Contract: Contract can be terminated before contract term is up in the following circumstances:
a. Both parties mutually agree to terminate the contract by written notice to the other party.
b. Party A loses the capacity to make payments, in which case Party B may decide to terminate the contract.
c. Party A fails to properly implement the obligations under this contract causing damage or loss to Party B. In such case, Party B can unilaterally terminate the contract and make claims for compensation for damages against Party A to the extent permitted by the laws of Vietnam.
Penalty for Breach of Contract
If contract is terminated based on Article 6.2.b and 6.2.c, Party A shall have to pay to Party B a penalty. The penalty amount is equal to the total expense incurred by Party B to develop the infrastructure and setup technology equipment for the project (not including wages paid to employees and interest on loans from Party B) and all other expenses (if any). Paying penalty does not free Party A from payment responsibilities as stated in this contract.
If this contract is terminated based on Article 6.2.d and 6.2.e, Party B shall have to pay Party A all the damages caused to Party A by Party B.
Common Terms
This contract will be managed according to the Law of the Socialist Republic of Vietnam. Any disputes arising from this contract or outside of this contract, including disputes regarding its validity, interpretation, and existence, the parties shall discuss matters in a mutually understanding manner. If such negotiation does not succeed in resolving the dispute, one of two parties can present the dispute to the Vietnam International Arbitration Center (“VIAC”) for it to be judged according to the international arbitration rules of VIAC by three judging agencies appointed by the rules of VIAC. Arbitration fees will be paid by the party that loses the dispute.
