5 - Subcontracts
Contractors are expected to have the resources necessary to carry out the work required by the project. In certain circumstances, though, it is more economic or efficient to subcontract some aspects of the work. When work is to be subcontracted it must be identified in the technical annex to the contract (Annex I). Subcontracts must be awarded on transparent grounds to the best bid offered taking into consideration price and quality and following any national legislation in force. This means that, depending on the size and nature of the subcontract, the procedure may take different forms ranging from the simplest to more complex (e.g. negotiated, restricted; open; competition). In a very simplified procedure, usually three different offers have to be received and evaluated against common established criteria, to ensure that each of them is treated fairly and equitably. Any subcontract that is not identified in the technical annex to the contract must be limited to minor services and supplies, to which the same rules apply.
6 - Collective responsibility
All contracts with more than one contractor impose technical collective responsibility on the partners to carry out the work of the project.
Most contracts impose financial collective responsibility (all actions except SME specific actions, fellowships and certain specific support actions) upon the contractors to make good the breach of a contractor if the others are not willing to complete the project and respect their contractual obligations. If a contractor breaches the contract and the consortium does not make good this breach, the Commission may, as a last resort and after having explored with the consortium all other viable solutions, hold the other participants liable for the defaulting contractor. Public bodies are exempt from financial collective responsibility.
In cases of termination of the contract for breach of contractual obligations or irregularity, and where the contractor does not honour its obligation to reimburse any amount due to the Commission, the latter will impose the provisions of financial collective responsibility on the consortium. The consortium will be obliged to reimburse the amount due to the Commission. The financial collective responsibility does not apply to liquidated damages that may be imposed by the Commission to one or more contractors, neither does it apply to any obligation to reimburse funds as the result of an audit.

5 - Unterverträge
Generell müssen Vertragspartner über die für die Ausführung der Arbeiten im Rahmen des Projektes erforderlichen Ressourcen selbst verfügen. In bestimmten Fällen ist es jedoch wirtschaftlicher bzw. effizienter, einige Arbeitsbereiche in Unterverträgen zu vergeben. Sollen Arbeiten in Unterverträgen vergeben werden, sind diese im technischen Anhang des Vertrages (Anhang I) auszuweisen. Unterverträge sind in transparenter Art und Weise unter Berücksichtigung von Preis und Qualität sowie national geltendem Recht an den Bestbieter zu vergeben. Das heißt, dass das Vergabeverfahren in Abhängigkeit von Umfang und Art des Untervertrages verschiedene Formen - von sehr einfach bis komplex (z.B. freihändige Vergabe, beschränkte Ausschreibung, unbeschränkte Ausschreibung/Wettbewerb) - annehmen kann. In einem stark vereinfachten Verfahren sind in der Regel drei unterschiedliche Angebote einzuholen und anhand allgemein aufgestellter Kriterien zu vergleichen, um zu gewährleisten, dass jedes Angebot fair und gerecht behandelt wird. Jeder Untervertrag, der nicht im technischen Anhang des Vertrages aufgeführt ist, muss auf geringfügige Lieferungen und Leistungen beschränkt sein, für die die gleichen Regeln gelten.
6 - Kollektive Verantwortlichkeit
Alle Verträge mit mehr als einem Vertragspartner beinhalten die gemeinsame Verantwortung der Vertragspartner für die technische Durchführung der Projektarbeiten.
Die meisten Verträge enthalten die gemeinschaftliche finanzielle Haftung der Vertragspartner (alle Maßnahmen außer KMU-spezifische Maßnahmen, Stipendien und bestimmte Maßnahmen zur gezielten Unterstützung) für den Ausgleich von Verstößen einzelner Vertragspartner, sofern die übrigen Vertragspartner nicht bereit sind, ihre vertraglichen Verpflichtungen zu erfüllen und das Projekt zu Ende zu führen. Verstößt ein Vertragspartner gegen den Vertrag und gleicht das Konsortium diesen Verstoß nicht aus, kann die Kommission als letzte Möglichkeit und nach Prüfung aller anderen realisierbaren Lösungen mit dem Konsortium die übrigen Teilnehmer für den vertragsbrüchigen Vertragspartner haftbar machen. Öffentliche Stellen sind von der gemeinschaftlichen finanziellen Haftung ausgenommen.
Im Falle einer Vertragskündigung wegen Vertragsbruches oder Unregelmäßigkeiten und wenn der vertragsbrüchige Vertragspartner seiner Verpflichtung zur Rückerstattung von der Kommission geschuldeten Beträgen nicht nachkommt, erlegt die Kommission dem Konsortium die gemeinschaftliche finanzielle Haftung auf. Das Konsortium ist dann verpflichtet, der Kommission den geschuldeten Betrag zu erstatten. Die gemeinschaftliche finanzielle Haftung gilt weder für Schadensersatzleistungen, die ein oder mehrere Vertragspartner an die Kommission zu leisten haben, noch für die Pflicht zur Rückerstattung von Mitteln infolge von Finanzprüfungen.
