ANNEX IX AGREEMENT FOR THE TREATMENT OF PERSONAL DATA CONTAINED IN DETERMINED OWNERSHIP FILES OF XXXXXXX

On one side,
XXXXXXX, mercantile society constituted indefinitely in written authorisation on [Date] represented by [name of representative], provided with [Document of identification] in the position of [position of representative] of the same according to writing granted before the Notary of [Location], Mr. [Name of Notary], on the date [Date] under protocol number [XXXX], and registered in the Mercantile Registry [Hereinafter denominated “OMV” and/or “RESPONSIBLE PERSON OF THE TREATMENT” and/or, likewise, designated individually as a "Party" or collectively as one of the "Parties").
And, on the other
XXXXXXXX S.A, mercantile society constituted indefinitely in written authorisation on May XX XXXX, before the Notary of Madrid, Mr XXXXX; having changed its corporate name on several occasions until obtaining the current; registered in the Mercantile Registry of Madrid, volume XX, foli XXX, sheet number XXX, XX registration, with social domicile in XXXX Madrid) and supplied of C.I.F. XXXXX, represented by XXXXXX, of French nationality, passport number XXXX, by virtue of the authorised written takeover by Notary XXXXXX, July XX XXXX, under the number XXXX of his protocol, and registered in the Mercantile Registry of Madrid, Volume XXXXX, XXX, Book X, Folio XX, Sheet XX, registration XXX (hereinafter denominated “XXXXXXX” and/or "PERSON IN CHARGE OF THE TREATMENT" and/or, likewise designated individually as “Party” or collectively like one of the “Parties”).
BOTH PARTIES HEREBY DECLARE
I. That OMV and XXXXXXX have undersigned on the date [Date] a "Contract Of Virtual Mobile Operator for the provision Electronic Communication Mobile Services" (hereinafter denominated "Contract") with the purpose that XXXXXXX, as mobile network operator, provides OMV, as virtual mobile operator, a series of services, that will allow OMV to develop and commercialise under its own trademark, retail services of electronic mobile communication available to the public.
II. That for the provisioning of determined Contract Services, will be necessary for XXXXXXX to access the file(s) and database(s) of the ownership of OMV, where the personal data of the OMV customers is stored, to which, as a virtual mobile operator, XXXXXXX will provide the referred retail services of electronic mobile communications available to the public (Hereinafter denominated "File").
III. That, in accordance with what is stipulated in the Constitutional Law 15/1999, of the 13th of December, of Protection of Personal Data (Hereinafter denominated "LOPD") and in the Royal Decree 1270/2007, of the 21st of December, for which the Regulations of LOPD are approved (Hereinafter denominated "Regulations") and, in particular, in the fulfilment of article 12 of the LOPD, the parties undersign the present Agreement for the Treatment of Personal Data stored in determined files of OMV (Hereinafter denominated "Agreement"), and that constitutes the Contract Annex and forms part of the same, in accordance with the following,
CLAUSES
1. DEFINITIONS
Unless defined in the present document, the terms used in capital letters will have the significance gathered in the Contract.
2. OBJECT
The present agreement regulates the terms and conditions of access by the PERSON IN CHARGE OF TREATMENT to the ownership File of the RESPONSIBLE PERSON OF THE TREATMENT and, consequently, access to the personal data contained in the same File, as long as access to this data is necessary for the PERSON IN CHARGE OF THE TREATMENT to provide the Service, object of this Contract as defined further ahead.
The service that XXXXXXX will provide to OMV in the frame of the Contract (the "Service"), includes the following benefits and elements, that characterise and conform it:
a) Supply of Mobile Traffic, in which included are: (i) voice communications issued from SIM cards activated by XXXXXXX on its Mobile Network and outgoing traffic in the Mobile Network of XXXXXXX in Spain to fixed or mobile numbers that belong to the national numbering plan, to emergency numbers, to international numbers, accessible numbers and to additional metering services of the national numbering plan (these last, only in the case that XXXXXXX delivers to OMV the services included in the Offer of Services of Special Superior Fares and Special Services), with the exception of communications toward numbers considered to be owned by XXXXXXX (for example, short numbers positioned by XXXXXXX from its Mobile Network that enable their customers to have access to content and information services, customer service, etc.); (ii) data communications issued from SIM cards activated by XXXXXXX on their Mobile Network; (iii) SMS messages and interpersonal MMS issued from SIM cards activated by XXXXXXX in their Mobile Network and administered by XXXXXXX SMS C and MMS C to mobile numbers belonging to the national numbering plan and to accessible mobile numbers with international numbering; (iv) SMS and MMS messages to additional services of metering of the national numbering plan, with the exception of messages to numbers owned by XXXXXXX; (v) Voice, SMS, MMS and data communications issued from third-party networks which maintain roaming or international itinerancy agreements with XXXXXXX; (vi) calls issued from SIM Cards activated by XXXXXXX with destination to the voice messenger (accessible through dialling 242), to customer service (accessible through dialling 2373); (vii) call identification services, caller identification, call retention, lost call notification, call deviation, automatic response, SMS submittal for availability notification, call to 112 emergency number without cost/credit or blocking of call.
b) Mobile Network resources, that include: (i) wholesale access to the Mobile Network and management within the HLR (Home Location Register or Localisation System of network users) on the ranges of associated numbers to OMV; and (ii) supply of the necessary numbering for the provision to the Customers of the services included in the OMV offers.
c) Elements of the information systems of XXXXXXX, which include: (i) supply of CDRs that are necessary for the reconciliation of the invoicing of the Customers; (ii) provision of the information tools, platforms and interface specifications necessary for the invoicing and data interchange between XXXXXXX and OMV and the Management of Portability for OMV Customers.
d) Customer Service: Provision of second line customer service or backoffice, relating to all the technical incidences made by OMV customer service that pinpoints any consultation or action on the tools of XXXXXXX.
e) Supply, if needed, of SIM cards.
The RESPONSIBLE PERSON OF THE TREATMENT will put at the disposal of the PERSON IN CHARGE OF THE TREATMENT the data and information contained in the File that is strictly necessary and sufficient for the provision of the services, object of the Contract in the terms and conditions presented in this Agreement, without the PERSON IN CHARGE OF THE TREATMENT applying them or using them for a different purpose of the one foreseen in the Contract, except in the case of previous and written authorisation of the RESPONSIBLE PERSON OF THE TREATMENT and with the consent of the affected, if necessary.
In general terms, the parties make a commitment to the fulfilment of the obligations foreseen in the present Agreement in their respective positions of RESPONSIBLE PERSON OF THE TREATMENT and PERSON IN CHARGE OF THE TREATMENT, committing themselves to collaborate, reciprocally and in good faith, in order to facilitate the fulfilment of their respective obligations in the terms of the present Agreement to the other party.
3. OBLIGATIONS OF THE PARTIES
Declarations and obligations of XXXXXXX
The PERSON IN CHARGE OF THE TREATMENT, in relation to the functions and services that they perform in the frame of the Contract declares:
i. That it constitutes itself as the PERSON IN CHARGE OF THE TREATMENT to the effects of article 12 article of the LOPD and commits itself to fulfil its obligations as such, not being considered, therefore, the supply of the personal data in the File as a communication of data, to the effects of what is foreseen in article 11 and according to the LOPD.
ii. That the personal data in the File belongs to the RESPONSIBLE PERSON OF THE TREATMENT, as well as any data and/or information of any nature obtained by the PERSON IN CHARGE OF THE TREATMENT during the supply of the service, object of this Contract.
iii. That in the frame of the contractual relations regulated in this Contract, the PERSON IN CHARGE OF THE TREATMENT accomplishes his functions and services in the name and account of the RESPONSIBLE PERSON OF THE TREATMENT.
By virtue of their legal authority, the PERSON IN CHARGE OF THE TREATMENT, irrevocably commits to:
i. Treating the data that is accessible or that is communicated to them on account of the Contract, only and exclusively with the foreseen purpose of the Contract without using or communicating them to third parties or applying them for different purposes than those that are in the aforementioned Contract, except with previous written authorisation of the RESPONSIBLE PERSON OF THE TREATMENT and with the consent of the affected, if necessary.
ii. Treating the aforementioned data only and exclusively in accordance with the instructions received from the RESPONSIBLE PERSON OF THE TREATMENT and with complete respect to the regulations on protection of personal data, consequently obliged to process the personal data that has been supplied, only for the purposes that the RESPONSIBLE PERSON OF THE TREATMENT has provided them, which are described in Clause 2.1.
iii. To treat the personal details that is accessed or that are supplied during the execution of the Contract, in a confidential manner, committing himself at all times during their treatment in accordance with the legislation in use of protection of personal data. Such obligation as well as the assumed obligations in virtue of this clause the PERSON IN CHARGE OF THE TREATMENT will notify to their employees that intervene in any measure in the execution of this Contract, for whom he takes complete responsibility.
iv. In any case, regarding the security measures that the PERSON IN CHARGE OF THE TREATMENT must implement in accordance with the regulations in force (especially, according to article 81.4 of the Regulation, which maintains that the location and data traffic will receive, in addition to the basic and medium, high level security measures), and what is present in this agreement regarding employees, the PERSON IN CHARGE OF THE TREATMENT is obliged to maintain at all times a list of their employees whom are authorised to access the personal data, detailing their specific functions and purpose to which they have permission to access, and will establish a system of insignias, passwords and/or electronic cards to reduce and, where possible, eliminate the probability of unauthorised access.
v. To collaborate with the RESPONSIBLE PERSON OF THE TREATMENT and to deliver the necessary assistance to facilitate the satisfaction of access privileges, rectification, cancellation or opposition of the affected, remitting to them all those applications of exercise of the exposed rights that the PERSON IN CHARGE OF THE TREATMENT receives.
vi. To facilitate, with the highest clarity, access and knowledge of personal data under the cover of the Contract or of any relevant information of the aforementioned data when required by the RESPONSIBLE PERSON OF THE TREATMENT.
Declarations and obligations of the OMV:
The RESPONSIBLE PERSON OF THE TREATMENT, in position as proprietor of the File, declares:
i. That the functions developed in the scope of this Contract by the PERSON IN CHARGE OF THE TREATMENT are necessary to the effects of delivering the services, object of the Contract, and for the purpose of the intervention of the PERSON IN CHARGE OF THE TREATMENT is fulfilled per se, the functions and/or services of the PERSON IN CHARGE OF THE TREATMENT are fulfilled in the frame of article 12 of the LOPD and in accordance with the Regulations, not constituting the access of the PERSON IN CHARGE OF THE TREATMENT to the personal data communication of data to the effects of the cited LOPD.
ii. That he specifically gives his consent to the PERSON IN CHARGE OF THE TREATMENT in order that he treats the personal data in his responsibility, under his name and by himself in the frame of the Services and functions that he has commissioned in the Contract.
The RESPONSIBLE PERSON OF THE TREATMENT forces themselves to carry out the entirety of the obligations foreseen on the subject of protection of the personal data in his position of titleholder or responsible of the File and, in particular:
i. To make all the necessary notifications to fulfil the notification obligations and registry inscription of the File of ownership in the General Registry of Data Protection of the Data Protection Agency of Spain, especially the identification of the PERSON IN CHARGE OF THE TREATMENT regarding the location of the File.
ii. To carry out the obligations on the matter of information rights and/or consent of the affected being the personal data in object of the treatment.
iii. To carry out the access privileges, rectification, cancellation and opposition of the affected protecting the rights in accordance to the requirements of regulations.
iv. To the fulfilment of the obligations derived from the principles of data quality, and consequently, to procure and to treat adequate, pertinent and non-excessive data , for concrete treatments with respect to the purpose for which they have been selected.
v. To adopt the security measures regarding technical and human matters, necessary for the security of the personal data, in the presented terms of the Regulation and in the regulations resulting applicable at all times.

XXXXXXX, representada por XXXX, de nacionalidad francesa, pasaporte número XXXXXX, en virtud de la escritura de apoderamiento autorizado por el Notario XXXXXXX, el XX de julio de XXXX, bajo el número XXXX de su protocolo ,e inscrita en el Registro Mercantil de Madrid al Tomo XXXXX, XXX, Libro X, Folio XX, Hoja XXXXXX, inscripción XXX (en lo sucesivo denominada "XXXXXX" y/o "ENCARGADO DEL TRATAMIENTO" y/o designada asimismo individualmente como una "Parte" o colectivamente como una de las "Partes").
EXPONEN
I. Que el OMV y XXXXXXX han suscrito con fecha XXXX un "Contrato de Operador Móvil Virtual para la prestación de Servicios de Comunicaciones Electrónicas Móviles" (en adelante el "Contrato") con el objeto de que XXXXXXX, como operador móvil de red, preste al OMV, como operador móvil virtual, una serie de servicios, que permitan al OMV desarrollar y comercializar, bajo su propia marca, servicios minoristas de comunicaciones electrónicas móviles disponibles al público.
II. Que para la prestación de determinados servicios del Contrato, será necesario el acceso por XXXXXXX a el/los fichero/s o base/s de datos titularidad del OMV donde se alojarán los datos de carácter personal relativos a los clientes del OMV a los que preste, en su condición de operador móvil virtual, los referidos servicios minoristas de comunicaciones electrónicas móviles disponibles al público (en adelante, el "Fichero").
III. Que, de conformidad con lo previsto en la Ley Orgánica 15/1999, de 13 de diciembre, de Protección de Datos de Carácter Personal (en adelante, la "LOPD") y en el Real Decreto 1270/2007, de 21 de diciembre, por el que se aprueba el Reglamento de la LOPD (en adelante, el "Reglamento") y, en particular, en cumplimiento de lo previsto en el artículo 12 de la LOPD, las Partes vienen a suscribir el presente Acuerdo para el Tratamiento de Datos Personales contenidos en determinados Ficheros del OMV (en adelante, el "Acuerdo"), y que constituye Anexo al Contrato y forma parte del mismo, con arreglo a las siguientes,
CLÁUSULAS
1. DEFINICIONES
Salvo que se encuentren definidos en el presente documento, los términos utilizados en mayúsculas tendrán el significado recogido en el Contrato.
2. OBJETO
El presente Acuerdo regula los términos y condiciones del acceso por parte del ENCARGADO DEL TRATAMIENTO al Fichero titularidad del RESPONSABLE DEL TRATAMIENTO y, por consiguiente, el acceso a los datos de carácter personal que se contienen en el mismo, en la medida en que tal acceso es o sea necesario para la prestación por dicho ENCARGADO DEL TRATAMIENTO del Servicio objeto del Contrato, tal y como éste se define más adelante.
1 El servicio que XXXXXXX prestará a OMV en el marco del Contrato (el "Servicio"), incluye las prestaciones y elementos siguientes que lo caracterizan y conforman:
a) Suministro del Tráfico Móvil, dentro del cual, se incluye: (i) las comunicaciones de voz emitidas a partir de Tarjetas SIM activadas por XXXXXXX sobre su Red Móvil y tráfico saliente en la Red Móvil de XXXXXXX en España hacia números fijos o móviles pertenecientes al plan nacional de numeración, hacia números de emergencia, hacia números accesibles de numeración internacional y hacia servicios de tarificación adicional del plan nacional de numeración (éstos últimos, sólo en el caso de que XXXXXXX preste a OMV los servicios incluidos en la Oferta de Servicios de Tarifas Superiores y Servicios Especiales), excepción hecha de las comunicaciones hacia números considerados propios de XXXXXXX (por ejemplo los números cortos posicionados por XXXXXXX a partir de su Red Móvil que habilitan que sus clientes puedan disponer de servicios de contenidos, de información, de servicio al cliente, etc.); (ii) las comunicaciones de datos emitidas a partir de Tarjetas SIM activadas por XXXXXXX sobre su Red Móvil; (iii) los mensajes SMS y MMS interpersonales emitidos desde Tarjetas SIM activadas por XXXXXXX en su Red Móvil y gestionadas por el SMS-C y MMS-C de XXXXXXX hacia números móviles pertenecientes al plan nacional de numeración y hacia números móviles accesibles con numeración internacional;
b) (iv) los mensajes SMS y MMS hacia servicios de tarificación adicional del plan nacional de numeración, excepción hecha de los mensajes hacia números considerados propios de XXXXXXX; (v) las comunicaciones de voz, SMS, MMS y datos, emitidas desde terceras redes con las que XXXXXXX mantiene acuerdos de "roaming" o itinerancia internacional; (vi) las llamadas emitidas a partir de Tarjetas SIM activadas por XXXXXXX con destino a mensajería de voz (accesible a través del 242), al servicio al cliente (accesible a través del 2373); (vii) los servicios de identificación de llamada, identificación de línea de origen, retención de llamada, aviso de llamadas perdidas, desvío de llamadas, respuesta automática, envío de SMS para aviso de disponibilidad, llamada al numero de emergencia 112 sin coste/saldo y bloqueo de llamadas.
c) Recursos de Red Móvil, que incluyen: (i) acceso mayorista a la Red Móvil y gestión dentro del HLR (Home Location Register o Sistema de Localización de los usuarios de su red) de los rangos de números asociados al OMV; y (ii) suministro de la numeración necesaria para la prestación a los Clientes de los servicios incluidos en las Ofertas del OMV.
d) Elementos de los Sistemas de Información de XXXXXXX, que incluyen: (i) suministro de los CDRs que sean necesarios para la conciliación de la facturación de los Clientes; (ii) puesta a disposición de las herramientas informáticas, de las plataformas, y de las especificaciones de interfaz, necesarias para la facturación, y el intercambio de datos entre XXXXXXX y el OMV y gestión de la Portabilidad para los Clientes del OMV.
e) Servicio de Atención al Cliente: Suministro de prestaciones de servicios de segunda línea de atención al cliente o backoffice en relación con todas las incidencias técnicas hechas por el servicio de atención al cliente de OMV que precisan alguna consulta o acción sobre las herramientas de XXXXXXX.
f) Suministro, en su caso, de Tarjetas SIM.
El RESPONSABLE DEL TRATAMIENTO pondrá a disposición del ENCARGADO DEL TRATAMIENTO los datos e información contenidos en el Fichero que sean estrictamente necesarios y suficientes para la prestación de los servicios objeto del Contrato en los términos y condiciones previstos en el presente Acuerdo, sin que el ENCARGADO DEL TRATAMIENTO pueda aplicarlos o utilizarlos con una finalidad distinta de la prevista en el Contrato, salvo autorización previa y por escrito del RESPONSABLE DEL TRATAMIENTO y con el consentimiento del afectado, si es necesario.
Con carácter general, las Partes se obligan al cumplimiento de las obligaciones previstas en el presente Acuerdo en su respectiva condición de RESPONSABLE DEL TRATAMIENTO y ENCARGADO DEL TRATAMIENTO, comprometiéndose a colaborar, recíprocamente y de buena fe, para facilitar a la otra Parte el cumplimiento de sus respectivas obligaciones en los términos previstos en el presente Acuerdo.
3. OBLIGACIONES DE LAS PARTES
1 Declaraciones y Obligaciones de XXXXXXX
El ENCARGADO DEL TRATAMIENTO, en el ámbito de las funciones y servicios que desempeña en el marco del Contrato, declara:
(i) Que se constituye como ENCARGADO DEL TRATAMIENTO a los efectos del artículo 12 de la LOPD y se compromete a cumplir sus obligaciones como tal, no siendo considerado, por tanto, el suministro de los datos de carácter personal que obran en el Fichero como una comunicación de datos, a los efectos de lo previsto en el artículo 11 y concordantes de la LOPD.
(ii) Que los datos personales del Fichero son propiedad del RESPONSABLE DEL TRATAMIENTO, así como cualesquiera datos y/o informaciones de cualquier naturaleza obtenidos por el ENCARGADO DEL TRATAMIENTO en la prestación del Servicio objeto del Contrato.
(iii) Que en el marco de las relaciones contractuales reguladas en el Contrato, el ENCARGADO DEL TRATAMIENTO realiza sus funciones y servicios en nombre y por cuenta del RESPONSABLE DEL TRATAMIENTO.
En su virtud, el ENCARGADO DEL TRATAMIENTO, se obliga irrevocablemente a:
(i) Tratar los datos a los que tenga acceso o que le sean comunicados por razón del Contrato, única y exclusivamente con la finalidad prevista en el mismo sin utilizarlos, comunicarlos a terceros o aplicarlos para finalidades distintas a la que figura en dicho Contrato, salvo autorización previa y por escrito del RESPONSABLE DEL TRATAMIENTO y con el consentimiento del afectado, si es necesario.
(ii) Tratar dichos datos única y exclusivamente de conformidad con las instrucciones recibidas por RESPONSABLE DEL TRATAMIENTO y con pleno respeto a la normativa sobre protección de datos personales, quedando obligado por consiguiente a procesar los datos personales que le han sido suministrados, únicamente para los fines para los que RESPONSABLE DEL TRATAMIENTO se los ha facilitado y que son los descritos en la Cláusula 2.1 anterior.
(iii) A tratar los datos personales a los que pueda acceder o le sean suministrados con ocasión de la ejecución del Contrato de manera confidencial, comprometiéndose a su tratamiento de conformidad con la legislación vigente en cada momento sobre protección de datos personales. Tal obligación así como las obligaciones asumidas en virtud de la presenta cláusula será notificada por el ENCARGADO DEL TRATAMIENTO a sus empleados que intervengan en alguna medida en la ejecución de este Contrato, de quienes se responsabiliza plenamente.
(i) En todo caso, en el ámbito de las medidas de seguridad que deba implementar el ENCARGADO DEL TRATAMIENTO de conformidad con la normativa en vigor (en especial, con el artículo 81.4 del Reglamento, que dispone que a los datos de localización y tráfico se les aplicará, además de las medidas de nivel BÁSICO y MEDIO, las de nivel ALTO) y con lo previsto en el presente acuerdo, con relación a los empleados el ENCARGADO DEL TRATAMIENTO se obliga a mantener en todo momento una lista de empleados autorizados a acceder a los datos personales para funciones concretas, con expresión de los fines para los que estén autorizados a acceder, y establecerá y administrará un sistema de insignias, contraseñas y/o sistemas de tarjetas electrónicas para reducir y, cuando sea posible, eliminar la probabilidad de accesos no autorizados.
(iv) A colaborar con el RESPONSABLE DEL TRATAMIENTO y a prestar la asistencia necesaria para facilitarle la satisfacción de los derechos de acceso, rectificación, cancelación u oposición de los afectados, remitiéndole todas aquellas solicitudes de ejercicio de los derechos expuestos que el ENCARGADO DEL TRATAMIENTO reciba.
(v) A facilitar, con la mayor celeridad, el acceso y conocimiento de los datos de carácter personal objeto de su tratamiento al amparo del Contrato o de cualquier información relativa a los mismos cuando así se lo requiera el RESPONSABLE DEL TRATAMIENTO.
1 Declaraciones y Obligaciones de OMV:
El RESPONSABLE DEL TRATAMIENTO, en tal condición de titular del Fichero, declara:
(i) Que las funciones desarrolladas en el ámbito del Contrato por el ENCARGADO DEL TRATAMIENTO son necesarias a los efectos de poder prestar los Servicios objeto del Contrato y que a tal efecto la intervención del ENCARGADO DEL TRATAMIENTO se efectúa en nombre y por cuenta de aquél mismo, por lo que las funciones y/o servicios del ENCARGADO DEL TRATAMIENTO se efectúan en el marco del artículo 12 de la LOPD y del Reglamento, no constituyendo el acceso del ENCARGADO DEL TRATAMIENTO a los datos personales una comunicación de datos a los efectos de la citada LOPD.
(ii) Que consiente y autoriza expresamente al ENCARGADO DEL TRATAMIENTO para que trate los datos de carácter personal de su responsabilidad en su nombre y por su cuenta en el marco de los Servicios y funciones que tiene encomendadas en el Contrato.
El RESPONSABLE DEL TRATAMIENTO se obliga a cumplimentar la totalidad de las obligaciones previstas en materia de protección de datos de carácter personal en su condición de titular o responsable del Fichero y, en particular:
(i) A efectuar todas las notificaciones necesarias para cumplir con las obligaciones de notificación e inscripción registral del Fichero de su titularidad en el Registro General de Protección de Datos de la Agencia Española de Protección de Datos, en especial, en lo que se refiere a la identificación del ENCARGADO DEL TRATAMIENTO en donde se encuentre ubicado el Fichero.
(ii) A cumplimentar las obligaciones en materia de derecho de información y/o consentimiento de los afectados cuyos datos sean objeto de tratamiento.
(iii) A cumplimentar los derechos de acceso, rectificación, cancelación y oposición de los afectados tutelando tales derechos en la forma exigida por la normativa.
(iv) Al cumplimiento de las obligaciones que derivan del principio de calidad de los datos y, por consiguiente, a recabar y tratar datos adecuados, pertinentes y no excesivos, para tratamientos concretos con relación a la finalidad para la que han sido recogidos.
(v) A adoptar las medidas de seguridad sobre los medios técnicos y humanos, necesarias para la seguridad de los datos personales, en los términos previstos en el Reglamento y en la demás normativa que resulte aplicable en cada momento.

ANEXO VIII: Acuerdos de nivel de servicio (SLAs)
En el presente Anexo se identifican los parámetros y niveles objetivos de calidad relativos a los servicios incluidos en el presente CONTRATO. Por tanto, el objetivo es identificar aquellos indicadores (KPIs) y parámetros que van a determinar la calidad de servicio prestado por XXXX.
A efectos del presente Anexo, se considera como incidencia todo aquel problema que impida la prestación del servicio de XXXX a los Clientes de BBBB en los niveles habituales de calidad. Las incidencias pueden ser reportadas por BBBB (incidencias reactivas) o por XXXX (incidencias proactivas).
Todos los indicadores que se reflejan en el presente Anexo corresponden a los niveles de servicio prestados por XXXX en su red. Por tanto, no incluyen tiempos, niveles de servicio, calidad y/o cualquier otro elemento de BBBB o sus proveedores interpuestos entre XXXX y el Cliente de BBBB que modifiquen la prestación de los servicios, niveles de calidad o los indicadores definidos en el presente Anexo.
Ambas partes manifiestan expresamente conocer el significado de todos y cada uno de los conceptos contenidos en el presente Anexo, incluyendo sus abreviaturas, sin que pueda aparecer discrepancia alguna en la definición de alguno de ellos.
1. INCIDENCIAS DE RED.
Son las incidencias que afectan a: (i) un conjunto de Clientes BBBB (Incidencias por indisponibilidad de servicio); ó (ii) a infraestructuras, sistemas y equipos de XXXX utilizados por BBBB.
Estas incidencias se comunicarán entre BBBB y el Centro de Atención de XXXX. Se establecerá un procedimiento basado en el uso de una herramienta de gestión y seguimiento de incidencias ("trouble ticketing" a través de web services) para la comunicación de las incidencias tanto en el sentido BBBB a XXXX y XXXX a BBBB.
XXXX proporcionará a BBBB información de modo que se facilite la detección precoz de las incidencias masivas y trabajos programados en la red de XXXX que afecten a un número elevado de clientes.
El tiempo de solución de una incidencia de red se calcula como el tiempo transcurrido entre la apertura del trouble-ticket y la resolución de la incidencia notificándose en el cierre del trouble-ticket.
No contabilizaran en los tiempos de resolución de incidencias los siguientes supuestos:
1 Retrasos en la resolución motivados por error de BBBB, por falta de respuesta de BBBB ante cualquier requerimiento adicional de información o por imposibilidad de comunicación con XXXX con el fin de solucionar la incidencia.
2 Retraso en el cierre del trouble-ticket debido a la imposibilidad de contactar con XXXX, siempre y cuando la actuación de BBBB haya sido diligente.
3 Todos aquellos retrasos por causa de BBBB (en caso de que su colaboración sea necesaria).
A los efectos del presente apartado 1:
(i) se considera que los conceptos a contabilizar son aquellos de la factura XXXX correspondientes a los conceptos de trafico (voz, mensajes y datos) afectados, y
(ii) no se considerarán incidencias por indisponibilidad de servicios caídas de menos de veinte (20) BTS de manera simultánea.
(iii) no se considerará indisponibilidad del servicio, aquellas indisponibilidades originadas por causas de fuerza mayor tal y como se definen en el artículo 1.105 del Código Civil.
(iv) no se considerarán incidencias por indisponibilidad de servicios los trabajos de operación y mantenimiento que XXXX tenga planificados y previamente fueran comunicados a BBBB con una antelación mínima de 72 horas a su realización.
Incidencias Críticas
Tendrán consideración de incidencia crítica, aquellas que impiden el uso completo del servicio por un conjunto de clientes finales BBBB. Algunos ejemplos no limitativos de incidencias críticas son los siguientes:
1 Caída de una MSC, caída de una BSC ó pérdida total de servicios básicos de Voz/SMS/Datos en un área geográfica de considerable envergadura (20 ó más BTSs de una misma BSC fuera de servicio).
2 Imposibilidad de Location Update en determinadas áreas.
Incidencias Mayores
Son las incidencias que suponen una degradación grave en la prestación normal de los servicios para un conjunto de clientes de BBBB. Algunos ejemplos no limitativos son:
1 Indisponibilidad de servicios suplementarios.
2 Numeraciones de emergencia mal traducidas.
3 Locuciones mal mapeadas.
4 Tratamiento incorrecto de eventos.
1 Indisponibilidad de las herramientas de supervisión y trouble ticketing facilitadas por XXXX a BBBB.
Incidencias Menores
Son aquellas incidencias que no tienen un impacto directo en el servicio recibido por los Clientes de BBBB. Algunos ejemplos no limitativos son:
6 Problemas individuales de clientes, por ejemplo afectando exclusivamente a sus registros en el VLR.
7 Consultas Generales.

1.2 Penalizaciones por incumplimiento del tiempo de resolución de incidencias de red/sistemas
Para determinar el número de Clientes BBBB afectados por la indisponibilidad del servicio, se asumirá una distribución lineal de los Clientes BBBB a lo largo de todos los elementos de red disponibles. Por tanto, si para un determinado mes, la Base de Clientes BBBB es de 10.000 y ocurre una caída en una determinada MSC de XXXX que deja sin servicio a toda el área geográfica que dependa de ella, el numero de Clientes BBBB afectados será el resultado de dividir la Base de Clientes de BBBB entre el número total de MSCs de XXXX. A la cifra resultante se le denomina "Base de Clientes BBBB afectada", y las penalizaciones de este apartado se refieren a los ingresos medios de dicha base de clientes de BBBB afectada, como se detalla más adelante en este punto.
A efectos del presente cálculo, XXXX declara que a la fecha de firma del presente CONTRATO dispone de 44 MSCs, 207 BSCs, 10.497 BTS y 4.595 Nodos B. XXXX actualizará dicha información cuando el porcentaje de variación sobre los elementos definidos anteriormente exceda del 5% y la comunicará de forma fehaciente a BBBB con la misma periodicidad.
Para aquellas incidencias de indisponibilidad de servicio que no se resuelvan antes del tiempo de resolución, se aplicarán las siguientes penalizaciones:
Incidencias Críticas:
§ Por cada cuatro (4) horas de retraso respecto del tiempo de resolución establecido, se aplicará una penalización del 2% de los "ingresos medios de la base de Clientes BBBB afectada".
Incidencias Mayores:
§ Por cada ocho (8) horas de retraso respecto del tiempo de resolución establecido, se aplicará una penalización del 1,5% de los "ingresos medios de la base de Clientes BBBB afectada".
Incidencias Menores:
§ Por cada doce (12) horas de retraso respecto del tiempo de resolución establecido, se aplicará una penalización del 1% de los "ingresos medios de la base de Clientes BBBB afectada".
Para las penalizaciones anteriormente descritas, se considera el ingreso medio de la base de Clientes de BBBB afectada correspondiente a la factura mayorista del mes anterior,
entendiendo esto como el resultado de: dividir el importe de la última factura mensual emitida por XXXX por los servicios afectados entre la Base de Clientes BBBB, entendiendo como tal la definición incluida en el cuerpo principal del CONTRATO, y de multiplicar posteriormente el resultado de la anterior división por la base de Clientes de BBBB afectada por la indisponibilidad según se ha descrito anteriormente.
2 Indicadores de calidad de servicio (KPIs)
Los indicadores de calidad de servicio (KPIs) definen la calidad total de funcionamiento de un servicio y por tanto, determinan el grado de satisfacción de un usuario de dicho servicio.
A continuación se enumeran los indicadores relativos a la calidad de servicio que se van a incluir en el presente CONTRATO:
XXXX se compromete a informar a BBBB con carácter mensual de los indicadores KPI, a modo ilustrativo y no limitativo los que se indican en la siguiente tabla;

Las mediciones de estos parámetros serán realizadas por XXXX y corresponderán a valores medios mensuales de toda la red de XXXX. Las mediciones realizadas se comunicarán a BBBB durante el mes siguiente a los valores medidos.
En caso de discrepancia por parte de BBBB en el resultado de las medidas, ambas partes acuerdan acudir a un tercer experto independiente que será seleccionado por BBBB y cuyos honorarios serán pagados al 100% por parte de BBBB, en el caso de que tras el informe del experto independiente los datos analizados no correspondan a los publicados por XXXX el coste se repercutirá entre las partes de manera proporcional a la desviación.
XXXX facilitará al experto independiente la conexión a los equipos necesarios bajo las normas de seguridad y política definida al efecto por XXXX.
2.1 SLA
A continuación se expresa para cada uno de los indicadores los valores mensuales de calidad objetivos.

2.2 Penalizaciones
Con periodicidad mensual, XXXX facilitará para cada uno de los indicadores los valores reales obtenidos. En caso de que para alguno de los indicadores el valor real sea inferior al valor objetivo, se considerará que ha ocurrido una disminución de los parámetros objetivos de calidad por lo que se aplicarán las siguientes penalizaciones:

Siendo:
- Quantum: Diferencial entre valor real y valor objetivo.
- Número minutos mes: Número total de minutos originados por llamadas salientes de Clientes BBBB durante el mes considerado.
- Precio medio por minuto: Precio Mayorista por minuto para llamadas originadas por Clientes BBBB (según lo incluido en el ANEXO I del presente CONTRATO).
- % Quantum: (Valor real – Valor objetivo / Valor objetivo).
- Número de SMS mes: Número total de SMS originados por Clientes BBBB realizados durante el mes considerado.
- Precio medio por SMS: Precio Mayorista por SMS para los SMS's originados por Clientes BBBB (según lo incluido en el ANEXO I del presente CONTRATO).
- Número de sesiones datos/mes: Número de sesiones de datos realizadas por clientes BBBB durante el mes considerado.
- Precio medio por sesión: Coste de la mínima sesión facturable de datos (según lo incluido en el ANEXO I del presente CONTRATO).
A los efectos de la presente cláusula no se aplicarán penalizaciones para un determinado indicador si:
1. durante los dos meses anteriores al mes en cuestión la media del valor real del indicador no incumpla el valor objetivo y
2. no se haya incumplido gravemente en ninguno de los dos meses anteriores el SLA del indicador correspondiente según los límites establecidos para cada indicador en la columna "INCUMPLIMIENTO GRAVE" de la tabla del apartado 2.1.
3. APLICACIÓN DE LOS IMPORTES RESULTANTES DE LOS SLA's A LOS OBJETIVOS DE BBBB
Las penalizaciones detalladas en los apartados 1.2 "Penalizaciones por Incidencias por indisponibilidad de servicio" y 2.2 "Penalizaciones por calidad de servicio (KPIs)", se calcularan de manera separada y a efectos económicos serán acumulativos en el supuesto que coincida incumplimiento de los dos apartados.
Los importes mensuales resultantes de la suma de las penalizaciones irán destinados a la disminución del objetivo de facturación mayorista de XXXX a BBBB de () de Euros acumulados transcurridos treinta y seis (36) meses desde la fecha de lanzamiento comercial de la primera oferta de BBBB como operador móvil virtual.

I ANNEX VIII: Service Level Agreements (SLAs)
In this Annex the parameters and objective levels of quality relative to the services included in the present CONTRACT are identified. Therefore, the objective is to identify indicators (KPIs) and parameters that are going to determine the service quality provided by XXXX.
For the purpose of this Annex, any problem that impedes the provision of the service of XXXX to the Customers of BBBB in the habitual levels of quality is considered as incidence. These incidences can be reported by BBBB (reactive incidences) or by XXXX (proactive incidences).
All indicators manifested in this Annex correspond to the service levels provided by XXXX in their network. Therefore, they do not include service times, service levels, quality and/or any other element of BBBB or their suppliers arbitrated between XXXX and the Customers of BBBB that modifies the provision of services, quality levels or indicators defined in this Annex.
Both parts expressly manifest to know the significance of each and every one of the concepts contained in this Annex, including their abbreviations, without allowing the possibility of discrepancies in the definition of any of these.
1. NETWORK INCIDENCES
These are the incidences that affect: (i) a group of the Customers of BBBB (Incidences of the unavailability of service); or (ii) to the infrastructure, systems and equipment of XXXX used by BBBB.
These incidences will be reported between BBBB and the Service Centre of XXXX. A procedure will be established based on the use of a management tool and monitoring of incidences (“trouble ticketing” through web services), for the communication of incidences in the sense of BBBB to XXXX and XXXX to BBBB.
XXXX will provide information to BBBB for the facilitation of the early detection of massive incidences and programmed tasks in the network of XXXX that could affect a significant number of customers.
The resolution time of a network incidence is calculated by the elapsed time between the opening of the trouble-ticket and the resolution of the incidence is notified by the closing of this trouble-ticket.
The resolution time of the following incidences will not be assessed:
§ Delays in the resolution caused by the error of BBBB, by lack of an answer by BBBB towards any additional request of information or by the impossibility of communication with XXXX with the aim of solving the incidence.
§ Delay in the closing of the trouble-ticket, due to the impossibility of contacting XXXX, as long as the performance of BBBB has been diligent.
§ All the delays caused by BBBB (in the cases where their collaboration is necessary).
To the effects of the present section 1:
(i) It is considered that the concepts to be entered into the books are those of XXXX invoice corresponding to the concepts of traffic (voice, messages and data) affected, and
(ii) Incidences caused by unavailability of service of less than twenty (20) simultaneous BTS will not be considered.
(iii) Unavailability due to force majeure and as defined in article 1.105 of the Civil Code will not be considered as service unavailability.
(iv) The unavailability of services caused by planned operational and maintenance tasks that XXXX has previously communicated to BBBB, with a minimum of 72 hours prior notification to their execution, will not be considered as incidences.
Critical incidences
Those incidences that impede the complete use of the service to a group of the final customers of BBBB will be considered critical incidences. Some non limiting examples of critical incidences are the following:
§ A MSC crash, BSC crash or total loss of basic voice/SMS/Data services in a geographic area of considerable importance (20 or more BTSs of a same BSC out of service).
§ Impossibility of a Location Update in determined areas.
Major Incidences
Are incidences which suppose a serious degradation of the normal service level for a group of the customers of BBBB. Some non limiting examples are the following:
§ Unavailability of supplementary services.
§ Mistakenly translated emergency numberings.
§ Mistakenly localised expressions.
§ Incorrect treatment of events.
§ Unavailability of the tools of supervisory and trouble ticketing provided by XXXX to BBBB.
Minor Incidences
Are those incidences that do not have a direct impact on the service received by the customers of BBBB. Some non limiting examples are:
§ Individual customer problems, for example, exclusively affecting their records in the VLR.
§ General Consultations.

1.2 Penalisations for not fulfilling the resolution times of network/system incidences
In order to determine the number of the customers of BBBB affected by service unavailability, a linear distribution of the Customers of BBBB will be assumed taking into consideration all available network elements. Therefore, if in a determined month BBBB customer base is 10,000 and the crash of a determined XXXX MSC leaves the whole geographic area that depends on it without service, the number of affected customers of BBBB will result from dividing the customer base of BBBB between the total number of XXXX MSCs. The resulting number will be called " affected customer base of BBBB" and the penalisations of this point refer to the average income of the aforementioned customer base of BBBB, as detailed further ahead in point.
For the purpose of the present calculation, XXXX declares that at the date of signature of the present CONTRACT has 44 MSCs, 207 BSCs, 10,497 BTS and 4,595 Nodes B at its disposal. XXXX will update the aforementioned information when the percentage of variation of the previously circumscribed elements exceeds 5% and will reliably communicate this to BBBB with the same periodicity.
For these incidences of service unavailability that are not solved before the time of resolution, the following penalisations will be applicable:
o Critical incidences:
§ For every four (4) hour delay in regards to the established resolution time, a 2% penalisation of the "average income of the affected customer base of BBBB" will be applied.
o Major incidences:
§ For every eight (8) hour delay in regards to the established resolution time, a 1.5% penalisation of the "average income of the affected customer base of BBBB" will be applied.
o Minor incidences:
§ For every twelve (12) hour delay in regards to the established resolution time, a 1% penalisation of the "average income of the affected customer base of BBBB" will be applied.
For the previously described penalisations the average income of the affected customer base of BBBB of the wholesale invoice from the previous month is considered, understanding this as the result of: dividing the total sum of the last monthly invoice issued by XXXX for the affected services, between the total customer base of BBBB, understanding as such, the definition included in the main body of the CONTRACT, and then to multiply the result of the previous division by the customer base of BBBB affected by unavailability as previously described.
2 Key Performance Indicators (KPIs)
The Key Performance Indicators (KPIs) define the total functioning quality of a service and therefore, determine the degree of satisfaction of a user towards the aforementioned service.
Below the Key Performance Indicators that will be included in the CONTRACT are listed:
XXXX commits itself to monthly report to BBBB regarding KPI indicators, in a illustrative and non limiting manner indicated in the following table;

The calculation of these parameters will be performed by XXXX and will correspond to the average monthly values of all XXXX networks. The performed calculations will be communicated to BBBB during the following month to the calculated values.
In case of discrepancy by BBBB regarding the result of the calculations, both parties agree to call on a third independent expert that will be selected by BBBB and whose fees will be paid 100% by BBBB, in the event that after the report by the independent expert the examined data does not correspond to those calculations published by XXXX, the cost will be proportionally distributed between the parties according to the deviation.
XXXX will provide the independent expert with the connection to the necessary equipment in accordance with security regulations and the policy defined for the purpose by XXXX.
2.1 SLA
Below the monthly objective quality values for each one of the indicators are expressed.

Where:
- Quantum: Difference between factual value and objective value.
- Number of minutes per month: Total number of minutes originated by the customers of BBBB outgoing calls during the considered month.
- Average price per minute: Wholesale price per minute for calls originated by the customers of BBBB (according to what is included in ANNEX I of this CONTRACT).
- % Quantum: (factual value – objective value / objective value).
- Number of SMS per month: Total number of SMS originated by the customers of BBBB during the considered month.
- Average price per SMS: Wholesale price for SMS for the SMS 's originated by the customers of BBBB (according to what is included in ANNEX I of this CONTRACT).
- Number of data sessions per month : Number of data sessions carried out by the customers of BBBB during the considered month.
- Average session price: Minimum cost of a data session (according to what is included in ANNEX I of this CONTRACT).
For the purpose of this clause, no penalties will be applicable for a determined indicator if:
1. During the two months prior to the month in question, the average of the factual value of the indicator does not comply with the objective value and
2. has not been complied seriously in any of the two months prior to the month in question, according to the established limits for each indicator in the "SERIOUS UNFULFILLMENT" column of the table in point 2.1.
3. APPLICATION OF SLA RESULTING EXPENSES TO THE OBJECTIVES OF BBBB
The penalisations detailed in points 1.2 "Penalisations for incidences of service unavailability " and 2.2 "Penalisations for service quality" (KPIs), will be calculated separately and will be added for economic purposes, supposing that both points are unfulfilled .
The monthly resulting total amount of the sum of penalisations will be destined to the decrease of the objective of wholesale invoicing of XXXX to BBBB of () of Euros accumulated in the lapsed thirty six (36) months from the date of the commercial launching of the first offer of BBBB as a virtual mobile operator.
