SERVICE AGREEMENT
BETWEEN THE UNDERSIGNED
The company XXX with the capital of X1X Euros having its headquarters at X2X, registered at the Register of Commerce under Nr X3X represented by X4X, Chairman and C.E.O, acting on behalf of said company;
On the one hand,
AND
YYY having its headquarters at Y1Y, registered at the Unified State Register under the number Y2Y, represented by Y3Y, Director, acting on behalf of the said company;
On the other hand
WHEREAS:
XXX is a Third Party Inspection Company whose scope of work is to provide Quality Assurance and Quality Control at Mills worldwide for new equipments for the Oil & Gas and Petrochemical Industries (including audits of plants, conformity assessments to standards, technical assistance in quality etc…)
XXX seeks to develop its activities to extend its geographical scope of prospecting to the Russian market.
Furthermore, it wishes to use the services of external recognized specialists.
YYY has an acknowledged experience and a large network of contacts likely to help in the development of the activities of XXX in the Russian market.
THE FOLLOWING HAS BEEN SET FORTH AND AGREED:
Article 1 – Function of the Parties
YYY shall introduce XXX to Russian companies and present projects in Federation of RUSSIA to XXX. XXX shall respond to the different bids, after registration is made with the official organizations, either directly or jointly with YYY.
Article 2 – Non Competition and exclusivity
For the duration of this Agreement, YYY will not engage in any relation or support to any Company competing directly or indirectly with XXX activities and shall concentrate all its strength and resources to the success of XXX development of its activity in the Russian market. Joint work under a separate contract is possible.

МЕЖДУ НИЖЕПОДПИСАВШИМИСЯ
Компанией XXX с уставным капиталом X1X евро, центральный офис которой находится по адресу: X2X, зарегистрированной в торгово-промышленной палате под номером X3X, в лице X4X, председателя и главного управляющего, действующего от имени вышеупомянутой организации,
с одной стороны,
И
YYY центральный офис которой находится по адресу: Y1Y, зарегистрированной в Едином государственном реестре юридических лиц под номером Y2Y, в лице Y3Y, директора, действующего от имени вышеупомянутой организации,
с другой стороны
ПРЕАМБУЛА:
XXX является независимой инспектирующей организацией, работа которой заключается в предоставлении услуг заводам во всем мире по обеспечению и контролю качества нового оборудования для нефтяной, газовой и нефтехимической промышленности (в том числе, аудитов заводов, проверок на соответствие стандартам, технической поддержки в области качества и т.д.).
XXX стремится развивать свою деятельность, расширяя географию исследований на российском рынке.
Кроме того, компания желает воспользоваться услугами признанных специалистов из сторонних организаций.
У YYY есть признанный опыт и широкие связи, что, скорее всего, поможет в развитии деятельности компании XXX на российском рынке.
БЫЛО ПРЕДЛОЖЕНО И СОГЛАСОВАНО НИЖЕСЛЕДУЮЩЕЕ:
Пункт 1 – Функции сторон
YYY представляет компанию XXX российским организациям, а также проекты в Российской Федерации. XXX отвечает на различные ценовые предложения после регистрации у официальных организаций либо напрямую, либо совместно с YYY.
Пункт 2 – Отсутствие конкуренции и исключительные права
Во время срока действия настоящего договора YYY не должна вступать в какие-либо отношения или поддерживать какую-либо компанию, непосредственно или косвенно конкурирующую с ХХХ, а должна сконцентрировать все свои усилия и ресурсы на успешном развитии деятельности ХХХ на российском рынке. Возможно совместное проведение работ по отдельному договору.
