The fabrication of micro transmission system is mainly divided into 1) gear hobbing, 2) LIGA technology, and 3) forming technology. These three processing methods have their own merits in terms of material selection, precision, performance, and cost, and each method has its own emphasis. Currently, whether it is hobbing (modulus above 0.2mm) or LIGA (modulus below 0.1mm), under optimal conditions, the performance/cost ratio is still acceptable to the market at present. However, due to the common limitation of both processes on production capacity, their unit price are still relatively high. Plastic forming is generally used for high modulus gear components for the automotive industry, and there have not been any cases with modulus below 1. 一、契約成立：
1.本件鋼品交易合約（以下簡稱本合約）於賣方接受買方訂貨承諾書及買方依約定繳付履約保證貨款、簽訂銷售主合約後生效。
2.如買方於訂貨承諾書或分批訂貨單加註任何超出訂貨規格、明細、數字之字句或條款，或增加賣方之責任、義務或負擔者，則需賣方另以書面同意為限，始生拘束賣方之效力。賣方接受買方訂貨承諾書及／或分批訂貨單，甚至簽約、出貨而未提出異議，並不意味賣方已默認或接受買方自行加註之條款或賣方已放棄對該等條款異議之權利。
二、優先適用：
本合約之各文件均具有拘束雙方之效力，各文件內容如有不一致或相互牴觸者，其效力優先順序如下：（1）銷售分合約（2）銷售主合約書（3）鋼品內銷交易一般條款（4）賣方報價單（5）買方訂貨承諾書及分批訂貨單。
三、履約保證：
1.買方應在簽訂銷售主合約書同時或之前，依照該合約書所載保證貨款金額，以下列方式之一交付賣方：
（1）現金。
（2）由買方簽發，載明發票人為買方，禁止背書轉讓，以賣方為受款人之即期劃線支票。
（3）由買方簽發，載明發票人為買方，禁止背書轉讓，以賣方為受款人，且以銀行業為擔當付款人，載明發票日期且到期日空白之本票。
2.保證貨款于買方踐行本合約義務且合約結案後，餘額無息退還買方。 | Translation - English
1. Establishment of Contract:
1) This Contract of Sale for steel products (hereinafter referred to as The Contract) shall take effect after the Seller has accepted the order confirmation from the Buyer, the Buyer has paid the performance bond according to agreement, and This Contract is signed.
2) If the Buyer has added any languages or terms in the Order Confirmation or the Batch Orders that exceed the order’s specifications, details or numbers, or increase the responsibilities, obligations or liabilities of the Seller, the written consent of the Seller is required before such documents shall take effect. The acceptance by the Seller of the Buyer’s Order Confirmation and/or Batch Order shall not constitute a tacit acceptance by the Seller of the terms that the Buyer has added on its own, or that the Seller has forfeited its rights in objecting to such terms, even if the Seller has signed the agreement and delivered the shipment without raising any objections.
2. Priority of Documents:
All documents of this Contract is legally binding for both parties, and in the case of any discrepancies or inconsistencies, the priority of documents is as following: 1) Sub-contract of Sale, 2) Master Contract of Sale, 3) General Terms for Domestic Sales of Steel Products, 4) Quotes from Seller, 5) Buyer Order Confirmation or Batch Order.
3. Performance Bond:
1) Before or when signing the master contract of sale, the Buyer shall pay the performance bond to Seller in one of the following ways, as stipulated in This Contract:
（1）Cash.
（2）A crossed check that is payable at sight, issued by the Buyer, with the Buyer as drawer, non-negotiable, and having the Seller as payee.
（3）A cashier’s check issued by the Buyer as drawer, non-negotiable, having the Seller as payee, with the date of issue and a blank due date, and designating a financial institute as payer.
2) After the Buyer has performed all obligations and the Contract has been concluded, the performance bond shall be returned to the Buyer without interest. |
