AGENCY AGREEMENT
1. APPOINTMENT.
Principal appoints Representative as its exclusive representative for the Territory described in Appendix A to solicit orders for those products and services listed in Appendix B (the Products).
Representative accepts this appointment and agrees to promote the sales of the Products within the territory.

(d) Representative shall not, without Principal’s prior approval, alter, enlarge, or limit orders, make representations or guarantees concerning Principal’s products or accept the return of, or make any allowance for such products without prior written approval.
(e) At the Principal’s request, Representative shall furnish to Principal’s Credit Department any information which it may have from time to time relative to the credit standing of any of its customer.
(f) Representative shall abide by Principal’s policies and communicate same to Principal’s customers.

El Empresario nombra al Agente para la representación exclusiva en el Territorio definido en el Anexo A, para solicitar pedidos de los productos y servicios detallados en el Anexo B (en adelante ‘los Productos’). El Agente acepta el nombramiento y se compromete a promover las ventas de los Productos en el ámbito territorial.

Joint les pourvois n° 05-16.586 et 05-16.605 ;
Attendu, selon l’arrêt attaqué (Paris, 10 mars 2005) que la société libanaise Groupe Antoine Tabet (GAT), qui a pour activité le financement de travaux publics, notamment en Afrique, a passé, en 1992 et 1993, des conventions de financement avec la République du Congo ; que celle-ci a chargé la société Elf Congo, devenue Total Fina Elf E&P Congo, puis Total E&P Congo (TEP Congo), qui l’a accepté par lettres des 5 juin 1992 et 16 avril 1993, de payer les échéances du prêt à GAT ; qu’un différend est né, la République du Congo estimant avoir trop payé ;

Attendu qu’il est fait grief à l’arrêt attaqué d’avoir violé l’article 1134 du code civil et dénaturé les termes clairs et précis de l’article 28-6 du règlement d’arbitrage de la CCI en rejetant la demande d’astreinte au motif que la sentence arbitrale du 8 décembre 2003 n’était pas exécutoire, l’engagement des parties, par leur soumission au règlement, d’exécuter la sentence sans délai et de renoncer à toutes les voies de recours auxquelles elles pouvaient renoncer, n’ayant pas pour effet de conférer à la sentence arbitrale la valeur d’une décision exécutoire de plein droit ;

Sur les première et deuxième branches du pourvoi 05-16.605 et les deuxième et troisième branches du pourvoi 05-16.586 ;
Attendu que la République du Congo et TEP Congo reprochent encore à l’arrêt attaqué d’avoir ainsi statué :
1°/ en méconnaissance de l’autorité de la chose jugée attachée à la sentence et en violation des articles 1476 et 1500 du nouveau code de procédure civile en énonçant, contrairement aux énonciations de la sentence qui faisait référence à l’article 23 du règlement arbitral, que cette décision n’ordonnait pas à l’une des parties de procéder à une mesure conservatoire ;
2°/ en violation de l’article 514 du nouveau code de procédure civile en niant que la mise sous séquestre de fonds, objet du litige, constituait par nature une mesure conservatoire, exécutoire de droit par provision ;
3°/ en violation de l’article 33 de la loi du 9 juillet 1991, en décidant que le juge de l’exécution n’était pas compétent pour assortir d’une astreinte l’obligation mise à la charge de GAT par la sentence du 8 décembre 2003 au motif inopérant qu’il s’agissait d’une obligation de faire ;

Considerando, según la sentencia impugnada (París, 10 de marzo de 2005), que la sociedad libanesa Groupe Antoine Tabet (GAT), cuya actividad consiste en la financiación de obras públicas, principalmente en África, firmó, en 1992 y 1993, convenios de financiación con la República del Congo; que ésta última encargó a la sociedad Elf Congo, transformada en Total Fina Elf E&P Congo, y posteriormente en Total E&P Congo (TEP Congo), el pago de las cuotas del préstamo a GAT, y dicha sociedad aceptó el encargo mediante cartas fechadas el 5 de junio y el 16 de abril de 1993; que surgió una disputa, ya que la República del Congo consideró haber pagado en exceso;

Sobre la tercera parte del recurso nº 05-16.605 y la primera parte del recurso 05-16.586;
Considerando que se imputa a la sentencia impugnada el haber infringido el art. 1134 del código civil y desvirtuado los términos claros y precisos del art. 28-6 del reglamento de arbitraje de la CCI al desestimar la solicitud de multa coercitiva, alegando que el laudo arbitral de 8 de diciembre de 2003 no era ejecutorio, de modo que el compromiso de las partes, sujetas al reglamento, de ejecutar el laudo sin demora y de renunciar a todas las vías de recurso a las que podían renunciar, no confería al laudo arbitral el valor de decisión ejecutoria de pleno derecho;

Sobre la primera y segunda parte del recurso 05-16.605 y la segunda y tercera parte del recurso 05-16.586;
Considerando que la República del Congo y TEP Congo también imputan a la sentencia el haber resuelto de la siguiente manera:
1º/ vulnerando la autoridad de cosa juzgada del laudo e infringiendo los art. 1476 y 1500 del nuevo código de procedimiento civil, al enunciar, contrariamente a las enunciaciones del laudo en cuanto al art. 23 del reglamento arbitral, que esta decisión no constreñía a ninguna de las partes a adoptar una medida cautelar;
2º / infringiendo el art. 514 del nuevo código de procedimiento civil al no reconocer que la confiscación de fondos, objeto del litigio, constituía por naturaleza una medida cautelar, ejecutoria de derecho provisionalmente;
3º/ infringiendo el art. 33 de la ley de 9 de julio de 1991, al decidir que el juez de ejecución no tenía autoridad para imponer una multa coercitiva, complementaria a la obligación que incumbía a GAT, en el laudo de 8 de diciembre de 2003 por el motivo inoperante de que se trataba de una obligación de hacer;
