يكون للطرف الأول الحق فى تعديل موضوع العقد بما يتفق وطبيعة الأعمال بالزيادة أو النقصان فى حدود نسبة ( %) من قيمة العقد وذلك دون أن يكون للطرف الثانى الحق فى المطالبة بأى تعويض ، وتحسب قيمة التعديلات المذكورة على أساس الفئات المتفق عليها ، فإذا لم توجد فعلى أساس أسعار السوق أو الحالية وقت تكليف الطرف الثانى بإجراء التعديلات .
وإذا رأى الطرف الثانى أن التعديلات المطلوبة وفقاً لأحكام هذه المادة من شأنها تأخير أتمام الأعمال أو تأخير تسليمها خلال المدة المتفق عليها للتنفيذ جاز له أن يقدم طلبا إلى الطرف الأول خلال أسبوعين على الأكثر من تاريخ إخطاره بإجراء التعديلات وذلك لزيادة مدة العقد والاسقط حقه فى ذلك والتزم بتنفيذ وتسليم ما تضمنته التعديلات المطلوبة خلال مدة التنفيذ المتفق عليها ، ويقوم الطرف الأول عند تلقيه طلب التمديد المقدم من الطرف الثانى بزيادة هذه العقد للفترة التى يراها مناسبة .
مادة (10)
شــــــــــــروط الـــــــــدفع
1- يصرف الطرف الأول للطرف الثانى خلال ثلاثين يوماً من تاريخ توقيع العقد وبعد تقديم خطاب الضمان النهائى وتسجيل العقد بالضرائب وبناء على طلبه سلفه على الحساب بما يساوى (15%) خمسة عشر بالمائة من القيمة الإجمالية للعقد ، وتكون بخطاب ضمان مساويا لقيمة السلفة وسارى المفعول لمدة تنفيذ العقد وصادرا من احد المصارف التجارية العاملة بالجماهيرية العربية الليبية الشعبية الاشتراكية العظمى أو أن يكون مصدقا منها وأن يكون غير مقترن بأى قيد أو شرط وغير قابل للإلغاء يقر فيه المصرف أنه يضع تحت تصرف الطرف الأول مبلغا يساوى قيمة خطاب الضمان وأنه يلتزم بأداء هذا المبلغ بالكامل إلى الطرف الأول دون حاجة إلى أندار أو مطالبة قضائية أو اتخاذ أى إجراء ودون الالتفات إلى إى اعتراض للطرف الثانى أو غيره ، وتخصم قيمة هذه السلفة من المبالغ التى تستحق شهريا للطرف الثانى وبذات النسبة المئوية التى صرفت بها السلفة وذلك حتى يتم استردادها بالكامل، ويجوز أن يتضمن خطاب الضمان ما يسمح بتناقص قيمته بمقدار ما يستوفى من قيمة السلفة .
2- يدفع الطرف الأول إلى الطرف الثاني (95%)من قيمة الأعمال والواجبات التي تكون قد تمت فعلا مطابقة للشروط والمواصفات والأصول الفنية على أساس فئات الأسعار المتفق عليها وتحدد قيمة هذه الدفعات وفقا لكشوفات حصر العمال والواجبات المنجزة في نهاية كل شهر والمنصوص عليها في المادة (52) من العقد ويتم الصرف بعد خصم نسبة السلفة المقدمة في الحدود الواردة بالبند (1) من هذه المادة وبشرط ألا تقل قيمة الدفعة الشهرية عن مبلغ (....د ل ) ويقوم الطرف الأول بسداد قيمة الدفعات الشهرية المنصوص عليها فى هذه الفقرة خلال خمسة وأربعين يوما من تاريخ اعتماد كشوف حصر الإعمال والواجبات المنجزة من الطرف الأول بشرط أن تكون مستوفية لكافة الشروط المنصوص عليها فى العقد، ويتم السداد بعد مراجعة الكشوف وطلبات الصرف والتحقق من صحتها ، ولا يكون الطرف الأول مسئولا عن سداد أى فوائد عن أى تأخير يكون منشأه تراخى الطرف الثانى عن حصر الأعمال والواجبات أو غياب مندوبه أو ممثله عند تحرير كشوف الحصر أو إذا ثبت للطرف الأول أن تقدم العمل أو سلوك الطرف الثانى أو مندوبه أو مقاوليه من الباطن غير مرضى كذلك لا يعد الطرف الأول مسئولا عن أى تأخير فى السداد يرجع إلى نقص أو سهو أو خطا فى كشوف حصر الأعمال والواجبات سواء تبينه الطرف الأول أو تكشف لأى جهة من جهات المراجعة والرقابة قبل الصرف فى الجماهيرية العربية الليبية الشعبية الاشتراكية العظمى وتمد مهلة السداد فى هذه الحالة بمقدار الوقت اللازم للاستيفاء والتصحيح .
3- يحتفظ الطرف الأول بنسبة (5%) خمسة بالمائة الباقية من كل دفعة شهرية وذلك ضمانا لحسن تنفيذ الإعمال والواجبات ويتم سدادها بعد إنجاز كافة الإعمال والواجبات واستلامها استلاما ابتدائيا على النحو المنصوص عليه فى المادة (52) من هذا العقد ، ويجوز صرف هذه النسبة للطرف الثانى مقابل خطاب ضمان بقميتها تتوفر فيه الشروط المنصوص عليها فى هذه المادة ويكون سارى المفعول حتى مضى ثلاثين يوما من تاريخ إتمام الاستلام الابتدائي .

Articolo 9
Modifica dell’oggetto del Contratto
La prima Parte ha il diritto di modificare l’oggetto del Contratto, per ciò che è concordato, e la natura dei lavori, causando, ad ogni modo, l’aumento o la diminuzione del valore del contratto per un ammontare pari al …..% del valore totale. Ciò avviene senza che la seconda Parte possa richiedere qualsiasi diritto di indennizzo. Il valore delle modifiche sopracitate è calcolato sulla base delle categorie concordate. Se non è presente un’effettiva base dei prezzi di mercato o dei prezzi attuali, il costo che la seconda Parte deve sostenere è stabilito in base alle modifiche attuate.
Nel caso in cui la seconda Parte consideri che, per quanto riguarda le modifiche richieste secondo quanto previsto dalla natura di questo Contratto, vi sono stati ritardi nell’esecuzione dei lavori o nella consegna, e che quindi non siano stati rispettati i tempi di realizzazione, essa stessa possiede il diritto di presentare una richiesta alla prima Parte, entro due settimane al massimo dalla data di comunicazione, di aumentare l’estensione del Contratto e fare decadere il suo diritto in ciò. Deve eseguire e consegnare ciò che è previsto dalle modifiche richieste, entro il periodo di realizzazione concordato. La prima Parte, non appena riceve la richiesta di estensione presentata dalla seconda Parte, estende questo Contratto per un periodo che ritiene opportuno.
Articolo 10
Condizioni di pagamento
1- La prima Parte, entro 30 giorni dalla data della firma, corrisponde alla seconda il valore del Contratto, dopo la presentazione della lettera di garanzia finale e la documentazione delle tasse del Contratto, in seguito alla sua richiesta di pagamento anticipato del 15% dell’ammontare totale del Contratto. La lettera di garanzia diviene equivalente al valore del pagamento anticipato, è in vigore per il periodo di esecuzione del Contratto, è rilasciata da una delle banche operanti sul territorio libico, oppure da essa autenticata, oppure non è vincolata da alcuna restrizione o condizione ed è incancellabile. La banca stabilisce che è messa a disposizione della prima Parte una cifra che corrisponde al valore della lettera di garanzia. La stessa banca deve corrispondere tale cifra alla prima Parte senza bisogno di alcuna comunicazione o richiesta legale, di adottare alcun tipo di procedure, o di prendere in considerazione qualsiasi obiezione avanzata dalla seconda Parte, etc… E’ detratto il valore di questo acconto dalla cifra che è versata mensilmente alla seconda Parte, nella stessa percentuale in cui ha pagato l’acconto. Questo andrà avanti fino a quando non avverrà la riscossione totale ed è possibile includere la lettera di garanzia che consente, quindi, di ridurre la cifra, data la presenza dell’acconto.
2- La prima Parta corrisponde alla seconda il 95% del valore dei lavori e delle richieste che sono effettivamente connesse, in ottemperanza alle condizioni, alle disposizioni e ai principi tecnici, sulla base delle categorie dei prezzi che sono state concordate. L’ammontare di tali pagamenti è stabilito in conformità alle tabelle limitate ai lavori e ai compiti portati a termine alla fine di ogni mese e riportati all’articolo 52 del Contratto. Il pagamento avviene a seguito della detrazione dell’acconto presentato nei limiti indicati nella clausola numero 1 di questo articolo, a condizione di non diminuire il valore mensile della cifra. La prima Parte provvede a saldare l’ammontare dei pagamenti mensili previsti per questo periodo entro 45 giorni dalla data di approvazione dell’elenco limitato ai lavori e ai compiti portati a termine dalla prima Parte, a condizione che vengano soddisfatte tutte le condizioni previste dal Contratto. Il saldo è effettuato dopo la revisione delle distinte di pagamento, delle richieste di spesa e l’accertamento della loro validità. La prima Parte non è responsabile di effettuare alcun pagamento per ogni ritardo causato dalla negligenza della seconda Parte nell’inventario lavori o nei compiti, o da qualsiasi assenza del suo incaricato o rappresentante al momento di redigere i registri dei conti. Se è stabilito che la prima Parte deve presentare il lavoro e gli effettivi e i rappresentanti o gli imprenditori della seconda Parte non acconsentono, la prima Parte non è considerata responsabile per alcun ritardo nel pagamento che è dovuto alla mancanza, alla negligenza o a errori nei registri di conti dei lavori e nei compiti, che vengono mostrati dalla prima Parte, o che vengono rilevati da uno degli enti di controllo o supervisione, prima del pagamento in Libia. La dilazione del saldo, in questa situazione, avviene a seconda della quantità di tempo necessaria per il pagamento e per la ratificazione.
3- La prima Parte mantiene una percentuale pari al 5% del restante versamento mensile, al fine di garantire una migliore realizzazione dei lavori e rispetto degli incarichi. Il suo saldo avviene dopo che sono portati a termine tutti i lavori e le procedure, e dopo che viene ricevuta una parte iniziale di essa, come previsto dall’articolo 52 di questo Contratto. E’ consentito il pagamento di questa percentuale alla seconda Parte in cambio della lettera di garanzia, il cui valore è concordato secondo le condizioni previste da questo articolo. Tale pagamento rimarrà in vigore fino al trascorrere dei 30 giorni dalla data di avvenuta accettazione iniziale.

مادة (33)
زوال الأهلية
1- إذا زالت أهلية الطرف الثانى فللطرف الأول حق الاختيار بين أنهاء العقد وبين السماح لخلف الطرف الثانى بالاستمرار فى تنفيذه إذا طلب ذلك وتأكد الطرف الأول من كفايته المالية والفنية للاستمرار فى التنفيذ .
2- إذا كان الطرف الثانى أكثر من شخص وزالت أهلية أحدهم فيكون للطرف الأول الخيار بين أنهاء العقد وبين تكليف باقى أشخاص الطرف الثانى بالاستمرار فى تنفيذه .
3- إذا كان الطرف الثانى شركة أشخاص أو شركة أموال وانقضت فينهي الطرف الأول العقد ما لم يكن حل الشركة قد قصد به أعادة تنظيمها ويكون إنهاء العقد فى هذه الحالات جميعا وإخطار الطرف الثانى بما ينتهي إليه رأى الطرف الأول بموجب خطاب مسجل ودون حاجة إلى اتخاذ أى إجراء آخر أو الالتجاء إلى القضاء .
مادة (34)
الظروف القاهرة التى تصادف الطرف الثانى
إذا طرأت ظروف استثنائية عامة لايمكن دفعها ولم يكن فى الوسع توقعها وكان من شأنها أن تجعل تنفيذ الالتزام مرهقا يهدد الطرف الثانى بخسارة فادحة دون أن يصبح مستحيلاً جاز له المطالبة بالتعويض بما يرد التوازن المالى للعقد إلى الحد المعقول فإذا استمر قيام هذه الظروف ولم يعد يرجى زوالها جاز أنهاء العقد ، كما يعفى الطرف الثانى من تنفيذ التزاماته إذا طرأت قوة قاهرة تجعل تنفيذها مستحيلاً .
مادة (35)
سداد ضريبة الدمغة
يلتزم الطرف الثانى بتسجيل العقد لدى إدارة الضرائب بالجماهيرية العربية الليبية الشعبية الاشتراكية العظمى وأن يسدد ضريبة الدمغة على المصروفات المستحقة عليه وذلك فى ميعاد لا يجاوز ثلاثون يوما من تاريخ توقيعه ويتحمل كافة الغرامات والنفقات على التأخير ، كما يتحمل الطرف الثانى بأية ضرائب دمغه أخرى تستحق عليه بمناسبة قيامه بتنفيذ هذا العقد وعليه أن يقدم إلى الطرف الأول الوثائق الرسمية التى تدل على الوفاء بهذه الضرائب .
مادة (36)
ضرائب الدخل
لا يلتزم الطرف الثانى بأداء ضرائب الدخل وغيرها من الضرائب الإضافية التى تستحق على أرباحه الناتجة على تنفيذ هذا العقد وفقاً لأحكام قانون ضرائب الدخل واللوائح الصادرة بمقتضاه في الحدود التي حددتها المادة (19) من القانون رقم (14) لسنة 2003 مسيحي بشأن إنشاء الجهاز.
مادة (37)
الضرائب والرسوم الجمركية
يتحمل الطرف الأول الضرائب والرسوم الجمركية وغيرها من الرسوم والعوائد وسائر المبالغ التى تستحق عليه بمقتضى قانون الجمارك واللوائح والقرارات الجمركية بسبب استيراد البضاعة أو دخولها والمتعلقة بتنفيذ هذا العقد .
مادة (38)
التمتع بنظام الإعفاء المؤقت
يتمتع الطرف الثانى بنظام الإعفاء المؤقت من الضرائب الجمركية عن الآلات والمعدات والأجهزة التى يستوردها للجماهيرية العظمى للاستعانة بها فى أنجاز أعمال العقد وذلك بعد تقديم التعهد اللازم بإعادة تصديرها بعد أنجاز الأعمال وفقا لأحكام قانون الجمارك الليبي واللوائح والقرارات الجمركية .

Articolo 33
Cessazione della capacità giuridica
1- Nel caso in cui la seconda Parte perdesse la propria capacità giuridica, sarebbero previste due opzioni in capo alla prima Parte per risolvere il Contratto: la concessione, previa richiesta di parte, in favore del successore della seconda Parte, di continuare le funzioni di quest’ultima, oppure la facoltà di rilevare le sue capacità economiche e tecniche per la continuazione dei lavori.
2- Nel caso in cui la seconda Parte fosse costituita da più soggetti ed taluni dovessero perdere la propria capacità giuridica, la prima Parte può risolvere il Contratto oppure incaricare le persone restanti della seconda Parte di continuare nello svolgimento delle funzioni.
3- Se la seconda parte era una partnership o una compagnia di investimenti e non esiste più, la prima Parte risolve il Contratto definitivamente. La risoluzione del Contratto in questi casi avviene nella sua totalità e la prima Parte comunica ciò alla seconda per mezzo di raccomandata e senza bisogno di prendere qualsiasi altro provvedimento o adire le vie legali.
Articolo 34
Gli ostacoli che può incontrare la seconda Parte
Qualora dovessero sopraggiungere condizioni eccezionali per cui la seconda Parte non potrebbe effettuare il pagamento e tali circostanze siano del tutto inaspettate, e tale situazione rendesse gravosa l’esecuzione dei lavori e quindi su di lei incombesse la minaccia di perdite significative, questa non sarebbe privata del diritto di chiedere un indennizzo, in modo da bilanciare le perdite relative al Contratto, fino a un limite accettabile. Se queste circostanze eccezionali dovessero perdurare e non si considerasse una risoluzione o una cessazione del Contratto, e la seconda Parte non potrebbe adempiere ai suoi doveri per cause di forza maggiore, la rivendicazione di tale indennizzo sarebbe impraticabile.
Articolo 35
Pagamento del bollo
Incombe sulla seconda Parte l’onere di registrare il presente Contratto presso l’ufficio fiscale libico e provvedere al relativo pagamento del bollo nell’ammontare prestabilito, in un arco di tempo che non deve superare i 15 giorni dalla data di registrazione e, in caso di ritardo, la stessa dovrà pagare le relative sanzioni e spese. Analogamente, la seconda Parte dovrà versare qualsiasi altra tassa di bollo che le spetta in riferimento alla realizzazione di questo Contratto. Infine dovrà presentare alla prima Parte i documenti ufficiali che provano il pagamento di queste tasse.
Articolo 36
Tasse di entrata
La seconda Parte dovrà pagare le tasse di entrata per gli operai, agli impiegati e ad altre persone che lavorano per essa, oltre a tasse aggiuntive risultanti dai proventi che scaturiscono da questo Contratto, in ottemperanza alle disposizioni di legge sulle tasse di entrata e alle norme emanate in conformità a ciò.
Articolo 37
Tasse e imposte doganali
La seconda Parte ha il dovere di corrispondere le tasse e le imposte doganali, gli altri diritti doganali e le restanti somme che le tocca pagare in conformità alla legge doganale, alle norme e alle decisioni emanate a questo riguardo per l’importazione della merce e la loro entrata, in riferimento all’esecuzione di questo Contratto.
Articolo 38
Utilizzo del sistema del sistema di esenzione temporanea
La seconda Parte usufruisce del sistema di esenzione temporanea dal pagamento della tasse doganali per le attrezzature, i materiali e i dispositivi che importa in Libia per utilizzarli nello svolgimento dei lavori previsti dal Contratto, dopo che si è assunta l’impegno formale di riesportali alla fine dei lavori, in conformità alle disposizioni della legge doganale, alla norme e alle decisioni emanate a tale riguardo.

E’ una professione stupenda che svolgo con passione e cura ogni giorno. Ho studiato in lingua araba all’estero con insegnanti universitari dell’università di Sana’a, di Alessandria d’Egitto e della famosissima “Al Azhar” del Cairo.
