Technische Due Diligence für die Immobilie XYZ
1 Einleitung
Im Auftrag der XXX GmbH wurden von XXX im Rahmen einer Due Diligence die Gebäudesubstanz und der technische Zustand eines Lebensmittelmarktes in XXX überprüft.
Grundlage der nachfolgenden Bewertung sind die Kurzbesichtigung und die Auswertung der zur Verfügung gestellten Dokumente sowie die Plausibilisierung der vorliegenden Legal Due Diligence aus technischer Sicht.
Die Begehung des Gebäudes wurde am 25.02.2008 in Begleitung von Herrn XXX (Vertreter des Verkäufers) durchgeführt.
3 Zusammenfassung
3.1 Allgemeines
Das Objekt befindet sich derzeit im Bau. Zum Zeitpunkt der Begehung wurde mit den Gewerken Innenputz und den Fensterbauarbeiten begonnen.
Die Arbeiten an den Außenanlagen und an der Klinkerfassade sind in vollem Gang.
Die Grundinstallation der Haustechnik wurde vorgenommen. Die Anschlüsse durch die Energieversorger erfolgen in den nächsten Tagen.
Aufgrund des aktuellen Baufortschritts erscheint der geplante Eröffnungstermin Ende April als realistisch.
3.2 Offene Punkte
Wir empfehlen, die erfolgreiche Fertigstellung und behördliche Abnahme als aufschiebende Bedingung in den Kaufvertrag mit aufzunehmen. Nach Fertigstellung empfehlen wir eine förmliche Gebäudeübergabe zwischen Käufer und Verkäufer sowie die Übergabe der ausstehenden Unterlagen wie behördliche Abnahme etc.
Die Klärung folgender Punkte empfehlen wir ebenfalls als aufschiebende Bedingung in den Kaufvertrag aufzunehmen:
– Übertragung / Abtretung von Ansprüchen aus gegebenenfalls bestehenden Sicherheiten/Gewährleistungen (z.B. Bürgschaft)
– Widerspruch im Mietvertrag hinsichtlich Kosten für Wartung und Reparatur
– Nachweis der Erfüllung der Auflagen aus der Baugenehmigung (u.a. Schallschutz, Wärmeschutz, etc.)
– Nachweis der Erfüllung brandschutztechnischer Auflagen (Brandschutzkonzept)
– Klärung der Überschreitung der zulässigen Verkaufsfläche um 15m²
– Vorlage behördliche Schlußabnahmen sowie alle weiteren Abnahmeprotokolle (TÜV, VdS, etc.) nach Fertigstellung
– Vorlage rechtsgültiger Bebauungsplan
– Aktualisierung Grundbuchauszüge
– Vorlage des Energieausweises
– Übergabe aller Dokumentations- und Revisionsunterlagen
1 Instandhaltungskosten
Die vorliegenden Mietverträge wurden von ABC ausschließlich hinsichtlich der Instandhaltungskosten / Wartung geprüft.
XXX mbH
Gemäß Mietvertrag ist der Mieter für Schönheitsreparaturen in den Innenräumen zuständig, sofern diese nicht auf Baumängel zurückzuführen sind. Das Glasbruchrisiko liegt beim Mieter. Reparaturen bis zu 500 € zzgl. MwSt. im Einzelfall und bis zu 2000 € zzgl. MwSt. jährlich sind vom Mieter zu übernehmen. Darüber hinaus gehende Instandhaltungs-, Instandsetzungs- und Erneuerungsmaßnahmen sind Sache des Vermieters.
Der Vermieter ist verpflichtet, einmal pro Jahr (vor der Heizperiode) die Heizungsanlage zu warten und gegebenenfalls instand zu setzen.
Dem Vermieter obliegen die Verkehrssicherungspflicht, das regelmäßige Reinigen der Kundenparkplätze und dessen Zu- und Abfahrten, Schneeräumen und Streuen sowie die Pflege der Außenanlagen. Die anteiligen Kosten trägt der Mieter gemäß Nebenkostenabrechnung.
In den Nebenkosten werden anteilig zur Mietfläche des Mieters Wartungskosten für Heizungs- und Lüftungsanlage, Wartung der im Mietobjekt befindlichen Türanlagen und die Gebühren des Schornsteinfegers abgegolten.
Der Mieter ist berechtigt, während der Mietzeit bauliche Veränderungen vorzunehmen. Dies bedarf der schriftlichen Zustimmung des Vermieters, die er nur aus wichtigem Grund verweigern darf. Bei Beendigung des Mietvertrags ist er nicht zur Wiederherstellung des alten Zustands verpflichtet.
Hinweis:
Die im Mietvertrag angegebenen Flurstücke stimmen nicht mit den vorliegenden Grundbuchauszügen überein und sollten angepasst werden.

Gemäß Mietvertrag werden in den Nebenkosten des Mieters anteilmäßig die Kosten für Betrieb und Wartung der Heizungs- und Warmwasserversorgungsanlage und Lüftungsanlage, die Pflege der Außenanlagen, Schornsteineinrichtungen, Streudienst und Schneeräumung und sonstige Betriebs- und Wartungskosten abgegolten.
Der Mieter darf Außenwandflächen außerhalb der Mieträume für die Anbringung von Firmen- und Hinweisschilder, Außenreklamen, Markisen, Antennen usw. nutzen. Hierfür sind die Abstimmung mit dem Hauptmieter und die schriftliche Zustimmung des Vermieters erforderlich. Der Vermieter darf nach Zustimmung Änderungen und aus wichtigem Grund die Beseitigung verlangen. Der Mieter ist weiterhin verpflichtet o.g. Einrichtungen bei Beendigung des Mietverhältnisses auf eigene Kosten zu entfernen, wenn der Vermieter dies verlangt.
Der Mieter darf Um- und Ausbaumaßnahmen in eigenen Mietbereich unter der Zustimmung des Vermieters ausführen. Er ist zum Rückbau verpflichtet, wenn keine andere Vereinbarung in der Umbaugenehmigung vorliegt. Der Vermieter darf bauliche Veränderungen ohne Zustimmung des Mieters durchführen, wenn diese zur Erhaltung des Gesamtobjektes, zur Abwendung bzw. Beseitigung drohender Gefahren, nicht notwendige aber zweckmäßig sind und der Modernisierung des Gebäudes dienen. Der Mieter darf die Ausführung der Arbeiten nicht verhindern. Er kann seine Zustimmung nur aus wichtigem Grund verweigern.
Gemäß Mietvertrag ist der Mieter verpflichtet, in regelmäßigen Abständen „Erhaltungsreparaturen auszuführen und zu tragen“. Darüber hinaus übernimmt der Mieter alle Reparaturen im Innenbereich der Mieträume.
Die Wartung bauseits installierter technischer Anlagen in seinen gemieteten Räumen obliegt dem Mieter.
2 Capital Expenditures (CAPEX)
Im Zuge der Vorortbegehung wurden keine Mängel festgestellt. Das Objekt befindet sich jedoch noch in der Bauphase. Es ist davon auszugehen, dass auftretende Mängel nach Fertigstellung im Rahmen der Gewährleistung abgearbeitet werden können. Daher wurden keine Kosten angesetzt.
Hinweis:
Unter der Annahme, dass die baulichen Leistungen des im Laufe des Jahres 2008 errichteten Gebäudes mit den üblichen Gewährleistungsfristen ausgestattet sind, können Mängel, die in der Gewährleistungsfrist (i.d.R. 5 Jahre) auftreten, kompensiert werden. Die Übertragung / Abtretung von Ansprüchen aus gegebenenfalls bestehenden Sicherheiten (z.B. Bürgschaft) ist kaufvertraglich zu fixieren.
3 Baurecht
Gemäß Vereinbarung wurde die vorliegende Legal Due Diligence mit Datum 26.02.2007 (1st Draft) hinsichtlich technischer Belange, Hinweise für Defizite von Baugenehmigungen und sonstiger behördlicher Forderungen plausibilisiert.
Unseres Erachtens sind die wesentlichen Sachverhalte in der Legal Due Diligence genannt. Nachfolgend Ergänzungen aus technischer Sicht.
3.1 Baugenehmigung
Zur Prüfung lagen die Hauptbaugenehmigung zur Errichtung einer Verkaufsstätte bis 700 m² Verkaufsfläche vom 06.12.2007 (AZ 20070026) sowie eine Nachtragsgenehmigung für geringfügige Änderungen des Backshops (AZ 20080003) vom 22.01.2008 vor. Art und Umfang der Nachtragsgenehmigung sind nicht ersichtlich, auf die Anfrage beim Verkäufer erfolgte bis dato kein Rücklauf.
Nach Fertigstellung des Gebäudes und der Aussenanlagen sollten die behördlichen Schlußabnahmen sowie alle weiteren Abnahmeprotokolle (TÜV, VdS, etc.) vollumfänglich vom Verkäufer zur weiteren Prüfung vorgelegt werden.
Aus den vorliegenden Planunterlagen des Bauantrags vom 17.12.2007 geht hervor, dass die Gesamt-Verkaufsfläche ca. 715 m² (Markt inkl. Bäckerei) beträgt. Die Baugenehmigung mit Datum 06.12.2007 beinhaltet die Errichtung einer Verkaufsstätte bis 700 m² Verkaufsfläche. Eine Befreiung über die Überschreitung der zulässigen Verkaufsfläche um 15m² lag nicht zur Prüfung vor. Technical Due Diligence for Real Estate Property XXX
1 Introduction
As part of the due diligence, XXX inspected the building structure and the technical condition of a grocery store in XXX as commissioned by XXX GmbH.
The following evaluation is based on the brief on-site inspection and the analysis of the documents that were made available as well as the plausibility of the legal due diligence that is at hand from a technical point of view.
The site inspection of the building was conducted in the company of Mr. XXX (seller's representative) on 25 February 2008.
3 Summary
3.1 General provisions
The building is currently under construction. At the time of the site inspection, work on the interior plaster and window installations had been started.
Work on the exterior facilities and on the brick facade was well under way.
Basic installation of the building services had been carried out. The connections through the energy suppliers will be installed in the next couple of days.
Based on the current construction process, the planned opening date of late April seems realistic.
3.2 Open items:
We recommend that the successful completion and official acceptance be added as a condition precedent to the purchase agreement. Upon completion, we recommend a formal building transfer between buyer and seller as well as the handover of the pending documentation such as official acceptance etc.
We also recommend adding clarification of the following items as a condition precedent to the purchase agreement:
– The transfer / assignment of claims from potentially existing securities/warranties (e.g. bonds)
– Inconsistency in the lease agreement regarding maintenance and repair costs
– Proof of compliance with building permit requirements (including, among other items, sound insulation, thermal insulation, etc.)
– Proof of compliance with fire code requirements (fire protection concept)
– Clarification in regards to exceeding the permissible retail area by 15m²
– Presentation of official final acceptances as well as all additional acceptance protocols (TÜV, VdS, etc.) upon completion
– Presentation of legally valid zoning plan
– Updating of abstracts of title
– Presentation of the Energy Performance Certificate
– Handover of all documentation and revision documentation
1 Maintenance Costs
Drees and Sommer only inspected the lease agreements at hand in regards to repair / maintenance costs.

According to the lease agreement, the tenant is responsible for aesthetic repairs in the interior rooms to the extent that they are not caused by structural deficiencies. The tenant bears the risk for glass breakage. Individual repairs of up to € 500 plus sales tax and up to an annual amount of € 2000 plus sales tax are borne by the tenant. Maintenance, repair and replacement costs in excess of these limits are the responsibility of the landlord.
The landlord is obligated to service and, if necessary, repair the heating system once every year (before the start of the heating season).
The landlord is responsible for securing traffic safety, the regular cleaning of customer parking spaces, access roads and exits, snow removal and sanding/ salting as well as the care of the exterior facilities. The tenant bears the prorated costs in accordance with the ancillary cost invoicing.
The maintenance costs for the heating and ventilation system, maintenance of the door systems within the leased property and chimney sweep fees are invoiced as part of the ancillary costs, which are prorated according to the leased space of the tenant.
The tenant is entitled to conduct structural changes during the lease term. This requires the landlord's written approval which may only be withheld for good cause. At the end of the lease, the tenant is not obligated to restore the property to its original condition.
Note:
Parcels referenced in the lease agreement are not consistent with the abstracts of title on hand and should be adjusted.

According to the lease agreement, the prorated costs for the operation and the maintenance of the heating and warm water supply systems and the ventilation system, the maintenance of the exterior facilities, chimney equipment, sanding/ salting services, snow removal and other operational and maintenance costs are charged as part of the ancillary costs in accordance with the lease agreement.
The tenant may utilize the exterior wall surfaces outside of the leased premises to install company or informational signs, exterior advertisement, awnings, antennas etc. Coordination with the main tenant and the written approval of the landlord are required in this context. The landlord may demand changes or removal for good cause after the approval. Furthermore, the tenant shall at his own expense remove the above referenced items upon termination of the lease agreement if the landlord demands such removal.
With the approval of the landlord, the tenant may carry out remodeling and finishing measures in the tenant's own leased premises. The tenant shall be obligated to restore the space to its original condition if no agreement in the remodeling permit states otherwise. The landlord may perform structural changes without the approval of the tenant, if such changes serve the maintenance of the overall property, the prevention or removal of impending hazards, or if such changes are not necessary but practical and serve to modernize the building. The tenant may not prevent the execution of such work. The tenant may only withhold his approval for good cause.
According to the lease agreement, the tenant shall "perform and pay for maintenance repair" in regular intervals. In addition, the tenant bears the costs for all repair work within the premises of the leased space.
The maintenance of on-site installed technical systems within the premises of the leased space is the responsibility of the tenant.
2 Capital Expenditures (CAPEX)
No defects were found during the on-site inspection. However, the building is still under construction. It can be assumed that any effects that occur after completion can be addressed and remedied as part of the warranty services. Therefore, no costs were estimated.
Note:
Assuming that the structural services of the building constructed during 2008 carry the standard warranty periods, defects that occur during the warranty period (usually five years) will be reimbursed. The transfer / assignment of claims from potentially existing securities (e.g. bonds) must be specified in the purchase agreement.
3 Building Law
In accordance with the agreement, the existing legal due diligence dated 26 February 2007 (1st draft) was checked in regards to technical issues, notifications regarding deficiencies in connection with building permits and other official requirements.
It is our opinion that the essential facts are listed in the legal due diligence. Additional information in regards to technical issues follows.
3.1 Building permit
The main building permit for the construction of a retail facility with retail space of up to 700 m² dated 06 December 2007 (file no. 20070026) as well as an amended permit for minor changes of the bakery (file no. 20080003) dated 22 January 2008 are available. Type and scope of amended permit are not apparent, inquiry of the seller has not provided any feedback to date.
The official final acceptance as well as all additional acceptance protocols (TÜV, VdS, etc.) should be fully presented by the seller for further inspection upon completion of the building and the exterior facilities.
The available planning documents of the building application dated 17 December 2007 state that the total retail area measures about 715 m² (supermarket including bakery). The building permit dated 06 December 2007 involves the construction of a retail facility with a retail space of up to 700 m². A waiver for exceeding the permissible retail space by 15m² was not available for inspection. Wie kann ich Ihnen Seoul erklären? Manche sagen, es sei nach New York die amerikanischste Stadt, andere meinen, Südkoreas Hauptstadt sei das moderne Gesicht Asiens, aber eben mit einer lang zurückreichenden, würdigen Tradition. Seoul hat wohl von beidem etwas. Fakt ist, dass die Stadt in den vergangenen Jahrzehnten eine schier unglaubliche Entwicklung, einen geradezu tigerähnlichen Sprung in eine neue Zeit erlebte.
Noch Mitte der Siebzigerjahre lebten hier etwa drei bis vier Millionen Menschen, heute sind es allein in der eigentlichen City rund 11 Millionen, in der Großregion weit über 20 Millionen. Mitt¬lerweile ist Seoul nach Tokio und Mexico-City die bevölkerungsreichste Metropole der Welt.
Doch Größe und Fülle sind kein Maßstab, obschon wir Südkoreaner ja bekanntlich eine Schwäche für Rankings aller Art haben. Nein, es kommen im Falle von Seoul, der alten Königsresidenz, über 600 Jahre reichhaltige Hauptstadtkultur und Geschichte hinzu. Das Besondere: Oft genug stehen Paläste, Tempel und historische Gebäude mitten zwischen den Wolkenkratzern, und auch in kleinen Gassen sind die Spuren der Geschichte zu entdecken.
Dabei wird und sollte der Reisende seinen Aufenthalt in der Kapitale sicher nicht in der Vergangen heit beginnen, doch am drit¬ten oder vierten Tag könnte ein Besuch etwa des Changdeokgung (Palast illustrer Rechenschaft) willkommenes Atem holen vom Großstadtgetriebe bedeuten. Hier wohnte die königliche Familie bis 1989, und hier findet sich auch neben wunderbaren Parkanlagen und Palastbauten der sehenswerte, längst nicht jedem Seoul-Besucher bekannte, so genannte geheime Garten Biwon, seit 1997 UNESCO-Weltkulturerbe. Oder man besuche einmal im National Theater of Korea eine der Vorführungen traditioneller Tänze und Musik (jeden Mittwoch, 19 Uhr).
Daneben ist Seoul zuvorderst die World Class City des unaufhaltsamen Fortschritts, des Business, der Kultur, der Bildung (allein 36 Hochschulen) sowie der Unterhaltung, der Gaumenfreuden – und des Shopping. Versäumen Sie auf keinen Fall Myeong-dong, als Shopping-Mekka die erste Adresse für alle, die durch eine bunte Vielfalt von Nebenstraßen mit unendlich vielen Geschäften streifen möchten. Oder den nahe gelegenen Namdaemun-Markt, der auch von den Besuchern her schon viel koreanischer ausfällt. Aber gönnen Sie sich auch ein paar Stunden oder den ganzen Tag (es lohnt) in Insadong, einst das Viertel der Beamten und der Aristoraten. In den verwinkelten Gassen und Straßen finden sich Dutzende von Kunstgalerien und Antiquitätenläden. Eine ausgiebige Mahlzeit in einem der Restaurants nahe der Sudo-Apotheke ist ein Erlebnis.
Ach ja, die koreanische Küche. Sie wird Ihnen gefallen. Natürlich ist sie wie fast überall in Asien würzig und scharf, doch von hohem Nährwert und vor allem kalorienarm. Entscheidend: Zu den Hauptgerichten gehören unterschiedlichste Gemüsearten und typische Gewürze. Wer nur einmal Kimchi (Gemüse, speziell zubereitet), Bibimpab (Reis und verschiedenste Gemüse), Galbi (gegrillte Rippen) oder Haemultang (Eintopf aus Meeresfrüchten) gekostet hat, den lässt diese Küche nicht wieder los. Und unsere traditionellen Weine und Liköre sind weltberühmt, allen voran das Nationalgetränk Soju. Aber da erkläre ich Ihnen wohl nichts Neues.

How can I explain Seoul to you? Some say that it is the most American city after New York, others think South Korea's capital is the most modern face of Asia with a long history of honored traditions. Seoul probably has elements of both. It is evident that the city experienced unbelievable growth over the last decades and took an enormous, tiger-like leap into the new era.
In the mid 70ies, the city was still home to about three to four million people. Today, the city itself accounts for about 11 million inhabitants just in the city itself, and there are well beyond 20 million persons who live in the greater metropolitan area. After Tokyo and Mexico City, Seoul now has the largest metropolitan population in the world.
But size and density do not suffice to size up the city, even though we South-Koreans are known for having a weak spot for all kinds of rankings. No, the core of Seoul, site of the historic Royal residence, is also comprised of more than 600 years of rich capital culture and history. What give the city its unique flair, however, it that you will find palaces, temples and historic buildings nestled between the skyscrapers and even small side streets bear signs of the city's rich history.
Nevertheless, a traveler is certainly not expected to immediately start experiencing the capital by exploring its past, but on the third or forth day, a visit of Changdeokgung, the Palace of Prospering Virtue may proof to be a welcome respite from the hustle and bustle of the mega city. It was the residence for the Royal family until 1989, and in addition to beautiful parks and palace buildings, it also features the mysterious Biwon Garden. Even though it is not a familiar sight to every Seoul visitor, it is well worth a visit and was officially recognized as an UNESCO world cultural heritage site in 1997. Or you can see a performance of traditional dances and music in the National Theater of Korea (every Wednesday at 7:00 pm).
Additionally and maybe foremost, Seoul is the premier World Class City for relentless progress, business, culture, education (home of 36 universities) as well as entertainment, culinary treats - and shopping. Definitely make time for Myeong-dong, the premier shopping Mecca for all who want to wander through a colorful array of small streets with an endless number of stores. Or explore Namdaemun Market, which has a more distinct Korean appearance starting even with its patrons. Also treat yourself with a couple of hours or a full day in Insadong, the former district of functionaries and aristocrats. It is worth it. The winding small streets and roads are also filled with dozens of art galleries and antique stores. An extensive meal in one of the restaurants close to Sudo Pharmacy is an experience.
Oh, yes, Korean cuisine. You will like it. Of course it is flavorful and spicy like almost everywhere in Asia, but it is also very nutritious and low in calories. Most importantly, main dishes include a large variety of vegetables and typical spices. Only once try Kimchi (specially prepared cabbage), Bibimpab (rice and different kinds of vegetables), Galbi (grilled ribs) or Haemultang (seafood stew) and you will be a fan for life. The traditional Korean wines and liquors are world-famous, especially Soju, our national beverage. But in all likelihood, I'm not telling you anything new.
