4 LIEFER- UND LEISTUNGSUMFANG
Gemäß Teil B und Teil C des Vertrages erbringt der AN insbesondere folgende Leistungen:
4.1 BEDIENUNG DER VERTRAGSOPTIONEN
Nach Ziehung einer Vertragsoption durch den AG wird der AN die beschriebene Lieferung und Leistungen der betroffenen Vertragsoption gemäß Anhang A-AG XX durchführen.
Der AG hat das Recht bis zu sechs (6) Monaten vor Ablauf des ersten INSPEKTIONSZYKLUS die Vertragsoption für die Vertragsverlängerung an- oder abzuwählen.
4.2 PLANMÄßIGE INSTANDHALTUNG
Der AN wird die INSTANDHALTUNG gemäß Teil B Ziffer 2.1 durchführen und wird stets eine Minimierung der geplanten Stillstandstunden anstreben.
4.3 AUßERPLANMÄßIGE INSTANDHALTUNG
Sollte eine AUßERPLANMÄßIGE INSTANDHALTUNG gemäß Teil B erforderlich werden, liefert der AN alle ERV-TEILE und führt die AUßERPLANMÄßIGE INSTANDHALTUNG durch. In Zweifelsfällen oder bei Unstimmigkeiten verfährt der AG gemäß Ziffer 5.
Die PARTEIEN informieren einander schriftlich, wenn eine AUßERPLANMÄßIGE INSTANDHALTUNG durchgeführt werden muss. Bei Vorliegen oder nach in Kenntnis setzen einer AUßERPLANMÄßIGE INSTANDHALTUNG sendet der AN innerhalb von vierundzwanzig (24) Stunden nach Mitteilung durch den AG einen Befundaufnehmer zum XXX-XXX, um die erforderliche INSTANDHALTUNG aufzunehmen.
Je nach den gelieferten TEILEN und der durchgeführten AUßERPLANMÄßIGEN INSTANDHALTUNG unterbreitet der AN schnellstmöglich ein schriftliches Nachtragsangebot über die durchzuführende Maßnahme nebst Zeitplan.
4.4 LEASE ENGINE
Falls der AG eine Lease Engine aufgrund von geplantem oder ungeplantem Stillstand der dem XXX-ANLAGE benötigt, soll der AG den AN davon unterrichten. Diese Benachrichtigung kann telefonisch erfolgen.
Nach Erhalt dieser Mitteilung wird der AN den AG den Empfang schriftlich inklusive der zu erwartenden Lieferzeit bestätigen.
Die Lieferung der Lease Engine erfolgt innerhalb von 72 Stunden nach der AG an DDP ERFÜLLUNGSORT (Incoterms 2000).
4.5 LIEFERBARKEIT VON ERV-TEILEN
Der AN ist zur Lieferung aller benötigten ERV-TEILE für die INSTANDHALTUNG während der Vertragslaufzeit verpflichtet.
Zudem gewährleistet der AN dem AG für die Dauer von 20 Jahren nach Vertragsbeginn die sichere Versorgung mit ERV-Teilen.
4.6 GEMEINSAME AUFGABEN
Mit dem AG erbringt der AN folgende Leistungen:
• sicherheitstechnische Genehmigungen (Arbeitserlaubnis nach Freischaltung) in Abstimmung mit dem AG,
• Berichte über sämtliche Aktivitäten des AN während der STILLSTANDSZEIT,
• Beteiligung an Koordinierungs-Besprechungen, damit jede INSTANDHALTUNG technisch, zeitlich und wirtschaftlich optimal abgestimmt ist,
• Wiederinbetriebnahme der ERV-TEILE nach einer INSTANDHALTUNG mit Unterstützung des Bedienpersonals des AG,
• Optimierung (Feinjustierung) der ERV-TEILE nach Wiederinbetriebnahme,
• Leistungsprüfung.
4.7 HOTLINE
Der AN stellt dem AG eine telefonische gemäß Teil B Ziffer 3 zur Verfügung.
4.8 WEITERE LEISTUNGEN
Auch wenn einzelne Lieferungen und Leistungen des AN nicht ausdrücklich erwähnt sind, die jedoch für die Vertragserfüllung, insbesondere für die Erbringung des Liefer- und Leistungsumfanges und im Teil B und C festgelegten Anforderungen sowie der Gewährleistung der besonderen Beschaffenheitsmerkmale notwendig sind, gehören sie zum vertraglich geschuldeten Liefer- und Leistungsumfang des AN.
Der AN übernimmt die Verantwortung und das Risiko für die Beschaffung sämtlicher zur Durchführung des Liefer- und Leistungserfolgs erforderlichen Beistellungen insbesondere Planungsleistungen, Komponenten, Stoffe und Bestandteile und steht hierfür ein.
Der AN informiert den AG über Änderung seines Produkt- und Leistungsspektrums.
Der AN wird nach vorheriger Zustimmung des AG Modifikationen insbesondere Änderungen, TILs, Service Bulletins durchführen.
4.9 BESONDERE BESCHAFFENHEITSMERKMALE
Der AN garantiert die Einhaltung der Besonderen Beschaffenheitsmerkmale gemäß Teil B Ziffer 7.
Der AN wird die zusätzlichen Lieferungen und Leistungen außerhalb des Liefer- und Leistungsumfanges erbringen, um die Besonderen Beschaffenheitsmerkmale zu gewährleisten.
Auf der Basis der PLANMÄßIGEN INSTANDHALTUNG darf die in Teil B Ziffer 6 definierte Verfügbarkeit der XXX-ANLAGE die Werte in Teil B Ziffer 6 nicht unterschreiten.
Die erreichte Verfügbarkeit wird berechnet entsprechend der in Anlage B-AG-XX gegebenen Definition und unter Berücksichtigung von STILLSTANDZEITEN, die dem AN nicht zuzurechnen sind gemäß Anlage B-AG-XX.
Der AG legt die Rechnung während des ersten Quartals des Folgejahres für den pauschalierten Schadenersatz.
5 ÄNDERUNGSVERFAHREN
Änderungen des Leistungsumfanges bedürfen jeweils einer schriftlichen Beauftragung entsprechend Anhang J „Änderungs- und Nachforderungsmeldung“ durch den Vertreter des AG vor Ausführung und einer schriftlichen Bestätigung durch den Vertreter des AN vor Ausführung. Vom AG beauftragte Änderungen, die der AN ohne vorherige Bestätigung im Formular „Änderungs- und Nachforderungsmeldung“ ausführt, werden zu den Konditionen der Beauftragung in den Leistungsumfang einbezogen und abgerechnet.
Bei Beauftragung einer Änderung müssen sich die Parteien mindestens über folgende Punkte einigen:
• Leistungsumfang der jeweiligen Änderung (Erstellung ergänzender und/oder Anpassung bestehender Leistungsbeschreibung),
• Einbindung der Änderung in den Projektablauf,
• Neu zu liefernde bzw. anzupassende Dokumentation,
• Freigabe der Änderung (soweit notwendig),
• Höhe und Fälligkeit der Mehr– oder Mindervergütung,
• Termine und Auswirkungen auf den bestehenden Terminplan.
Kann keine Einigung über die Höhe der Vergütung erzielt werden, so wird der Fall den Geschäftsführungen der Vertragsparteien zur Entscheidung vorgelegt.
Die aufgrund von Änderungen des Leistungsumfangs erbrachten Leistungen des AN werden der regulären Abnahme und den Freigaben entsprechend den Bestimmungen dieses Vertrages unterzogen.
Alle Änderungen sind fortlaufend zu nummerieren und in einer Änderungsmeldungsliste durch den Projektleiter des AG zu führen.
Änderungen in geltenden Gesetzen, Vorschriften und Regelungen werden als Änderung im Sinne dieser Ziffer behandelt. Soweit nicht anders von den PARTEIEN vereinbart, erfolgt die Preisstellung für die zusätzlichen Arbeiten aufgrund dieser Änderungen in Gesetzen, Vorschriften und Regelungen nach den ARBEITSZEIT- UND MATERIALKOSTENSÄTZEN.
Ändern sich Vorschriften oder ergehen gerichtliche Entscheidungen zwischen Vertragsunterzeichnung und Abnahme und hat dies Einfluss auf die Leistungserbringung, werden sich die Vertragsparteien unverzüglich schriftlich über die Änderung und die damit verbundenen Auswirkungen auf den Liefer- und Leistungsumfang informieren und eine entsprechende Vertragsanpassung vornehmen.
Leistungen, die der AN außerhalb des Änderungsverfahrens oder abweichend vom vereinbarten Leistungsumfang ausführt, werden nicht vergütet. Der AN hat sie auf Verlangen innerhalb einer angemessenen vom AG gesetzten Frist zu beseitigen; andernfalls kann der AG die Beseitigung auf Kosten des AN veranlassen.

4 SCOPE OF DELIVERIES AND SERVICES
In accordance with Parts B and C of the contract, AGENT shall render the following services in particular:
4.1 SERVICING OF CONTRACT OPTIONS
After PRINCIPAL exercises one of the contract options, AGENT shall render deliveries and services described therein in accordance with Appendix A-AG XX.
PRINCIPAL is entitled to select or deselect the contractual option for contract renewal during a period of up to six (6) months prior to expiration of the first INSPECTION CYCLE.
4.2 SCHEDULED PLANT MAINTENANCE
AGENT shall perform PLANT MAINTENANCE according to Part B clause 2.1 and strive for minimization of scheduled standstill-hours at all times.
4.3 NON-SCHEDULED MAINTENANCE
In case NON-SCHEDULED MAINTENANCE in accordance with Part B should become necessary, AGENT shall supply all ERV-parts and carry out the NON-SCHEDULED MAINTENANCE. In cases of doubt or disagreement, PRINCIPAL shall proceed according to clause 5.
The PARTIES shall notify each other in writing whenever NON-SCHEDULED MAINTENANCE has to be performed. In the event or after notification of NON-SCHEDULED MAINTENANCE, after notification from PRINCIPAL, AGENT shall send a fact-finder to XXX-XXX in order to start the required PLANT MAINTENANCE.
Depending on the PARTS delivered and the NON-SCHEDULED MAINTENANCE performed, AGENT shall, as quickly as possible, present a written supplemental bid regarding necessary measures and schedule.
4.4 LEASE ENGINE
Should PRINCIPAL require a lease engine due to a planned or non-scheduled standstill of the XXX-Plant, PRINCIPAL shall so notify AGENT. This notification may occur via telephone.
After receipt of said notification, AGENT will send PRINCIPAL written confirmation of receipt, including the anticipated delivery time.
Delivery of lease engine shall take place at DDP PLACE OF FULFILLMENT (Incoterms 2000) within 72 hours of receipt of said confirmation by PRINCIPAL.
4.5 DELIVERABILITY OF ERV-PARTS
AGENT shall be obligated to deliver all required ERV-PARTS for PLANT MAINTENANCE during the term of the contract.
In addition, AGENT shall warrant PRINCIPAL the reliable supply of ERV-Parts for a period of 20 years after contract becomes effective.
4.6 JOINT TASKS
AGENT shall, jointly with PRINCIPAL, render the following services:
• permits relating to safety technology (operating permit after startup) in coordination with PRINCIPAL,
• reports regarding all of AGENT’s activities during the PERIOD OF STANDSTILL,
• participation in coordination-related meetings to ensure that each event of PLANT MAINTENANCE is optimally coordinated regarding aspects of technology, time, and economy.
• resumption of ERV-PARTS operation after MAINTENANCE with help of PRINCIPAL’s operational personnel,
• optimizing (fine tuning) of ERV-PARTS after resumption of operations,
• performance test.
4.7 HOTLINE
AGENT supplies PRINCIPAL with a telephone hotline according to Part B clause 3.
4.8 ADDITIONAL SERVICES
Even if individual deliveries and services of AGENT are not mentioned explicitly, they are part of the scope of deliveries and services to which AGENT is contractually obligated, to the extent they are necessary for performance under the terms of agreement, particularly performance within the scope of deliveries and services and the requirements documented in Parts B and C, as well as the warranty of specific characteristics.
AGENT shall bear responsibility and risk and shall be accountable for procuring all supplies required for realization of contractual performance, including specifically planning, components, materials, and parts.
AGENT shall inform PRINCIPAL of modifications to its range of products and services.
AGENT shall, after prior consent by PRINCIPAL, carry out modifications, especially alterations, TILs, and service bulletins.
4.9 SPECIAL CHARACTERISTICS
AGENT shall guarantee compliance with the Special Characteristics according to Part B clause 7.
AGENT shall provide additional deliveries and services outside the scope of deliveries and services in order to guarantee said Special Characteristics.
On the basis of SCHEDULED MAINTENANCE, availability of the XXX-Plant as defined in Part B clause 6 shall not fall short of the values in Part B clause 6.
Achieved availability is calculated according to the definition in Appendix B-AG-XX, and with consideration of STANDSTILLS, which are not in AGENT’s control according to Appendix B-AG-XX.
PRINCIPAL shall render an accounting for lump-sum compensation during the first quarter of the following year.
5 REVISION PROCEDURES
Prior to execution of each revision of the scope of performance, written authorization by PRINCIPAL’s representative according to Appendix J “Revision and Subsequent Performance Notification” as well as written confirmation by AGENT’s representative are required. Revisions commissioned by PRINCIPAL, which are carried out by AGENT without prior confirmation in the form “Revision and Subsequent Performance Notification”, will be added to the conditions of commissioning within the scope of performance and settled.
When commissioning a revision, both parties have to agree at least to the following points:
• Scope of performance of each revision (creation of supplemental and/or amendment of existing description of performance),
• Integration of the revision into project work flow,
• Documentation that needs to be created or amended,
• Release of the revision (to the extent necessary),
• Amount and due date of increased or decreased compensation,
• Fixed dates and impact on the existing schedule.
If an agreement regarding the amount of compensation cannot be reached, the case shall be brought before the contracting parties’ management for decision.
AGENT’s performance based on revisions of the scope of performance shall be subject to regular acceptance and releases in accordance with the stipulations of this contract.
All revisions shall be numbered continuously and documented in a list of revision notifications by PRINCIPAL’s project manager.
Revisions of applicable laws, rules, and regulations are treated as revisions according to this clause. To the extent the PARTIES did not agree otherwise, quotations of prices for additional work due to said revisions in laws, rules, and regulations occur based on RATES FOR TIME AND MATERIALS COST.
In the event of a revision of regulations or of court decisions occurring between execution of the agreement and acceptance, and said events affect performance, the parties shall inform each other immediately in writing regarding the revision and its effect on the scope of deliveries and services, and make the applicable revision to the agreement.
AGENT shall not be compensated for services rendered outside the revision procedure or the agreed upon scope of services. AGENT shall remove them at the request and within the time period set by PRINCIPAL. Otherwise, PRINCIPAL is entitled to commission the removal at AGENT’s expense.

Die ersten Wochen waren zunächst von einer spürbaren Erholung und optimistischen Erwartungen etwa auf eine schnelle Überwindung der Kreditkrise geprägt. Als Folge konnten sich Aktien deutlich von den Mitte März verzeichneten Tiefständen entfernen. Gute Konjunkturdaten verringerten die Ängste um eine kräftige Abschwächung der Weltwirtschaft. Als jedoch im Mai der Ölpreis auf immer neue Rekordstände stieg, verflüchtigte sich das Vertrauen vieler Investoren. Inflations- und Wachstumsängste gewannen die Oberhand. Die Aktienkurse gingen wieder deutlich zurück. Einige schlechte Nachrichten aus dem Finanzbereich unterstützten diesen Trend, in dem sie die vielfach vorhandene Zuversicht bezüglich der Finanzmarktkrise verringerten.
In Asien setzten japanische Aktien im zweiten Quartal die Mitte März begonnene Erholung mit deutlichen Kursgewinnen zunächst fort, verloren ab Mai aber zusehends an Aufwärtsdynamik und schwenkten in eine Seitwärtsbewegung ein. Die Börsen in China und Indien konnten zwar dem internationalen Erholungstrend bis zur Mitte des Berichtszeitraums folgen, gaben dann aber wieder deutlich nach. Wie in Europa und den USA belasteten vor allem die höheren Preise für Energie und Nahrungsmittel. Im Gegensatz hierzu konnten die Aktienmärkte der klassischen Rohstoffexporteure Russland und Brasilien infolge der steigenden Rohstoffpreise im abgelaufenen Quartal mehrheitlich erfreuliche Ergebnisse erzielen.

In the course of the year, too, signs of an end to the financial crisis should grow stronger, something that will in turn bolster the confidence of investors again. In particular, prospects of the global economy and especially the US economy should slowly improve. Then we are likely to see a significant upswing in the readiness of investors for risk. In the medium- and long-term outlook, stocks appear attractive. Positive factors such as favorable valuations, historically as well as in comparison to bonds, should have a positive effect for the remainder of the year. Additionally, due to the relatively favorable value of the US dollar, US stocks might stimulate stronger buying considerations, particularly with euro-investors. Once again, an increasing number of foreign investors have also been at the Japanese stock market. This can be seen as a positive development and confirmation that, from a global perspective, Japanese stocks are once again increasingly considered an investment alternative.
In the emerging markets, rising inflation rates, especially in China and India, as well as more restrictive policies by central banks could lead to more volatility in the markets. Nevertheless, for the rest of the year, dynamic economic development and also, as is the case with Russia and Brazil, solid profits from raw materials export should lead to good prospects and further market potential.
