Menée tambour battant, cette OPA a immédiatement reçu l’aval favorable de 37 % des actionnaires de Grolsch ainsi que de son conseil d’administration.
Il faut dire que SAB avait des arguments financiers. Le britannique offre 48,25 euros pour chacune des actions Grolsch, soit une prime de 84 % sur le cours moyen de clôture du groupe pour le mois écoulé. À ce prix, « une contre-offre » est improbable, juge Jurgen Smits, analyste chez Petercam.
SABMiller entend développer la marque Grolsch en Afrique et en Amérique latine, où le segment de la bière haut de gamme n’en est qu’à ses balbutiements, ainsi que sur les marchés plus développés comme l’Europe centrale et orientale. Des régions où la consommation de bière est encore en croissance, contrairement aux pays matures qui souffrent depuis une décennie d’une baisse régulière de la consommation du demi. Grolsch apparaît pour SABMiller comme un relais de croissance du groupe britannique dans les pays émergents. « L’origine de Grolsch, son profil gustatif unique et son positionnement sur le marché haut de gamme joueront un rôle complémentaire dans le portefeuille de m arques internationales de SABMiller », a justifié le groupe.

The world’s second largest brewer, British giant SABMiller, owner of the Miller Lite, Castle and Peroni brands, has just swallowed the Dutch lager company Grolsch. The swiftly orchestrated takeover bid was immediately approved by 37% of Grolsch’s shareholders and its board of directors.
SAB had a solid financial case. The British group were offering 48.25 euros per share, an increase of 84% on the average closing price for the group over the past month. Jurgen Smits, an analyst with Petercam believes that at this price, “a counter offer” is unlikely.
SABMiller intends to develop the Grolsch brand in Africa and Latin America where the high quality end of the market is in its infancy, as well as in the more mature central and eastern European markets. These are areas where beer consumption is still rising, unlike the mature markets where pint consumption has been in steady decline over the last decade. For SABMiller, Grolsch appears to be the transition for growth in emerging markets. The group justifies its position “Grolschs origins, unique flavour, and position at the top end of the market, will complement SABMiller’s international brand portfolio.”
