We would expect that keeping our stake below the 50% mark would be set off with a clause in the joint venture agreement providing for any key issues to require a two thirds vote of the Supervisory Board and / or giving us some extra seats on the Supervisory Boardor some similar measures to ensure effective control of the company. Otherwise we would lose control of the funds we would have committed to the investment and increase our risk beyond any reasonable limit. We have done a fair amount of business together and I trust that you can understand our position.
We would therefore ask that you propose some relevant amendments to the draft of the joint venture agreement we faxed you for review last week and also identify the areas where the transfer of our experience, know-how, and expertise would best enhance the performance of our joint venture.
Further to our telephone conference I am also enclosing a revised version of the logo of the new company and a draft of the charter. My expectation would be that we arrange another teleconference to review the progress and / or my comments in the week of October 22nd.

Oczekujemy, iż z powodu wniesienia przez nas kapitału mniejszościowego, umowa joint venture zostanie opatrzona klauzulą, w myśl której wszystkie kluczowe sprawy będą wymagały przegłosowania przez dwie trzecie członków Rady Nadzorczej oraz/lub zapewniającą nam dodatkowe miejsca w Radzie Nadzorczej, bądź dającą inne możliwości zachowania wpływu na bieżące zarządzanie spółką. W przeciwnym razie utracilibyśmy kontrolę nad środkami finansowymi zainwestowanymi w przedsięwzięcie, co wiąże się z niedopuszczalnym wzrostem ryzyka finansowego. Z uwagi na długą i udaną współpracę z Pańską firmą liczymy na zrozumienie naszego stanowiska.
W związku z powyższym prosimy o przedstawienie stosownych poprawek do projektu umowy, który w zeszłym tygodniu przesłaliśmy faksem do Pańskiego wglądu, jak również o wskazanie obszarów, w których nasze doświadczenie i wiedza specjalistyczna będą dla spółki najkorzystniejsze.
