SERVICE AGREEMENT
THIS SERVICE AGREEMENT made on this __ day of ___________, 2008, by and between JIT Services, LLC, a Delaware limited liability company, having its principal place of business at 125 Electronics Boulevard, Huntsville, Alabama 35824 and J.I.T International Mexico, S.de.RL. de C.V. (hereinafter “JIT”) and Avnet Electronics a group of Avnet Inc. , having its principal place of business at 2211 S. 47th Street Phoenix AZ 85034 and Avnet de Mexico, S.A. de C.V. with its principle place of business at AV Iteso No. 8900, Edifico 1-B, Parque Industrial Techologico, Tlaquepaque, Jalisco, Mexico 45080 (hereinafter “Depositor”).
In consideration of the mutual promises contained herein, JIT and Depositor agree as follows:
DELIVERY REQUIREMENTS - Shipments of Depositor’s product (hereinafter “ Product”) will be made to JIT as directed in writing by Depositor's duly authorized representatives. When Depositor orders Product to be delivered by JIT, a reasonable time shall be given JIT to carry out Depositor’s instructions. JIT may make emergency shipments based upon written requests by: ___________________.
TERM - This Service Agreement shall commence on the date first written above, unless earlier terminated by either party as set forth in this Service Agreement, and shall remain in effect for a period of one (1) year. Thereafter, this Service Agreement shall automatically renew for successive one (1) year terms unless a party gives ninety (90) days advanced written notice of non-renewal.
STANDARD TERMS AND CONDITIONS - The parties agree to be bound by JIT’s Standard Terms and Conditions as listed on Exhibit “A” of the Proximity Warehouse Agreement dated October 10, 2005 between JIT and Avnet and by reference herein made a part of his Agreement.

ACUERDO DE PRESTACIÓN DE SERVICIOS
ESTE ACUERDO DE PRESTACIÓN DE SERVICIOS celebrado este día __ de ___________ de 2008, por y entre JIT Services, LLC, una compañía de responsabilidad limitada de Delaware, que tiene su base de operaciones comerciales en 125 Electronics Boulevard, Huntsville, Alabama 35824 y J.I.T International México, S.de.RL. de C.V. (en lo sucesivo denominada “JIT”) y Avnet Electronics un grupo de Avnet Inc., que tiene su centro de operaciones comerciales en 2211 S. 47th Street Phoenix AZ 85034 y Avnet de México, S.A. de C.V. que tiene su centro de operaciones comerciales en AV Iteso No. 8900, Edifico 1-B, Parque Industrial Tecnológico, Tlaquepaque, Jalisco, México 45080 (en lo sucesivo denominada “Depositante”).
En consideración de los compromisos mutuos que aquí están incluidos, JIT y el Depositante acuerdan lo siguiente:
REQUERIMIENTOS DE ENTREGA – Los embarques del producto del Depositante (en lo sucesivo “Productos”) serán hechos por JIT, tal como se indica por escrito a través de los representantes autorizados del Depositante. Cuando el Depositante ordene Productos a ser entregados por JIT, se le dará un tiempo razonable a JIT para realizar las instrucciones del Depositante. JIT podrá realizar embarques de emergencia en base a pedidos por escrito de: ___________________.
PLAZO – Este Acuerdo de prestación de servicios iniciará en la fecha que se señala al comienzo del presente, a menos que sea terminado anticipadamente por ambas partes según se establece en este Acuerdo de prestación de servicios y permanecerá en vigor durante un periodo de un (1) año. Por lo que este Acuerdo de prestación de servicios se renovará de forma automática por términos de (1) año sucesivos a menos que una de las partes notifique por escrito con noventa (90) días de anticipación que no sea renovado.
TÉRMINOS Y CONDICIONES ESTÁNDAR – Las partes acuerdan estar sujetos a los Términos y Condiciones estándar de JIT como se enlista en el Anexo “A” del Acuerdo de Proximidad de Almacén con fecha 10 de octubre de 2005 entre JIT y Avnet y mediante su referencia el mismo forma parte de este Acuerdo.
