L'Azienda nomina quale Responsabile della Sperimentazione richiamata in premessa, a seguito di formale accettazione, il Prof. …………………………., in servizio presso la struttura di ……………………., in qualità di Sperimentatore [o Sperimentatore Principale]
Il referente tecnico scientifico della Sperimentazione per conto del Promotore sarà il Dr. _________________________ il quale potrà nominare un responsabile di progetto ed avere contatti con i sanitari incaricati di programmare e di eseguire la Sperimentazione nel rispetto di quanto previsto dalla normativa richiamata in premessa.

Essendo una Sperimentazione multicentrica ad arruolamento competitivo [togliere se l’arruolamento non è competitivo], il numero di pazienti per centro può variare, in più o in meno, in funzione della capacità d’arruolamento di ciascuno.
Le Parti prendono atto che un eventuale aumento del numero di pazienti da arruolare presso il centro sperimentale dell’Azienda, dovrà essere preventivamente concordato tra lo Sperimentatore ed il Promotore. Il Promotore comunicherà tempestivamente per iscritto allo Sperimentatore la data di chiusura degli arruolamenti, o per raggiungimento del numero di pazienti complessivamente richiesto a livello internazionale o per scadenza dei tempi previsti, e lo Sperimentatore sarà quindi tenuto a svolgere la Sperimentazione solo su quei pazienti già arruolati alla data di detta comunicazione.

Art. 2 Leaders of the Trial
The Hospital appoints as Leader of the above stated trial, following his formal acceptance, Prof. …………………………., who works in the department of ……………………., with the position of Investigator [or Principal Investigator]
The technical-scientific reference leader of the trial on behalf of the Promoter is Dr. _________________________ who shall have the right to appoint a project leader and have contacts with the doctors who are responsible for the planning and the execution of the Trial in accordance to the laws and regulations stated in the preamble.
The Hospital accepts the monitoring visits which shall be carried out in the Department. ……….. of.......................... by personnel of the Promoter or any third party appointed by the Promoter, with the aim of verify the correct development of the Trial.
ART. 3 – Start of the Trial and number of patients
The Trial shall start after obtaining the necessary authorizations in accordance to the current laws and internal regulations.
About ………… patients shall be enrolled in the Trial Centre of the Hospital within the date…………. …….. ……….. (estimated date). [in case of multi-centre trial] the total maximum number, among all participating centres (in Italy/world), shall be of no. ………………….. patients.
As the Trial is a multi-centre trial with competitive enrolment [cancel this part if the enrolment is non competitive] the number of patients for each centre may vary, by a greater or lesser measure, depending on the enrolment capacity of each centre.
The Parties acknowledge that a possible increase of the number of patients to be enrolled in the Trial Centre of the Hospital shall be previously agreed by the Investigator and the Promoter. The Investigator has the responsibility of notifying the Ethics Committee of this said increase. It is anyway agreed that the increase of the case studies, carried out upon the above stated conditions, shall not require an amendment to this present Agreement; the economic consideration for each patient agreed in this said agreement shall apply to all additional patients.
The Promoter shall timely communicate in writing to the Investigator the termination date of the enrolment, either for having reached the total number of patients required at international level or for the expiration of the scheduled terms, and the Investigator shall then obliged to carry out the Trial only on those patients who have already been enrolled on the date of this said communication.
The Promoter shall not have any liability and shall not pay any consideration for the patients enrolled by the Investigator, by his own initiative, beyond the agreed maximum number or later than the date of the enrolment termination communication.

3. OWNERSHIP OF INTELLECTUAL PROPERTY RIGHTS
3.1 Your only right to use the Application is by virtue of this Licence and you acknowledge that all intellectual property rights in or relating to the Application and all parts of the Application are and shall remain the exclusive property of XXX or its licensors.
3.2 You agree not to remove or alter any copyright or similar notices, including any electronic watermarks or other identifiers, that may be incorporated in the Application or any copy of the Application.
4. CONFIDENTIALITY
4.1 The structure, organisation and source code of the Application are the valuable trade secrets and proprietary confidential information of XXX and its licensors. You agree not to provide or disclose any such confidential information in the Application or derived from it to any third party.
4.2 The provisions of clause 4.1 will not apply to any information which is:
4.2.1 lawfully obtained free of any duty of confidentiality (otherwise than directly or indirectly from XXX); or
4.2.2 already in your possession, provided that XXX can show such possession from written records (other than as a result of a breach of this clause 4); or
4.2.3 which you can demonstrate is in the public domain (other than as a result of a breach of this clause 4).
4.3 To the extent that any information is necessarily disclosed pursuant to a statutory or regulatory obligation or court order, such disclosure shall not be a breach of this clause 4 provided you do what you can to prevent any such disclosure.

4.2.1 sia ottenuta legalmente e libera da qualunque dovere di segretezza (in forma diversa da quella ottenuta direttamente o indirettamente da XXX); o
4.2.2 sia già in vostro possesso, sempre che XXX possa dimostrare tale proprietà attraverso documenti scritti (e che siano diversi da quelli risultanti dalla violazione di questa clausola 4); o

1.Obblighi dell’Organizzatore
L’Organizzatore si impegna nei confronti della Società:
a) a mettere a disposizione della Società il Teatro degli Arcimboldi affinché possa tenervi la manifestazione indicata in premessa di cui al punto “B”, ivi compreso il tempo necessario per il montaggio e lo smontaggio;
b) a mettere a disposizione della Società, per il giorno durante il quale avrà luogo la manifestazione di cui al punto “B” delle premesse, il seguente personale :
- direttore tecnico/elettricista;
- n. 1 custode diurno;
- direttore di sala;
- n. 11 VV.FF;
(personale non disponibile come aiuti su piazza).
La Società potrà richiedere all’Organizzatore personale in aggiunta a quello indicato nel presente articolo, alle condizioni previste dall’allegato 1.
2. Obblighi della Società
2.1. La Società dovrà fornire all’Organizzatore tutte le indicazioni tecniche necessarie (richiesta di personale, attrezzature e esigenze particolari) entro e non oltre 30 giorni prima la data della manifestazione.
A carico della Società saranno tutti i servizi e tutte le prestazioni tecniche relative al montaggio, allo smontaggio e all’effettuazione degli spettacoli (a titolo esemplificativo e non esaustivo: facchini, macchinisti, elettricisti, fonici, tecnici video, sarte, attrezzisti, truccatori, parrucchieri,ecc.).
La Società garantisce che tutto il personale reclutato,direttamente e indirettamente, è in regola, col rispetto delle leggi vigenti in materia di lavoro e copertura assicurativa. Qualsiasi inadempienza derivante dal non espletamento di quanto sopra sarà imputata totalmente alla Società, che dovrà provvedere al risarcimento degli eventuali danni o maggiori oneri.
Resta pertanto inteso che graveranno sulla Società tutti i costi relativi alla realizzazione dei concerti, salvo quanto esplicitamente menzionato al paragrafo Obblighi dell’Organizzatore.
La Società si impegna a concordare con il Teatro, nel rispetto delle norme di sicurezza vigenti, il posizionamento in sala, in graticcia e sul palcoscenico di tutti gli impianti, i circuiti e le strumentazioni tecniche.
2.2. La Società è l’unico responsabile dei compensi e delle assicurazioni sociali e previdenziali del personale artistico, organizzativo e tecnico che parteciperà alla manifestazione ivi comprese le prove e quindi, in via esemplificativa e non esaustiva: dei compensi agli scritturati – comprensivi degli oneri riflessi, allestimento scenico ed attrezzature tecniche, viaggi, trasporti, soggiorni, diarie, noleggi materiali, strumenti, musiche, service audio/video/luci e quanto altro non compreso nella dotazione di servizio del Teatro; (ad eccezione del personale richiesto all’Organizzatore).
La Scheda Tecnica è a totale carico della Società.

1. Obligations of the Organizer
The Organizer undertakes before the Company to:
a) provide to the Company the “Teatro degli Arcimboldi” in order to hold the event as stated above in “B”, including for the time needed for the operations of stage assembly and disassembly;
b) provide to the Company, for the day on which the event as stated above in “B” will be held, the following personnel:
- technical director/electrician;
- 1 day custodian;
- floor manager;
- 11 firefighters;
(all personnel which are not part of the standard available working teams).
The Company may request to Organizer to provide additional personnel than what stated in this article, at the conditions specified in annex 1.
2. Obligations of the Company
2.1. The Company shall provide the Organizer with all technical requirements (personnel needed, equipment and special requirements) within and not later than 30 days from the date of the event.
The Company shall be responsible for the cost of all operations regarding the stage assembly, disassembly and the execution of the performances (including, but not limited to: loading personnel, stagehands, electricians, sound technicians, video technicians, tailors, riggers, make-up artists , hairdressers, etc.)
The Company guarantees that all personnel, recruited directly and indirectly, is hired in accordance with the current labor and insurance norms. The Company shall be liable for any default arising from non-compliance to the above stated, and reimburse any damage or additional expense.
It is furthermore agreed that the Company shall be responsible for all costs regarding the execution of the performance, except for what expressly provided under the paragraph Obligations of the Organizer.
The company undertakes to agree with the Theatre, in accordance to the current safety norms, the lay out of all sets, cables and technical equipment on the floor, grid, and stage.
2.2. The Company is the solely liable for the allowances and the social security and pension fees of the artistic, technical and administrative personnel who will take part to the performance and the rehearsals, as for instance, including but not limited to: the fees of the hired personnel – including the social security contributions applicable to the Company, the cost of the stage set and technical equipment, travel, transport, accommodation, daily subsistence allowance, equipment hire, instruments, music, audio/video/light service and any other item which is not included in the service offered by the Theatre; (with the exclusion of the personnel requested to the Organizer).
The Company is fully responsible for the technical information sheet.
