The Fair Price per Share as referred to in clause 10.3 shall be calculated by dividing the equity value of the JVC by the number of issued shares whereby the fair market value of the equity (Enterprise Value minus Net Debt) shall be finally and bindingly ascertained by an internationally recognized auditing firm chosen by the unanimous decision of the Parties and at the expense of the non-selling Party while, before issuing a decision, the auditing firm shall deliver a draft valuation to both Parties and the Parties and the auditing firm shall make an attempt to agree in good faith during a 30 days period on the fair market value. If no unanimity can be reached on the auditing firm then the two Parties shall commission two valuations of the offered Shares from a Big Four auditing firm of their respective choice, at their respective expense, and the average price from the two respective valuations shall be considered the Fair Price. | Translation - Russian
Справедливая Цена на Акцию, как указано в пункте 10.3, рассчитывается путем деления стоимости капитала СП на количество выпущенных акций, в соответствии с чем окончательная рыночная стоимость капитала (Стоимость Предприятия минус Чистый Долг) будет окончательно и законно установлена международно признанной аудиторской фирмой, выбранной единогласным решением Сторон и за счет Стороны, которая не продает, однако, до вынесения решения, аудиторская фирма представит обеим Сторонам проект оценки, и Стороны совместно с аудиторской фирмой сделают попытку добросовестно согласовать в течении 30-ти дневного периода справедливую рыночную стоимость.
