The above mentioned parties have agreed to incorporate this CORPORATION REGULATED BY THE CIVIL CODE, pursuant to the provisions of the laws regulating the matter and which shall operate under the specific clauses listed below: 1. Medical and Surgical Procedures
TO THE PATIENT: You have the right, as a patient, to be informed about your condition and the recommended surgical, medical or diagnostic procedure to be used so that you may make the decision whether or not to undergo the procedure after knowing the risks and hazards involved. This disclosure is not meant to scare or alarm you; it is simply an effort to make you better informed so you may give or withhold your consent to the procedure.
I (we) voluntarily request Dr. _________________ as my physician, and such associates, technical assistants and other health care providers as they may deem necessary, to treat my condition which has been explained to me as: ________________________ ______________________________________________________________________________________________________

I (we) realize that common to surgical, medical, and/or diagnostic procedures is the potential for infection, blood clots in veins and lungs, hemorrhage, allergic reactions, and even death. My physician has explained to me the nature of the procedure, the risk and hazards associated with the procedure, the desired outcome from the procedure, and alternatives to the procedure. I (we) also realize that the following risks and hazards may occur in connection with this particular procedure:
(i) Puncture of the bowel or blood vessel.
(ii) Abdominal infection.
(iii) Abdominal incision and operation to correct injury.
I (we) have been given an opportunity to ask my physician(s) questions about my condition, alternative forms of treatment, risks of nontreatment, the procedures to be used, and the risks and hazards involved, and I (we) have sufficient information from my physician(s) to give this informed consent.

To help with the often-high costs of long term care, our Accelerated Death Benefit Rider for Long-Term Care with Extension allows an Insured to take an advance against his or her life insurance death benefit to help pay for care, and extend the death benefit payments, if necessary.
Activation of the Accelerated Death Benefit Rider for Long-Term Care with Extension
Benefits under the Accelerated Death Benefit Rider for Long-Term Care with Extension can only be triggered when the insured is first diagnosed as chronically ill. The diagnosis that must be certified by a licensed Health Care Practitioner.
Chronically ill means a diagnosis certified by a licensed Health Care practitioner that the insured is unable to perform, without substantial human assistance, at least two of the six activities of daily living (ADLs)-bathing, continence, dressing, eating, toileting, and transferring-for a period of at least 90 days; or is so severely cognitively impaired that the Insured requires substantial supervision to protect the Insured from threats to his or her health and safety.
Under the Accelerated Death Benefit Rider for Long-Term Care, the percentage of death benefit that is available each month is:
4% of the death benefit, at the beginning of a claim period, if the insured is confined to a licensed Nursing or Assisted Living facility, payable for up to 25 months; or
2% of the death benefit, at the beginning of the claim period, if the insured is receiving Home Health Care or Adult Day Care, payable up to 50 months.
If the contract has a loan, the monthly Accelerated Death Benefit payment will be reduced by the proportional amount that will be used to reduce the outstanding loan.
Payout Example: With a 4% death benefit advance, a 35-year-old nonsmoker with $50,000 of coverage, at the beginning of the claim period, who is confined to a licensed Nursing or Assisted Living Facility would receive 4% or $2,000 per month for up to 25 months. Each benefit payment will reduce the face amount of the policy by 4%. A 12-month benefit period would mean a $24,000 reduction in the face amount to $26,000. When benefits have been paid for 25 months, the death benefit is depleted and the life insurance coverage ends.
With a 2% death benefit advance, a 35-year-old nonsmoker with $50,000 of coverage, at the beginning of the claim period, who is receiving Home Health Care or Adult Day Care services would receive 2% or $1,000 per month for up to 50 months. A 12-month benefit period would mean a $12,000 reduction in the face amount to $38,000. When benefits have been paid for 50 months, the death benefit is depleted and life insurance coverage ends.
If the Insured should die while this coverage is in force and while benefits are being paid, the remaining death benefit proceeds will be paid to the named beneficiary and no further payments will be made. But if the entire amount of the death benefit has been paid, there will be no death benefit.

Lessons from five years of enforcement actions
Sarbanes-Oxley required the SEC to study the previous five years of enforcement actions to identify which areas of financial reporting are most susceptible to fraud, inappropriate manipulation, or earnings management. During the five-year period studied, the SEC filed 515 enforcement actions for financial reporting and disclosure violations, arising out of 227 Division of Enforcement investigations. The number of enforcement actions involving company financial reporting violations or fraud increased from 91 in the first year of the study to 149 in the last. About 10% of the enforcement matters involve accounting or disclosure issues related to financial statements filed during IPOs.
What types of problems did the SEC find?
• Improper revenue recognition, including recording fictitious sales, improper timing of revenue recognition, and improper valuation of revenue—126 instances
• Improper expense recognition, including improper expense capitalization or deferral, improper use of reserves, and other understatement of expenses—101 instances
• Improper accounting for business combinations—23 instances
• Other accounting and reporting issues, including inadequate disclosures in MD&A and elsewhere in filings, failure to disclose related party transactions, improper use of off-balance sheet arrangements, and improper use of non-GAAP financial measures—137 instances
Furthermore, the SEC found troubling evidence that most people responsible for the accounting violations were members of senior management. Seventy-five board chairs, 111 CEOs, 111 presidents, 105 CFOs, and 27 VPs of finance faced charges. Additionally, many midlevel managers were implicated in these cases. And the SEC found problems with some audit firms and individual auditors, resulting largely from auditors failing to gain sufficient evidence to support the company's accounting, exercise the appropriate level of skepticism in responding to red flags, and maintain independence.
The SEC study outlines a number of recommendations. It proposes to provide guidance—since issued, as discussed below—to improve overall MD&A disclosure, and to require companies to report restatements in a uniform manner. The SEC also recommends changed or new legislation to:
Allow companies to provide privileged or protected information to the SEC without waiving any privileges on other information
Provide SEC staff access to grand jury materials
Give the SEC authority to serve subpoenas for civil actions, nationwide
Improving management discussion and analysis
The SEC continues to focus on encouraging companies to improve the quality of their MD&A disclosures. Why? Because MD&A is an important tool in conveying information from management to investors, and it's vital this communication be clear and straightforward. Accordingly, in December 2003, the SEC issued interpretive Guidance Regarding Management's Discussion and Analysis of Financial Condition and Results of Operations, which takes immediate effect.
As background, there are three principal objectives of MD&A:
Provide a narrative explanation of a company's financial statements that enables investors to see the company through management's eyes
Enhance overall financial disclosure and provide the context for analyzing financial information
Provide information about the quality and potential variability of a company's earnings and cash flow, so investors can judge whether past performance is likely to be indicative of future performance
In part, the guidance is driven by concerns the SEC found in its review of Fortune 500 companies' 2002 annual reports. And it addresses a persistent belief that while companies do an adequate job reporting what has happened in quantitative terms, they fall short of discussing why something has happened.

Determinants of Vancomycin Resistance and Mortality Rates in Enterococcal Bacteremia

Background: Enterococcus species are major nosocomial pathogens and are exhibiting vancomycin resistance with increasing frequency. Previous studies have not resolved whether vancomycin resistance is an independent risk factor for death in patients with invasive disease due to Enterococcus species or whether antibiotic therapy alters the outcome of enterococcal bacteremia.
Objective: To determine whether vancomycin resistance is an independent predictor of death in patients with enterococcal bacteremia and whether appropriate antimicrobial therapy influences outcome.
Design: Prospective observational study.
Setting: Four academic medical centers and a community hospital.
Patients: All patients with enterococcal bacteremia.
Measurements: Demographic characteristics; underlying disease; Acute Physiology and Chronic Health Evaluation (APACHE) II scores; antibiotic therapy, immunosuppression, and procedures before onset; and antibiotic therapy during the ensuing 6 weeks. The major end point was 14-day survival.
Results: Of 398 episodes, 60% were caused by E. faecalis and 37% were caused by E. faecium. Thirty-seven percent of isolates exhibited resistance or intermediate susceptibility to vancomycin. Twenty-two percent of E. faecium isolates showed reduced susceptibility to quinupristin–dalfopristin. Previous vancomycin use (odds ratio [OR], 5.82 [95% CI, 3.20 to 10.58]; P< 0.001), previous corticosteroid use (OR, 2.43 [CI, 1.22 to 4.86]; P5 0.01), and total APACHE II score (OR, 1.06 per unit change [CI, 1.02 to 1.10 per unit change]; P5 0.003) were associated with vancomycin- resistant enterococcal bacteremia. The mortality rate was 19% at 14 days. Hematologic malignancy (OR, 3.83 [CI, 1.56 to 9.39]; P5 0.003), vancomycin resistance (OR, 2.10 [CI, 1.14 to 3.88]; P5 0.02), and APACHE II score (OR, 1.10 per unit change [CI, 1.05 to 1.14 per unit change]; P< 0.001) were associated with 14-day mortality. Among patients with monomicrobial enterococcal bacteremia, receipt of effective antimicrobial therapy within 48 hours independently predicted survival (OR for death, 0.21 [CI, 0.06 to 0.80]; P5 0.02).
Conclusions: Vancomycin resistance is an independent predictor of death from enterococcal bacteremia. Early, effective antimicrobial therapy is associated with a significant improvement in survival.

Enterococcus species have become increasingly prominent as etiologic agents of nosocomial bacteremia (1–9). Enterococcal bacteremia has a mortality rate of 42% to 73% (10, 11) and is common among debilitated patients and those with severe underlying illnesses (5, 6, 12–17). Enterococci have low-level resistance to penicillins, aminoglycosides, and clindamycin and are intrinsically resistant to cephalosporins. Enterococci may acquire resistance to additional antibiotics, including b-lactams, aminoglycosides, and glycopeptides (18). Resistance to multiple antibiotics, in particular vancomycin coupled with high-level ampicillin and aminoglycoside, has been reported with increasing frequency (19).
At present, more than 20% of enterococci isolated from intensive care units exhibit vancomycin resistance. The addition of vancomycin resistance to high-level ampicillin and aminoglycoside resistance limits available therapeutic options (20).
To investigate the clinical implications of antibiotic resistance in enterococci, we instituted a prospective, multicenter observational study of outcome in patients with enterococcal bacteremia. We sought to determine 1) factors associated with infection with vancomycinresistant enterococci (VRE), 2) factors predictive of death in patients with enterococcal bacteremia, 3) the effect of vancomycin resistance on mortality rates, and 4) the effect of antibiotic therapy on outcome.
METHODS
All patients with enterococcal bacteremia were hospitalized at the University of Pittsburgh Medical Center and the Veterans Affairs (VA) Medical Center (Pittsburgh, Pennsylvania), Detroit Medical Center and John D. Dingell VA Medical Center (Detroit, Michigan), Rush-Presbyterian-St. Luke’s Medical Center (Chicago, Illinois), New England Medical Center (Boston, Massachusetts), and William Beaumont Hospital (Royal Oak, Michigan). Clinical data were obtained from review of medical records. The institutional review boards of four participating institutions approved the study. At the fifth institution, the study was considered exempt from review because it involved confidential use of existing records and bacterial isolates.
Microbiology
Blood for culture was obtained by venipuncture or through central venous catheters. Enterococcal species were determined by using either VITEK (bioMerieux Vitek, Inc., Hazelwood, Missouri) or MicroScan (Micro-Scan, Inc., West Sacramento, California) systems according to the manufacturer’s recommendations. Identification of species other than E. faecalis and E. faecium was confirmed as reported elsewhere (21). One of the authors standardized antimicrobial susceptibilities by using Etest strips (AB BIODISK North America, Inc., Piscataway, New Jersey). Enterococcus faecium isolates showing resistance or intermediate susceptibility to quinupristin– dalfopristin were tested by broth microdilution and disk diffusion to confirm reduced susceptibility.
If the isolate was unavailable, antimicrobial susceptibilities reported by the submitting microbiology laboratories were used. Minimum inhibitory concentration (MIC) breakpoints from the Ninth National Committee for Clinical Laboratory Standards (NCCLS) were used (22). Because imipenem MIC values for enterococci are not defined, NCCLS breakpoints for Enterobacteriaceae were used (22). Quality control was monitored by using E. faecalis American Type Culture Collection (ATCC) 29212. Nine enterococcal isolates displayed intermediate susceptibility to vancomycin (MIC, 8 to 16 mg/mL) but were considered resistant for the purposes of analysis.
Vancomycin resistance genotypes of selected clinical isolates were determined by using polymerase chain reaction (PCR) amplification with primers specific for intragenic sequences of the vanA and vanB genes (23, 24). Control strains included vancomycin-susceptible E. faecalis ATCC 29212, E. faecium BM4147 (vanA) (25), and E. faecalis V583 (vanB) (26). For determination of aminoglycoside resistance genes, genomic DNA for PCR amplification was prepared with the InstaGene Matrix kit (BioRad Laboratories, Hercules, California) and PCR performed as reported elsewhere (27). Aminoglycoside resistance genes detected included aac(69)-Ie-aph(20)-Ia (28), aph(20)-Ic (29), aph(20)-Id (30), and aph(20)-Ib (31).
Definitions
Clinically significant bacteremia was defined as isolation of enterococci in two or more separately obtained blood cultures or from a single blood culture and from a concomitant site of infection in a clinical scenario compatible with bacteremic infection (6). Endocarditis was defined by using the Duke criteria (32). Polymicrobial bacteremia was defined as isolation from blood culture of one or more additional species of bacteria concomitantly with enterococci (same blood culture or another blood culture within 24 hours of the initial blood culture yielding enterococci). A single concomitant isolation of another bacterial species was sufficient, except for isolation of coagulase-negative staphylococci, diphtheroids, a-hemolytic streptococci, and Bacillus species that required isolation from two blood cultures.
Length of hospitalization was defined as the time in days from hospital admission to development of clinically significant enterococcal bacteremia. Enterococcal bacteremia occurring 60 days or more from a previous episode in patients already enrolled was counted as a separate episode. The end point was survival at 14 days from the first positive blood culture. Patients discharged from the hospital before 14 days were considered survivors. Medical records were reviewed at entry, at 2 weeks, at 4 weeks, and at 6 weeks (or at time of discharge or death if earlier than 6 weeks). We collected information on patient demographic characteristics, underlying disease, Acute Physiology and Chronic Health Evaluation (APACHE) II scores at bacteremia onset, antibiotic use, use of glucocorticosteroids and other immunosuppressive drugs, and receipt of invasive devices and procedures in the 2 weeks before bacteremia onset. Antibiotic therapy during the 6 weeks after the onset of bacteremia was recorded. Beyond 6 weeks, patients were followed for evidence of relapse of bacteremia and for survival to discharge or death.
Immunosuppressive drugs included cyclosporine, cyclophosphamide, azathioprine, tacrolimus, methotrexate, and cytotoxic chemotherapy. Appropriate antibiotic therapy was defined as treatment with at least one antibiotic that had in vitro activity (as defined by Etest) against the enterococcal isolate, initiated within 48 hours of the initial positive enterococcal blood culture and continuing for at least 72 hours. Antecedentes: Las especies de Enterococo son importantes patógenos hospitalarios que cada vez más frecuentemente desarrollan resistencia a la vancomicina. Diseño: Estudio observacional prospectivo.
Ámbito: Cuatro centros médicos universitarios y un hospital comunitario.
Pacientes: Todos los pacientes con bacteriemia enterocócica.
Mediciones: Características demográficas; enfermedad subyacente; puntajes APACHE II (sigla en inglés para “Acute Physiology and Chronic Health Evaluation II” o Evaluación de la Salud Crónica y la Fisiología Aguda, versión II) ; tratamiento antibiótico, inmunosupresión y procedimientos previos al comienzo de la bacteriemia; y tratamiento con antibióticos durante las 6 semanas subsiguientes. El principal punto evaluado fue la supervivencia a los 14 días.
Resultados: De 398 episodios, el 60% fue causado por E. faecalis y el 37% por E. faecium. El 37% de los enterococos aislados exhibió resistencia o sensibilidad intermedia a la vancomicina. El 22% de los E. faecium mostró una sensibilidad reducida a la quinupristina–dalfopristina. El uso previo de vancomicina (OR [sigla en inglés para “odds ratio” o “razón de posibilidades”, que en adelante aparecerá como RP], 5,82 [95% IC, 3,20 a 10,58]; P < 0,001), el uso previo de corticoides (RP, 2,43 [IC, 1,22 a 4,86]; P = 0,01), y el puntaje total de APACHE II (RP, 1,06 por cambio de unidad [IC, 1,02 a 1,10 por cambio de unidad]; P = 0,003) se asociaron con bacteriemia por enterococo resistente a la vancomicina. La tasa de mortalidad fue del 19% a los 14 días. Las neoplasias hematológicas (RP, 3,83 [IC, 1,56 a 9,39]; P = 0,003), la resistencia a la vancomicina (RP, 2,10 [IC, 1,14 a 3,88]; P = 0,02), y el puntaje APACHE II (RP, 1,10 por cambio de unidad [IC, 1,05 a 1,14 por cambio de unidad]; P < 0,001) se asociaron con mortalidad a los 14 días. Entre los pacientes con bacteriemia monomicrobiana, la recepción de tratamiento antibiótico efectivo dentro de las 48 horas predijo la supervivencia de manera independiente (RP para muerte, 0,21 [IC, 0,06 a 0,80]; P = 0,02).

Las especies de Enterococcus están ocupando un papel cada vez más destacado como agentes etiológicos de las bacteriemias hospitalarias (1–9). La bacteriemia enterocócica tiene una tasa de mortalidad del 42% al 73% (10, 11) y es común entre pacientes debilitados y entre aquellos con enfermedades subyacentes graves (5, 6, 12–17). Los enterococos tienen un bajo nivel de resistencia a la penicilina, a los aminoglucósidos y a la clindamicina y son intrínsecamente resistentes a las cefalosporinas. Los enterococos pueden adquirir resistencia a algunos antibióticos, tales como los betalactámicos, los aminoglucósidos y los glucopéptidos (18). La resistencia a antibióticos es cada vez más frecuente, en particular a la vancomicina y a altas concentraciones de ampicilina y aminoglucósidos (19). Actualmente, más del 20% de los enterococos aislados en unidades de terapia intensiva son resistentes a la vancomicina. La resistencia a la vancomicina, sumada a la resistencia intermedia a la ampicilina y los aminoglucósidos, limita las opciones terapéuticas disponibles (20).
A fin de investigar las implicancias clínicas de la resistencia a los antibióticos en los enterococos, implementamos un estudio observacional prospectivo multicéntrico de resultado con pacientes que tenían una bacteriemia por enterococo. Nuestra intención era determinar 1) los factores asociados con la infección por enterococos resistentes a la vancomicina (ERV), 2) los factores predictores de mortalidad en pacientes con bacteriemia enterocócica, 3) el efecto de la resistencia a la vancomicina sobre las tasas de mortalidad y 4) el efecto del tratamiento antibiótico sobre la evolución.
MÉTODOS
La totalidad de los pacientes con bacteriemia enterocócica estaban hospitalizados en el Centro Médico de la Universidad de Pittsburgh y el Centro Médico de la Administración de Ex-combatientes (AE) (Pittsburgh, Pennsylvania), el Centro Médico de Detroit y el Centro Médico AE John D. Dingell (Detroit, Michigan), el Centro Médico Rush-Presbyterian-St. Luke’s (Chicago, Illinois), el Centro Médico Nueva Inglaterra (Boston, Massachusetts), y en el Hospital William Beaumont (Royal Oak, Michigan). Los datos clínicos se obtuvieron de la revisión de las historias clínicas. El estudio fue aprobado por los comités de revisión institucionales de cuatro instituciones participantes. En la quinta institución, el estudio se consideró exento de revisión debido a que involucraba el uso confidencial de los registros y los aislamientos bacterianos existentes.
Microbiología
La sangre para cultivo se obtuvo mediante venopuntura o a través de catéteres en venas centrales. Las especies de enterococo se determinaron por medio de los sistemas VITEK (bioMerieux Vitek, Inc., Hazelwood, Missouri) o MicroScan (Micro-Scan, Inc., West Sacramento, California) según las recomendaciones de los fabricantes. La identificación de especies que no fueran E. faecalis ni E. faecium se confirmó según se informa en otro artículo (21). Uno de los autores estandarizó la sensibilidad a antibióticos mediante tiras Etest (AB BIODISK North America, Inc., Piscataway, New Jersey). Los Enterococcus faecium que mostraban resistencia o sensibilidad intermedia a la quinupristina–dalfopristina fueron evaluados por microdilución de caldo de cultivo y por el método de difusión por disco para confirmar la sensibilidad reducida.
Si no se disponía del aislamiento, se utilizaban las sensibilidades antimicrobianas registradas por los laboratorios microbiológicos remitentes. Se utilizaron los valores límite de la concentración inhibitoria mínima (CIM) del NCCLS (sigla en inglés para “Ninth National Committee for Clinical Laboratory Standards”) (22). Debido a que el valor de CIM del imipenem para el enterococo no está definido, se utilizó el valor límite NCCLS para Enterobacteriaceae (22). El control de calidad fue supervisado utilizando E. faecalis ATCC 29212 (sigla en inglés para “American Type Culture Collection”). Nueve de los enterococos aislados tuvieron sensibilidad intermedia a la vancomicina (CIM, 8 a 16 g/mL), pero se los consideró resistentes a los fines del análisis.
Los genotipos de resistencia a la vancomicina de aislamientos clínicos seleccionados se determinaron por medio de amplificación por reacción en cadena de la polimerasa (PCR) con cebadores específicos para secuencias intragénicas de los genes vanA y vanB (23, 24). Las cepas de control incluyeron E. faecalis ATCC 29212, E. faecium BM4147 (vanA) (25) y E. faecalis V583 (vanB) sensibles a la vancomicina (26).
Para la determinación de los genes de resistencia a los aminoglucósidos, se preparó ADN genómico para su amplificación por PCR con el equipo InstaGene Matrix (BioRad Laboratories, Hercules, California) y la PCR se llevó a cabo según se comunicó en otro artículo (27). Los genes de resistencia a los aminoglucósidos detectados incluyeron aac(69)-Ie-aph(20)-Ia (28), aph(20)-Ic(29), aph(20)-Id (30) y aph(20)-Ib (31).
Definiciones
Se definió como bacteriemia clínicamente significativa al aislamiento de enterococos en dos o más hemocultivos obtenidos separadamente o en un hemocultivo y en un sitio de infección concomitante con un cuadro clínico compatible con infección bacteriémica (6). La endocarditis fue diagnosticada por medio de los criterios Duke (32). Se definió como bacteriemia polimicrobiana al aislamiento de una o más especies además del enterococo (en el mismo hemocultivo o en otro hemocultivo dentro de las 24 horas de realizado el primero que mostrara la presencia de enterococos). Un aislamiento único concomitante de otra especie bacteriana era suficiente, excepto para los estafilococos coagulasa-negativos, difteroides, estreptococos -hemolíticos y especies de Bacillus que requerían ser aislados en dos hemocultivos.
La duración de la hospitalización se definió como el tiempo en días desde el ingreso al hospital hasta el desarrollo de una bacteriemia enterocócica clínicamente significativa. La aparición de bacteriemia por enterococo a los 60 días o más después de un episodio previo en pacientes ya incluidos en el estudio se consideró como un episodio separado. El objetivo final por evaluar fue la supervivencia a los 14 días a partir del primer hemocultivo positivo. Los pacientes dados de alta del hospital antes de los 14 días fueron considerados sobrevivientes. Las historias clínicas fueron revisadas en el momento de ingreso, a las 2 semanas, a las 4 semanas y a las 6 semanas (o en el momento del alta o del fallecimiento si esto ocurría antes de las 6 semanas). Recabamos información sobre las características demográficas de los pacientes, las enfermedades subyacentes, el puntaje APACHE II en el momento del comienzo de la bacteriemia, el uso de antibióticos, el uso de glucocorticosteroides y otras drogas inmunosupresoras y la colocación de dispositivos y procedimientos invasivos en las 2 dos semanas previas al comienzo de la bacteriemia. Se llevó un registro del tratamiento con antibióticos durante las 6 semanas posteriores al comienzo de la bacteriemia. Luego de las 6 semanas, a los pacientes se les hizo un seguimiento para buscar pruebas de recurrencia de la bacteriemia y para registrar la supervivencia al alta o el fallecimiento.
Las drogas inmunosupresoras incluyeron la ciclosporina, la ciclofosfamida, la azatioprina, el tacrolimus, el metotrexato y la quimioterapia citotóxica. Se definió como tratamiento con antibióticos apropiado al tratamiento que incluía por lo menos un antibiótico con actividad in vitro (definida según Etest) contra el enterococo aislado, iniciado dentro de las 48 horas del primer hemocultivo positivo y continuado durante por lo menos 72 horas. Los antibióticos considerados potencialmente activos fueron la penicilina, la ampicilina, las ureidopenicilinas, la vancomicina, la quinupristina–dalfopristina, el cloranfenicol, la doxiciclina y la rifampina.

ARTICLES OF INCORPORATION OF XXXXXX ELECTRIC ASSOCIATION
The Articles of Incorporation of XXXXX Electric Association are amended and restated as follows:
ARTICLE I
SECTION 1. The name of this Association shall be XXXXX ELECTRIC ASSOCIATION.
SECTION 2. The conduct of the business of this Association shall be upon the cooperative plan and the purposes for which it is formed are to sell, provide, deliver, furnish, or distribute electric energy and other products and services to its members and patrons and to engage in any other lawful business.
This Association shall be authorized to exercise and enjoy all of the powers, rights, and privileges granted to or conferred upon associations of the character of this Association by the laws of the State of Minnesota now or hereafter in force.
SECTION 3. The registered office and principal place of transacting the business of this Association is XXXX XXXth Street West, Farmington, Minnesota 55024.
ARTICLE II
The period of duration of this Association shall be perpetual.
ARTICLE III
SECTION 1. This Association is organized on a non-stock, membership basis. The Association will maintain appropriate membership records.
SECTION 2. Members shall have only one vote in the affairs of this Association, and membership in this Association shall not be transferable except with the approval and consent of the Board of Directors of this Association.
SECTION 3. No interest or dividends shall be paid upon capital furnished to the Association by its members or patrons.
SECTION 4. The net income of this Association, except for amounts set aside as capital reserves or additional reserves shall be distributed on the basis of patronage. The records of this Association may show the interest of patrons and members in the reserves.
ARTICLE IV
To the fullest extent permitted by laws governing cooperative associations, as the same exists or may hereafter be amended, a director of this Association shall not be personally liable to the Association or its members for monetary damages for breach of fiduciary duty as a director.
ARTICLE V
These Articles of Incorporation may be altered, amended, or repealed in the man¬ner now or hereafter prescribed by law.

BYLAWS OF
XXXXX ELECTRIC ASSOCIATION
The Bylaws of XXXXX Electric Association are amended and restated as follows:
ARTICLE I
MEMBERS
SECTION 1. Qualifications and Obligations. Any person or entity shall become a member in the Association by taking delivery of electric energy from facilities owned by this Association. The member shall comply with the Articles of Incorporation, these Bylaws, and such rules and regulations as may be adopted by the Board of Directors. The Association shall maintain appropriate membership records.
SECTION 2. Withdrawal of Membership. Any member may withdraw from membership upon payment in full of all liabilities of such member to the Association and upon compliance with such terms and conditions as the Board of Directors may prescribe.
SECTION 3. Joint Membership. Persons may hold a joint membership in the Association. Upon the death of either joint member, the joint membership shall be converted to an individual membership. The estate of the deceased joint member, however, shall not be released from any debts or liabilities to the Association.
SECTION 4. Removal of Directors and Officers. The members shall have the power to remove any director or officer for cause provided it is related to the duties of the position of director or officer. For this purpose, "cause" means the actions or inactions of a director which cause substantial harm to the interests of the Association, including but not limited to breach of fiduciary duty; illegal, fraudulent, oppressive, or dishonest conduct; or gross mismanagement or neglect of the affairs of the Association. Any member may bring charges against an officer or director by filing them in writing with the Secretary, together with a petition signed by the number of members who voted in the most recent election for direc¬tor, or four percent (4%) of the members, or whichever is less, requesting the removal of the officer or director in question. Upon receipt of such a petition the Board of Directors shall call a special meeting of the members to be held within 90 days of the receipt of the petition. Notice of the meeting together with a state¬ment of the purpose of the meeting shall be given in accordance with Article II, Section 3. The removal shall be voted upon at the special meeting of the members and any vacancy created by such removal may be filled by the members at such meeting. The director or officer against whom such charges have been brought shall be informed in writing of the charges previous to the meeting and shall have an opportunity at the meeting to be heard in person or by counsel and to present evidence; and the person or persons bringing the charges shall have the same opportunity. The Board of Directors shall appoint a qualified person to conduct the process after the petition is filed, to preside at the meeting, to make rulings on

the evidence and claims submitted by the parties, and to assure that a fair hearing at the meeting is held.
ARTICLE II
MEETINGS OF MEMBERS
SECTION 1. Regular Meetings. Regular meetings of the members of this Association may be held at the principal place of business of this Association, or at such other place conveniently located in the general service area served by it, and at such date and hour as may be determined by the Board of Directors and desig¬nated in the notice of the meeting.
SECTION 2. Special Meetings. Special meetings of the members may be called at any time by a majority vote of the directors or upon the written petition of at least twenty percent (20%) of the members as provided by law.
SECTION 3. Notice of Meetings or Elections. Notice of regular and special member meetings or elections shall be given by the Secretary (a) by publication in a legal newspaper published in the county of the Association's principal place of business; (b) by publication in a magazine, periodical, or other publication of the Association that is regularly published and circulated generally among members; or (c) by mailing the notice of the meeting or election to each member personally at the member's last known post office address. The notice of the meeting or elec¬tion must be published at least two (2) weeks before the date of the meeting or election or mailed at least fifteen (15) days before the date of the meeting or elec¬tion. Upon the mailing of any notice of any meeting of members or election, the Secretary shall execute a certificate setting forth a correct copy of the notice and showing the date of the mailing thereof and that the same was mailed within the time and in the manner herein prescribed. Said certificate shall be made a part of the record of the meeting or election. The failure of any member to receive notice of a regular or special meeting or election shall not invalidate any action which may be taken at such meeting or election.
SECTION 4. Voting. Voting in this Association shall be as follows:
(a) Each member shall have only one vote in the affairs of this
Association. All questions shall be decided by a majority of the members
voting thereon at such meeting in person or by mail vote, except as oth
erwise provided by law, the Articles of Incorporation, or Bylaws of the
Association.
(b) There shall be no voting by proxy, except that whenever a vote of mem¬
bers is required or provided for on any matter, the spouse of the member may
vote on behalf of the member unless the member has indicated otherwise to
the Association.
(c) Any member may vote by mail, on the ballot herein prescribed, upon any
motion, resolution, or amendment that the Board of Directors may in its dis-

cretion submit to the members for vote by them. The ballot may be in the form prescribed by the Board of Directors and shall contain the exact text of the proposed motion, resolution, or amendment to be voted upon and spaces opposite the text of such motion, resolution, or amendment in which such member may indicate an affirmative or negative vote thereon. The member shall express a choice by a mark in the appropriate space upon such ballot. The member shall mail or deliver the ballot to the Association, or to a place designated by the Association, in a sealed plain envelope inside another enve¬lope bearing the member's name. If the ballot is received by the Association on or before the date of the meeting, the ballot shall be accepted and counted as the ballot of the absent member. The Association shall notify members of the date by which any mailed ballots must be received to be counted.
(d) Any member may vote electronically for a director or upon any motion, resolution, amendment, or other matter upon which members are entitled to vote as may be permitted by law and as approved by the Board of Directors. A member may also vote electronically subject to the provisions of Article II, Section 4(d).
SECTION 5. Election Date. In January of each calendar year, or as soon there¬after as reasonably possible, the board shall establish a date and time to serve as a deadline for the receipt of all ballots for the election of directors ("election date").
SECTION 6. Record Date. The board may fix a date for determining the total membership and the members eligible to receive notice of a members meeting and a mailed ballot. This record date shall be at least 30 days prior to the date of the members meeting or election date.
SECTION 7. Quorum. A quorum necessary to the transaction of business at any meeting of the members shall be at least fifty (50) members. In determining a quorum on a question submitted to a vote by mail, members present in person or represented by mail votes shall be counted. The quorum shall be established by a registration of the members present at such meeting. The registration shall be veri¬fied by the President and Secretary and shall be reported in the minutes of the meeting.
SECTION 8. Order of Business. The board shall determine the agenda and order of business for member meetings.

SECCIÓN I
MIEMBROS
ARTÍCULO 1. Habilitación y obligaciones. Toda persona o entidad se constituirá en miembro de esta cooperativa por el hecho de recibir energía eléctrica de instalaciones que sean propiedad de la misma. El miembro deberá cumplir con lo estipulado en el Acta Constitutiva, en estos Estatutos y en las normas y disposiciones que el Directorio adopte. La cooperativa deberá mantener registros de membresía apropiados.
ARTÍCULO 2. Retiro de la membresía. Todo miembro podrá retirar su membresía después de pagar en su totalidad todas las deudas y obligaciones económicas que tenga con la cooperativa y de conformidad con los términos y condiciones que el Directorio disponga.
ARTÍCULO 3. Membresía conjunta. Las personas podrán tener una membresía conjunta en la Cooperativa. A la muerte de alguno de los dos miembros que integren dicha membresía conjunta, ésta se convertirá en una membresía individual. Los bienes del miembro fallecido, sin embargo, no estarán eximidos de las deudas u obligaciones económicas que hubiese contraído con la cooperativa.
ARTÍCULO 4. Remoción de directores y funcionarios. Los miembros tendrán la facultad de remover con causa a todo director o funcionario, siempre que la remoción esté relacionada con los deberes propios del cargo de director o funcionario. A estos fines, "causa" significa las acciones u omisiones de un director, que provoquen un daño sustancial a los intereses de la cooperativa, lo que incluye, de manera enunciativa pero no taxativa, el incumplimiento del deber fiduciario, la conducta ilegal, fraudulenta, opresiva o deshonesta o una mala administración o negligencia grave en el manejo de los asuntos de la cooperativa. Cualquier miembro podrá formular cargos en contra de un funcionario o director a través de presentarlos por escrito ante el secretario, junto con una petición firmada por la misma cantidad de miembros que votaron en la elección de direc¬tor más reciente o por el cuatro por ciento (4%) de los miembros, cualquiera sea la cantidad menor, en la que se solicite la remoción del funcionario o el director en cuestión. A la recepción de dicha petición, el Directorio deberá convocar a una asamblea extraordinaria de miembros que deberá realizarse dentro de los 90 días a partir de la recepción de la petición. La notificación de la convocatoria a asamblea, junto con la enunciación del objetivo de la misma, deberá entregarse según lo dispuesto en la Sección II, Artículo 3. En la asamblea extraordinaria de miembros deberá llevarse a cabo una votación para decidir la remoción y toda vacante producida a causa de la misma podrá ser ocupada por los miembros durante dicha asamblea. El director o funcionario contra quien se hayan formulado los cargos deberá ser notificado al respecto por escrito antes de que se celebre la asamblea y durante la misma deberá tener la oportunidad de ser escuchado en persona o a través de un abogado consultor y de presentar pruebas; la o las persona(s) que haya(n) formulado los cargos deberá(n) tener la misma oportunidad. El Directorio deberá designar a una persona calificada para que conduzca el proceso una vez que la petición haya sido presentada, para que presida la asamblea y emita un dictamen sobre la base de las pruebas y las demandas presentadas por las partes y garantice que en la asamblea se realice una audiencia imparcial.
SECCIÓN II
ASAMBLEAS DE MIEMBROS
ARTÍCULO 1. Asambleas ordinarias. Las asambleas ordinarias de los miembros de esta cooperativa podrán celebrarse en su sede social o en otro lugar equivalente que esté convenientemente ubicado en el área general donde presta sus servicios, y en la fecha y hora que el Directorio determine y que se consig¬nen en la notificación de la convocatoria a asamblea.
ARTÍCULO 2. Asambleas extraordinarias. Las asambleas extraordinarias de miembros podrán convocarse en cualquier momento mediante un voto mayoritario de los directores o ante la petición por escrito de por lo menos el veinte por ciento (20%) de los miembros, según lo disponga la ley.
ARTÍCULO 3. Notificación de la convocatoria a asambleas o a elecciones. El Secretario deberá realizar la notificación de la convocatoria a asambleas ordinarias y extraordinarias de miembros o a elecciones (a) a través de su publicación en un diario oficial de circulación en el condado donde la cooperativa tenga su sede social; (b) a través de su publicación en alguna revista, publicación periódica u otra publicación de la cooperativa que se divulgue regularmente y que tenga circulación general entre los miembros; o (c) a través de enviar por correo la notificación de la convocatoria a asamblea o a elecciones en forma personal a la última dirección postal conocida de cada miembro. La notificación de la convocatoria a asamblea o a elec¬ciones deberá publicarse con por lo menos dos (2) semanas de antelación a la fecha de la asamblea o la elección o enviarse por correo por lo menos quince (15) días antes de la fecha de la asamblea o la elec¬ción. Una vez realizado el envío por correo de cualquier notificación de convocatoria a asamblea de miembros o a elecciones, el secretario deberá confeccionar un certificado en el que se presente una copia fiel de la notificación, que demuestre la fecha del envío por correo de la misma y que dicho envío se realizó dentro del plazo y de la manera que se estipulan en este artículo. Dicho certificado deberá adjuntarse al acta de la reunión o de la elección. El hecho de que algún miembro no reciba la notificación de convocatoria a una asamblea ordinaria o extraordinaria o a una elección no invalidará ninguna medida que se tome en dicha reunión o elección.
ARTÍCULO 4. Votación. La votación en esta cooperativa se realizará de la siguiente manera:
(a) Cada miembro tendrá sólo un voto en los asuntos de esta cooperativa. Todas las cuestiones deberán decidirse por una mayoría de miembros que voten sobre eso, ya sea en persona en dicha asamblea o a través de un voto por correo, salvo que la ley, el Acta Constitutiva o los Estatutos de la cooperativa dispongan otra cosa.
(b) No habrá votaciones por medio de un representante, salvo en aquellas situaciones en que el voto de los miembros sea necesario o se haya previsto con respecto a cualquier asunto, caso en el cual el cónyuge del miembro podrá votar en su nombre a menos que el miembro le haya indicado lo contrario a la cooperativa.
(c) Todo miembro podrá emitir su voto por correo, en la papeleta de votación estipulada en estos estatutos, con respecto a toda propuesta, resolución o modificación que el Directorio, a su criterio, pueda presentarles a los miembros para que voten al respecto. La papeleta de votación podrá tener el diseño de formulario que el Directorio disponga y deberá contener el texto exacto de la propuesta, la resolución o la modificación sugeridas sobre las que debe votarse y espacios en el lado opuesto del texto de dicha propuesta, resolución o modificación en los cuales el miembro pueda indicar un voto afirmativo o negativo al respecto. El miembro deberá expresar una opción a través de hacer una marca en el espacio apropiado en dicha papeleta. El miembro deberá enviar la papeleta por correo o entregarla personalmente en la cooperativa, o en algún lugar que la cooperativa designe, en un sobre común sellado dentro de otro sobre con el nombre del miembro. Si la cooperativa recibe la papeleta de votación en la fecha de la asamblea o antes de la misma, la papeleta deberá ser aceptada y contada como la papeleta del miembro ausente. La cooperativa deberá notificar a los miembros sobre la fecha hasta la cual se recibirán las papeletas para que entren en el conteo.
(d) Todo miembro podrá votar a través de medios electrónicos por un director o por toda propuesta, resolución o modificación u otro asunto sobre los cuales los miembros tengan derecho a voto de conformidad con lo que la ley permita y el Directorio apruebe. Un miembro también podrá votar a través de medios electrónicos de acuerdo con lo dispuesto en la Sección II, Artículo 4(d).
ARTÍCULO 5. Día de las elecciones. En el mes de enero de cada año calendario, o lo más ¬pronto posible en una fecha posterior razonable, el directorio deberá establecer la fecha y hora límites del plazo para la recepción de todas las papeletas de votación para la elección de directores ("fecha de la elección").
ARTÍCULO 6. Fecha de empadronamiento. El directorio podrá fijar una fecha para determinar la cantidad total de miembros y cuáles son los miembros elegibles para recibir la notificación de convocatoria a una asamblea de miembros y una papeleta de votación enviada por correo. Esta fecha de empadronamiento deberá tener lugar por lo menos 30 días antes del día de la fecha de la asamblea de miembros o de las elecciones.
ARTÍCULO 7. Quórum. El quórum mínimo necesario para que la consideración de un asunto tenga lugar en cualquier asamblea de miembros deberá ser de por lo menos cincuenta (50) miembros. Para la determinación del quórum para un asunto sometido a votación por correo, deberán contarse tanto los miembros presentes como los representados por votos por correo. El quórum deberá establecerse a través de un registro de los miembros presentes en la asamblea. El registro deberá ser corro¬borado por el presidente y el secretario y deberá constar en las actas de la asamblea.
ARTÍCULO 8. Orden del día. El directorio deberá determinar el temario y el orden del día de las asambleas de miembros.

RESUMEN
Se estudiaron los caracteres morfo-anatómicos de valor diagnóstico de 35 especies de interés medicinal, ya sea nativas o introducidas en nuestro país, con lo que dichas especies se establecieron como "drogas patrones". El objetivo fue cumplimentar los requerimientos de entidades oficiales que tienen a su cargo el contralor o la autenticación del material vegetal que se comercializa como producto medicinal. Los resultados se presentan en monografías para cada especie, donde se incluye además una extensa iconografía (láminas a tinta, fotografías, fotomicrografías al microscopio óptico y electrónico de barrido) que suma un total de 97 láminas.
Un segundo aspecto encarado fue la aplicación de estos resultados al control de calidad de las muestras comerciales. Se realizó un control botánico e higiénico-sanitario (que involucró material extraño orgánico e inorgánico) de 348 muestras provenientes de distintos laboratorios herbolarios mayoristas del país. Se pudo detectar un alto porcentaje de muestras falsificadas y adulteradas y en deficiente estado sanitario, mediante pautas establecidas para este propósito. El análisis reveló que un 62,21 % de las muestras no debe ser comercializado.
Por último, este trabajo permitirá no sólo identificar correctamente la composición de muestras comerciales de plantas usadas en medicina popular sino también determinar posibles adulteraciones. Esta primera contribución es el punto de partida para continuar explorando nuestra flora medicinal en todos sus aspectos, en especial si se tiene en cuenta que, desde el punto de vista de su endomorfología, aún resta por conocer más del 70% de las especies reputadas como medicinales.

SUMMARY
The morpho-anatomical characters of diagnostic value of 35 species of medicinal interest, either native or introduced in our country, were studied, and it was possible to establish these 35 species as “pattern drugs”. The objective was to comply with the requirements of official entities that are responsible for the control or the authentication of the plant materials that are marketed as medicinal products. The results are presented in separate monographs for each species, which include an extensive iconography (illustrations in ink, photographs, photomicrographs taken with an optical microscope and with an electron microscope) that comprises a total of 97 illustrations.
A second aspect analysed was the application of these results to the commercial samples quality control. A botanical and hygienic-sanitary control (involving organic and inorganic strange material) of 348 samples proceeding from different national wholesale herbalist laboratories was carried out. It was possible to detect a high percentage of falsified and adulterated samples, which were also in faulty sanitary conditions, by means of guidelines established for this purpose. The analysis revealed that 62,21% of the samples should not be commercialized.
Finally, this work will allow not only to correctly identify the composition of commercial samples of plants used in popular medicine but also to determine possible adulterations. This first contribution is the starting point to continue exploring our medicinal flora in all its aspects, especially if it is taken into account that, from the point of view of their endomorphology, more than 70% of the species reputed as medicinal are still unknown.

Professional Experience
- Present work since Nov. 2004: Freelance translations for different translation agencies and freelance translations in general in different fields such as: medicine, scientific papers, health care, and legal translations including life insurance contracts, business contracts, transcripts and other personal documents, both into English and into Spanish.
Note: Between the years 2005 to 2007, I worked almost exclusively for the translation agency Spanishbackoffice. The work volume was of 550,000 words in various fields, almost 300 hours of editing, and 35,000 words in the legal field.
My experience regarding the legal field so far includes the translation, both into English and into Spanish, of all kinds of personal documents such as birth certificates, marriage certificates, death certificates, certificates of good conduct, passports, official transcripts, university diplomas, apostilles, and prenuptial agreements, and other legal texts such as business contracts, minutes (of incorporation) and bylaws, articles of organization, assignments, affidavits, requests for service abroad of judicial or extrajudicial documents, answers to claims (notices to victims: claims denials, approvals, requests, etc.) from the Crime Victims Compensation Commission (of a State in the U.S.), warranty regulations (electric company), and public bids.
- Correction of bilingual texts for the semestral Bulletin of the Sociedad Argentina de Botánica (Argentine Society of Botany).
- Translations of medical articles into Spanish for the South American edition of Annals of Internal Medicine. April to October, 2001.
I was one of the eight translators chosen among almost 80 others by means of a written test.
- Two assistantships of 15 days each at Lockheed Martin Aircraft Argentina S.A.. October and November, 1999; 8 daily working hours, plus extra hours. The works consisted in the translation into English of legal and commercial texts, which were needed urgently and were performed in group (teams of 3 translators).
- Translations into English of articles for scientific publications for the Plant Biology Multidisciplinary Institute.
- Translations into English of articles for scientific publications for the Group of Pharmacognosy, Pharmacy Department of the School of Chemical Sciences, National University of Córdoba.
