Article 12 – Rights and Obligations linked to shares
In the property of the social assets, the sharing of benefits and the liquidation bonus, each share gives right to a proportional quotity to the number of existing shares.
Each share that composes or will compose the social capital, will get same treatment for what concerns the tax burden. Accordingly, all rates and taxes that could, for any reason, become duable up to the reimbursement of the capital, for some of them only, either during the existence of the company, or at clearance, will be divided between all shares componing the capital at the moment of this or these reimbursements, so that all actual or future shares give to their owner, for the same amount paid and not depreciated, the same effective advantages and give them the right to receive the same net amount.
Each time it is necessary to possess several shares in order to exercise any right, isolated shareholders or those with an inferior number of shares compared to that required don’t give any right to their owner against the company, the shareholders having, in this case, to gather themselves the necessary share amount.

Article 12 – Droits et obligation attachés aux actions
Chaque action donne droit, dans la propriété de l’actif social, dans le partage des bénéfices et dans le boni de liquidation, à une quotité proportionnelle au nombre des actions existantes.
L’égalité de traitement sera appliquée à toutes les actions, qui composent ou composeront le capital social, en ce qui concerne les charges fiscales. En conséquence, tous impôts et taxes qui, pour quelque cause que ce soit, pourraient, à raison du remboursement du capital de ces actions, devenir exigibles pour certaines d’entre elles seulement, soit au cours de l’existence de la société, soit à la liquidation, seront répartis entre toutes les actions composant le capital lors de ce ou de ces remboursements de façon à ce que toutes actions actuelles ou futures confèrent à leurs propriétaires, pour le même montant libéré et non amorti, les mêmes avantages effectifs et leur donnent droit à recevoir la même somme nette.
Chaque fois qu’il est nécessaire de posséder plusieurs actions pour exercer un droit quelconque, les titres isolés ou en nombre inférieur à celui requis ne donnent aucun droit à leurs propriétaires contre la société, les actionnaires ayant à faire, dans ce cas, leur affaire personnelle du groupement du nombre d’actions nécessaires.
