License of IP Rights
XXX hereby grants to YYY, and YYY hereby accepts, a nonexclusive license to use and exploit the IP Rights and to manufacture, market, distribute and sell the Products, with no right to sublicense.
Royalties
As full consideration to XXX for the license rights granted hereunder, YYY shall pay to XXX a royalty as follows:
- YYY shall pay XXX a royalty of four percent (4%) of the Net Ex Factory Invoice Price of such Products. Net Ex Factory Invoice Price shall mean the price invoiced by YYY for the Products, less withholding taxes; or, when not actually invoiced, the price which would have been invoiced in an arm’s length transaction by YYY with a bona fide third party.
- YYY shall make written reports to XXX quarterly, within 30 days after the first day of each January, April, July and October, during the life of this Agreement; and as of those dates, separately stating in each report the number, description and Net Ex Factory Invoice Prioce of the Products sold, leased or otherwise disposed of during the preceeding three (3) calendar months.
Term and Termination
This Agreement shall be effective for the period beginning on the date hereof and ending on the fifth anniversary of such date, and is thereafter renewed for succeeding five (5) year periods, absent the written agreement of both parties until the last of the IP Rights expires. This Agreement may be terminated by either party by written notice to the other party in the event that the other party should fail to perform any of its obligations hereunder and should fail to remedy such nonperformance within thirty (30) calendar days after receiving written demand therefor. | Translation - Italian
Concessione in licenza di diritti di proprietà intellettuale
Con il presente Accordo, XXX concede a YYY, e YYY accetta, una licenza non esclusiva all’uso e allo sfruttamento dei diritti di proprietà intellettuale e alla fabbricazione, commercializzazione, distribuzione e vendita dei Prodotti, senza tuttavia alcun diritto a trasferire tali diritti in sottolicenza.
Diritti di concessione
YYY pagherà un diritto di concessione a XXX, in qualità di compenso totale dovuto a XXX per i diritti di licenza concessi in virtù del presente Accordo, in base a quanto segue:
- YYY pagherà a XXX un diritto di concessione del quattro per cento (4%) del prezzo di fattura netto franco fabbrica di tali Prodotti. Per prezzo di fattura netto franco fabbrica si intende il prezzo fatturato da YYY per i Prodotti, meno le ritenute d’imposta; o, in caso la fatturazione non venga effettuata, il prezzo che sarebbe stato fatturato in una transazione al valore normale di mercato tra YYY e un terzo in buona fede.
- Durante il periodo di vigenza del presente Accordo, YYY invierà rendiconti per iscritto a XXX con scadenza trimestrale, entro i 30 giorni successivi al primo giorno di gennaio, aprile, luglio e ottobre; i rendiconti descriveranno la situazione contabile a tali date, riportando separatamente in ciascun rendiconto il numero, la descrizione ed il prezzo fatturato netto franco fabbrica dei Prodotti venduti, concessi a nolo o altrimenti ceduti o smaltiti nel corso dei tre (3) mesi solari precedenti.
Termine e risoluzione
Il presente Accordo avrà validità per il periodo che inizia alla data dello stesso e che termina al quinto anniversario di tale data; il presente Accordo si intende rinnovato per i successivi periodi quinquennali salvo quanto altrimenti stabilito con accordo scritto di entrambe le parti, fino alla scadenza dell’ultimo dei summenzionati diritti di proprietà intellettuale. Il presente Accordo potrà essere risolto da una qualsiasi delle parti tramite notifica per iscritto all’altra parte nel caso in cui l’altra parte non dovesse adempiere a uno qualsiasi degli obblighi stipulati nello stesso e non dovesse rettificare tale inadempienza entro trenta (30) giorni solari dalla ricezione della summenzionata notifica scritta. |
