In view of the Restructuring the Extraordinary General Assembly of Shareholders of the Company duly convened on xxx approved the Company’s merger with its majority shareholder yyy by way of a downstream merger of yyy into the Company (the “Merger”) and empowered the Board of Directors of the Company to draft the Merger Project.
To the extent permitted under Romanian law, all disputes, controversies and claims arising out of or in connection with these Articles of Association, including, without limitation, any question regarding its existence, validity, performance, interpretation or termination between or among any of the shareholders shall be finally settled by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (the "ICC"), as modified herein. The seat of arbitration shall be in Bucharest. The shareholders agree that the language of the arbitration, including oral hearings, written evidence and correspondence, shall be English.

In vederea Restructurarii, Adunarea Generala Extraordinara al Actionarilor convocata in conformitate cu dispozitiile din actul constitutiv pe XXX, a aprobat fuziunea de tip downstream a Companiei (the “Merger”)cu actionarul sau majoritar si a abilitat Consiliul de Directori al Companiei sa realizeze un proiect pt Fuziune.
Atat cat permite legea romaneasca, toate disputele, controversele si creantele care rezulta din sau au legatura cu aceste Articole sau Asociatii, inclusiv, fara nici o restrictie, orice litigiu vizavi de existenta, valabilitatea, performanta, interpretarea sau sistarea intre sau printre oricare dintre actionari se va solutiona prin arbitraj în conformitate cu Regulile de procedură arbitrală al Camerei Internationale de Comert, in intelesul de fata. Locul arbitrajului va fi Bucuresti. Actionarii convin asupra limbii engleza ca limba in care se vor solutiona arbitrajele, si anume audieri, probe scrise si corespondenta.

Subsemnaţii cedenţi, XXX si YYY, răspundem, proporţional cu participarea noastră la capitalul social al societăţii, de toate operaţiunile financiar-bancare, comerciale si juridice angajate până la data semnării prezentului act, urmând ca angajarea viitoare a societăţii să intre în drepturile şi obligaţiile asociaţilor, proporţional cu participarea acestora la capitalul social.
Tot prin această ultimă decizie se stabileşte că “revine instanţelor judecătoreşti să hotărască dacă, în regimul reglementărilor legale de la data dobândirii bunului, acesta a putut trece în proprietatea statului sau dacă în lipsa unui titlu legal, o asemenea dobândire a proprietăţii nu a avut loc niciodată”.
Prin clauza compromisorie părţile convin ca litigiile ce se vor naşte din contractul în care este inserată sau în legătură cu acesta să fie soluţionate pe calea arbitrajului, arătându-se numele arbitrilor sau modalitatea de numire a lor. În lipsa unei asemenea precizări şi dacă organizarea arbitrajului a fost încredinţată Camerei Arbitrale, numirea arbitrilor se va face conform prezentului regulament.

The undersigned transferors, Xxx and yyy, shall answer for day to day management responsabilities of the Partnership , according to our contribution to the capital of the Company, such as financial transactions and banking operations, commercial and judicial agreements that have been engaged in up until the date of the signing of this Agreement, following that any future engagement of the Company shall be considered among the rights and obligations of the Partners, according to their contribution to the Company’s capital.
The final desicion also sets that ”it is up to the Court to decide wether, according to the rules of legislation active at the time the Property was purchased, it (the Property) could have passed under state property or wether, in the lack of any property title, such a purchase has never occured.”
By arbitration clause the parties agree that any litigious actions that will arouse from the Contract it belongs to or connected to it shall be settled by means of arbitration, pointing out the names of the arbitrators or the method they are chosen. In the lack of such a clause and if the seat of arbitration has been trusted to the Arbitration Chamber, the arbitrators shall be appointed according to the present set of regulations.
