All correspondence and other forms of written communication between SELLER and the BUYER, including, without limitation, notices, orders, reports, instructions, literature, records and materials shall be presented in the prevailing English language and may take place via Electronic Data Interchange (EDI) or other electronic methods of communication. If any communication is written in another language the English version of that communication shall prevail.
Any agreement between SELLER and the BUYER shall be for the benefit of the parties only and to the successors and assigns of SELLER. The BUYER shall not assign nor do anything to allow or cause an assignment, by operation of law or otherwise, of any right, duty or obligation under such agreement without SELLER’s prior written consent.
BUYER undertakes to
o keep confidential and not disclose to any third party,
o use for no other purpose than for the purpose for which it was disclosed to the BUYER and
o return to SELLER upon SELLER’s first request, all information, data and know how, communicated by SELLER, and all documents relating to the same and copies made thereof.
If any provision or term of these Conditions or of an agreement between SELLER and the BUYER shall be held to be illegal, invalid or unenforceable, in whole or in part, under any rule of law,
o the legality, validity or enforceability of any other provision or term shall not be affected or impaired, and
o the parties shall adopt such provision or term in lieu thereof as shall most closely reflect the original intent of the parties, including, without limitation, the intended operational and economic effects, with respect to such illegal, invalid or unenforceable provision or term.
The headings of the sections of these Conditions are inserted for convenience only and shall not be deemed to constitute part of these Conditions or to affect the interpretation thereof.
These General Conditions shall apply, unless otherwise agreed between the Seller and BUYER, in writing.

Veškerá korespondence a jiné formy písemné komunikace mezi prodávajícím a kupujícím včetně oznámení, objednávek, hlášení, instrukcí, propagační literatury, zápisů a materiálů bude probíhat v angličtině, která bude určující, a může se konat prostřednictvím elektronické výměny dat (EDI) nebo jiné metody elektronické komunikace. Bude-li některé sdělení napsáno v jiném jazyce, anglická verze tohoto sdělení bude určující.
Veškerá ujednání mezi kupujícím a prodávajícím budou pouze ve prospěch smluvních stran a nástupců a nabyvatelů prodávajícího. Kupující nepostoupí ani nepodnikne nic, co by umožnilo nebo způsobilo postoupení jakéhokoli práva, povinnosti nebo závazku podle takového ujednání bez předchozího písemného souhlasu prodávajícího.
Kupující se zavazuje
o zachovávat v tajnosti a neprozrazovat žádné třetí straně,
o nepoužít pro účel jiný, než pro který byly odhaleny kupujícímu,
o a na první žádost prodávajícího vrátit prodávajícímu veškeré informace, údaje a know-how, sdělené prodávajícím i veškeré dokumenty s nimi související a jejich kopie.
V případě, že některé ustanovení, podmínka nebo ujednání mezi prodávajícím a kupujícím bude považováno za nezákonné, neplatné nebo nevynutitelné, zcela nebo zčásti, na základě kteréhokoli zákona,
o zákonnost, platnost nebo vynutitelnost kteréhokoli jiného ustanovení nebo podmínky nebude dotčena ani poškozena
o a smluvní strany přijmou takové opatření nebo podmínku místo této, která bude nejpřesněji vyjadřovat původní záměr smluvních stran včetně zamýšlených provozních a hospodářských efektů v souvislosti s takovýmto nezákonným, neplatným nebo nevynutitelným ustanovením nebo podmínkou.
Nadpisy odstavců těchto podmínek jsou uvedeny pouze pro usnadnění orientace a nebudou považovány za součást těchto podmínek ani neovlivní jejich interpretaci.
Tyto všeobecné podmínky jsou platné, pokud není mezi prodávajícím a kupujícím písemně ujednáno jinak.
