Expected closing date
The Parties plan to complete the Transaction by the end of the third quarter of 2009. Completion of the Transaction is subject to a number of conditions precedent, including approval by a number of competition authorities, approval by both companies' shareholders and other customary conditions.

10. TERMINATION
10.1 This Agreement may be terminated at any time prior to the Completion in any of the following circumstances:
(a) by mutual written consent of Purchaser and all of the Vendors;
(b) by all of the Vendors, if the Purchaser breaches or fails to perform in any respect any of its representations, warranties or covenants contained in this Agreement, and such breach or failure to perform (x) would give rise to the failure of fulfilment of any condition set forth in Clause 3.2 hereof; (y) cannot be or has not been cured within fifteen (15) days following delivery of written notice of such breach or failure to perform; and (z) has not been waived by Vendors in writing;

10.1 有下列任一情形發生時，得於交割前隨時終止本合約：
(a) 經買方及所有賣方共同書面同意。
(b) 如買方違反或未能履行其於本合約內所為任何聲明、保證或擔保，且其違反或未能履行之行為 (x) 將使第3.2條中任何交割前提條件無法成就；(y)在以書面告知此違反或未能履行之行為後十五日內，未能或尚未補正者；及 (z) 未經賣方以書面免除者。
