4．金型の管理
当事者Bは、当事者Aに金型を製作する権限を付与し、また当事者Aは、金型の管理について以下の通り従うものとする。当事者Bはいつでも、将来における金型製作の継承に関する権利を留保している。当事者Aは、金型のリペアを含む金型の保守管理について全ての責務を負っている。
金型のサイクル：2,000,000または二年間
当事者Aは、工作機械の据え付けにおける全ての責務を負っており、その保護および保管を行わなければならない。当事者Aは、原因が何であれ、損失または修復困難な損傷に関する部品の交換における全責任を負うものとする。
5．パーツの品質および製品
パーツは、FDA食品規格標準であるIMSまたはHACCPに従って製造され、プラスティック樹脂食品等級により承認されたヴァージン食品医薬品局によって製造される。食品医薬品局による承認のための樹脂の証明は、注文毎に提出される。食品医薬品局は、裏地が要求された場合および二重のパレットが堆積され、ステープルがない場合にも耐えうるボックス製作のために樹脂ポリマーを承認した。

7. 価格調整
国際的に（主としてプラスティック・ニュースにおいて）発表されるホモポリマーPPの価格の変動によって、樹脂の価格は増加または減少する。樹脂価格における0.01ドルの変動が、パーツのグラム重あたりの各製品の価格の変動につながる。月ごとに配送料、四半期ごとにボックス費用、年間では労働および一般諸費用の審査を行っている。マージンは、本契約の項目においては調整されていない。増加および減少の通知は30日前までとする。

8．生産の限定
当事者Aは、当事者Bにより認可された金型のみを製造に使用するものとする。当事者Aは、現在または将来において、当事者Bに競合するために類似の金型または類似の商品の製造を行わないものとする。本条項は取消不能であり、当事者Bが当該金型および類似の商品の販売を行う限り有効であるものとする。
9．産業財産権
当事者Aは、当事者Bの顧客、アートワーク、ブランド名のような当事者Bの商用情報を使用しないものとする。
当事者Bの権利保護のため、当事者Aはいかなる場合でもサンプル（工学的設計物または当該金型により製作された製品）の陳列および宣伝を行わないものとする。
当事者のうちどちらかが契約に違反した場合、違反した当事者は、有形無形を問わず、また必要であれば新しい製品の製作を行うための費用の返済を含む、相手側の当事者に生じた全ての損害における全ての責任を負うものとする。本契約は、カリフォルニア法に準拠し、当該法に基づいて施行可能である。期間厳守とし、いかなる遅滞も許されない。

Party A shall take full responsibility of all maintenance needed on the molds, including repairs to the molds. Molds life cycle : 2,000,000 shots or 2 years.
Party A has full responsibility for the tooling and should safeguard their care and storage. Party A is fully liable for the replacement of the tools in the event of any loss or irreparable damage irregardless of the cause.

5. Part quality and materials
Parts will be manufactured to FDA Food Grade standards; IMS or HACCP, and will be produced in Virgin FDA certified Food Grade Plastic Resins. Resin Certifications for FDA approval will be submitted with each order. FDA approved resin Poly inner liners for the cases will be required and boxes will be of sufficient strength to handle double pallet stacking and will not contain staples in their construction.

6. Pricing adjustments
Increases/decreases are scaled to a resin escalator/descalator based on a nationally published price for Homopolymer PP; typically as published in Plastics News. A $.01 / # change in the price of the resin equates to a factored change in the price of each of the items based on the part gram weight. Monthly reviews shipping cost, quarterly reviews for box costs and annual reviews for labor, power and general overhead. Margins will not be adjusted during the term of this agreement. Increase/decrease notices will be given with 30 days notice.

7. Production limits
Party A shall only use the molds to produce products authorized by Party B; Party A shall not build any similar molds or to produce similar products to compete with Party B, now and anytime in the future. This clause is irrevocable and is in effect as long as Party B is selling these or similar products.
8. Industrial Property Rights
Party A shall not make use of Party B’s commercial information such as Party B’s customers, artworks, brand names, etc.
To protect Party B’s right, Party A agrees not to display or disseminate in any occasion the samples; engineering designs or product produced by these molds.
Should any of the two parties break the agreement, the Breaking party is fully liable to compensate the other party for all losses; real or intangible plus reimbursement for the cost to remanufacture new tooling if necessary. This Agreement will be made under and enforceable by the laws of the State of California. Time is of an essence and delays of any type are not acceptable.
