James Stewart BROWN ACIS. (D.O.B 30 April 1968) Mr Brown has extensive
International tax and fiduciary experience and knowledge. In addition to being a

Marketop Investments Limited has been appointed as the investment Manager of the
Company in accordance with an investment Management agreement. A copy of
the agreement is available for inspection at the registered office of the Company or

Marketop Investments Limited was incorporated in England and Wales on [date of

Principal features
Structure.
The Company is a closed ended investment company incorporated in the Isle of Man
under the Companies Act 2006. The offer for the sale of ‘B’ shares is being made by
way of a private placing memorandum being circulated in numbered copies to a
limited number of experienced investors.
Classes of Share.
The Company’s share capital is divided into non-participating ‘A’ shares and
participating ‘B’ shares. The recipients of this private offering memorandum are
invited to subscribe for participating ‘B’ shares only.
500 Non-participating ‘A’ shares of no par value are owned by Bianca Alexandrovna
and 500 Non-participating ‘A’ shares of no par value are owned by Sandra Ivanovna.

INVESTMENT OBJECTIVE AND POLICY
Investment objective
The investment objective of the Company is to achieve a long term capital growth,
through venture capital investment in projects within the European Union. Investment
will be made principally in property land and construction projects.
Investment Policy
It is the policy of the Company that investment will be concentrated in commercial
opportunities to be found within the European Union. In particular the investment
manager will focus on:
• Long term investment into property and land with the view of expected
growth of their value
• Long term investment into residential and commercial construction projects.
The Company may incur borrowings of up to 60% of the Company’s net assets for the
purpose of financing its investments.
Any changes to the investment policy or restrictions in the light of political and/or
economic conditions will be the responsibility of the Investment Manager who may
change the investment policies or restrictions accordingly. The Articles do not restrict
investment policy or the investment of the Company’s assets.
THE OFFERING
Pursuant to this document and subject to the memorandum and articles of
association of the Company, participating ‘B’ Share are being offered to qualifying
investors at a price of 100 USD each. Prospective investors wishing to take up this offer
must apply for a minimum of 1000 shares. There is no maximum holding.
An application form is attached to this document. This should be completed and
returned to the registered office of the Company together with the additional
documentation outlined in the application section. No funds should be remitted to
the Company until the application is accepted by the directors.

SUITABILITY STANDARDS
Accredited Investors Only. Shares will be sold only to “accredited investors.”
Accredited investors include (i) any natural person whose net worth, or joint net worth
with that person’s spouse at the time of the purchase exceeds $1,000,000; (ii) any
natural person who had an individual income in excess of $200,000 in each of the two
most recent years or joint income with that person’s spouse in excess of $300,000 in
each of those years and has a reasonable expectation of reaching the same income
level in the current year; (iii) any trust with total assets in excess of $5,000,000, not

formed for the specific purpose of acquiring the shares, whose purchase of the shares
is directed by a person who has such knowledge and experience in financial and
business matters that such person is capable of evaluating the merits and risks of the
prospective investment, (iv) any entity in which all of the equity owners are
accredited investors.
Ability and Willingness to Accept Risks. An investment in HOUSE Investments plc is
suitable only for Investors capable of evaluating the merits and risks of such
investment and tolerating the economic risk and illiquidity of their investment.
Representations of Investors. Each prospective investor will be required to make the
representations regarding his, her, or its suitability standards as set out in the Share
Purchase Agreement in Appendix 3. The Company also requires that prospective
investors complete an Accredited Investor Confirmation relating to their status as
accredited Investors and may make or cause to be made such further inquiry as it
deems appropriate. This Accredited Investor Confirmation is set out in Appendix 3.
Reservation of Rights in HOUSE Investments plc. HOUSE Investments plc reserves the
right to make its own judgment as to whether any prospective Investor meets these
suitability standards. The suitability standards above are minimum requirements for
prospective Investors. HOUSE Investments plc may impose additional requirements as
it sees fit. In addition, HOUSE Investments plc, in its sole discretion, may permit the sale
of shares to prospective Investors who do not meet such suitability standards and
reserves the right to reject the subscription of any prospective Investor in whole or in
part for any or no reason, whether or not such prospective investor meets such
suitability requirements.
Use of Proceeds. The proceeds of this offering will be used for general working capital.

LIQUIDATION, DISSOLUTION,
Upon liquidation, dissolution, or winding up of HOUSE
OR WINDING UP:
Investments plc, to the extent liquidation proceeds are
sufficient, each A shareholder has the right to receive the
equivalent only of the paid up value of the A share held by
him. The liquidator may, subject to the rights of the A
shareholders, divide among the B Shareholders
in specie

may, for that purpose, value any assets and determine
how the division shall be carried out as between the B

Marketability and dealing of shares.
An Investment in the Shares of the Company may be difficult to realize since the
Company is a closed ended company and the shares are not listed on any stock
exchange. As such an investment in the Company should be considered as a long-
term investment.
The value of the participating ‘B’ shares wil l fluctuate according to the value of the
underlying investments and may go down as well as up the realizable value of the
shares may not necessarily be the same as the net asset value. Investors may realize
less than their original investment.

Two mechanisms are available to investors wishing to realize some or all of their
investment in the Company.
(i ) Pre-emption mechanism, as set out in Appendix 2 of this document under
“Memorandum and Articles of Association”.
(ii) Company’s buy back. At the option of the Directors the Company may
choose to repurchase, the ‘B’ shares from investors. Any shares
repurchased by the company will be cancelled. The Company will not
hold any shares in treasury. Please see the section headed ‘Liquidity’ for
more information.
Dilution.
The Company does not have a definite authorized share capital. Following the
closure of the Private Offering Memorandum, the Company has the right, under its
articles of association to allot further participating ‘B’ shares at a price to be
determined by the Directors. Such allotments may result in dilution of the interests of
the existing shareholders.
Liquidity.
An investment in the ‘B’ Shares in the Company is inherently illiquid and investors may
not be able to realize their investment at a time of their choice. It should be noted
that
(i ) The Company is a closed ended investment company and there are no
current plans to list participating ‘B’ shares in the Company on a stock
exchange.
(ii) Investors do not have the right to sell their shares back to the Company.
The Investors are entirely reliant on the Company electing to re-purchase
their shares in order to realize their investment. Where shares are
repurchased this may be at a discount to Net Asset Value.
(iii) The Company’s underlying investments in Investee Companies are likely to
be highly illiquid and this is in turn is likely to restrict the ability of the

Company to buy back shares if such buybacks represent a significant
proportion of the Company’s assets.
Investors may thus be required to retain their investment in HOUSE Investments plc for
an indefinite period.
Investment and Trading Risks in General
All investments risk the loss of capital. The Investment strategy contemplated by the

The Company’s assets may be subject to a downturn in value as a result of factors

The company commenced trading in 2008 and has no operating history prior to that
date.
The investment manager appointed to the Company does not have a proven track

The use of borrowings will proportionately increase the Company’s exposure to
fluctuations in the capital value of its assets.
Currency Risk.
There is currency exchange risk inherent between the base currency of the investors
and the investments made by the Company.
Dividends.

Dividends will be subject to the discretion of HOUSE Investments plc’s Board of
Directors and will depend upon, among other things, future earnings, the operating
and financial condition of HOUSE Investments plc, its capital requirements, and
general business conditions.
FEES
Administrative Fees.
Roberts Brown Chartered Secretaries LLC have been contracted
to administer the Company and fees are payable to them in accordance with an
valid agreement. A copy of the agreement is avail able for inspection at the
registered office of the Company and upon request
Investment Manager’s Fees.
HOUSE Management Limited has been contracted to manage the investments of the
Company and fees are payable to them in accordance with an agreement dated
15 September 2008, a copy of which is available for inspection at the registered offi ce
of the Company and upon request.
Fees payable to the Investment Manager are as follows:
In consideration of the services to be performed by the Manager, the Company shall
pay to the Manager an investment management fee payable annually in arrears, a
fee equivalent to US$ 60,000 per annum.

Memorandum and Articles of Association
(a)
The Memorandum of the Company confirms the name of the
Company and that it is a public company with limited liability. It
further confirms that all the requirements of the Companies Act 2006 in
respect of matters relating to registration and of matters precedent
have been complied with. Isle of Man law does not require the
company to set out objects in the memorandum. Pursuant to Section
21(1) Companies Act 2006 the Company has (irrespective of
corporate benefit and irrespective of whether it is in the best interests
of the Company to do so) unlimited capacity to carry on or undertake
any business or activity, to do, or to be subject to, any act or to enter
into any transaction.

Taxation
Isle of Man
Previously available special income tax categories (non-resident, exempt or
international) have been abolished during a transitional period of a year from 6 April
2006. The Income Tax (Corporate Taxpayers) Act 2006 repeals the tax l egislation
relating to Non-resident Company Duty, Exempt Companies, Exempt Insurance
Companies, Exempt Managed Banks, International Business Companies and other
international regimes with effect from 6 April 2007. New entrant applications for any of
the special regimes have not been accepted with effect from 6 April 2006. The new
basis of assessment is set out in Practice Note 139/06 issued by the Assessor of Income
Tax on 23 November 2006.
The following is taken from Practice Note 127/06 issued by the Assessor of Income Tax
on 9 March 2006 (the full text of which is available on

):
From 6 April 2006, the standard rate of income tax for companies in the Isle of Man is
0% (“the standard rate”). The standard rate is generally applicable to all forms of
income received by all companies with the two exceptions below.

• Licensed banks are taxed at a rate of 10% on income from their banking
business (for more information see PN 124/06). Income received by banks that
is not derived from their banking business will be taxed at the standard rate.
• Income received by companies that is derived from land and property in the
Isle of Man is taxed at a rate of 10%. This income arises from rental, mineral
extraction and property development activities. (See Practice Note 138/06
issued by the Assessor of Income Tax on 2 November 2006.)
Resident companies pay an annual corporate charge from 6 April 2006. The charge
has been set at £250 for the 2006/07 tax year.
Withholding taxes
Dividends
Previously, companies could deduct dividends paid when computing their taxable
income. Dividends paid carried no tax credit. With effect from 6 April 2007,
companies will no longer deduct dividends when computing their taxable income. In
the tax year 2006/07 only, the following regime appl ies (and only to those companies
having income taxed at a rate of 10%). Dividends paid from income subject to tax at
10% will suffer a 10% withholding tax when the recipient is a non-resident company or
individual. From 6 April 2007, dividends paid from income subject to tax at 10% carry a
10% tax credit. This tax credit is not refundable where the recipient is a non-resident
company or individual. However, no withholding taxes apply to any dividends from
the same date.
Other payments
Except for dividends in the single tax year 2006/07 and the other examples
immediately below, the Isle of Man does not charge withholding taxes on payments
made by companies to non-residents from 6 April 2006:
• Rents paid by a company to a non-resident company will suffer a withholding
tax of 10%.
• Rents and other taxable payments (such as remuneration) paid by a
company to a non-resident individual will suffer a withholding tax of 18%.
Taxation basis period

From 6 April 2007, there is a current year accounting period basis of assessment for
companies to replace the previous preceding year basis.
In the event of the death of a sole holder of Ordinary Shares, an Isle of Man grant of
probate or administration may be required in respect of which certain fees will be
payable to the Isle of Man Government.
European Union Savings Directive
Directive 2003/48 EEC of the European Union on the taxation of savings income seeks
to bring about effective taxation of interest payments in a beneficial owner’s
member state of tax residence through the automatic exchange of information on
cross border interest payments to individual beneficial owners.
The EU Savings Directive (“EUSD”) came into force on 1 July 2005. Although the Isle of
Man is not part of the EU, it has introduced measures equivalent to the EUSD. This was
on the condition that all 25 EU Member States, European third countries and
associated territories
also adopted either the EUSD or equivalent measures. The Isle of
Man has entered into bilateral agreements with each of the EU Member States and
has introduced the Income Tax (Retention of Tax and Exchange of
Information)(Temporary Taxation) Order 2005 (SD 150/05) and the Income Tax
(Retention of Tax and Exchange of Information)Regulations 2005 (SD 378/05). Copies

The Treasury
has adopted a withholding tax on savings interest payable on or after 1 January 2005
on the same terms as Austria, Belgium and Luxembourg and for a transitional period
in compliance with the provisions of Article 11.1 of the Directive. The rate is 15% during
the first three years of the transitional period, 20% for the subsequent three years and
35% thereafter. Twenty-five percent of the tax withheld will be retained by the Isle of
Man Government, the balance being remitted to the depositor’s country of
residence.
It is important to note that the Isle of Man has agreements with the EU Member States
only (though for the purposes of the EUSD Gibraltar is part of the United Kingdom).

La administración diaria de la Sociedad ha sido delegada a los Secretarios Colegiados LLC (MKCS) Roberts Brown, que son también los Representantes Autorizados de la Sociedad según los términos del acuerdo de administración. MKCS es una sociedad profesional de Secretarios Colegiados que pertenecen y que son administrados por sus directores; Martin Brown y John Roberts son ambos autorizados por el Instituto de Secretarios Colegiados y Administradores, a actuar como Secretarios Colegiados en el ejercicio público. Características Principales
Estructura.
Se trata de una sociedad de inversión de capital cerrado incorporada en la Isla de Man en virtud de la Ley de las Sociedades de 2006. La oferta para la venta de las acciones de tipo “B” se realiza a través de un memorando de colocación privada distribuido en ejemplares numerados a un número limitado de inversores con experiencia.
Tipología de acciones.
El capital social de la Sociedad se divide en acciones no participativas de tipo “A” y acciones participativas de tipo “B”. Se invita a los destinatarios de dicho memorando de oferta privada a registrarse para solo para las acciones participativas de tipo “B”.
Blanca Alexandrovna posee 500 acciones no participativas de tipo “A” cuyo valor nominal es cero, y Sandra Ivanovna posee 500 acciones no participativas de tipo “A” cuyo valor nominal es cero.
Derechos de las respectivas clases de acciones:
Acciones no participativas de tipo “A”:
(i) Derecho de asistencia y voto en la junta general de la Sociedad.

OBJETIVOS Y POLÍTICA DE INVERSIÓN
Objetivo de inversión.
El objetivo de inversión de la Sociedad es lograr un crecimiento del capital a largo plazo,
a través de la inversión del capital de riesgo en proyectos dentro de la Unión Europea.
Se invertirá principalmente en inmuebles y proyectos de construcción.
Política de Inversión
La política de la Sociedad establece que la inversión se concentra en las oportunidades de comercio que se encuentran dentro de la Unión Europea. En particular, el Director de Inversiones se centrará en:
• Inversiones a largo plazo en propiedades e inmuebles con el fin de esperar el crecimiento de su valor.
• Inversiones a largo plazo en proyectos de construcción residencial y comercial.
La Sociedad puede incurrir en préstamos de hasta el 60% de los activos netos de la Sociedad con el fin de financiar sus inversiones.
Cualquier cambio en la política de inversión o restricción debido a la política y / o a las condiciones económicas, será responsabilidad del Director de Inversiones que tiene la potestad para cambiar las políticas de inversión o las restricciones como corresponde.
Los artículos no limitan la política de inversión o la inversión de los activos de la Sociedad.
LA OFERTA
De conformidad con el presente documento y con sujeción al acta constitutiva de la Sociedad, se ofrecen las acciones de participación de tipo "B" a los inversores calificados a un precio de 100 dólares americanos cada uno. Los posibles inversores que deseen aceptar esta oferta deben solicitar un mínimo de 1000 acciones. No hay un máximo de participaciones.
Se adjunta al presente documento un formulario de solicitud, que debe ser completado y enviado al domicilio social de la Sociedad junto con la documentación adicional indicada en la correspondiente sección de la solicitud. Los fondos no se transferirán a la Sociedad hasta que los directores acepten la solicitud.
Esta oferta es una oferta privada que se llevará a cabo sólo mediante la entrega de una copia del presente Memorando de Oferta Privada a la persona cuyo nombre aparece en la primera página
del mismo. HOUSE Investment S.A. someterá a una investigación de antecedentes a los posibles inversores (entre otras cosas, en relación con los requisitos contra el blanqueo de capitales en virtud de la ley de la Isla de Man) y tendrá el derecho, a su discreción, de rechazar los posibles inversores y regular el tamaño de cualquier inversión. ESTÁNDARES DE COMPETENCIA
Sólo para Inversores Acreditados. Las acciones se venderán exclusivamente a los "Inversores Acreditados”, que incluyen (i) cualquier persona física cuyo patrimonio neto o patrimonio neto conjunto con el cónyuge en el momento de la compra supera los $ 1.000.000; (ii) cualquier persona física con ingresos personales mayores de $ 200,000 en los últimos dos años o con una la renta conjunta con el cónyuge mayor de $ 300.000 por cada uno de dichos años y con la expectativa razonable de alcanzar los mismos niveles de ingresos en el año en curso; (iii) cualquier cartel de empresas con un total de activos mayor de $ 5.000.000, no formada con el propósito específico de adquirir de las acciones, cuya adquisición está bajo la dirección de una persona que posee tales conocimientos y experiencia en el sector financiero y asuntos de negocios, que es capaz de evaluar las ventajas y los riesgos de las inversiones futuras; (iv) cualquier otra entidad en que todos los accionistas son Inversores Acreditados.
Capacidad y voluntad de aceptar riesgos. Invertir en HOUSE Investments S.A. es conveniente sólo para los Inversores capaces de evaluar las ventajas y los riesgos de tales inversiones y de tolerar el riesgo económico y de liquidez de la inversión.
Declaración de los inversores. Cada uno de los posibles inversores deberá declarar con respecto a los propios estándares de competencia que figuran en el Contrato de compraventa de acciones en el Apéndice 3. La Sociedad exige además que los futuros inversores rellenen la Confirmación de Inversores Acreditados relativa a su condición de inversores acreditados y podrá realizar o hacer que se realice una nueva investigación tal como estime conveniente. Dicha Confirmación de Inversores Acreditados figura en el Apéndice 3.
Reserva de los derechos de HOUSE Investments S.A. HOUSE Investments S.A. se reserva el
derecho de juzgar por si misma si los posibles inversores cumplen con los estándares de
competencia. Dichos estándares de competencia representan los requisitos mínimos de
los posibles inversores. HOUSE Investments S.A. podrá imponer unos requisitos adicionales en el caso en que lo considere oportuno. Además, HOUSE Investments S.A., a su exclusiva discreción, podrá permitir la venta de acciones a los posibles inversores que no cumplen estos estándares de competencia, y se reserva el derecho de rechazar, en su totalidad o en parte, la suscripción de cualquiera de los posibles inversores con o sin motivación, independientemente del hecho de que tales posibles inversores cumplan o no dichos estándares de competencia.

Un mínimo de 1000 acciones al precio de compra de 100 € por acción. Salvo que HOUSE Investments S.A. no decida de otra manera, el importe mínimo de inversión para los compradores de las acciones es de 100,000.00 €. HOUSE Investments S.A. completará la aceptación de las suscripciones y emitirá acciones cada vez que se suscriban 1.000 acciones, o un número menor de acciones determinado a discreción de los directores. Posteriormente, las suscripciones se aceptarán en cuanto se hayan recibido antes de que las suscripciones sean completas o que la Sociedad no acepte las suscripciones de más acciones.
DIVIDENDOS:
Los dividendos se abonarán cuando y si es declare por el Consejo de Administración y aprobado por los accionistas de tipo «A».
LIQUIDACIÓN, DISOLUCIÓN,
O DISOLUCIÓN VOLUNTARIA:
En caso de liquidación, disolución o disolución voluntaria de HOUSE Investments S.A., en la medida de que la liquidación sea suficiente, cada accionista de tipo “A” tiene derecho a recibir sólo el equivalente a la cuota desembolsada para las acciones de tipo “A” que posee. El liquidador podrá, con sujeción a los derechos de los accionistas de tipo “A”, dividir entre los accionistas de tipo “B” en especie la totalidad o parte de los activos de la Sociedad y podrá, a tal efecto, valorar los activos y determinar cómo se llevará a cabo la división entre los Accionistas de tipo “B” o los accionistas de clase diferente.
El liquidador podrá conferir la totalidad o parte de los activos a agentes fiduciarios mediante fideicomiso para el beneficio de los accionistas de tipo “B”, así como el liquidador, como la sanción determine, pero ningún Accionista de tipo “B” podrá ser obligado a aceptar todos los bienes sobre los que haya una responsabilidad.
CAPITALIZACIÓN ACTUAL: Las siguientes acciones se han asignado en la fecha del presente documento: Acciones no participativas de tipo "A": 1.000 acciones con valor nominal de 1 libra. Acciones participativas de tipo “B”: Ninguna.

Factores de riesgo
Los inversores deben ser conscientes de los riesgos asociados a una inversión en la Sociedad.
La siguiente lista de riesgos no pretende ser exhaustiva; en particular, los posibles inversores deberían considerar lo siguiente:
Invertir en acciones participativas de tipo “B” de la Sociedad debe ser considerado de ALTO RIESGO.
Tal inversión podría terminar como una pérdida de todos o algunos de los capitales de los inversores. No se ofrece, ni expresa ni implícitamente, ninguna garantía en cuanto al rendimiento de las inversiones, en relación con la renta o con las ganancias de capital.
Potencial de ventas y negociación de acciones.
Invertir en las acciones de la Sociedad puede ser difícil de realizar por ser una Sociedad de inversión de capital cerrado, y tener acciones que no cotizan en ninguna bolsa de valores.
Una inversión en la Sociedad debe ser considerada como un compromiso a largo plazo de inversión.
El valor de los acciones participativas de tipo “B” fluctúa en función del valor de la inversiones subyacentes, y pueden bajar o subir, así como el valor realizable de la acciones puede diferir del valor neto de los activos. Los inversores pueden realizar una inversión menor de su inversión original.
Hay dos mecanismos a disposición de los inversores que deseen realizar todas o algunas inversiones en la Sociedad:
(i) El mecanismo de prevención, tal como se establece en el apéndice 2 de este documento bajo “Acta Constitutiva”
(ii) La opción de recompra por parte de la Sociedad. Los Directores de la Sociedad pueden optar por la recompra de las acciones «B», de los inversores. No se cancelará ninguna de las acciones recompradas por la Sociedad. La Sociedad no poseerá ninguna acción de tesorería. Por favor, consulte la sección titulada "liquidez" para más información.
Dilución.
La Sociedad no posee un capital social autorizado determinado. A raíz del cierre del Memorando de Oferta Privada, la Sociedad tiene el derecho, en virtud de su estatuto, a asignar más acciones participativas de tipo “B” a un precio determinado por los Directores. Dicha asignación puede ocasionar una dilución de los intereses de los actuales accionistas.
Liquidez.
Una inversión en las acciones de tipo "B" de la Sociedad es intrínsecamente ilíquida y los inversores no pueden realizar una inversión en cualquier momento.
Cabe señalar que:
(i) La Sociedad es una sociedad de inversión de capital cerrado, y no existe ningún programa para la cotización de las acciones en la bolsa de valores.
(ii) Los inversores no tienen derecho revender las acciones a la Sociedad. Los inversores dependen enteramente de la Sociedad para la reventa de las acciones a fin de realizar una inversión. La recompra de las acciones puede reducir el Valor activo neto.
(iii) Las inversiones de la Sociedad subyacentes en Sociedades Participadas son propensas a una alta iliquidez y esto a su vez restringe la capacidad de la Sociedad a recomprar acciones si tales recompras representan un importante proporción de los activos de la Sociedad. Por lo tanto se necesita que los inversores conserven la inversión en HOUSE Investments S.A. durante un período indefinido.
Riesgos generales de inversión y de comercio
Todas las inversiones conllevan el riesgo de pérdida de capital. La estrategia de inversión prevista por la Sociedad implica importantes riesgos económicos. No puede haber ninguna garantía de que se obtengan los objetivos de inversión de la Sociedad.
Los activos de la Sociedad pueden estar sujetos a un descenso en el valor como resultado de factores fuera del control de la Sociedad y que pueden ser propios de dicho activo; los factores adversos incluyen cambios en la competencia local, cambios legislativos, cambios en los tipos de interés, situación económica y condiciones climáticas adversas. Una inversión en la Sociedad no está protegida contra los riesgos de inflación.
Riesgos específicos de la Sociedad
La Sociedad inició su actividad en 2008 y no tiene historial de operaciones antes de dicha fecha.
El administrador de inversiones designado a la Sociedad no tiene un historial de registro. El uso de préstamos aumentará de manera proporcional la exposición de la Sociedad a fluctuaciones en el valor de sus activos.
Riesgo cambiario.
Existen riesgos cambiarios de divisas inherentes entre la moneda base de los inversores y las inversiones realizadas por la Sociedad.
Dividendos.
Los dividendos estarán sujetos a la Junta Directiva a discreción de HOUSE Investments S.A. y dependerán, entre otras cosas, de las ganancias futuras, de las condiciones financieras y de explotación de HOUSE Investments S.A., de sus requisitos de capital, y de las condiciones generales de venta. En caso de inspección, una copia del acuerdo estará disponible en la sede social de la Sociedad o previa petición.
HONORARIOS
Honorarios Administrativos. Los Secretarios Colegiados LLC de Roberts Brown, han sido contratados para administrar la Sociedad, y en conformidad con un contrato válido se le pagarán los honorarios a los mismos.
En caso de inspección, una copia del contrato es disponible en la sede social de la Sociedad o previa petición.
Honorarios de los Directores de Inversiones. HOUSE Management Limited ha sido contratada para administrar las inversiones de la Sociedad y se le pagarán los honorarios en conformidad con un contrato fechado 15 de septiembre de 2008, cuya copia estará disponible en caso de inspección en la sede social de la Sociedad o previa petición.
Los honorarios del Director de Inversiones son los siguientes:
Considerando los servicios realizados por el Gerente, la Sociedad pagará al Administrador d una tasa de gestión de inversiones anuales en mora, una tasa equivalente a 60.000 dólares estadounidenses por año.
INFORMACIÓN GENERALY LEGAL
1. Incorporación
(a) El 8 de noviembre de 2007, la Sociedad se incorporó como Sociedad limitada por acciones en virtud de la Ley de Sociedades de 2006 con número de registro 0001844V. (b) La principal legislación en virtud de la cual opera la Sociedad es la Ley de sociedades de 2006 (oportunamente modificada) y los reglamentos adoptados al respecto.

2. Remuneración y beneficios de los directores
(a) El total de la remuneración y las prestaciones en especie (incluida las contribuciones para la pensión) pagadas o concedidas a los Directores para el ejercicio anual es de ₤ 5000.
(b) No existe ningún préstamo pendiente de la Sociedad a los directores así como tampoco se ha proporcionado ninguna garantía por parte de la Sociedad a los beneficios de los directores.
(c) La información expuesta a continuación está relacionada con cada director y su sociedad o con los directores actuales que forman parte actualmente de ella (aparte de la Sociedad). 4. Acta Constitutiva
(a) El Memorando de la Sociedad ratifica el nombre de la misma y su condición de Sociedad pública de responsabilidad limitada.
Confirma además el cumplimiento de todos los requisitos previstos por la Ley de Sociedades de 2006 en los asuntos relativos al registro y asuntos precedentes. La ley de la Isla de Man no requiere que el Sociedad disponga los objetivos del memorando. En virtud de la Sección 21 (1) de la Ley de Sociedades de 2006, la Sociedad tiene, independientemente de que redunde o no en beneficio para la Sociedad, e independientemente de que sea en el mejor interés de la Sociedad, la capacidad ilimitada de realizar o emprender cualquier negocio o actividad, para hacer, o ser objeto de cualquier acto o para entrar en alguna transacción.
(b) El Estatuto se encuentra en el apéndice 1.
5. Contratos pertinentes:
En el curso de los últimos dos años se han firmado los siguientes contratos que son o deben ser sustanciales y que se encuentran fuera del curso común de los negocios de la Sociedad:

(b) Contrato de Gerencia entre la Sociedad y los Secretarios Colegiados LLC de Roberts Brown.

6. Impuestos
Isla de Man
A partir del 6 de abril 2006 se han suprimido, durante un período de un año, las categorías especiales de impuestos sobre la renta anteriormente disponibles (para los no residentes, exentas o internacionales). La Ley de 2006 sobre el Impuesto sobre la Renta (Empresas Contribuyentes) deroga la legislación de impuestos relativa a las sociedades de impuestos para no residentes, las sociedades exentas, compañías de seguro, bancos centrales exentos, sociedades comerciales internacionales y otros regímenes internacionales, con efecto a partir del 6 de abril de 2007. No se han aceptado nuevas solicitudes para cualquiera de los regímenes especiales a partir del 6 de abril de 2006. La norma de procedimiento 139/06 emitida por el Asesor de Impuestos sobre la Renta el 23 de noviembre de 2006 establece la nueva base reguladora.
La norma de procedimiento 127/06 emitida por el Asesor del Impuestos sobre la Renta el 9 de marzo de 2006 (cuyo texto completo está disponible en www.gov.im / treasury / incometax) establece lo siguiente:
A partir del 6 de abril de 2006, el impuesto estándar sobre la renta para las Sociedades de la Isla de Man es 0% (“impuesto estándar"). El impuesto estándar se aplica en general a todos los ingresos recibidos por todas las Sociedades excepto en los dos casos a continuación:
• Los bancos autorizados se gravan con un impuesto del 10% de los ingresos de su negocio bancario (para más información, véase PN 124/06). Los ingresos recibidos por los bancos que no derivan del negocio bancario se gravarán con el impuesto estándar.
• Los ingresos recibidos por las Sociedades que derivan de las tierras y las propiedades en la Isla de Man se gravan con una tasa del 10%. Dichos ingresos surgen de la renta, de la extracción mineral y de las actividades de desarrollo de la propiedad. (Ver la norma de procedimiento 138/06 emitida por el Asesor del Impuesto sobre la Renta, el 2 de noviembre de 2006).
Las Sociedades residentes pagan un cargo anual corporativo desde el 6 de abril de 2006. El cargo se ha fijado en 250 libras para el ejercicio fiscal 2006/07.
Retención de impuestos
Dividendos
Anteriormente las Sociedades podían deducir los dividendos pagados al calcular su base imponible de ingresos. Los dividendos pagados no llevaban crédito fiscal. A partir del 6 de abril de 2007, las Sociedades ya no deducen los dividendos al calcular su renta imponible. Sólo para el ejercicio fiscal 2006/07 se aplica el siguiente régimen (y sólo a las Sociedades que tengan ingresos gravados con un impuesto del 10%).
Si el destinatario es una sociedad no residente o un individuo, los dividendos pagados a partir de los ingresos sujetos al impuesto del 10% sufrirán un 10% de retención. A partir del 6 de abril de 2007, los dividendos pagados a partir de los ingresos sujetos al impuesto del 10% llevan un 10% del crédito fiscal. Dicho crédito fiscal no es reembolsable si el beneficiario es una sociedad no residente o un individuo. Sin embargo, no se aplican retenciones de impuestos a los dividendos de la misma fecha.
Otros pagos
Excepto por los dividendos en el mismo ejercicio fiscal 2006/07 y los demás ejemplos inmediatamente a continuación, la Isla de Man no cobra las retenciones sobre los pagos realizadas por Sociedades no residentes a partir del 6 de abril de 2006:
• Las rentas pagadas por una sociedad a una sociedad no residente sufrirán una retención fiscal del 10%.
• Las rentas y otros pagos gravables (tales como la remuneración) pagados por un Sociedad a una persona no residente sufrirán una retención del 18%.
Duración de la base imponible
A partir del 6 de abril de 2007, durante un año, se considerará la fijación de la cuota impositiva para las Sociedades, en sustitución de la base del año anterior. En caso de muerte de un único titular de acciones ordinarias, se solicitará la homologación del testamento o la potestad de administración por parte de la Isla de Man en relación con determinadas tasas pagaderas al Gobierno de la Isla de Man
Directiva de la Unión Europea de Ahorros
La Directiva 2003/48 CE de la Unión Europea relativa a la fiscalidad de los rendimientos del ahorro trata de lograr la imposición efectiva de los pagos de intereses en un estado miembro usufructuario de residencia fiscal a través del intercambio automático de información sobre los pagos transfronterizos de intereses a los usufructuarios individuales.
La Directiva de Ahorros de la UE (“EUSD") entró en vigor el 1 de julio de 2005. Aunque no forma parte de la UE, la Isla de Man ha introducido medidas equivalentes a la EUSD, bajo la condición de que todos los 25 Estados miembros de la UE, los terceros países europeos y los territorios asociados adopten también la EUSD o medidas equivalentes. La Isla de Man ha firmado acuerdos bilaterales con cada uno de los Estados miembros de la UE y ha introducido el impuesto sobre la renta (Retención de Impuestos e intercambio de Información) (Impuestos Temporales) de 2005 (DS 150/05) y el Impuesto sobre la Renta (Retención de Impuestos e Intercambio de Información) de 2005 (DS 378/05). El Ministerio de Hacienda ha adoptado unos impuestos de retención sobre los intereses de ahorro a pagar a partir del 1 de enero de 2005 bajo las mismas condiciones que Alemania, Austria, Bélgica y Luxemburgo, y durante un período transitorio según lo dispuesto en el artículo 11.1 de la Directiva. La tasa es del 15% durante los tres primeros años del período transitorio, del 20% para los tres años siguientes y del 35% de allí en adelante. El veinte y cinco por ciento de la retención será retenido por el Gobierno de la Isla de Man, el resto se remitirá al país de residencia del depositante.
Es importante señalar que la Isla de Man tiene acuerdos sólo con los Estados miembros de la UE (aunque a los efectos de la EUSD Gibraltar forma parte del Reino Unido).
La Información fiscal o la retención de impuestos sólo se ejecutan entre los países y jurisdicciones que tengan acuerdos entre sí. DRUG TREATMENT OF LIPID DISORDERS
ARTERIOSCLEROSIS of the coronary and peripheral vasculature is the leading cause of death among men and women in the United States and worldwide. In 1992, for example, cardiovascular disease accounted for 38 percent of deaths from all causes among men and 42 percent of all deaths among women in Washington State; nationwide, the mortality rate for cardiovascular disease is approximately 50 percent.
MECHANISMS OF ATHEROGENESIS
Central to the pathogenesis of arteriosclerosis is the deposition of cholesterol in the arterial wall.
Nearly all lipoproteins are involved in this process, including cholesterol carried by very-low-density lipoprotein (VLDL), remnant lipoprotein, and low-density lipoprotein (LDL), particularly the small, dense form. Conversely, cholesterol is carried away from the arterial wall by high-density lipoprotein (HDL). In healthy persons, these lipoproteins function to distribute and recycle cholesterol (Fig. 1).
Hepatic overproduction of VLDL can lead to increases in the serum concentrations of VLDL, remnant lipoprotein, and LDL, depending on the ability of the body to metabolize each of these types of lipoprotein. The most common and important lipid disorder involving this mechanism is familial combined hyperlipidemia (also referred to as mixed hyperlipemia). The primary disorders of lipoprotein metabolism are described in Table 1 and have been reviewed elsewhere.
The chief risk factors for cardiovascular disease are listed in Table 2. When these risk factors occur in combination with hyperlipidemia and low serum HDL concentrations, early cardiovascular disease is commonplace. Keys to prevention and treatment are the elimination or modification of risk factors, if possible, in conjunction with treatment of the specific lipid disorder.
A SECONDARY CAUSES OF HYPERLIPIDEMIA
Closely related to the numerous risk factors for cardiovascular disease are conditions that cause hyperlipidemia, including obesity, diabetes mellitus, hypothyroidism, and the nephrotic syndrome; alcohol ingestion; and therapy with oral estrogen, isotretinoin, sertraline hydrochloride, human immunodeficiencyvirus (HIV)–protease inhibitors,b-adrenergic antagonists, glucocorticoids, cyclosporine, and thiazide diuretics. In general, each condition should be treated and any offending medications discontinued before a program to lower serum lipid concentrations is initiated. Patients with severe hyperlipidemia usually have two disorders — for example, diabetes mellitus and familial combined hyperlipidemia, familial hypertriglyceridemia, or remnant removal disease.
TARGET SERUM LIPOPROTEIN CONCENTRATIONS
The threshold serum total cholesterol and LDL cholesterol concentrations above which diet and drug therapy should be initiated, as well as the goals of therapy, have been defined by the National Cholesterol Education Program (Table 3).
The target serum LDL cholesterol concentration is less than 160 mg per deciliter (4.3 mmol per liter) for patients with no risk factors for heart disease or only one risk factor, less than 130 mg per deciliter (3.4 mmol per liter) for patients with two or more risk factors, and less than 100 mg per deciliter (2.6 mmol per liter) for those with cardiovascular disease (Table 3). Persons with diabetes also fall in this third category, even those with no apparent cardiovascular disease.
Reducing serum LDL cholesterol concentrations below the target levels does not necessarily result in a proportional reduction in the risk of cardiovascular disease, because of the attenuation of the cholesterol–heart disease relation at lower serum cholesterol concentrations.
Drug therapy is not recommended for premenopausal women and men under 35 years of age unless they have serum LDL cholesterol concentrations of more than 220 mg per deciliter (5.7 mmol per liter), because their immediate risk of heart disease is low.

En 1992, por ejemplo, las enfermedades cardiovasculares fueron responsables del 38 por ciento de las muertes de varones y del 42 por ciento de las muertes de mujeres en el estado de Washington; a escala nacional, la tasa de mortalidad por enfermedades vasculares es aproximadamente del 50 por ciento.
EL PROCESO DE LA ATEROGÉNESIS.
La acumulación de depósitos de colesterol en la pared arterial es la causa principal de la patogenia de la arteriosclerosis; casi todas las lipoproteínas participan en este proceso, incluido el colesterol, transportado por las lipoproteínas de muy baja densidad (VLDL), las apolipoproteínas y las lipoproteínas de baja densidad (LDL), en particular las densas y de menor tamaño. La Tabla 1 muestra los trastornos principales del metabolismo de las lipoproteínas, examinados en otra parte. La Tabla 2 muestra los factores de mayor riesgo de enfermedades cardiovasculares; cuando estos factores de riesgo se combinan con la hiperlipidemia y con bajas concentraciones séricas de HDL, es frecuente que deriven en una enfermedad cardiovascular prematura. La clave para la prevención y el tratamiento de dichas enfermedades es la eliminación o modificación de los factores de riesgo, si es posible, junto a un tratamiento específico para el trastorno de los lípidos.
CAUSAS SECUNDARIAS DE LA HIPERLIPIDEMIA
Los factores que causan la hiperlipidemia, como obesidad, diabetes mellitus, hipotiroidismo, síndrome nefrótico, consumo de alcohol, tratamiento con estrógenos orales, isotretinoína, sertralina clorhidrato, inhibidores de la proteasa del virus de la inmunodeficiencia humana (VIH), antagonistas beta-adrenérgicos, glucocorticoides, ciclosporina y diuréticos tiazídicos, están fuertemente relacionados con los factores de riesgo de enfermedades cardiovasculares. Como norma general, antes de empezar un programa de baja concentración de lípidos en suero, habría que tratar cada factor y suspender cualquier fármaco agresor. Los pacientes que padecen de una hiperlipidemia grave sufren generalmente de dos trastornos, por ejemplo, diabetes mellitus y hiperlipidemia familiar combinada, hipertrigliceridemia familiar o disbetalipoproteinemia familiar.
LIMITES DE CONCENTRACIÓN DE LIPOPROTEÍNAS SÉRICAS
El Programa Nacional de Educación sobre Colesterol ha determinado los niveles de concentración del colesterol sérico total y del colesterol LDL que requieren una dieta y un tratamiento farmacológico, además de los objetivos del tratamiento (Tabla 3). En pacientes que no presenten factores de riesgo de enfermedades cardíacas o que presenten uno solo de ellos, el límite de concentración de lipoproteínas séricas es inferior a 160 ml por decilitro (4.3 mmol por litro); en pacientes que presentan dos o más factores de riesgo, el límite es inferior a 130 ml por decilitro (3.4 mmol por litro), mientras que para los pacientes que padecen enfermedades cardiovasculares (Tabla 3) el límite es inferior a 100 ml por decilitro (2.6 mmol por litro). Los pacientes con diabetes pertenecen a la tercera categoría, aunque no padezcan ninguna enfermedad cardiovascular aparente. La reducción de los niveles de concentración de colesterol sérico LDL por debajo de los límites establecidos no conlleva necesariamente a una reducción proporcional del riesgo de enfermedades cardiovasculares, a causa de la escasa relación entre colesterol y enfermedad cardiovascular en presencia de una concentración baja de colesterol sérico. No se recomienda el tratamiento farmacológico a mujeres premenopáusicas y a hombres debajo de los 35 años a menos que la concentración de colesterol sérico LDL resulte superior de 220 mg por decilitro (5.7 mmol por litro) dado que el riesgo inmediato de padecer una enfermedad cardiaca es menor.
