(c) To the extent that XXX can claim damages from a third party rendering services on its behalf to YYY hereunder (the “Third Party Provider”) in excess of damages incurred by it through its liability according to (a) above, XXX shall, to the extent legally possible, assign such claims to YYY. (d) XXX shall, in engaging third parties for services to be rendered hereunder, use best efforts to achieve customary conditions. 4.2 4.34.2 XXX’s total liability for damages in respect of acts or omissions, for which such liability is not excluded according to Section 4.1 and Section 4.2, shall not extend to loss of profits and shall further be limited to the amount of the Attributable Indirect Costs for the Service category in question to be expected according to Section 3.3 in the Contract Year, in which such acts or omissions occur. 4.4 Any further contractual liability of XXX, e.g. for defects of performance or positive breach of contract, shall be excluded as far as permitted by law. 4.5 The Parties' mutual liability in tort shall be limited to the respective Party's coverage of its business liability insurance, except where the tortuous act or omission of the relevant Party constitutes willful misconduct or is based on gross negligence, provided that the liability of the relevant Party shall be limited in case the tortuous act or omission is based on gross negligence, to Euro 200,000 per contract year. (c) En la medida en que XXX pueda reclamar daños de una Subcontrata que en su nombre está prestando servicios a YYY bajo el mismo (el Subcontratista) con exceso de daños contraídos por el mismo a través de su Obligación de acuerdo con el apartado (a), XXX deberá asignar, con la mayor legalidad posible, dichas reclamaciones a YYY. (d) XXX, a la hora de contratar a terceros para que presten sus servicios en el mismo, deberá realizar sus máximos esfuerzos para conseguir las condiciones habituales. La obligación total por daños de XXX respecto a sus actos u omisiones, para la que dicha obligación no queda excluida según los Art. 4.1 y 4.2, no se extenderá a una pérdida de beneficios y será mas bien limitada a los Costes Indirectos Atribuibles para la categoría del Servicio en cuestión como esperado según el Art. 3.3 en el Año de Contrato, en el cual dichos actos u omisiones tienen lugar. 4.4. (b) Cuando XXX pueda mantener una reducción de la compensación acordada con la Subcontrata respecto a los Servicios que tiene que prestar a YYY señalados a continuación, en caso de la no ejecución o de una ejecución defectuosa de dichos Servicios, El Honorario por Servicio acordado con YYY respecto a dichos Servicios quedará reducido por la misma cantidad, por la cual XXX pueda reducir la compensación acordada con la Subcontrata respecto a dichos Servicios, excepto cuando la compensación pagada o a pagar por la Subcontrata es o pueda ser tenida en cuenta en las Conclusiones Finales mencionadas en el Artículo 3.4. (c) En la medida en que XXX pueda reclamar daños de una Subcontrata que en su nombre está prestando servicios a YYY bajo el mismo (el Subcontratista) con exceso de daños contraídos por el mismo a través de su Obligación de acuerdo con el apartado (a), XXX deberá asignar, con la mayor legalidad posible, dichas reclamaciones a YYY. (d) XXX, a la hora de contratar a terceros para que presten sus servicios en el mismo, deberá realizar sus máximos esfuerzos para conseguir las condiciones habituales. La obligación total por daños de XXX respecto a sus actos u omisiones, para la que dicha obligación no queda excluida según los Art. 4.1 y 4.2, no se extenderá a una pérdida de beneficios y será mas bien limitada a los Costes Indirectos Atribuibles para la categoría del Servicio en cuestión como esperado según el Art. 3.3 en el Año de Contrato, en el cual dichos actos u omisiones tienen lugar. 4.4. Cualquier otra obligación contractual de XXX, como por ejemplo por defectos de ejecución o ruptura de contrato, será excluída en tanto en cuanto lo permita la ley. 4.5 La mutua obligación en agravio de las Partes quedará limitada las respectivas coberturas que tengan sus seguros de responsabilidad de sus empresas, salvo cuando el acto de conducta torticera u omisión de la parte relevante constituye una conducta malintencionada o está basada en una negligencia grave, puesto que la obligación de la Parte en cuestión quedará limitada en caso de que la conducta torticera u omisión se base en una negligencia grave, de hasta 200.000€ por Año de Contrato. Las partes mantendrán, o se preocuparán del mantenimiento en su nombre, unos seguros de obligación adecuados durante el transcurso de este Acuerdo.
