Background
(A)The Purchaser and the Seller have on [date] entered into a Share Purchase Agreement (the “SPA”) pursuant to which the Seller has agreed to sell and the Purchaser has agreed to purchase all [the shares of [Company], [reg. no] (the “Company//alt. the property the “Property”). Capitalized terms shall have the same meaning ascribed to them in the SPA, unless otherwise set forth herein.
(B)Pursuant to Clause [ ] of the SPA, part of the Purchase Price (as defined in the SPA) shall be held in escrow by the Escrow Agent as security for the Purchaser’s payments on Closing. Following Closing, the Escrow Amount (as defined below) shall be held as security for any valid claim that the Purchaser may have against the Seller under the SPA for breach of any of the Seller’s warranties in the SPA, and for breach of certain of the Seller’s undertakings and shall be held, disbursed and administrated by the Escrow Agent in accordance with the terms of this Escrow Agreement.
(C)This Escrow Agreement sets out the terms on which the Purchaser and the Seller have agreed to establish certain escrow arrangements with the Escrow Agent as contemplated in the SPA.
Definitions
The following terms, used in this Escrow Agreement, have the following meanings:
“Business Day” means a day on which banks are open for business in Stockholm (excluding Saturdays, Sundays and public holidays);
“Escrow Account” has the meaning given to it in Clause 3.1;
“Escrow Amount” means the amount of SEK [ ] to be paid by the Purchaser to the Escrow Agent in accordance with the SPA;
“Escrow Funds” means the amount from time to time standing to the credit of the Escrow Account in immediately available cleared funds and any interest accrued or accruing on such amount; and

(C)Detta Depositionsavtal anger de villkor enligt vilka Köparen och Säljaren har kommit överens om att upprätta vissa depositionsarrangemang med Depositionsbanken enligt avsikten i Aktieöverlåtelseavtalet.
Definitioner
Följande termer, som används i detta Depositionsavtal, har följande betydelser:
"Bankdag" betyder en dag då bankerna är öppna i Stockholm (utom lördagar, söndagar och helgdagar);
"Depositionskonto" har den betydelse som anges i punkt 3.1;

1.EP ‘461 lacks sufficient disclosure, since it does not contain sufficient information to obtain the magnesium salt of esomeprazole with an optical purity of ≥ 99.8 % enantiomeric excess (e.e.).
2.In the disputed patent’s only example for the preparation of magnesium (-)-omeprazole (Example 1), the process is described as follows. In the first step a stereochemical resolution of the racemic compound is carried out, as described by DE ‘455, by a fractionized crystallization of a diastereomeric derivative and cleavage of the chiral substituent by the addition of sodium hydroxide (EP ‘461, page 5, Example 1, sub C). Then, the resulting sodium salt of (-)-omeprazole is purified by a recrystallization (EP ‘461, page 5, Example 1, sub B), and transmetallated into its magnesium salt (EP ‘461, page 5, Example 1, sub A).
3.The optical rotation value directly reflects the optical purity of a chiral chemical substance. Optical rotation is the property displayed by chiral substances of rotating the plane of polarisation of polarised light. Optical rotation is considered to be positive ( ) for dextrorotatory substance (i.e. those that rotate the plane of polarisation in a clockwise direction) and negative (-) for laevorotatory substances.
4.In the article Von Unge et al., “Stereochemical Assignment of the Enantiomers of Omeprazole from X-Ray Analysis of a Fenchyloxymethyl Derivative of ( )-(R)-Omeprazole”, hereby submitted as Exhibit 16, the following is stated under Ref. 21. with respect to the optical rotation of omeprazole’s sodium salt:
"[...] the R-enantiomer as sodium salt has the following optical rotation: [α]D20= -44.1 (c 0.5, H20) [...]".
5.Part B of the disputed patent’s Example 1 provides ( )-omeprazole sodium (an intermediate product in the synthesis of the magnesium salt of esomeprazole as described in Example 1) having an optical purity of ≥ 99.8 % (e.e.), which was determined by chiral column chromatography. The optical rotation was found to be 42.8 under the same conditions as reported in the Von Unge article (c = 0.5 %, H20). The methods used as described in the disputed patent are in accordance with the expert’s general knowledge and the optical rotation value of 42.8 in Example 1 step B of EP ‘461 for ( )-omeprazole sodium matches quite well with the reported optical purity of 99.8 % (e.e.). | Translation - Swedish

[X], [adress], [org.nr ], (”X”) och Y, [adress], [org.nr], (”Y”) har träffat följande avtal avseende leverans av processgas.
Bakgrund och syfte
Y bedriver i sin anläggning i [ort], produktion av kalk och kalkprodukter. För denna produktion har Y behov av kontinuerlig energiförsörjning. För den framtida energiförsörjningen av sin verksamhet i [ort] har Y för avsikt att övergå från att nyttja naturgas till att istället [helt eller delvis] använda energi framställd genom förgasning av begagnade bildäck.
X har goda erfarenheter inom området förgasning av begagnade bildäck och skall på Y’ industriområde i [ort] uppföra en anläggning för förgasning av begagnade bildäck och från denna anläggning leverera [den] processgas [som erfordras] för Y energiförsörjning. Parterna har därför ingått detta avtal för att reglera X:s uppförande av denna anläggning och villkoren för efterföljande leverans av processgas från X till Y.
Inom ramen för partnernas samarbete enligt detta avtal har även ett arrendeavtal och ett serviceavtal ingåtts.
Definitioner
Följande begrepp skall i detta avtal ha den betydelse som anges nedan.
”Arrendeområdet”
avser av X arrenderat område på Y:s industriområde enligt Bilaga 1.
”Byggfasen”
avser projektering och uppförande av Gasfabriken
”Driftsfasen”
avser leveranser av Processgas från Gasfabriken.
”Driftstart”
avser den tidpunkt då Gasfabriken enligt skriftligt meddelande från Y kan tas i drift för säker och kontinuerlig leverans av Processgas till Y:s anläggning.
”Gasfabriken”
avser den anläggning för förbränning av begagnade bildäck som skall uppföras och hållas i drift på Arrendeområdet.
”Leveranspunkten”
avser den punkt till vilken X skall levererar Processgas enligt Bilaga 2.
”Processgas”
avser processgas enligt processgas-specifikation i Bilaga 3.
X:s leveransåtagande
X [åtar sig/beräknar] att under Driftsfasen till Y kontinuerligt kunna leverera [XX] MW Processgas per [period].
Om inte X förmår att leverera avtalad mängd Processgas åligger det X att utan extra kostnad för Y istället leverera motsvarande [energimängd] naturgas.
X har rätt att avbryta eller minska leveranserna av Processgas för planerat underhåll enligt punkt 12.
Ys inköp
Y har rätt, men inte skyldighet, att från X inköpa all Processgas producerad i Gasfabriken. Y lämnar månadsvis en icke bindande prognos för sina inköp de kommande tre månaderna.

Background and purpose
Y is engaged in the production of lime and lime products in its plant in [place]. For this production Y has the need for continuous energy supply. For the future energy supply of its enterprise in [place] Y intends to change from the utilization of natural gas [wholly or partly] and instead use the energy produced by the gasification of used tires.
X has good experience in the field of used tire gasification and shall in Y's industrial area in [place] construct a plant for the gasification of used tires and from that plant deliver [the] Process Gas [required] for Y's energy supply. The parties have therefore entered into this Agreement to govern X's construction of this plant and the conditions for the subsequent delivery of Process Gas from X to Y.
Within the scope for the parties' cooperation under this Agreement a Plant Lease Agreement and a Service Agreement have also been entered into.
Definitions
In this Agreement the following terms shall have the meanings set out below.
"Construction Phase"
means the projecting and construction of the Gas Plant.
"Delivery Point"
means the point to which X is delivering Process Gas according to Appendix 2.
"Gas Plant"
means the plant for the incineration of used tires to be erected and kept in operation in the Lease Area.
"Lease Area"
means by X leased area at Y's industrial area according to Appendix 1.
"Operational Phase"
means the deliveries of Process Gas from the Gas Plant.
"Process Gas"
means the Process Gas according to the Process Gas specification in Appendix 3.
"Start of Operation"
means the time when the Gas Plant according to a written message from Y can be operational for safe and continuous delivery of Process Gas to Y's plant.
X's delivery commitment
X [commits/calculates to] during the Operational Phase to Y continuously be able to deliver [XX] MW Process Gas per [time period].
If X is not able to deliver the agreed volume of Process Gas, X is obliged to, with no additional cost to Y instead deliver the corresponding [amount of energy] natural gas.
X has the right to interrupt or reduce deliveries of Process Gas for planned maintenance in accordance with clause 12.
Y's purchase
Y has the right, but not the obligation, to purchase from X all the Process Gas produced at the Gas Plant. Y provides a monthly non-binding forecast of its purchases over the next three months.
In the event Y due to [wholly or partly] arrest in the business or by other reason is unable to purchase the amount of Process Gas which X has committed to deliver according to clause 3.1, X has the right to delivery 90 percent of this amount to another party. |
