Jurisdiction venue and seat
Arbitration is subject to different laws: The law governing the arbitration agreement in the contract; the law governing the arbitral tribunal and its proceedings (the procedural law); the law governing the substance of the dispute and the law governing recognition and enforcement of the award.
The arbitration agreement is governed by the law which governs the main contract, in other words, the law of Turkey. The law of Turkey is also the substantive law governing the contract and hence the dispute between the parties.
The seat of the arbitration is the geographical and legal jurisdiction to which the arbitration is tied. The seat will normally determine the procedural rules which the arbitration follows. The courts which exercise jurisdiction over the seat will have a supervisory role over the conduct of the arbitration. The essential matters of procedure such as any disagreement over the appointment or replacement of arbitrators or the jurisdiction of the Tribunal are determined by the procedural law of the seat of arbitration. The seat is an issue about which there is likely to be dispute between the parties on the basis that the JV has requested a seat other than any of Turkey, France or Japan. We feel it is likely the JV may be aiming for the seat to be located in London. We could resist such moves on the basis that none of the parties are English and it would only be for the lawyers' convenience that the seat be so located. We feel it likely that it would be in the Ministry's best interests for the seat to be Turkey. Arguments can be made in this regard on the basis that the Project is of national importance to the Turkish people and is located in Turkey and also because two of the parties to the proceedings are based in Turkey.
The law governing the enforcement of any decision of an arbitral Tribunal will be the law of the state where recognition of the award is sought. From the Ministry's perspective this would be Japan, France and Turkey. We comment elsewhere in this document on issues of enforcement and how we would look to use our international network of Preferred Firms to assist in that regard. | Translation - Turkish

Ortak Teşebbüsün makamın Türkiye, Fransa ya da Japonya haricinde bir yerde olmasını talep etmiş olduğunu dikkate alırsak, makam konusu taraflar arasında ihtilafa sebep olabilir. Ortak Teşebbüsün makamın Londra'da olmasını isteyeceğini tahmin ediyoruz. Tarafların ikisi de İngiliz olmadığından ve makamın bu şekilde belirlenmesi sadece avukatlar açısından uygun olacağından, bu gibi bir duruma karşı çıkabiliriz. Makamın Türkiye'de olmasının Bakanlığın çıkarına uygun olacağını düşünüyoruz.
