The main activity of the Agent is to act as an introducer and/or advisor for the account of third parties, and recommend the broker to some of his clients when suitable. The present agreement governs the relationship between the broker and the Agent in all matters concerning introduction and responsibility of any investment advisory activities (whether under a discretionary or non discretionary framework as the case may be) of the Agent in relation to accounts opened by clients of the Agent with the broker.
1. The Agent professionally looks after the securities and the other financial assets of third parties (the clients) within guidelines set up under the brokers’ standard management mandate in favour of third parties agreements, defining these responsibilities and such agreements being signed between the clients and the Agent. The role of the Agent will be specifically detailed by each client in such management mandate and available for each account.
2. The Agent has an interest in using the broker as a depositary and custodian for the client. The broker is prepared to provide services to the Agent and to his clients’ opening accounts with the broker.
3. The broker will open a separate account and relationship with each client introduced by the Agent. All such client relationships will be subject to the relevant legal provisions of the supervisory authorities, which the broker is required to observe in the context of client relationships (for instance: identification, Due Diligence, etc…). As such, the Agent undertakes to strictly observe the rules of conduct contained in the Swiss Bankers Association’s Agreement on the Swiss Banks’ Code of Conduct with regard to the exercise of due diligence (C.D.B). Within the scope of his activities, the Agent will be subject to the regulations concerning the Swiss Banking Secrecy, during the period of the contractual relationship with the broker and beyond without any limitation whatsoever.
4. The Agent shall abstain from any act, which would constitute active assistance for tax fraud or illegal transfer of capital. The Agent hereby certifies to continuously be respectful of and to comply with the national regulatory law of the Agents’ country of location as per to his activity.
5. The Agent shall have no authority to act or purport to act as an employee, representative, executive or officer of the broker and/or sign or otherwise incur any liabilities of any sort on behalf of the broker.
6. The starting date of this agreement will be immediate upon the signature by the two parties and is concluded for an indefinite period of time from the starting date. Either party may terminate it with one month written notice.
7. The remuneration of the Agent will be directly related to the activities of the accounts held by the clients on the books of the broker and introduced by the Agent. The first commission rebate payment will be made as soon as the commission amount owed has reached a minimum of USD 2500. The remuneration will be equivalent to:

Acentenin başlıca faaliyeti üçüncü şahıslar hesabına tanıştırıcı ve/veya danışman olarak hareket ederek brokeri uygun olduğunda müşterilerinden bazılarına tavsiye etmektir. Mevcut anlaşma broker ve Acente arasındaki tanıştırma ve Acente’nin Acente’nin müşterileri tarafından broker’de açılan hesaplarla ilgili olarak tüm yatırım danışmanlık faaliyetlerinin sorumluluğu (duruma göre takdir yetkisi kendinde olarak veya olmayarak) ile alakalı tüm konuları içermektedir.
1. Acente menkul kıymetler ve üçüncü kişilerin (müşteriler) diğer finansal varlıklarıyla profesyonel olarak ve bu sorumlulukları belirleyen üçüncü kişi anlaşmaları lehine broker standart yönetim yetki mektubu dâhilinde belirlenen yönergeler ve müşteriler ve Acente arasında imzalanan anlaşmalar kapsamında ilgilenmektedir. Acentenin görevi bu yönetim yetki belgesindeki her bir müşteri tarafından her hesap için spesifik olarak ayrıntılı biçimde belirtilecektir.
2. Acentenin broker’i müşteri için emanetçi ve koruyucu olarak kullanmada çıkarı bulunmaktadır. Broker, Acente ve müşterilerine broker’de hesap açmaları konusunda hizmet sağlamaya hazırdır.
3. Broker Acente tarafından tanıştırılan her bir müşteri için ayrı bir hesap ve ilişki oluşturacaktır. Tüm bu müşteri ilişkileri denetim kurumlarının broker’in müşteri ilişkileri (örneğin: kimlik tespiti, Özen Borcu, vb…) bağlamında uyması gereken ilgili yasal hükümlerine tabi olacaktır. Aynı şekilde Acente özen borcunun ifası (C.D.B) ile ilgili olarak İsviçre Bankerler Birliği’nin İsviçre Bankaları Çalışma Şartları ile ilgili Anlaşmasındaki çalışma şartlarına harfiyen uymayı taahhüt etmiştir. Faaliyetleri kapsamında, broker ile sözleşmeye dayalı ilişki süresince ve her ne şekilde olursa olsun her türlü kısıtlamanın ötesinde Acente İsviçre Bankacılık Gizlilik Kuralları ile ilgili yönetmeliklere tabi olacaktır.
4. Acente vergi kaçakçılığı veya yasadışı sermaye transferine faal yardım teşkil edebilecek her türlü işlemden kaçınacaktır. Acente işbu anlaşma ile Acentelerin faaliyetlerine göre bulundukları ülkede geçerli ulusal düzenleme ve yasalara sürekli olarak saygılı olmayı ve bu yönetmelik ve yasalara sürekli olarak uyacağını teyit etmiştir.
5. Acentenin brokerin bir çalışanı, temsilcisi, yöneticisi veya memuru sıfatıyla hareket etme veya hareket eder gibi görünmeye ve/veya broker adına imza atmaya veya başka türlü herhangi bir sorumluluk almaya yetkisi olmayacaktır.
6. İşbu anlaşmanın başlangıç tarihi taraflarca imzalanmasından hemen sonra olacak olup işbu anlaşma başlangıç tarihinden itibaren süresiz olarak akdedilmiştir. Taraflar işbu anlaşmayı bir ay öncesinden yazılı bildirimde bulunarak feshedebilirler.
7. Acentenin ücreti Acente tarafından tanıştırılan müşteriler tarafından brokerin defterlerinde tutulan hesap faaliyetleri ile doğrudan ilişkili olacaktır. İlk komisyon indirim ödemesi borçlu olunan komisyon tutarı minimum 2500 Amerikan Dolarına ulaşır ulaşmaz yapılacaktır. Ücret aşağıdakilere eşdeğer olacaktır:
