op xxx tweeduizendacht, 's-ochtends om 10.00 uur, niet in persoon maar vertegenwoordigd door een advocaat, te verschijnen ter openbare terechtzitting van de rechtbank Amsterdam, Sector Civiel, alsdan aldaar gehouden wordende in een der zalen in het gerechtsgebouw aan Parnassusweg 220 te Amsterdam;
MET AANZEGGING:
dat indien gedaagde voornoemd op voormelde openbare zitting niet verschijnt, de rechter de vorderingen bij verstek zal toewijzen indien alle formaliteiten in acht zijn genomen en de rechter de vorderingen voorshands niet ongegrond voorkomen;
TENEINDE:
als gedaagde mijn requiranten voornoemd als eisers het volgende te horen eisen en concluderen:
1. Gedaagde is houdstermaatschappij van vennootschappen (alle: de XXX groep) de ondernemingen van welke actief zijn in ontwikkeling, produktie en service voor proces- en verpakkingmachines voor de voedingswarenindustrie, met name inzake vleessnacks.
Eisers zijn voormalig management functionarissen van de XXX groep en hebben op of omstreeks juni 2004 op basis van de ten tijde van hun dienstverband met gedaagde door gedaagde- als emolument in hun arbeidsvoorwaarden - certificaten van aandelen in gedaagde verkregen:
1. AAA 997 certificaten
2. BBB 319 certificaten
3. CCC 153 certificaten
Als Produkties la. t/m 1c, worden in het geding gebracht de respectievelijke "Management incentive share plan offer letters" waarin de toekenning van de gerechtigdheid tot verkrijgen van certificaten is vastgelegd en als Produktie 2. de
"Stockholders Agreement" waarin enige afspraken omtrent het certificaathouderschap zijn vastgelegd. Middels de "offer letters" zijn ook eisers sub 2. en 3. tot de Stockholders Agreement toegetreden.
Als Produktie 3. wordt in het geding gebracht de administratievoorwaarden betref¬fende de certificaten (deze zijn alleen in de Engelse taal opgemaakt); eisers kwalifi¬ceren allen als "Good Leaver” als bedoeld in artikel 6.1.6 en verder van de admini¬stratievoorwaarden.
Deze regelingen zijn in 2004 opgezet bij overname van de XXX groep door YYY Investors LLC (een rechtspersoon naar het recht van Delaware, V.S., gevestigd te xxx, V.S., deze en haar groepsmaatschappijen verder ook te noemen: "YYY”). YYY is een capital venture I private equity investeringsmaatschappij / groep en (aldus) zijn in de regelingen geschreven tegen de achtergrond van het beleid dat de investering in de XXX groep op termijn weer te gelde wordt gemaakt door óf een beursgang óf een verkoop aan een strategische koper of andere marktpartij (een "Exit"). Zo voorzien de regelingen betreffende de certificaten in een vaststelling van de waarde van de certificaten voor de houder - lees: vaststelling van hetgeen aan deze zal toekomen bij een Exit - per de uitdiensttreding van deze. De gedachte daarachter is dat de vertrek¬kende functionaris (mits deze "Good Leaver" is) wordt beloond naar gelang de verondersteld naar aanleiding van de management inspanningen ontwikkelde waarde van de XXX groep per vertrek van de functionaris.
Gedaagde kende statutair alleen gewone aandelen, maar aan YYY zijn ook uitgegeven zgn. "PEC's", zijnde cumulatief preferente winstbewijzen; deze PEC's geven recht op uitdeling van de rentevergoeding én van het op de PEC's gestorte nominale bedrag bij voorrang op de gewone aandelen. Bij uitdeling / bij Exit wordt eerst de gecumu¬leerde 9,6 % rentevergoeding op de PEC's en de op de PEC's gestorte investering aan YYY uitgekeerd; daarna zijn de gewone aandelen tot uitkering gerechtigd.
De "rangorde" was derhalve de volgende:
- PEC's cum. rente ad 9,6 % en gestorte bedrag heeft voorrang
- gewone aandelen
2. Met toezending van beperkte documentatie zijn eisers op 16 juli 2008 in kennis gesteld van het voornemen van gedaagde om een herkapitalisatie uit te voeren (onder de naam "Project Recap"), Eisers zijn uitsluitend in de gelegenheid gesteld om daar¬over te spreken met bestuurders van de Stichting XXX Holdings Management (de "Stichting"), de houdster van de aandelen in gedaagde van welke eisers de certificaten houden, en wel op 18 juli 2008 (was in traject ingepland) en op 8 september 2008 (niet gepland maar een week voordien belegd). Aan eisers is beperkte informatie gegeven. Naar eisers lijken te moeten begrijpen, is het volgende aan de hand.
Gedaagde en, naar eisers begrijpen; haar groot-aandeelhoudster YYY zouden vanwege het door de XXX groep niet meer voldoen aan minimale solvabiliteitscriteria onder het bancaire krediet - door slechte bedrijfsresultaten in, met name, eind 2007/ begin 2008 - jegens de kredietverstrekkers gehouden zijn om € 17.000.000 extra eigen vermogen in de XXX groep te steken omdat anders de kredietverstrekkers hun voor dit geval van tekortkoming onder het krediet toekomende (uitwinnings)rechten zullen kunnen uitoefenen. YYY heeft besloten de voormelde € 17.000.000 extra eigen vermogen te fourneren.
Als Produktie 4. wordt in het geding gebracht de aan eisers verstrekte weergave van de door directie en raad van commissarissen van gedaagde voorgestane - en door de Stichting aan eisers gepresenteerde - structurering van Project Recap (deze zijn alleen in de Engelse taal opgemaakt) inclusief het tijdspad van implementatie. In het kort:
YYY zal extra eigen vermogen investeren middels nieuw gecreëerde B aandelen en daaraan gekoppelde “NPEC's” (=nieuwe PEC's) en nieuw gecreëerde C aandelen. De B aandelen zullen worden uitgegeven met voor elk B aandeel één NPEC, dit tezamen genoemd: een "Unit"; een Unit wordt uitgegeven voor € 1.000,01 en de uitkeringsgerechtigdheid op een Unit is als volgt: op het B aandeel: in/na 2 jaar:
€ 1.000, daarna elke zes maanden € 250 (met maximum ad € 5.000); op de NPEC: 9,6% cumulatieve rentevergoeding op de gestorte € 1.000. Dit álles met voorrang op de bestaande gewone aandelen!
De C aandelen geven recht op een cumulatief preferente rentevergoeding ad 9,6% op het gestorte bedrag, met per zes maanden "rente op rente".
De "rangorde" van de stukken na Project Recap is de volgende:
- NPEC's nieuwe PEC's: cum. rente 9,6 % voorrang
- EPEC’s (= de oude PEC's): cum. rente ad 9,6 % vanaf Project Recap en het oorspronkelijk gestorte bedrag voorrang
-B aandelen € 1.000 + 8x € 250 als terugbetaling op gestorte bedrag voorrang
- C aandelen de 9,6% cumulatieve rentevergoeding (rente op rente iedere zes maanden) voorrang (het gestorte bedrag is pari passu met de gewone aandelen (nu: A aandelen); YYY kan te allen tijde
besluiten dat ook op het gestorte bedrag uitdeling plaatsvindt.)
- EPEC's de cum. rente ad 9,6% vanaf 2004: tot Project Recap voorrang
- A aandelen (=bestaande gewone aandelen; in Prod. 4: "Common Stock")
Alle nieuwe stukken zullen dus preferent zijn boven de gewone aandelen (nu: A aandelen), zowel v.w.b. rentevergoedingen er op als v.w.b. het gestorte bedrag er op! Enige uitzondering is het gestorte bedrag op de C aandelen (á € 0,01), maar is te verwaarlozen totaalbedrag.
Eisers hebben uit het handelsregister opgevraagd de klaarblijkelijk inmiddels op 19 september 2008 gewijzigde statuten van gedaagde (Produktie 5.). Gelezen deze nieuwe statuten, zijn de gewone aandelen (waren á € 10) geconverteerd in aandelen A (elk voor 10 aandelen A á € I) en zijn er reeds B aandelen, NPEC' s en C aandelen geplaatst.
3. Eisers hebben te gedogen dat nieuw kapitaal wordt uitgegeven en dat - indien dezen niet gebruik maken van voorkeursrechten - het door de Stichting/eisers gehouden belang in het kapitaal van gedaagde "verwatert". (Het geplaatste kapitaal in gedaagde bestond uit 83.130 gewone aandelen (nominaal à € 10; de Stichting houdt 12% van dat kapitaal; bij maximale uitoefening van de aan de Stichting verleende voorkeursrechten zou Project Recap betekenen dat het belang van de Stichting -en daarmede het belang van de certificaathouders- verwatert naar 8%; bij niet-uitoefenen van voorkeursrechten zal het belang verwateren tot een nog lager percentage.)
Echter, twee aspecten in de voorgestane structurering zijn voorshands onaanvaardbaar:
(i) de achterstelling van de gewone aandelen (A aandelen) t.o.v, de nieuwe stukken voor een zeer groot totaalbedrag, en
(ii) de wel zeer grote uitkering op B aandelen (zie hierboven: tegenover € 1.000,01 per Unit: € 1.000 na 2 jaar en daarna per zes maanden € 250; én ook daarop worden de gewone aandelen achtergesteld)
Zie artikel 28 van de nieuwe statuten van gedaagde. De artikelen 28.3 en 28.5 van de statuten betekenen effectief dat YYY als groot-aandeelhoudster absolute zeggenschap zal hebben omtrent álle uitdeling (en, nogmaals, YYY zelf zal verregaande voorrang genieten bij uitdelingen, gegeven de voorrang van de aan YYY uit te geven stukken.)
Dit behelst een zeer verslechterde positie voor de certificaathouders, waaronder eisers, in vergelijking tot vóór Project Recap; zie laatste alinea paragraaf 1. hierboven.
In Produktie 4. is inzichtelijk gemaakt dat door het in Project Recap inbouwen van de achterstellingen en van het zeer grote rendement op de B aandelen eerst enig zicht op een uitdeling op gewone aandelen aan de Stichting, dus aan eisers, zal beginnen te bestaan bij een Exit niet eerder dan in 2011 (en alsdan met veronderstelling dat de XXX groep verkocht / op beurs geplaatst kan worden voor een waarde ad 7,5 maal EBITDA en dat de EBITDA zich zal ontwikkelen als geprojecteerd; zie in Produktie 4). Dát is voor eisers een zéér verslechterde positie.
4. Eisers houden certificaten van gewone aandelen (thans: A aandelen) dus worden door de ingebouwde achterstellingen en de hoge uitkering op de B aandelen rechtstreeks in hun belangen getroffen. Vast staat dat de achterstelling van de bestaande aandelen (thans: aandelen A) t.o.v. de nieuwe stukken en het creëren van zeer hoog renderende stukken (zoals de B aandelen) niet door de kredietgevers werd of wordt geëist (zie in Produktie 4.), dus deze twee aspecten zijn onderdeel gemaakt van Project Recap op instigatie van YYY I managers zélf. Het inbrengen dat deze twee aspecten is uiteraard (geweest) op instigatie van deze voorziene nemers van de nieuwe stukken: YYY neemt vrnl. B aandelen/NPEC's en de huidige management functionarissen in de XXX groep (en toekomstig management) nemen/worden gerechtigd tot B aandelen/NPEC’s en C aandelen).
Het was en is aan de groot-aandeelhoudster of deze (i) gedaagde zou doen failleren dan wel de kredietverstrekkers e.e.a. zouden laten "overnemen" óf (ii) een min of meer gedwongen verkoop van de XXX groep aan derden te effectueren of (iii) zelf gedaagde van extra kapitaal te voorzien. Gegeven het voorgestane Project Recap heeft groot¬aandeelhoudster YYY voor het laatste gekozen en het strekt ten voordele van haar zelf en van "haar" management functionarissen om de nieuwe stukken "senior" te maken en zeer hoog renderende stukken te creëren.
Gegeven de grote belangen van de groot-aandeelhoudster bij de XXX groep had de groot-aandeelhouder reeds besloten te gaan herkapitaliseren en de nieuwe stukken te gaan nemen (anders was Project Recap al helemaal niet opgezet; ieder aandeelhoudersbesluit tot uitgifte behoeft immers in ieder geval de stem van de groot-aandeelhouder); verondersteld mag worden dat eisers niet nieuwe
stukken zouden nemen (als "gepensioneerden" en zonder nog betrokkenheid bij de XXX groep, mag er van uitgegaan worden dat er slechts een kleine kans was dat eisers zouden "meegaan" en ook extra zouden investeren). Feitelijk is die vooraf te maken veronderstelling ook uitgekomen: op het voorkeursrecht op de 12% van het via de Stichting gehouden kapitaal waren 2.040 B aandelen/ NPEC's ("Units") beschikbaar om door certificaathouders te worden genomen; echter, er zijn er slechts 46 genomen, zijnde door één of twee certificaat¬houders. De reeds vooraf te maken veronderstelling was ook gewoon YYY's veronderstelling omdat YYY zich had verbonden om de € 17.000.000 zelf vol te maken indien op de voorkeursrechten niet tot de volle € 17.000.000 zou worden gestort door anderen; op € 46.000,64 na (46 B aandelen / NPEC's - ¬Units - á € 1.000,01) zal YYY dus de volle € 17.000.000 zelf investeren.
Eisers willen aanvaarden dat een herkapitalisatie geboden is, maar onaanvaardbaar is dat er de twee voormelde aspecten aan verbonden wordt. Op eisers' vragen daarnaar is aan hen niet uitgelegd, toegelicht, onderbouwd, aannemelijk gemaakt, etc. dat het noodzakelijk, geïndiceerd, benodigd, etc. is voor het tot stand brengen, slagen, etc. van de herkapitalisatie dat voormelde aspecten (achterstelling van de bestaande aandelen op de nieuw uit te geven stukken en zeer hoog renderende stukken creëren) onderdeel moeten zijn van Project Recap.
Gegeven het vorenstaande, stellen eisen dat de diverse besluiten van organen van gedaagde, voorzover het inhoudt het inbouwen van voormelde achterstelling en het creëren van de zeer hoog renderende B aandelen, in strijd is met de door artikel 2:8 BW geëiste redelijkheid en billijkheid en aldus vernietigbaar is.
Eisers vorderen hierbij de vernietiging van de besluiten voorzover het betreft het in¬bouwen van voormelde achterstelling en het creëren van de zeer hoog renderende B aandelen. Als belanghebbenden in de zin van artikel 2: 15 BW zijn eisers gerechtigd tot het instellen van een vordering tot vernietiging.
Niet alleen naar de inhoud van de twee bestreden aspecten in de besluiten maar ook beoordeeld naar de tekortschietende informatieverschaffing ten behoeve van de certificaathouders achten eisers de besluiten in strijd met de redelijkheid en billijkheid.
5. De achterstelling op een redelijke rentevergoeding vs. op het gestorte bedrag en een zeer hoge gerechtigdheid:
Dat een redelijke rentevergoeding op nieuw uit te geven stukken (cumulatief) preferent worden gemaakt op de bestaande gewone aandelen zou nog te billijken zijn, maar niet ook de gestorte bedragen zelf op de nieuwe stukken en niet is te billijken de wel zeer hoge gerechtigdheid op de B aandelen.
De achterstelling op nieuwe stukken bestemd voor management:
Ook de in Project Recap voorziene uitgifte aan het zittende management en reserve¬ring voor toekomstig management van met name C aandelen (en ook de zeer hoog renderende B aandelen met NPEC's) met een achterstelling van de gewone aandelen op deze stukken zou de toets van de redelijkheid en billijkheid van artikel Z: 8 BW niet kunnen doorstaan, tenzij gedaagde zou kunnen "hard maken" de hiermede beoogde "incentive" voor het management monder de gegeven omstandigheden noodzakelijk, etc. moe(s)t worden geacht. Echter, aan eisers is dit tot op heden niet "hard gemaakt". Voorts, bestond reeds een "Management Incentive Share Plan" (krachtens welke ook eisers certificaten hebben verkregen) en nog lang niet alle certificaten van de 12% gewone aandelen welke de Stichting hield waren/zijn uitgegeven. Er was/is derhalve geen reden (aangetoond) waarom management niet conform de bestaande "incentive" regeling via dezelfde Stichting certificaten zou kunnen toekomen.
En: ook het zittend management heeft verkregen / zal verkrijgen de nieuwe stukken terwijl het "onder" datzelfde management is geweest dat de financiële positie van de XXX groep klaarblijkelijk zo dramatisch was/is verslechterd. Voor een oordeel of de twee bestreden aspecten in Project Recap de toets van de redelijkheid en billijkheid kunnen doorstaan zal derhalve de toekenning van nieuwe stukken aan zittend management moeten worden onderscheiden van de toekenning aan nieuw/toekomstig management.
De achterstelling op nieuwe stukken bestemd voor YYY:
Voorzover het de door(!) YYY ten behoeve van haar zelf ingebouwde achterstelling betreft en een aan YYY toekomend zeer hoog rendement op B aandelen - derhalve: voorzover het stukken betreffen waarmede YYY zich zelf heeft bevoordeeld / zal bevoordelen - moeten de twee bestreden aspecten voorshands in strijd worden geacht met de in artikel 2: 8 BW geëiste redelijkheid en billijkheid. Immers, eerstens heeft YYY voor haar zelf de keuze gemaakt om meer kapitaal in de XXX groep te investeren (i.p. v. keuze voor faillietverklaring of gedwongen verkoop); vervolgens heeft YYY in
de uitvoering van haar herkapitalisatie deze voordelen voor haar ingebouwd. Dié tweede stap is in strijd met de redelijkheid en billijkheid; immers, ook zonder het inbouwen van die voordelen had YYY de keuze voor herkapitalisatie gemaakt, althans ook zonder het inbouwen van de achterstelling had er succesvol geherkapitaliseerd kunnen worden. Niet kan beargumenteerd worden dat YYY als "beloning" voor de keuze tot herkapitalisatie deze voordelen voor haar mocht inbouwen.
YYY's keuze voor herkapitalisatie was eerstens in YYY's eigen belang; immers, YYY heeft op haar grote investering in de XXX groep niet willen afschrijven en heeft dáárom gekozen om te herkapitaliseren; dié keuze aldus eenmaal gemaakt hebbend, vermag YYY vervolgens niet de twee bestreden aspecten als bevoordeling voor haar in te bouwen.
Ook vermag YYY niet te beargumenteren dat álle aandeelhouders/certificaathouders gelijkelijk van de aan de nieuwe stukken verbonden voordelen gebruik konden maken gegeven het feit dat anderen; op hun voorkeursrechten, pro rata konden mee investe¬ren. Zie waarom die beargumentering niet vermag te worden gehonoreerd hierboven in paragraaf 4.: de uiteenzetting in de naar rechts inspringende tekst.
Ook vermag niet beargumenteerd te worden dat in geval er niet eigen vermogen maar vreemd vermogen zou zijn geïnvesteerd de gewone aandelen ook effectief achterge¬steld zouden zijn op de nieuwe investering. Immers. het sinds 2004 bestaande krediet aan de XXX groep, de contouren waarvan eisers als management functionarissen kenden, eist in de gegeven situatie storting van extra eigen vermogen en niet vreemd vermogen. Voorts waren destijds de certificaten aan eisers toegekend terwijl het beloop van het vreemd vermogen aan dezen bekend was en terwijl het YYY's / gedaagde's beleid was om niet méér vreemd vermogen aan te trekken. Voorts zou de "vertaling" van de B aandelen naar vreemd vermogen betekenen dat een astronomisch hoge rente zou worden betaald: een vergoeding ad € 1.000 in 2 jaar en daarna 8x € 250 elke zes maanden zou mathematisch een wel zeer hoge rente betekenen.
Eisers hebben van de Stichting begrepen dat ter aandeelhoudersvergadering van gedaagde is gemeld dat Project Recap wat YYY betreft "één pakket" betrof, derhalve wenste YYY niet enig onderdeel te heroverwegen.
6. Eisers stellen voorts ook de volgende gronden voor vernietiging van de besluiten, voorzover het aspect van de achterstelling betreffend, welke gronden elk voor zich en
indien cumulatief beschouwd met elkaar en met de primaire grond als aangeven in paragraaf 4 hierboven als voldoende grond te beschouwen zijn voor vernietiging van de besluiten voorzover het de twee bestreden aspecten betreft.
a. Het in strijd handelen met contractuele afspraken kwalificeert ook als strijd met de redelijkheid en billijkheid als bedoeld in artikel 2: 8 BW. De achterstellling en het hoge rendement op nieuwe stukken zoals op de B aandelen is in strijd met het bepaalde in artikel 6 ("Anti-dilution Rights") van de Stockholders Agreement (produktie 2.). Immers, bij totstand komen van en tekenen / toetreden door eisers van/tot dit contract was besproken en bedoeld dat deze clausule strekte tot bescherming van de certificaathouders tegen verwatering bij uitgifte van nieuwe stukken, de meest vérstrekkende stukken zijnde "PEC's': waarmede werd bedoeld: de preferente winstbewijzen zoals destijds aan YYY werden genomen. Meest vérstrekkend zou derhalve zijn dat de certificaten konden worden achtergesteld bij de rentevergoeding welke op preferente stukken bij voorrang zou kunnen worden uitgekeerd. Bij preferente winstbewijzen/aandelen is bestendige praktijk dat een rentevergoeding als een percentage van de investering op de preferente stukken bij voorrang wordt uitgekeerd. Bij opzetten van de structuur door YYY in juni 2004 was bekend dat YYY PEC's zou nemen waarbij ook het daarop gestorte bedrag voorrang zou hebben en dat derhalve tót het alstoen geïnvesteerde totaalbedrag er sprake zou zijn van een voorrang. Thans worden de certificaten echter achtergesteld op nog véél meer: het totaalbedrag waarop de gewone aandelen / de certificaten worden achtergesteld wordt zéér verhoogd: het gehele bedrag waarmede op de B aandelen en NPEC's wordt gestort en de rentevergoeding op de NPEC's en op de C aandelen worden thans ook bevoorrecht op de gewone aandelen.
Én: ook bevoorrecht wordt een zeer groot totaalbedrag: € 1.000 plus 8 x € 250 per B aandeel als rendement op de B aandelen.
Naar de uitleg van artikel 6 van de Stockholders Agreement, zoals te begrijpen in de situatie welke in juni 2004 bestond en zoals eisers deze mochten begrij¬pen, is de thans voorgestane achterstelling derhalve in strijd met de aan de eisers toekomende contractuele rechten. De teksten van de Stockholders Agreement zijn die van gedaagde I YYY; onduidelijkheden zouden ten nadele van deze moeten komen ("contra proferentem").
Mocht, strikt op de tekst van artikel 6 van de Stockholders Agreement, geoor-
deeld worden dat de uitgifte van de B aandelen, de NPEC' s en de C aandelen met de voorrang en met het zeer hoge rendement op de B aandelen wél con¬tractueel zijn toegestaan (en ook- dan wel: alleen - voorzover het stukken aan management betreffen ter "incentive"; zie in paragraaf 11 hieronder), dan wijzen eisers er op dat eisers zéker niet hebben behoeven te verwachten dat een zo enorme verslechterde positie zoals thans Project Recap teweeg brengt mogelijk en toegestaan zou zijn. De toekenning van certificaten aan eisers was in 2004 als "incentive" gepresenteerd als iets dat "waardevol" was (en tot op zekere hoogte ook waardevast) en dié presentatie wordt thans met voeten getreden.
Voorts zijn de twee bestreden aspecten in Project Recap in strijd met de gedachte welke aan de in paragraaf 1. besproken regelingen ten grondslag hebben gelegen: met vaststelling van de waarde van de certificaten voor de houder bij uitdiensttreding vertegenwoordigen de certificaten van die ex¬manager de ontwikkeling van de waarde van de XXX groep "onder" diens management. Daaraan wordt nu in grote mate losgelaten door het inbouwen van de twee bestreden aspecten, althans de enorme verhoging van het totaal¬bedrag waarop de gewone aandelen achtergesteld zullen zijn: de ex-manager moet nu veel meer "lijden" door de thans - dus ná diens vertrek - klaarblijkelijk verslechterde financiële positie / waarde van de XXX groep. Dié verslechterde financiële positie / waarde is totstand gekomen onder ander management dan eisers.
b. Er is strijd met artikel 2: 15 lid 1 a omdat op de aandeelhoudersvergadering van gedaagde voor de aandelen - de certificaten waarvan eisers certificaten houden - is opgetreden door de bestuurders, althans een bestuurder van de Stichting, terwijl deze(n) niet bevoegd waren de Stichting terzake te vertegen¬woordigen door tegenstrijdig belang. De bestuurders van de Stichting: AAA, BBB en CCC, zijn allen management functionarissen in de XXX groep en zijn/worden (krachtens Project Recap) gerechtigd tot verkrijgen van Baandelen, NPEC's en/of C aandelen.
Het belang van de Stichting is gelegen in de waarde / de positie van de door de Stichting gehouden bestaande gewone aandelen in gedaagde (en aldus behoort ook de belangenbehartiging voor de certificaathouders daarop gericht te zijn); er is sprake van een direct tegenstrijdig belang, nu dat de bestuurders gerech-
tigd worden tot nieuwe stukken waarop de bestaande aandelen, waarbij de certificaathouders belang hebben, achtergesteld zullen zijn.
Artikel 10 lid 2 van de statuten van de Stichting (Produktie 6.: de statuten van de Stichting) bepalen de onbevoegdheid bij tegenstrijdig belang. (In casu betreft het geen gelegenheid welke alle certificaathouders gelijkelijk aangaat als bedoeld in artikel 10 lid 2 statuten, omdat er ook certificaathouders bestaan waaraan / aan wiens certificaten andere rechten en verplichtingen verbonden zijn dan aan eisers (als "good leavers").
Toch zijn de bestuurders/is een bestuurder namens de Stichting opgetreden terzake van Project Recap bij aandeelhoudersvergaderingen van gedaagde. Inzake Project Recap is de positie van de bestuurders (gerechtigd tot de nieuwe stukken) gewoonweg strijdig met hun taak en zorgplicht om de belangen van de certificaathouders te behartigen, wat er ook van wettelijke of statutaire bepa¬lingen betreffende tegenstrijdige belangen zij. Markant aspect terzake is dat de bestuursleden, althans een of twee van de drie, van de Stichting in hun hoeda-nigheid van functionarissen in de XXX groep mede Project Recap zullen hebben ontwikkeld en van alle details terzake op de hoogte zullen zijn maar dat de bestuurders van de Stichting weinig informatie geven aan de certificaathou¬ders. De stichtingbestuurders, althans een of twee van de drie, zullen kennis hebben van ZZZ's (rapport en) opinie, zie hieronder - maar de bestuur¬ders delen hierover niets mede aan eisers, althans niet over de behandeling in dat rapport en opinie van hét hekele punt van de achterstelling.
De Stichting hield 12% van het aandelenkapitaal in gedaagde. Voor de stem¬verhouding ter accordering van Project Recap is de stem van de Stichting wellicht van geen betekenis op de uitslag van enige stemmingen - mits uiteraard de groot-aandeelhouder ter vergadering aanwezig is - maar bij vertegenwoordiging van de Stichting door anderen had een door de Stichting geëntameerd enquêteverzoek kunnen worden overwogen en hadden er in aandeelhoudersvergaderingen van gedaagde tenminste kritische vragen kunnen worden gesteld. (De huidige bestuurders van de Stichting hebben eisers mede¬gedeeld dat in aandeelhoudersvergadering van gedaagde door de Stichting niet kritische opmerkingen zijn gemaakt / vragen zijn gesteld specifiek betreffende de twee bestreden aspecten. De stichtingsbestuurders hebben jegens eisers volstaan met door te geven dat YYY ter aandeelhoudersvergadering heeft
aangegeven dat Project Recap voor YYY "één pakket" behelsde. Dat heeft de Stichting in de aandeelhoudersvergadering aangehoord en heeft het daar bij gelaten.
(Nogmaals: de stichtingsbestuurders zullen gerechtigd zijn/worden tot verkrij¬gen van de nieuwe stukken.) En: ook overigens: als management zouden zij zichzelf "beschadigen" in hun verhouding met YYY indien dezen kritisch zouden zijn inzake YYY's Project Recap. Bedenk dat YYY (al dan niet via de YYY-commissarissen in gedaagde) de nieuwe stukken aan management zal gaan toekennen als "beloning"/ “incentive". Al helemaal zouden dezen bij YYY afgedaan hebben indien dezen maatregelen zoals een enquêteverzoek zouden entameren of zelfs maar iets contentieus zouden suggereren.)
c. Eisers stellen dat zij houders zijn van certificaten welke met medewerking van de vennootschap - derhalve gedaagde - zijn uitgegeven. Eisers hadden aldus op aandeelhoudersvergaderingen uitgenodigd moeten worden en aldaar hun rechten moeten kunnen uitoefenen: aldaar het woord voeren en vragen stellen. Eisers zijn evenwel niet uitgenodigd en mitsdien zijn aandeelhoudersbesluiten in gedaagde totstand gekomen in strijd met het wettelijk voorschrift dat bewil¬ligde certificaathouders rechten hebben inzake aandeelhoudersvergaderingen van gedaagde. Er is mitsdien strijd met artikel 2: 15 lid 1.b. BW.
Vgl.: J.B. Huizink in WPNR 6454 p. 693 (2001): bij verlenen van certificaten aan personeelsleden door werkgever-vennootschap kán niet ontkend worden dat sprake is van bewilligde certificaten. In ons geval: de certificaten zijn uitgegeven en door eisers verkregen als emolument in de arbeidsvoorwaarden inzake eisers' dienstverband met gedaagde en de toekenning vond eveneens plaats door gedaagde(zie Produkties 1.) en tussen gedaagden eisers is zelfs ¬voordat de certificaten werden uitgegeven- gecontracteerd omtrent het certifi¬certificaathouderschap: de Stockholders Agreement. Voorts draagt gedaagde als vennootschap alle kosten van de Stichting en voor uitgifte en beheer etc., van de certificaten; dat laatste is in de rechtsliteratuur als zeer zwaarwegend aspect geduid voor een oordeel of sprake is van bewilligde certificaten!
De facto is derhalve sprake van bewilligde certificaten.
Indien toegelaten tot aandeelhoudersvergaderingen van gedaagde, hadden eisers tenminste de geïndiceerde kritische vragen kunnen stellen. (Nogmaals: de bestuurders van de Stichting hebben dit nagelaten. )
7. Eisers zijn uitsluitend in de gelegenheid gesteld om te spreken met bestuurders van de Stichting XXX Holdings Management (de "Stichting"), de houdster van de aandelen in gedaagde van welke eisers de certificaten houden.
Op eisers' vragen daarnaar is aan hen niet uitgelegd, toegelicht, onderbouwd, aanne¬melijk gemaakt, etc. dat het noodzakelijk, geïndiceerd, benodigd, etc. is voor het totstand brengen, slagen, etc. van de herkapitalisatie dat de voormelde twee aspecten (achterstelling van de bestaande aandelen op de nieuw uit te geven stukken en de zeer hoge uitkeringsgerechtigdheld op de B aandelen) onderdeel moet zijn van Project Recap.
Als Produktie 8. wordt in het geding gebracht de brieven aan gedaagde en aan de Stichting d.d. 12 augustus 2008. Gedaagde heeft in het geheel niet gereageerd en de Stichting heeft gereageerd maar afwijzend en is niet inhoudelijk ingegaan op de vraag naar noodzaak, etc. voor het inbouwen van de twee bestreden aspecten.
Er zou een "fairness" rapport bestaan van ZZZ, maar dat zou niet bestemd zijn voor anderen dan directie en commissarissen van gedaagde. Een samenvatting van dit rapport zou bestaan, genaamd "opinion", maar ook de inhoud daarvan kennen eisers niet.
Verstrekking van stukken aan certificaathouders zou slechts plaatsvinden mits dezen vooraf een "confidentiality agreement" zouden tekenen. Als Produktie 9. wordt in het geding gebracht de opsomming van de bedoelde stukken (“information package") en de voorgelegde confidentiality agreement. (Op een later tijdstip leek gedaagde/de Stichting de opinie (samenvatting van ZZZ's rapport) aan de "information package" te willen gaan toevoegen, maar uiteindelijk werd bevestigd dat dat niet onderdeel was en evenmin zou worden van de package.)
Eisers hebben evenwel geweigerd om de confidentiality agreement te tekenen voor verkrijging van de wel tot de "information package" behorende documen¬ten omdat dezen van mening waren dat de confidentiality agreement de certificaathouder te zeer beperkt en certificaathouders moeten worden geacht reeds zonder meer recht te hebben op verstrekking van stukken.
Van de Stichting hebben eisers vernomen dat rapport en opinie heten te verklaren dat: "the terms and conditions of the recapitalisation are reasonable in light of the
circumstances ... ". Echter. eisers hebben er geen kennis van hoe in rapport en opinie het aspect van de achterstelling en van het zeer hoge rendement op de B aandelen wordt benaderd, laat staan welke specifiek: de mening is over dié aspecten. En: met welke overwegingen deze twee aspecten klaarblijkelijk "ondergeschikt" zijn bevonden in het geheel van Project Recap, En, nogmaals, wat YYY betreft betrof Project Recap één pakket, dus de twee aspecten zullen hoogstwaarschijnlijk door YYY zelf niet apart en op zich zelf beschouwd (1) kritisch zijn beoordeeld op "houdbaarheid",

9. Voorzover ten tijde van het te dezen te wijzen vonnis enige besluiten inzake Project Recap nog niet zijn genomen, formuleren eisers vorderingen dienaangaande zoals in de petita onder 2. geformuleerd.
10. Ter vermijding van het totstandkomen van besluiten, met name uitvoeringsbesluiten, inzake Project Recap mét het aspect van de achterstelling en met het oog op de "derdenbescherming" van artikel 2: 16 BW, brengen eisers provisionele vorderingen ex artikel 223 Rv. zoals in de petita onder 3. geformuleerd.
( YYY kwalificeert in ieder geval niet als "derde te goeder trouw" in de betekenis van artikel 2: 16 BW, omdat de brief d.d. 12 augustus 2008 (produktie 8.) aan gedaagde ook ter kennis van gedaagde's commissarissen is gekomen waaronder de commis-sarissen welke topfunctionarissen zijn bij YYY. )
11. Hetgeen door eisers bestreden wordt zijn niet de besluiten inzake Project Recap in algemeenheid maar slechts voorzover besluiten terzake inhouden het bewerkstelligen van de voormelde twee bestreden aspecten:
- achterstelling van de bestaande aandelen in gedaagde op de nieuw uit te geven B aandelen I NPEC's (achterstelling op de rentevergoeding er op en achterstelling op de gestorte bedragen er op) en C aandelen (achterstelling op de cumulatieve rentevergoeding er op), en
- het zeer hoge rendement op de B aandelen.
Subsidiair: de rechter zou het inbouwen van een of beide bestreden aspecten mogelijk alleen kunnen vernietigen voorzover het betreft stukken bedoeld voor/toekomende aan anderen dan (nieuwe/toekomstige) management functionarissen (dus: waar niet noodzakelijk als "incentive") en/of voorzover het niet betreft een redelijke(!) rentevergoeding op de nieuwe stukken (althans mits het enorme hoge beloop van het totaal van die nieuwe rentevergoedingen niet in strijd wordt geoordeeld met de strekking van artikel 6 van de Stock¬holders Agreement, althans met hetgeen eisers in juni 2004 mochten verwachten. Het rendement op de B aandelen is sowieso niet redelijk.
De op de bestreden aspecten aangevochten besluiten behelzen álle besluiten van álle organen van gedaagde (Directie, Raad van Commissarissen en Aandeelhouders¬vergadering) welke de twee bestreden aspecten inhouden danwel waarin deze aspecten (mede) impliciet besloten ligt. Zonder noodzakelijkerwijs uitputtend te zijn - certifi¬caathouders weten niet van welke besluiten precies sprake is - behelzen de op deze aspecten aangevochten besluiten tenminste de besluiten van de drie onderscheiden organen houdende:
- accordering / "aannemen" in het algemeen van Project Recap;
- wijziging van gedaagde' s statuten;
- uitgifte door gedaagde van nieuwe stukken op welke de bestaande aandelen achtergesteld worden;
- uitkeringen op de nieuwe stukken op welke de bestaande aandelen achtergesteld worden;
- andere mogelijke (uitvoerings)besluiten in het kader van Project Recap,
12. Artikel 111 lid 3 Rv.
Stellingnames en houding van gedaagde (en van YYY) (en van de Stichting) zijn
hierboven reeds aangegeven. De feiten spreken voor zich en met de door eisers ingebrachte produkties achten eisers ten volle voldaan te hebben aan hun stelplicht en hun stellingen meer dan afdoende te hebben onderbouwd.
Gedaagde "zit op" informatie en documentatie welke mogelijk relevant kan zijn voor een oordeel omtrent de meest primaire grondslag voor eisers' vordering tot vernieti¬ging, namelijk dat het in Project Recap ingebouwde aspect van de achterstelling van de gewone aandelen en het inbouwen van een zeer hoog rendement op de B aandelen, de toets van redelijkheid en billijkheid niet kan doorstaan. Nu dit buiten rechte door gedaagde (en Stichting) is nagelaten, sommeren eisers gedaagde om thans in rechte tenminste (i) het rapport en opinie van ZZZ te produceren (of: de rechter past artikel 22 Rv. toe) en (ii) zelf aan te geven waarom het noodzakelijk, geïndiceerd, benodigd. etc. is voor het totstand brengen, slagen, etc. van de herkapitalisatie dat de bestreden aspecten onderdeel moeten zijn van Project Recap.
13. Op de eerstdienende dag zullen de in deze inleidende dagvaarding genoemde produkties in het geding worden gebracht.
MITSDIEN EISERS CONCLUDEREN
dat het de rechtbank behage, uitvoerbaar bij voorraad, om:
a. voorzover genomen vóór de betekening aan gedaagde van het te dezen te wijzen vonnis: de besluiten als bedoeld in paragraaf 11 hierboven te vernietigen, voorzover betreffende de twee bestreden aspecten zoals hierboven besproken;
b. voorzover (nog) niet genomen vóór de betekening aan gedaagde van het te dezen te wijzen vonnis: gedaagde te verbieden over te gaan tot het nemen van en/of medewer¬king te verlenen aan de totstandkoming van en/of medewerking te verlenen aan uitvoering van de besluiten als bedoeld in paragraaf 11, voorzover betreffende / mede inhoudende, expliciet of impliciet, de bestreden aspecten zoals hierboven besproken; zulks op straffe van een in goede justitie te bepalen dwangsom, met bepaling van maximaal te verbeuren dwangsommen, voor elke overtreding door gedaagde van deze veroordeling na betekening aan gedaagde van het te dezen te wijzen vonnis;
c. voor de duur van het geding: gedaagde te gebieden de uitvoering van en het verlenen van medewerking aan enige uitvoering van alle hierboven bedoelde besluiten, voor¬zover betreffende / mede inhoudende, expliciet of impliciet, het aspect van de voormelde achterstelling, op te schorten, zulks op straffe van een in goede justitie te bepalen dwangsom, met bepaling van maximaal te verbeuren dwangsommen, voor elke overtreding door gedaagde van deze veroordeling na betekening aan gedaagde van het te dezen te wijzen provisionele vonnis;

1. Defendant is the holding company of companies (all: the XXX group) whose operations cover the development, production and service of processing and packaging machines in the foodstuffs industry, particularly for meat snacks.
Plaintiffs are former managerial staff of the XXX group and on or about June 2004 obtained from defendant depositary receipts for shares (DRFSs) in defendant at the time of their employment with defendant based on the emoluments forming part of their employment conditions:

3. CCC 153 DRFSs
Exhibits 1a up to and including 1c are submitted to the court as evidence of the respective "Management incentive share plan offer letters" in which are recorded the entitlements to the DRFSs, and as Exhibit 2, the Stockholders’ Agreement in which some arrangements are recorded concerning the holding of DRFSs. Through the Offer Letters, plaintiffs 2 and 3 above have also joined the Stockholders’ Agreement.
Submitted by way of evidence to the court is Exhibit 3, being the administrative conditions concerning the DRFSs; plaintiffs qualify all as ‘Good Leavers’, within the meaning of article 6.1.6., ff. of the administrative conditions.
These arrangements were set up in 2004 upon takeover of the XXX group by YYY Investors LLC (a legal entity incorporated under the laws of Delaware, United States of America, established in New York, U.S.A., it and its group companies, also to be referred to as: "YYY”). YYY is a capital venture / private equity
investment company / group, so that the regulations have been written against the background of the (exit) policy that the investment in the XXX group is, over time, to be cashed either by a stock exchange listing or a sale to a strategic buyer or other market party. Thus, the arrangements concerning the DRFSs provide for a determination of their value to the holder - read: determination of what will accrue to the holder in the event of an exit – as of the time of the latter leaving the service. The thought behind this is that the departing official (provided he/she is a ‘Good Leaver’) is rewarded in accordance with the change in value of the XXX group assumed to have taken place as at the date of the official’s departure as a result of the management’s efforts.
Defendant’s authorized capital consisted only of common stock, but it also issued so-called PECs (cumulative preference profit-sharing certificates) to YYY; these PECs are entitlements, with right of priority over common stock, to distribution of the interest payment and of the nominal amount paid on these PECs. On distribution / on exit, the cumulative 9.6% interest payment on the PECs and the amount invested in them are first distributed to YYY; thereafter, the common stock is entitled to distribution.
The ranking was therefore as follows:
- PECs cum. interest of 9.6 % and paid-in amount have priority
- common stock
2. On 16 July 2008, plaintiffs were notified and sent limited documentation of defendant’s intention to proceed with a recapitalization project (known as “Project Recap”); plaintiffs were given the opportunity to talk about this only with administrators of Stichting XXX Holdings Management ("Stichting") - being the holder of the shares in defendant for which plaintiffs hold the DRFSs - on 18 July 2008 (which date had been planned as part of the project), and on 8 September 2008 (which date had not been planned but scheduled a week earlier). Plaintiffs were provided with limited information. It seems that plaintiffs’ understanding of what is happening would have to be as follows.
Defendant and - so plaintiffs understand – its majority shareholder YYY, reportedly as a result of the XXX group no longer meeting minimum solvency criteria under the bank loan – due to poor operating results, especially in late 2007 – early 2008, are obligated by the loan providers to inject additional shareholders’ equity to an amount of € 17m into the XXX group, since failure to meet this obligation would have enabled the loan providers to exercise the right to seizure and execution accruing to them. YYY has decided to furnish the aforementioned € 17m in additional shareholders’ equity.
Exhibit 4 submitted as evidence to the court is the representation provided to plaintiffs of the Project Recap structuring envisaged by the defendant’s board of directors and supervisory board and presented to plaintiffs by Stichting, including the timing of the implementation. This representation briefly entails the following:
YYY invests additional shareholders’ equity by means of newly created B shares, to which “NPECs” (new PECs) are coupled, and newly created C shares. The B shares are issued with one NPEC for each B share, together called a ‘Unit’; a Unit is issued for € 1,000.01 and the distribution entitlement on one Unit is as follows: on a B share: in/after 2 years: € 1.000, after that € 250 every six months (subject to a maximum of € 5,000); on the NPEC: 9.6% cumulative interest compensation on the paid-in € 1,000. All of these rank ahead of the existing common stock!
The C shares entitle their holders to a cumulative preference interest payment of 9.6% on the paid-in amount, with compound interest every six months.
The ranking of the stocks after Project Recap is as follows:
- NPECs: new PECs: cum. interest at 9.6 % with right of priority
- EPECs (= the old PECs): cum. interest at 9.6 % as from Project Recap and the amount originally paid-in having right of priority
- B shares € 1,000 + 8 x € 250 as repayment on the amount paid-in with right of priority
- C shares the 9.6% cumulative interest (compounded every six months) with right of priority (the paid-in amount is pari passu with the common stock, now A shares; YYY can decide at any time that the amount paid in qualifies for distribution as well.)
- EPECs the 9.6% cum. interest as from 2004: right of priority until Project Recap
- A shares (= existing common stock; (see Exhibit 4)
All new stocks will therefore rank ahead of common stocks, now A shares, both in respect of interest payments on them and the amount paid in on them! The only exception is the amount paid on the C shares (@ € 0.01), but this is a negligible amount in total.
Plaintiffs obtained from the trade registry defendant’s articles of incorporation, which appear to have been amended since on 19 September 2008 (Exhibit 5.) In these new articles of incorporation, the common stock (was @ € 10) has been converted into A shares (each for 10 A shares @ € 1), while B shares, NPECs and C shares have already been placed.
3. Plaintiffs have to allow on sufferance that new capital is issued and that – if they do not make use of their pre-emptive rights - the stake held by Stichting / Plaintiffs in defendant’s capital will be diluted. (Defendant’s issued capital consisted of 83,130 common shares (at a par value of € 10 each; Stichting holds 12% of the capital; assuming all of the pre-emptive rights granted to Stichting are exercised, Project Recap would result in the stake of Stichting – and hence the stake of the holders of DRFSs - being diluted to 8%; if no pre-emptive rights are exercised, the stake would dilute to an even lower percentage.)
However, for the time being two aspects of the intended restructuring are unacceptable:
(i) subordination of the common stock (A shares) to the new stock for a very large total amount, and
(ii) the really very large distribution on B shares (see above: as against € 1,000.01 per Unit: € 1,000 after two years and after that € 250 per six months; and the common stock is subordinated to these as well)
See article 28 of defendant’s new articles of incorporation. Articles 28.3 and 28.5 of the articles of incorporation effectively mean that YYY as majority shareholder will have absolute control over all distribution (and, again, YYY itself will have far-reaching distribution preference, given the priority of the stocks to be issued to it.
This implies a severely weakened position of the holders of DRFSs, including plaintiffs, when compared to the pre-Project Recap position; see last sub-paragraph in paragraph 1 above.
Exhibit 4 shows that given Project Recap’s subordinations and the very high return on the B shares, there will not be any prospect of a distribution on common stock to Stichting, hence to plaintiffs, in the event of an Exit until 2011 (and even then only on the assumption that the XXX group can be sold / listed on the stock exchange at a value of 7.5 times the EBITDA, and that the EBITDA will be developing as budgeted; see Exhibit 4). For plaintiffs, that would imply a severely deteriorated position.
4. Plaintiffs hold depositary receipts for common stock (now: A shares), and their interests are therefore directly affected through the built-in subordinations and the high distributions on the B shares. It is an established fact that the subordination of the existing shares (now: A shares) in relation to the new stocks and the creation of very high-yielding stocks (such as the B shares) is not or has not been demanded by the lenders (see Exhibit 4), hence these two aspects have been made part of Project Recap at the instigation of YYY itself / managers themselves. The inclusion of these two aspects is / was of course at the instigation of these intended takers of the new stocks: YYY takes mainly B shares / NPECs, and the XXX group management officials in office (and future management) take / will become entitled to B shares / NPECs and C shares).
It was, and is up to the majority shareholder whether it would let defendant (i) go into liquidation or let all the lenders organize a “takeover”, or (ii) effect a more or less forced sale of the XXX group to third parties or (iii) itself provide defendant with additional capital. Given the intended Project Recap, YYY, the majority stockholder, opted for the latter and it is to its own advantage and that of “its” management officials to make the new stocks senior in rank and to create very high-yielding stocks.
Considering the significant interests of the majority shareholders in the XXX group, the majority shareholder had already decided to recapitalize and to subscribe for the new stocks (otherwise, Project Recap would not have been set up at all; after all, each shareholder resolution to issue stock in any event required the vote of the majority shareholder); it may assumed that plaintiffs would not subscribe for new stocks (as “pensioners” and without involvement in the XXX group, it may be assumed that there was only a small chance that plaintiffs would “consent” and would make an additional investment as well). Actually, this presumption turned out to be factual: through the pre-emptive rights to the 12% of the capital held via Stichting, 2,040 B shares / NPECs (Units) were available to be subscribed for by holders of DRFSs; however, only 46 were subscribed for, by only one or two holders of DRFSs. The presumption was simply also YYY’s assumption because YYY had committed itself to take care of the remainder of the € 17m if the pre-emptive rights were not to be paid up on by others for the full € 17m; except for € 46,000.64 (46 B shares / NPECs Units @ € 1,000.01) YYY will therefore invest the full amount of € 17m itself.
Plaintiffs are willing to accept that a recapitalization is required, but what is unacceptable is that it is linked to the two aforementioned aspects. Upon plaintiffs’ questions in this respect, it was not explained, detailed, substantiated or made plausible to them, etc. that it was essential, necessary, required, etc. to bring about, successfully finalize etc., the recapitalization, that the aforementioned aspects (subordination of the existing stocks to the new stocks to be issued and creation of very high-yielding stocks) had to be part of the Project Recap.
Given the foregoing, plaintiffs argue that the various resolutions of defendant’s constituent bodies insofar as they imply the incorporation of the aforementioned subordination and the creation of the very high-yielding B shares, are in breach of the reasonableness and fairness required pursuant to section 8, Book 2 of the Netherlands Civil Code and are therefore voidable.
Plaintiffs hereby demand that the resolutions be declared void insofar as they relate to the incorporation of the aforementioned subordination and the creation of the very high-yielding B shares. As stakeholders within the meaning of section 15, Book 2 of the Netherlands Civil Code, plaintiffs are entitled to institute a claim for voidness.
Considered not only on the basis of the two disputed aspects in the resolutions but also based on the less than appropriate information for the holders of the DRFSs, plaintiffs deem the resolutions to be in breach of reasonableness and fairness.
5. Subordination to a reasonable interest payment vs. the amount paid in and a very significant entitlement:
The fact that a reasonable interest payment on newly issued stocks is made (cumulatively) preferenced as compared to the existing common stock might still be approved, but not also the paid-in amounts themselves on the new stocks, while the really very considerable B share entitlements cannot be approved at all.
The subordination to the new stocks intended for management:
Also the issue to the management in office as provided for in Project Recap and the setting aside for future management of C shares in particular (as well as the very high-yielding B shares with NPECs) with subordination of the common stock to these stocks could not pass the test of reasonableness and fairness of section 8, Book 2 of the Netherlands Civil Code, unless defendant could provide hard evidence that under the given circumstances, the intended management incentive has / had to be regarded as essential, etc. This hard evidence has, however, not so far been provided to plaintiffs. In addition, a "Management Incentive Share Plan" (pursuant to which plaintiffs, too, acquired DRFSs) was already in place and far from all the DRFSs of the 12% common stock held by Stichting had been / were issued. No (demonstrable) reason has therefore been given why the management could not have made do with the existing incentive arrangement via the same DRFSs of Stichting.
And: the management in office too has acquired / will acquire the new stocks, whereas it was under that same management that the financial position of the XXX group apparently deteriorated / had deteriorated so dramatically. For an opinion on whether the two disputed aspects of Project Recap can pass the test of reasonableness and fairness, the granting of new stocks to management in office will therefore have to be distinguished from the granting to new / future management.
The subordination to new stocks intended for YYY:
As far as concerns the subordination incorporated by (!) YYY for its own benefit and a very high yield accruing to YYY on B shares - hence: as far as it concerns stocks with which YYY has favored itself / will be favoring itself – for the time being the two disputed aspects must be deemed to be in breach of the reasonableness and fairness required in pursuance of section 8, Book 2 of the Netherlands Civil Code. This follows from the fact that YYY, firstly, opted by itself to invest more capital in the XXX group (instead of opting for bankruptcy or forced sale); YYY then incorporated these benefits for itself in implementing its recapitalization. This second step is in breach of reasonableness and fairness, since even without the incorporation of these benefits, YYY had opted for recapitalization, in any event even without incorporating the subordination, there could have been a successful recapitalization. It cannot be substantiated that YYY as “reward” for opting to recapitalize was allowed to incorporate these benefits for itself.
YYY's opting to recapitalize was firstly in its own interest; witness the fact that YYY had not been willing to write down its large investment in the XXX group and for this very reason opted to recapitalize; having made this choice, YYY could not then incorporate the two disputed aspects as benefits for itself.
Nor is YYY in a position to argue that all stockholders / holders of DRFSs were able to make use of the benefits attaching to the new stocks in an equal manner, given the fact that others could share in the investment pro rata based on their pre-emptive rights. Please see the text indented to the right in paragraph 4 for the reason why this argument lacks grounds for acceptance.
Nor are there grounds for arguing that in the event of loan capital instead of shareholders’ equity being injected, the common stocks would also effectively have been subordinated to the new investment. After all, the 2004 loan to the XXX group, the contours of which were known to plaintiffs as managerial staff, required in the given situation that additional shareholders’ equity and not loan capital be paid in. Moreover, the plaintiffs were allocated the DRFSs at a time when they were familiar with the amount of shareholders’ equity, and when it was YYY’s / defendant’s policy not to attract more loan capital. Furthermore, the ‘restatement’ of B shares in terms of loan capital would have meant that an astronomical rate of interest would have had to be paid: mathematically, a payment of € 1,000 in 2 years and after that 8 x € 250 every six months would have meant a very large amount of interest indeed.
Plaintiffs understand from Stichting that it has been announced at defendant’s meeting of shareholders that, as far as YYY is concerned, Project Recap consisted of a “single package”, and that YYY therefore did not wish to reconsider any one part.
6. Furthermore, plaintiffs submit the following grounds for declaring the resolutions void, insofar as related to the subordination aspect, which grounds each individually and, when looked at cumulatively, together with the principal ground as set out in paragraph 4 above are to be regarded as sufficient to declare the resolutions void as far as the two disputed aspects are concerned.
a. Acting contrary to contractual arrangements also qualifies as contrary to the reasonableness and fairness within the meaning of section 8, Book 2 of the Netherlands Civil Code. The subordination and the high yield on new stocks such as on the B shares is in breach of the provisions of article 6 (Anti-dilution Rights) of the Stockholders’ Agreement (Exhibit 2) since, upon conclusion of this contract and plaintiffs’ signing thereof and becoming a party thereto, it was discussed and intended that this clause was meant to serve as protection of the holders of DRFSs against dilution upon the issue of new stocks, the most sweeping of which being the "PECs': by which was meant: the preference profit-sharing certificates as subscribed for by YYY at the time [zoals destijds aan (of door?) YYY werden genomen?? ik denk ook dat hier “door” had moeten staan in de bron (MSC)]. Most far-reaching would therefore be to enable the DRFSs to be subordinated to the interest payment which could be made distributable on preference stocks on a priority basis. With preference profit sharing certificates / preference shares it is standard practice for interest payments to take the form of a percentage of the investment to be distributed on the preference stocks on a priority basis. At the time of YYY designing the structure in June 2004, it was known that YYY would take up PECs, with the amount paid in on them also enjoying priority ranking, and that priority would therefore be assigned to the total amount invested up till then. At present, however, the DRFSs are subordinated to a great deal more: the total amount to which the common stock / the DRFSs are subordinated is greatly increased: the total amount to be paid in on the B shares and NPECs and the interest payment on the NPECs and on the C shares is presently also enjoying priority over common stock.
And: also given priority is a very large total amount: € 1,000 plus 8 x € 250 per B share as return on these shares.
Based on the interpretation of article 6 of the Stockholders’ Agreement, as it would have been understood in the situation that prevailed in June 2004 and as plaintiffs could have understood it, the subordination currently intended is accordingly in breach of the contractual rights accruing to plaintiffs. The texts of the Stockholders’ Agreement are those of defendant / YYY; ambiguities should be to the latter’s detriment (the contra proferentem rule).
If, based strictly on the text of article 6 of the Stockholders’ Agreement, the issue of the B shares, the NPECs and the C shares with their priority ranking and the very high yield on the B shares were indeed to be viewed as contractually allowed (and also - or: only - insofar as they concern stocks as an incentive to management; see paragraph 11 below), then plaintiffs would point out that they certainly should not have had to expect such a hugely deteriorated position - such as Project Recap is presently bringing about - to be possible and allowed. The allocation of DRFSs to plaintiffs was presented in 2004 as an incentive, something ‘valuable’ (and, up to a point, index-linked as well) and that presentation is now being trampled on.
Furthermore, the two disputed Project Recap aspects are contrary to the idea that underlies the arrangements discussed in paragraph 1: based on the value to the holder of the DRFSs as determined on leaving the service, the DRFSs of such former manager represent the movement in the value of the XXX group while such former manager was in charge. This is now being largely abandoned by incorporating the two disputed aspects, at any rate through the huge increase in the total amount by which the common stock will be subordinated: the former manager now has to ‘suffer’ much more as a result of the current - i.e. after his departure – apparently deteriorated financial position / value of the XXX group. This deterioration in the financial position / value came about under a management other than that of plaintiffs.
b. There is conflict with article 2, paragraph 15, clause 1a because at defendant’s meeting of shareholders, the directors, at any rate an administrator of Stichting, acted in respect of the shares – for which plaintiffs hold the DRFSs – whereas these directors were not / this administrator was not authorized to represent Stichting in the matter due to conflict of interest. The administrators of Stichting: AAA, BBB en CCC, all occupy managerial staff positions in the XXX group and are / will be entitled (in pursuance of Project Recap) to acquire B shares, NPECs and/or C shares.
The interest of Stichting stems from the value / the position of the existing common stock it holds in defendant (and it therefore follows that the promotion of the interests of the holders of DRFSs should be focused on this); this is a case of direct conflict of interest now that the directors will become entitled to new stocks to which will be subordinated the existing shares, in which the holders of DRFSs have an interest.
Article 10, paragraph 2 of Stichting’s bylaws (Exhibit 6: the bylaws of Stichting) determines the lack of authority in the event of a conflict of interest. (In this case, it is not an event equally affecting all DRFSs holders within the meaning of article 10, paragraph 2 of the bylaws, because there are also DRFSs holders to whom / to whose DRFSs rights and obligations are attached other than those attaching to plaintiffs (as "Good Leavers").
Yet, administrators / an administrator acted on behalf of Stichting regarding Project Recap at defendant’s shareholder meetings. As regards Project Recap, the position of the directors (entitled to the new stocks) is simply in conflict with their task and duty of care to look after the interests of the holders of DRFSs, regardless of what there may be by way of conflict of interest provisions in the law or bylaws. A striking aspect in this regard is that members of the board of administrators - at any rate one or two of the three – of Stichting in their capacity of officials in the CSF group will have been involved in the development of Project Recap and familiar with all the details, but that the administrators of Stichting part with little information to the holders of DRFS. The administrators of Stichting, at any rate one or two of the three, will have had knowledge of the ZZZ (report and) opinion – see below – but the administrators do not furnish any information about this to plaintiffs, at least not about how this report and opinion deal with the offensive aspect of subordination.
Stichting held 12% of the share capital in defendant. For the voting ratio to reach agreement on Project Recap, the vote of Stichting was perhaps of no significance to the outcome of any voting – provided of course the majority shareholder was present at the meeting – but with Stichting represented by others, an examination request moved by Stichting could have been considered and critical questions could at least have been put at defendant’s meetings of shareholders (The current administrators of Stichting have informed plaintiffs that it made non-critical comments / put non-critical questions at defendant’s shareholders’ meeting specifically concerning the two disputed aspects. Stichting’s administrators have merely passed on to plaintiffs that YYY indicated in the meeting of shareholders that for YYY, Project Recap consisted of a ‘single package’. In the shareholders’ meeting, Stichting took note of this and left it at that.
(Once more: the administrators of Stichting are / will be entitled to acquiring the new stocks.) And, as management they would otherwise also do themselves ‘harm’ in their relationship with YYY if they were to be critical regarding YYY's Project Recap. Consider that YYY (either via the defendant’s supervisory directors or not) will be allocating the new stocks to management as ‘reward’ / ‘incentive’. At YYY, they would have ceased to count if they had started measures such as arequest application for an inquiry, or had even suggested anything contentious.
c. Plaintiffs assert that they are the holders of DRFSs which have been issued with the consent of the company – i.e. defendant. Plaintiffs should accordingly have been invited to attend shareholders’ meetings to exercise their rights there, address the meeting and ask questions. Plaintiffs were not invited, however, and as a consequence defendant’s shareholders’ resolutions came about in breach of the legal requirement that the holders of consensual DRFSs have rights in respect of defendant’s shareholders’ meetings. This is therefore in conflict with section 15, subsection 1b, Book 2 of the Netherlands Civil Code.
Cf.: J.B. Huizink in WPNR 6454 p. 693 (2001): when an employer-company grants DRFSs to employees it cannot be denied that these are consensual DRFSs. In our case: the DRFSs have been issued and acquired by plaintiffs as emoluments under the employment conditions of plaintiffs’ contract of service with defendant and were granted, likewise by defendant (see Exhibit 1), and defendant and plaintiffs entered into the Stockholders’ Agreement in respect of the holding of the DRFSs even before these had been issued. Moreover, as the company, defendant bears all the costs of Stichting for the issue, administration, etc, of the DRFSs; the latter has been identified in the legal literature as a highly compelling aspect for evaluating whether the DRFSs are consensual or not!
It follows that the DRFSs in question are consensual.
Had plaintiffs been admitted to defendant’s shareholders’ meetings, they would have been able at least to ask the necessary critical questions. (Once more: the administrators of Stichting failed to do so.)
7. Plaintiffs have only been given the opportunity to speak to administrators of Stichting XXX Holdings Management ("Stichting"), being the holders of the shares in defendant, for which shares plaintiffs hold the depositary receipts.
In response to plaintiffs’ questions in this respect it was not explained to them, they were not informed, and it was not substantiated or made plausible to them, etc. that it was essential, necessary, required, etc. for the completion and success, etc. of the recapitalization that the two aforementioned aspects (subordination of the existing shares to the new stocks to be issued and the B shares’ very high-yield entitlement) had to be part of Project Recap.
Exhibit 8 being submitted as part of this dispute to the Court consists of the letters to defendant and to Stichting dated 12 August 2008. Defendant did not react at all, while Stichting’s response was dismissive and failed to deal substantively with the question of the necessity, etc. of incorporating the two disputed aspects.
There is supposed to be a ZZZ fairness report, but it is reportedly not meant for parties other than defendant’s board of directors and board of supervisory directors. A summary of this report, called ‘opinion’, reportedly exists; its contents are, however, not known to plaintiffs either.
Holders of DRFSs would only be provided with documents if they signed a confidentiality agreement beforehand. Exhibit 9 submitted to the court contains an information package relating to the documents referred to as well as the confidentiality agreement. (At a later stage, it seemed as if defendant / Stichting had wanted to add the opinion (summary of ZZZ report) to the information package, but it was eventually confirmed that this was not, and would not become, part of the package.
Plaintiffs refused to sign the confidentiality agreement, however, prior to obtaining the documents that did form part of the information package, because they were of the opinion that the confidentiality agreement excessively restricted DRFSs holders, and because DRFSs holders must at any rate be regarded as unconditionally entitled to provision of the documents.
Plaintiffs were told by Stichting that the report and opinion reportedly state that: "the terms and conditions of the recapitalization are reasonable in light of the circumstances ...". Plaintiffs, however, do not have any knowledge of the report’s and opinion’s approach to the subordination aspect and to the very high-yielding B shares, let alone the specific opinion on those aspects. And: on what grounds these two aspects were apparently held to be of minor importance in Project Recap as a whole. And, once more, as far as YYY was concerned, Project Recap involved a single package, hence YYY itself very likely did not critically evaluate the two aspects, looked at separately and in themselves (!), on their ‘tenability’.
8. The ‘double roles’ of the officials of Stichting, defendant and YYY are as follows:

9. To the extent that any Project Recap resolutions are still due to be passed at the time of passing judgment in this matter, plaintiffs state claims in this respect as stated in the claims for relief under 2.
10. In order to avoid resolutions from being passed, particularly resolutions to implement Project Recap incorporating the aspect of subordination, and with a view to the ‘third party protection’ of section 16, Book 2 of the Netherlands Civil Code, plaintiffs file applications for interim relief as provided for in section 223 of the Code of Civil Procedure as stated in the claims for relief under 3.
(In any event, YYY does not qualify as ‘bona fides third party’ within the meaning of section 16, Book 2 of the Netherlands Civil Code, because the letter dated 12 August 2008 (Exhibit 8) to defendant, was also communicated to defendant’s supervisory directors, including the supervisory directors who occupy top positions at YYY.)
11. What plaintiffs are disputing is not the resolutions concerning Project Recap in general, but only insofar as these imply the implementation of the two aforementioned disputed aspects:
- subordination of the existing shares in defendant to the new B shares to be issued / NPECs (subordination to the interest payment on them and subordination to the amounts paid in on them) and the C shares (subordination to the cumulative interest payment on them), and
- the very high yield on the B shares.
Alternatively: the court could possibly declare void the incorporation of either or both disputed aspects only insofar as they involve stocks intended for / accruing to others than (new / future) management officials (hence: where not necessary as incentive) and/or insofar as they do not concern a reasonable (!) interest payment on the new stocks (at least provided that the huge amount of the total of these new interest payments is not held to be contrary with the scope of article 6 of the Stock¬holders’ Agreement, at any rate with what plaintiffs could have expected in June 2004. The return on the B shares is in any event not reasonable.
The contested resolutions concerning the disputed aspects cover all the resolutions of all of defendant’s constituent bodies (board of directors, board of supervisory directors and Shareholders’ Meeting) concerned with the two disputed aspects, or in which these aspects are implicitly involved, partly or otherwise. Without necessarily being exhaustive – DRFSs holders do not know exactly which resolutions are relevant – the resolutions contested involving these disputed aspects include at least the resolutions of the three distinct constituent bodies regarding:
- the approval / ‘acceptance’ in general of Project Recap;
- the amendment of defendant’s articles of incorporation;
- the issue by defendant of new stocks to which the existing shares are subordinated;
- distribution on the new stocks to which the existing shares will be subordinated;
- other possible (implementation) resolutions in the context of Project Recap.
12. Section 111, sub-section 3 of the Code of Civil Procedure
The positions assumed and attitude of defendant (and of YYY) (and of Stichting) have already been set out above. The facts speak for themselves and with the exhibits plaintiffs submitted, they consider having fully met their obligation to furnish facts and to have more than substantiated their assertions.
Defendant is ‘sitting on’ information and documentation that may be relevant to an opinion on the plaintiffs’ primary grounds for declaring the resolutions void, namely that the incorporation in Project Recap of the aspect of common stocks’ subordination and the incorporation of a very high yield on the B shares cannot successfully pass the test of reasonableness and fairness. Now that defendant (and Stichting) neglected to do this out of court, plaintiffs now demand that defendant in any event through litigation (i) produce the ZZZ report and opinion (or: the court applies section 22 of the Code of Civil Procedure) and (ii) itself indicate why it is essential, necessary, required, etc. for the effectuation, success, etc. of the recapitalization that the disputed aspects have to be part of Project Recap.
13. On the first day on which the case will come up, the exhibits mentioned in this originating summons will be submitted to the court in connection with this dispute.
THEREFORE PLAINTIFFS RESPECTFULLY CONCLUDE
that it may please the court to provisionally enforce that:
a. insofar as passed prior to service on defendant of the judgment in this matter: the resolutions, as referred to in paragraph 11 above insofar as they concern the two disputed aspects as discussed above, be declared void;
b. insofar as not (yet) passed prior to service on defendant of the judgment in this matter: to forbid defendant to proceed with and/or lend its co-operation to the conclusion of and/or lend its co-operation to the implementation of the resolutions as referred to in paragraph 11, insofar as relating to / partly involving, either explicitly or implicitly, the disputed aspects as discussed above, subject to a penalty to be determined in the proper administration of justice - stipulating the maximum penalties to be forfeited - for each infringement by defendant of this order after service to defendant of the judgment to be passed in this matter;

1. Het geding in feitelijke instanties
Verweersters in cassatie - verder afzonderlijk te noemen: Lancôme, Cacharel, L'Oréal, Cacharel et Cie, [verweerster 5], Paloma Picasso et Cie, [verweerster 7], P&B Holding en Parfums & Beauté, dan wel gezamenlijk: Lancôme c.s. - hebben bij exploot van 11 oktober 1996 eiseres tot cassatie, alsmede Evora B.V., gevestigd te Renswoude en Trademax Europa B.V., gevestigd te Oosterhout - verder afzonderlijk te noemen: Kruidvat, Evora en Trademax, dan wel gezamenlijk: Kruidvat c.s. - gedagvaard voor de rechtbank te Utrecht en na vermeerdering van eis gevorderd bij vonnis, voor zoveel mogelijk uitvoerbaar bij voorraad:
1 Kruidvat c.s. te verbieden met ingang van de datum van het in deze te wijzen vonnis van de verpakkingen van de Lancôme- en/of Cacharel- en/of Paloma Picasso-producten het cellofaan en/of de codering en/of de identificatienummers te verwijderen of te beschadigen en/of daartoe aan derden opdracht te verlenen, alsmede Kruidvat c.s. te verbieden Lancôme- en/of Cacharel- en/of Paloma Picasso-producten te verkopen, dan wel te koop aan te bieden of in voorraad te hebben waarvan de verpakking is beschadigd en/of gewijzigd door verwijdering van de codering en/of identificatienummers en/of waarop deze nummers onleesbaar zijn gemaakt en/of waarvan de originele cellofaanverpakking is verwijderd, beschadigd, of vervangen onder verbeurte van een dwangsom van ƒ 1.000,-- voor iedere overtreding, zullende als overtreding worden aangemerkt de verkoop en het in voorraad hebben van een kleinhandelsverpakking van een van de Lancôme-producten, respectievelijk van de Cacharel- of Paloma Picasso-producten, waarvan het cellofaan is verwijderd of beschadigd en/of de codering en/of identificatienummers zijn verwijderd of beschadigd des dat de dwangsom wordt verbeurd aan Lancôme ten aanzien van de Lancômeproducten, aan L'Oréal ten aanzien van de Cacharel-producten en aan Paloma Picasso et Cie ten aanzien van de Paloma Picasso-producten;
2 Kruidvat c.s. ieder afzonderlijk te bevelen om binnen tien dagen na betekening van het in deze te wijzen vonnis aan Parfums & Beauté te verschaffen een lijst met de namen en adressen van de personen die gedurende de afgelopen 36 maanden Lancôme- en/of Cacharel- en/of Paloma Picasso-producten als bedoeld sub (1) aan Kruidvat c.s. hebben geleverd, met specificatie van de geleverde referenties en aantallen, onder verbeurte van een dwangsom door ieder van Kruidvat c.s. aan Lancôme ten aanzien van de Lancôme-producten, aan L'Oréal ten aanzien van de Cacharel-producten en aan Paloma Picasso et Cie ten aanzien van de Paloma Picasso-producten van ƒ 10.000,-- voor iedere dag gedurende welke Kruidvat c.s. ieder afzonderlijk in gebreke zullen zijn volledig aan dit bevel te voldoen;
3 Evora te verbieden om Lancôme-, Cacharel- en Paloma Picasso-producten te verkopen dan wel te koop aan te bieden, of in voorraad te hebben, onder verbeurte van een dwangsom van ƒ 1.000,-- voor iedere overtreding, zullende als een overtreding worden aangemerkt de verkoop, het ten verkoop aanbieden en het in voorraad hebben van een kleinhandelsverpakking van één van de Lancôme-, respectievelijk Cacharel- of Paloma Picasso-producten, des dat de dwangsom verbeurd wordt aan Lancôme ten aanzien van de Lancôme-producten, aan L'Oréal ten aanzien van de Cacharel-producten en aan Paloma Picasso et Cie ten aanzien van de Paloma Picasso-producten;
4 Kruidvat c.s. te verbieden met ingang van de datum van het in deze te wijzen vonnis te verkopen, dan wel te koop aan te bieden of in voorraad te hebben Lancôme- en/of Cacharel- en/of Paloma Picasso-producten die niet door of met toestemming van de respectievelijke houders van de merkrechten in de Europese Economische Ruimte in het verkeer zijn gebracht, onder verbeurte van een dwangsom van ƒ 1.000,-- voor iedere overtreding, zullende als overtreding worden aangemerkt de verkoop en het in voorraad hebben van een kleinhandelsverpakking van een van de Lancôme-producten, respectievelijk van de Cacharel- of Paloma Picasso-producten, waarvan Kruidvat c.s. niet kunnen aantonen dat deze door of met toestemming van de merkhouder in de EER in het verkeer gebracht, althans waarvan de codering en/of identificatienummers zijn verwijderd waardoor de merkhouders niet (langer) in staat zijn vast te stellen of de producten rechtmatig in de EER in het verkeer zijn gebracht, des dat de dwangsom wordt verbeurd aan Lancôme ten aanzien van de Lancôme-producten aan L'Oréal ten aanzien van de Cacharel-producten en aan Paloma Picasso et Cie ten aanzien van de Paloma Picasso-producten;
5 Kruidvat c.s. te veroordelen in de kosten van deze procedure.
[Verweerster 7] heeft een incidentele conclusie tot voeging aan de zijde van Lancôme genomen.
Na referte aan de zijde van Kruidvat c.s. en met instemming van de kant van Lancôme c.s. heeft de rechtbank na een tussenvonnis van 28 mei 1997 bij eindvonnis van 6 augustus 1997 [verweerster 7] in het incident in deze procedure als gevoegde partij aan de zijde van Lancôme c.s. toegelaten en de hoofdzaak naar de rol verwezen voor voortprocederen.
Vervolgens heeft [verweerster 7] geconcludeerd voor eis overeenkomstig de hierboven vermelde vorderingen.
Kruidvat c.s. hebben de vorderingen bestreden.
De rechtbank heeft bij vonnis van 19 november 1997:
1. Kruidvat c.s. verboden met ingang van de vijfde dag na betekening van dit vonnis de verpakkingen van de Lancôme- en/of Cacharel- en/of Paloma Picasso-producten dusdanig te decoderen dat daarop een lange witte rechthoek achterblijft of dat daarop een witte sticker wordt geplakt en/of daartoe aan derden opdracht te verlenen;
2. Kruidvat c.s. verboden met ingang van de vijfde dag na betekening van dit vonnis Lancôme- en/of Cacharel- en/of Paloma Picasso-producten te verkopen dan wel te koop aan te bieden of in voorraad te hebben waarvan op de verpakking een lange witte rechthoek of witte sticker zichtbaar is;
3. verstaan ten aanzien van Lancôme, Cacharel, L'Oréal, Cacharel et Cie, P&B Holding en Parfums & Beauté dat de onder 1. en 2. gegeven verboden ten aanzien van de Lancôme- en Cacharel-producten aan Kruidvat en Trademax zijn opgelegd voor zover artikel 50 lid 6 van het TRIPS-Verdrag rechtstreekse werking heeft en voorzover de Nederlandse voorziening op de voet van artikel 289 Rv. in kort geding gegeven een voorlopige maatregel is in de zin van genoemd artikel 50 lid 6;
4. bepaald dat Kruidvat c.s. met ingang van de vijfde dag na betekening van dit vonnis een dwangsom zullen verbeuren van ƒ 1.000,-- voor iedere overtreding van het onder 2. gegeven verbod, zullende als overtreding worden aangemerkt de verkoop en het in voorraad hebben van een van de Lancômeproducten respectievelijk van de Cacharel- of Paloma Picasso-producten waarop een lange witte rechthoek of witte sticker zichtbaar is, des dat de dwangsom wordt verbeurd aan Lancôme ten aanzien van de Lancôme-producten, aan L'Oréal ten aanzien van de Cacharel-producten en aan Paloma Picasso et Cie ten aanzien van de Paloma Picasso-producten;
5. bepaald dat boven een bedrag van ƒ 10.000.000,-- geen dwangsommen verbeurd zullen worden;
6. bepaald dat deze dwangsom vatbaar is voor matiging, voor zover handhaving daarvan naar maatstaven van redelijkheid en billijkheid onaanvaardbaar zou zijn, zulks mede in aanmerking genomen de mate waarin aan de veroordeling is voldaan, de ernst van de overtreding en de mate van verwijtbaarheid van de overtreding;
7. Kruidvat c.s. verboden met ingang van de vijfde dag na betekening van dit vonnis te verkopen dan wel te koop aan te bieden of in voorraad te hebben Lancôme- en/of Cacharel- en/of Paloma Picasso-producten die na 31 december 1995 niet door of met toestemming van de merkhouders onder Lancôme c.s. in de EER in het verkeer zijn gebracht;
8. dit vonnis tot zover uitvoerbaar bij voorraad verklaard;
9. de kosten van deze procedure (alsmede de in het incident tot voeging gevallen kosten) tussen partijen in die zin gecompenseerd dat iedere partij de eigen kosten draagt, en
10. het meer of anders gevorderde afgewezen.
Tegen het vonnis hebben Lancôme c.s. hoger beroep ingesteld bij het gerechtshof te Amsterdam. Kruidvat heeft incidenteel hoger beroep ingesteld.
Bij arrest van 14 oktober 2004, NJ 2005, 122 heeft het hof het bestreden vonnis vernietigd met uitzondering van de beslissingen onder 1, 2, 4 en 7, die zijn bekrachtigd, en voor zover het bestreden vonnis is vernietigd, heeft het hof, opnieuw rechtdoende:
- (in aanvulling op de beslissingen onder 1, 2 en 4 van het bestreden vonnis) Kruidvat verboden ten aanzien van Lancôme, Cacharel, L'Oréal, Picasso, Cacharel et Cie, Picasso & Cie en Parfums & Beauté om vanaf tien dagen na de betekening van dit arrest:
* van de verpakkingen van Lancôme-, Cacharel- en Paloma Picasso-producten het cellofaan en/of de codering en/of identificatienummers te verwijderen of te beschadigen en/of daartoe aan derden opdracht te verlenen,
* alsmede deze parfumerieproducten te verkopen, dan wel te koop aan te bieden of in voorraad te hebben waarvan de verpakking is beschadigd en/of gewijzigd door verwijdering van de codering en/of identificatienummers en/of waarop deze nummers onleesbaar zijn gemaakt en/of waarvan de originele cellofaanverpakking is verwijderd, beschadigd, of vervangen,
* een en ander met inachtneming van hetgeen onder 4.24 van dit arrest is overwogen en onder verbeurte van een dwangsom van € 453,78 (ƒ 1.000,--) voor iedere overtreding,
* waarbij als overtreding zal worden aangemerkt de verkoop en het in voorraad hebben van een kleinhandelsverpakking van een van de Lancôme-producten, respectievelijk van de Cacharel- of Paloma Picasso-producten waarvan het cellofaan is verwijderd of beschadigd en/of de codering en/of identificatienummers zijn verwijderd of beschadigd,
* en waarbij de dwangsom ten aanzien van Lancôme-producten zal worden verbeurd aan Lancôme, ten aanzien van de Cacharel-producten aan L'Oréal en ten aanzien van de Paloma Picasso-producten aan Picasso et Cie;
- (eveneens in aanvulling op de beslissingen onder 1, 2 en 4 van het bestreden vonnis) Kruidvat verboden ten aanzien van [verweerster 7] om vanaf tien dagen na de betekening van dit arrest:
* van de verpakkingen van de Cacharel-producten Anaïs Anaïs, Lou Lou en Eden de codering en/of identificatienummers te verwijderen of onzichtbaar te maken op zodanige wijze dat daardoor de verpakking wordt beschadigd en/of daartoe aan derden opdracht te verlenen,
* alsmede de zojuist genoemde parfumerieproducten te verkopen, dan wel te koop aan te bieden of in voorraad te hebben waarvan de verpakking op de zojuist vermelde wijze is beschadigd,
* een en ander onder verbeurte van een dwangsom van € 453,78 (ƒ 1.000,--) voor iedere overtreding,
* waarbij als overtreding zal worden aangemerkt de verkoop en het in voorraad hebben van een kleinhandelsverpakking van een van de zojuist genoemde Cacharel-producten waarvan van de verpakking de codering en/of het identificatienummer is verwijderd of onzichtbaar gemaakt op zodanige wijze dat daardoor de verpakking is beschadigd;
* en waarbij de dwangsom zal worden verbeurd aan L'Oréal;
- Kruidvat bevolen om binnen tien dagen na betekening van het in deze te wijzen arrest ten behoeve van Lancôme, Cacharel, L'Oréal en Picasso aan Parfums & Beauté een lijst met namen en adressen te verschaffen:
* van de personen die vanaf 11 oktober 1993 parfumerieproducten als bedoeld in sub 1 van de appeldagvaarding aan Kruidvat hebben geleverd,
* alsmede van de personen die aan Kruidvat parfumerieproducten hebben geleverd die na 31 december 1995 niet door of met toestemming van Lancôme c.s. in de EER in het verkeer zijn gebracht,
* een en ander met specificatie van de geleverde referenties en aantallen en onder verbeurte van een dwangsom van € 4.537,80 (ƒ 10.000,--) voor iedere dag gedurende welke Kruidvat in gebreke zal zijn volledig aan dit bevel te voldoen, waarbij de dwangsom ten aanzien van Lancômeproducten zal worden verbeurd aan Lancôme, ten aanzien van Cacharel-producten aan L'Oréal en ten aanzien van de Paloma Picasso-producten aan Picasso & Cie;
- aan het door de rechtbank in het bestreden vonnis onder 7 opgelegde verbod een dwangsom van € 453,78 (ƒ 1.000,--) verbonden voor iedere overtreding,
* waarbij als overtreding zal worden aangemerkt de verkoop en het in voorraad hebben van een kleinhandelsverpakking van een van de Lancôme-producten, respectievelijk van Cacharel- of Paloma Picasso-producten, waarvan Kruidvat niet kan aantonen dat deze door of met toestemming van de merkhouder in de EER in het verkeer zijn gebracht,
* en waarbij de dwangsom ten aanzien van Lancôme-producten wordt verbeurd aan Lancôme, ten aanzien van Cacharel-producten aan L'Oréal en ten aanzien van de Paloma Picasso-producten aan Picasso & Cie;
- bepaald dat boven een bedrag van € 4.537.802,16 (ƒ 10.000.000,--) geen dwangsommen verbeurd zullen worden, waaronder begrepen eventuele uit hoofde van het bestreden vonnis verbeurde dwangsommen;
- de kosten van de procedure in eerste aanleg (alsmede de in het incident tot voeging gevallen kosten) tussen partijen in die zin gecompenseerd dat iedere partij de eigen kosten draagt;
- Kruidvat verwezen in de kosten van zowel het principaal als het incidenteel hoger beroep;
- dit arrest uitvoerbaar bij voorraad verklaard, en
- het meer of anders gevorderde afgewezen.
Het arrest van het hof is aan dit arrest gehecht.
2. Het geding in cassatie
Tegen het arrest van het hof heeft Kruidvat beroep in cassatie ingesteld. De cassatiedagvaarding is aan dit arrest gehecht en maakt daarvan deel uit.
Lancôme c.s. hebben geconcludeerd tot verwerping van het beroep.
De zaak is voor partijen toegelicht door hun advocaten.
De conclusie van de Advocaat-Generaal J.L.R.A. Huydecoper strekt tot verwerping van het beroep, met precisering als aan het slot van alinea 54 onder d) van deze conclusie is aangegeven.
De advocaten van Kruidvat hebben bij brief van 24 mei 2006 op die conclusie gereageerd.
3. Beoordeling van het middel
3.1 In cassatie kan van het volgende worden uitgegaan.
(i) Lancôme is houdster van de bij het Benelux-Merkenbureau ingeschreven rechten op de merken Lancôme, Niosôme en Trésor voor onder meer de warenklasse 3 (parfumerieën, eaux de toilette en andere cosmetische en schoonheidsproducten).
(ii) Cacharel is krachtens internationale merkinschrijving houdster van het recht op het merk Cacharel voor onder meer de warenklasse 3.
(iii) L'Oréal is krachtens internationale merkinschrijvingen houdster van rechten op de merken Anaïs Anaïs, Lou Lou en Eden voor onder meer de warenklasse 3.
(iv) Cacharel et Cie is houdster van de rechten van de formules voor de bereiding van de producten die onder de merken Cacharel, Anaïs Anaïs, Lou Lou en Eden worden verkocht.
(v) Picasso is krachtens internationale merkinschrijving houdster van de rechten op het merk Paloma Picasso voor onder meer de warenklasse 3.
(vi) Picasso et Cie is houdster van de rechten van de formules voor de bereiding van de producten die onder het merk Paloma Picasso worden verkocht.
(vii) P & B is de algemene vertegenwoordiger in Nederland van Lancôme, Cacharel et Cie en Picasso et Cie en als zodanig belast met de opbouw en handhaving van de Lancôme-, Cacharel- en Paloma Picasso- verkooporganisaties in Nederland.
(viii) Parfums & Beauté is door P & B belast met de verkoop en distributie van de Lancôme-, Cacharel- en Paloma Picasso-producten in Nederland.
(ix) Lancôme, Cacharel et Cie en Picasso et Cie laten de van hen afkomstige parfumerie-artikelen in de handel brengen door middel van hun gesloten, zelfstandige en onderling verschillende verkooporganisaties (selectieve distributie), die zich uitstrekken over de gehele Europese Unie, en ook daarbuiten. In het kader van dit distributiesysteem stellen Lancôme, Cacharel et Cie en Picasso et Cie kwalitatieve eisen aan de door hen erkende wederverkopers, die de desbetreffende merkartikelen krachtens de met hen gesloten dépositairecontracten slechts mogen doorverkopen binnen de keten van wederverkopers, respectievelijk slechts aan eindverbruikers voor hun persoonlijke behoeften. Teneinde Lancôme, Cacharel et Cie en Picasso et Cie tot controle in staat te stellen zijn die wederverkopers jegens hun Nederlandse vertegenwoordiger Parfums & Beauté contractueel verplicht desgevraagd hun boeken voor onderzoek door accountants ter beschikking te stellen.
(x) Ter controle op de naleving van voormelde verkoopverplichtingen worden de Lancôme-, Cacharel en Paloma Picassoproducten door een streepjescode gecodeerd per product per wederverkoper.
(xi) Kruidvat exploiteert een keten van drogisterijen in geheel Nederland. Geen van die verkooppunten behoort tot de onder (ix) bedoelde wederverkopers.
(xii) Van de door Kruidvat verkochte producten waren alle zichtbare codes, waaronder in het bijzonder de hiervoor onder (x) bedoelde streepjescodes op de verpakkingen, verwijderd ("decoderen"). Bij het decoderen wordt het cellofaan van de verpakking verwijderd, wordt het flesje (flacon of potje) uit de verpakking gehaald en wordt deze kartonnen buitenverpakking veelal geheel uit elkaar gehaald. Van de oorspronkelijke verpakking wordt de originele streepjescode verwijderd, waarna een fantasiestreepjescode wordt aangebracht of een lange witte rechthoek met een ietwat ruw oppervlak resteert, ofwel de streepjescode wordt uitgesneden en op de plaats van de uitgesneden code wordt vervolgens een witte sticker geplakt. Na het decoderen wordt het product weer ingepakt, waarbij veelal weer het oorspronkelijke cellofaan wordt aangebracht.
(xiii) In de periode 26 november 1993 - 7 september 1996 werden in de Kruidvatwinkels producten van Lancôme c.s. te koop aangeboden, die buiten de EER in het verkeer waren gebracht.
(xiv) Picasso is ontwerpster van de verpakkingen waarin producten onder het merk Paloma Picasso op de markt worden gebracht. Haar uit die ontwerpen voortvloeiende rechten heeft zij overgedragen aan Picasso et Cie.
(xv) [Verweerster 7] is ontwerpster van de verpakkingen van de Cacharelproducten Anaïs Anaïs, Lou Lou en Eden. Zij heeft haar aan die ontwerpen verbonden rechten overgedragen aan Cacharel et Cie.
(xvi) De ontwerpen van de verpakkingen en de vormgeving van de Lancôme-producten zijn tot stand gekomen binnen de organisatie van Lancôme, met uitzondering van de Trésor-producten. De verpakking en vormgeving van Trésor is tot stand gebracht door een Franse vennootschap, die de desbetreffende rechten heeft overgedragen aan Lancôme. De verpakking en vormgeving van de Lancôme-producten gaan niet terug op een individueel aan te wijzen ontwerper, maar zijn het resultaat van collectieve inspanning.
3.2 Lancôme c.s. hebben aan hun onder 1 weergegeven vorderingen ten grondslag gelegd, kort gezegd, dat de handelwijze van Kruidvat inbreuk maakt op hun merkrechten en op de hun toekomende rechten om zich te verzetten tegen aantasting of verminking van de in de verpakkingen van de producten belichaamde (auteursrechtelijk beschermde) werken, en dat die handelwijze ook overigens onrechtmatig is. In het bestreden arrest heeft het hof beslist als onder 1 weergegeven. De uitkomst van het geding in feitelijke instanties is dat de vorderingen van Lancôme c.s. grotendeels zijn toegewezen.
3.3.1 Onderdeel 2 richt zich tegen het in rov. 4.13-4.15 neergelegde oordeel van het hof dat geen sprake is van een stelsel van distributie dat het reële gevaar meebrengt van afscherming van nationale markten.
Het hof heeft - na in rov. 4.12 de bewijsregels te hebben samengevat die zijn verwoord in HvJEG 8 april 2003, zaak C-244/00, Jurispr. 2003, p. I-3051 e.v. (Van Doren/Lifestyle) en na in rov. 4.13 het standpunt van Kruidvat te hebben weergegeven dat aanleiding bestaat tot omkering van de bewijslast omdat, kort gezegd, het selectieve distributiesysteem dat Lancôme c.s. hanteren het reële gevaar meebrengt dat de nationale markten worden afgeschermd - in rov. 4.15 geoordeeld dat uit de (in rov. 4.14 geciteerde) bepalingen van het door Lancôme c.s. gehanteerde dépositairecontract volgt dat het erkende wederverkopers uit de EER is toegestaan te kopen en verkopen van/aan andere erkende wederverkopers, zodat van een gevaar voor afscherming van nationale markten niet blijkt. Het hof heeft voorts overwogen dat Kruidvat geen (andere) feiten en omstandigheden heeft aangevoerd op grond waarvan kan worden vastgesteld dat er een reëel gevaar bestaat dat de nationale markten worden afgeschermd wanneer Kruidvat zelf zou moeten bewijzen dat de waren door de merkhouder of met diens toestemming in de EER in het verkeer zijn gebracht, en dat derhalve de bewijslast op Kruidvat blijft rusten.
Het onderdeel klaagt dat het gewraakte oordeel onjuist, althans onbegrijpelijk is, dan wel dat het hof daarbij zonder (toereikende) motivering is voorbijgegaan aan de, volgens Kruidvat essentiële, stelling dat het wederverkopers van Lancôme c.s. is verboden de producten aan consumenten buiten het eigen grondgebied te verkopen.
3.3.2 Het onderdeel faalt. Het oordeel van het hof is gebaseerd op de vaststelling dat het onderhavige selectieve distributiesysteem van Lancôme c.s. de erkende wederverkopers uit de EER vrij laat de producten onderling te verhandelen, en steunt derhalve op de, aan het hof voorbehouden, uitleg van de desbetreffende bepalingen van het dépositairecontract. Dit oordeel geeft niet blijk van een onjuiste rechtsopvatting. 's Hofs oordeel is voorts niet onbegrijpelijk en voldoende gemotiveerd, mede in aanmerking genomen dat in 's hofs vaststellingen ligt besloten dat het distributiesysteem van Lancôme c.s. de erkende wederverkopers in de EER niet belemmert aan eindgebruikers in hun land producten te verkopen die zij van erkende wederverkopers in een ander land in de EER hebben gekocht.
3.4 Onderdeel 7.4 klaagt dat het hof (op bladzijde 29 van zijn arrest) heeft bepaald dat de dwangsom wordt verbeurd aan L'Oréal, in plaats van aan [verweerster 7], wier recht het is dat wordt geschaad bij overtreding van het desbetreffende verbod waarop de dwangsom ziet.
De klacht treft doel. Deze klacht kan echter niet tot cassatie leiden, omdat het hof kennelijk bij vergissing - naar ook door Lancôme c.s. wordt onderkend - heeft bepaald dat de dwangsom zal worden verbeurd aan L'Oréal. Deze vergissing kan eenvoudig worden hersteld door in het dictum in plaats van "L'Oréal" te lezen: "[verweerster 7]".
3.5 De overige klachten van het middel kunnen niet tot cassatie leiden. Zulks behoeft, gezien art. 81 RO, geen nadere motivering nu de klachten niet nopen tot beantwoording van rechtsvragen in het belang van de rechtseenheid of de rechtsontwikkeling.
4. Beslissing
De Hoge Raad:
verstaat dat in het dictum van het arrest van het gerechtshof te Amsterdam van 14 oktober 2004 op bladzijde 29 in plaats van "en waarbij de dwangsom zal worden verbeurd aan l'Oréal" wordt gelezen "en waarbij de dwangsom zal worden verbeurd aan [verweerster 7]";
verwerpt het beroep;
veroordeelt Kruidvat in de kosten van het geding in cassatie, tot op deze uitspraak aan de zijde van Lancôme c.s. begroot op € 362,34 aan verschotten en € 2.200,-- voor salaris.

Feiten en procesverloop
1) De thans in cassatie aanhangige zaak betreft de bodemprocedure die gevolgd is op een eerder tussen partijen(1) gevoerd, en eveneens in cassatie beoordeeld kort geding(2). In deze bodemprocedure verschillen de ter beoordeling voorgelegde vragen overigens in meerdere opzichten van de kwesties die in het kort geding ter beoordeling stonden - alleen daarom al valt het te begrijpen, dat een omvangrijk cassatiemiddel de geschilpunten tussen partijen opnieuw aan de Hoge Raad voorlegt.
Het ging, respectievelijk gaat, in beide procedures wel over hetzelfde verschijnsel: de verkoop, door de eiseres tot cassatie, Kruidvat, van producten - namelijk: luxe parfumerieën en schoonheidsproducten - die van de verweersters in cassatie, Lancôme c.s., afkomstig zijn, en die verhandeld worden buiten het stelsel van "erkende" distributeurs om waarlangs Lancôme c.s., met toepassing van zogenaamde "selectieve distributie", hun producten zelf aan het publiek in Nederland aanbieden.
Daarbij is tevens aan de orde dat de producten waar het om gaat worden ontdaan van de batch- en codenummers die Lancôme c.s., onder meer met het oog op het kunnen traceren van de herkomst van de desbetreffende producten, daarop (laten) aanbrengen; en dat partijen verdeeld zijn over de vraag of dit een ontoelaatbare aantasting van het "image" van deze producten oplevert, waardoor inbreuk wordt gemaakt op aan Lancôme c.s. toekomende merk- of auteursrechten.
2) De relevante feiten vat ik als volgt samen(3):
a) Lancôme, Cacharel, L'Oréal en Paloma Picasso zijn ieder houdster van een of meer merken die zijn ingeschreven, en worden gebruikt voor luxe parfumerieën en aanverwante schoonheidsproducten.
b) P&B en Parfums & Beauté vormen de Nederlandse distributieorganisatie voor producten van Lancôme, Cacharel en Picasso & Cie.
c) Lancôme, Cacharel en Picasso & Cie laten de van hen afkomstige producten in de handel brengen door middel van zogenaamde selectieve distributie, dat wil zeggen: via gesloten verkooporganisaties waarbinnen aan de wederverkopers kwaliteitseisen worden opgelegd, en ook de verplichting wordt opgelegd, de relevante producten alleen verder te verkopen aan eindverbruikers voor hun persoonlijke behoeften én aan andere "erkende" wederverkopers. Het systeem voorziet tevens in controlemogelijkheden voor Lancôme c.s.
Ter controle op de naleving van de zojuist aangeduide verplichtingen worden de producten waar het om gaat voorzien van controletekens ("streepjescode"), gecodeerd per product en per wederverkoper.
d) Kruidvat exploiteert een keten van drogisterijbedrijven. Geen daarvan maakt deel uit van de distributieorganisatie van Lancôme c.s. Kruidvat heeft producten van Lancôme c.s. verkocht die buiten de EER in het verkeer waren gebracht.
e) Van de door Kruidvat verkochte producten waren de sub c bedoelde controletekens verwijderd. Daartoe wordt het cellofaan van de verpakking van het product gehaald, wordt de kartonnen buitenverpakking uit elkaar gehaald en wordt de streepjescode verwijderd. Dan wordt het product weer ingepakt en wordt de cellofanen omhulling weer aangebracht(4).
f) Paloma Picasso en [verweerster 7] zijn de respectieve ontwerpsters van de verpakkingen van een deel van de relevante producten, te weten: de producten die onder het merk Paloma Picasso worden verhandeld, en de producten die onder de merken Anaïs Anaïs, Lou Lou en Eden worden verhandeld. Van de (overige) Lancôme-producten, met één uitzondering(5), zijn de verpakkingen en vormgeving het resultaat van "collectieve inspanning" van betrokkenen binnen de organisatie van Lancôme.
3) Zoals al terloops gezegd, gaat het in deze zaak om de geoorloofdheid van de verhandeling, door Kruidvat, van de producten van Lancôme c.s. onder de in de vorige alinea in korte samenvatting weergegeven condities. Lancôme c.s. menen dat de handelwijze van Kruidvat inbreuk maakt op hun merkrechten en op de hun toekomende rechten om zich te verzetten tegen aantasting of verminking van de in de verpakkingen van de producten belichaamde (auteursrechtelijk beschermde) werken, en dat die handelwijze ook overigens onrechtmatig is. Kruidvat weerspreekt dat.
4) Zowel in de eerste aanleg als in appel hebben de rechters van de feitelijke instanties het namens Lancôme c.s. verdedigde standpunt (grotendeels) als het juiste beoordeeld(6); in het verlengde daarvan hebben zij de vorderingen die Lancôme c.s. aan het van hun kant verdedigde standpunt verbonden, voor het merendeel toegewezen(7).
Namens Kruidvat is tijdig en regelmatig cassatieberoep ingesteld(8). Lancôme c.s. hebben laten concluderen tot verwerping. Van beide zijden zijn de standpunten schriftelijk toegelicht, en is er gerepliceerd respectievelijk gedupliceerd.
Bespreking van het cassatiemiddel
5) Het middel heeft zeven "hoofdonderdelen". Deze stellen telkens verschillende aspecten van het op een breed front gevoerde debat van partijen, in cassatie (opnieuw) aan de orde. Ik bespreek de middelonderdelen in de volgorde waarin die zijn aangevoerd - die overigens aansluit bij de volgorde waarin de geschilpunten in het in cassatie bestreden arrest zijn beoordeeld.
6) De onderdelen 1 en 1.1 zijn gericht tegen een vaststelling in rov. 4.5 van het bestreden arrest; namelijk de vaststelling dat terzake van een van de ter zitting - bij de pleidooien ten overstaan van het hof op 27 november 2003 - getoonde producten door Lancôme c.s. was opgemerkt dat dit van buiten de EER afkomstig was, en dat dit van de kant van Kruidvat niet zou zijn weersproken. Met het in deze vaststelling besloten liggende oordeel heeft het hof, zo vat ik de klacht samen, de regels betreffende het zogenaamde "grievenstelsel" miskend, of tenminste (in verschillende opzichten) normen van behoorlijke procesorde veronachtzaamd.
7) De beoordeling van deze klacht(en) hangt in niet onbelangrijke mate af van hoe men de verschillende teksten waar de klacht een beroep op doet, uitlegt. Daarbij is dan weer van belang, dat voorzover het gaat om de uitleg die het hof aan partijstandpunten of aan oordelen van de rechter van de eerste aanleg heeft gegeven, die uitleg heeft te gelden als "feitelijk", en dus in cassatie niet op juistheid kan worden beoordeeld(9).
8) Dat vooropgesteld zijnde, denk ik van de klachten van deze onderdelen het volgende:
- ten eerste lijkt mij voor twijfel vatbaar, of deze vaststelling het oordeel van het hof waar die vaststelling bij betrokken wordt, mede draagt: het hof leidt die vaststelling in met "daarbij komt"; en dat kan betekenen dat het hier een ten overvloede gegeven beschouwing betreft, terwijl het daarvóór al gemotiveerde oordeel ook zonder die beschouwing in dezelfde zin gegeven zou zijn.
- ten tweede meen ik dat het middel ten onrechte als vaststaand aanneemt dat uit de in onderdeel 1.2 aangehaalde vindplaatsen zou blijken dat de rechter in eerste aanleg, of althans Lancôme c.s., als vaststaand hebben aangenomen dat voor alle relevante producten steeds zou gelden, dat niet aan de hand van de "gedecodeerde" verpakking kan worden beoordeeld waar het product voor het eerst op de markt is gebracht. De tekst waar het middel hier een beroep op doet kan men zo lezen (en volgens mij heeft het hof die ook zo gelezen), dat veelal geldt dat aan "gedecodeerde" producten niet te zien is waar die voor het eerst op de markt zijn gebracht, en dat dat met name voor de parallel-handelaar die met die producten in aanraking komt niet te zien is, waar producten voor het eerst op de markt zijn gebracht. In dat verband (namelijk: in verband met het probleem dat Kruidvat niet zou kunnen vaststellen waar op de markt aangetroffen producten voor het eerst in het verkeer zijn gebracht) zijn de stellingen en vaststellingen die hier namens Kruidvat worden aangehaald, namelijk gedaan. Daarmee is natuurlijk niet gezegd dat voor alle producten en altijd geldt, dat de herkomst niet op grond van de loutere verpakking kan worden vastgesteld; en ook niet, dat Lancôme c.s. zelf niet af en toe de herkomst van een product zouden kunnen vaststellen, terwijl Kruidvat dat niet kan(10). De verdergaande stelling waar het middel van uitgaat, lag dus niet in de stellingen waar het middel op steunt besloten; en klaarblijkelijk heeft het hof deze (vast)stellingen ook niet gelezen in de zin die het middel nu tot uitgangspunt neemt. Daarmee ontvalt de grond aan de klacht, dat het hof het grievenstelsel zou hebben miskend.
9) Blijft te beoordelen of aan het hof kan worden verweten dat het, door met het hier bedoelde gegeven rekening te houden, een onaanvaardbare koerswijziging van Lancôme c.s. heeft gebillijkt en/of de ruimte voor Kruidvat om zich te verweren onvoldoende heeft gerespecteerd.
Ook dit betoog steunt, in belangrijke mate, op de te vergaande uitleg die in deze middelonderdelen aan de aangehaalde passages uit de processtukken wordt gegeven; als men, zoals in de vorige alinea werd gedaan, een minder vergaande uitleg voor juist houdt (althans: als men aanneemt dat het hof die, binnen de grenzen van de aan het hof voorbehouden beoordelingsmarge, kon huldigen), is er geen sprake van een onaanvaardbare koerswijziging aan de kant van Lancôme c.s., maar "gewoon" van een nieuw feitelijk gegeven(tje) dat zich, buiten het kader van de tot dusver vastgestelde feiten, in de loop van de appelinstantie aandient. Met dergelijke gegevens mag rekening worden gehouden, mits de grenzen van de goede procesorde niet worden veronachtzaamd(11); en of dat laatste het geval is, kan in cassatie maar beperkt worden getoetst. Dat een detailkwestie als de onderhavige bij een pleidooi in appel ter sprake komt, en dat de appelrechter dan rekening houdt met (het uitblijven van) een reactie van de partij in wier nadeel het gegeven pleit, betekent niet zonder meer dat de goede procesorde is veronachtzaamd. Of dat het geval is hangt af van een scala aan begeleidende omstandigheden, die aan de hand van overwegend feitelijke waardering moeten worden beoordeeld. Ik meen dat het hof geredelijk kon oordelen dat het, zonder de goede procesorde geweld aan te doen, met dit gegeven rekening mocht houden (wat impliceert dat aan Kruidvat voldoende ruimte voor verweer was gelaten). Het lag - anders dan in de jurisprudentie die namens Kruidvat wordt aangehaald(12) - in dit geval binnen de feitelijke beoordelingsmarge van het hof om daar zo over te oordelen.
10) Onderdeel 1.2 neemt tot uitgangspunt de veronderstelling dat het hof zou hebben aangenomen dat alle producten in de Kruidvatwinkels gedecodeerd zijn. Ik zie echter geen aanknopingspunt(en) die die veronderstelling ondersteunen. Het hof heeft, op het voetspoor van de rechtbank, in hoofdzaak twee aspecten van de handelwijze van Kruidvat veroordeeld (en daar ge- dan wel verboden aan verbonden), namelijk
- vormen van betrokkenheid bij het "decoderen" van producten van Lancôme c.s., daaronder ook begrepen de verhandeling van dergelijke producten. Bij deze handelwijze en de daarop gerichte ge- of verboden kan het naar de aard daarvan alleen om "gedecodeerde" producten gaan, en is dus irrelevant in hoeverre Kruidvat ook bij de handel in niet-gedecodeerde producten betrokken is of was.
- vormen van betrokkenheid bij de verhandeling van producten van Lancôme c.s. die na 31 december 1995 niet met toestemming van de desbetreffende rechthebbende binnen de EER in het verkeer waren gebracht(13) (en waarvan verdere verhandeling binnen de EER om die reden als ongeoorloofd moet worden aangemerkt). Hier doet weer niet terzake of het om wel of niet "gedecodeerde" producten gaat; en is om die reden irrelevant, in hoeverre Kruidvat ook bij de verhandeling van niet-gedecodeerde producten betrokken is of was. Relevant is hier alleen, wanneer de desbetreffende producten voor het eerst met toestemming van de desbetreffende rechthebbende in het verkeer waren gebracht en, voorzover dat na 1 december 1995 was, of het met toestemming in het verkeer brengen binnen de EER plaatsvond.
11) Noch voor de oordeelsvorming van het hof noch voor de uitleg van de uitgesproken ge- en verboden is daarom van betekenis of Kruidvat naast "gedecodeerde" ook "niet-gedecodeerde" producten verhandelt of heeft verhandeld; en het is al daarom onaannemelijk dat het hof dit gegeven bij zijn oordeel heeft betrokken. (Daarnaast geldt, denk ik, dat Kruidvat bij deze klacht geen belang heeft: ook al zou het hof zich wel een voorstelling hebben gemaakt omtrent het hier bedoelde gegeven, voor de toewijsbaarheid van het gevorderde en de uitleg van de dicta kan dat geen verschil maken).
12) Onderdeel 1.3 neemt, op zichzelf met juistheid, tot uitgangspunt dat voor toewijzing van een rechterlijk verbod een voldoende plausibele aanleiding moet bestaan; en tevens, dat zo'n aanleiding gewoonlijk bestaat, wanneer aannemelijk is gemaakt dat bij gebreke van het verbod verdere ongeoorloofde handelingen van de partij tegen wie het verbod gevorderd wordt in de toekomst zullen plaatsvinden. Het onderdeel poneert dat het hof te makkelijk zou hebben aangenomen dat aan dit vereiste voldaan is; maar voor dat verwijt lijkt mij geen deugdelijke grond aanwezig.
Ik loop de verschillende argumenten die het onderdeel aanvoert achtereenvolgens na:
- het feit dat er in het verleden gedecodeerde producten zijn verhandeld zou onvoldoende zijn om vrees voor toekomstig ongeoorloofd handelen aan te nemen. Deze tegenwerping is al daarom niet doeltreffend, omdat het hof heeft vastgesteld dat Kruidvat na 1 januari 1996 gedecodeerde producten is blijven verhandelen en dat nog steeds (ik bedoel natuurlijk: nog ten tijde dat het hof tot oordelen werd geroepen) doet(14). Het hof heeft dus niet enkel het feit dat er in het verleden gedecodeerde producten werden verhandeld aan zijn oordeel ten grondslag gelegd(15).
- 's hofs redengeving dat decodering het onmogelijk maakt de herkomst van producten te verifiëren, zou onbegrijpelijk zijn. Ook deze klacht lijkt mij niet doeltreffend. Ik meen dat hier een variant aan de orde is van de misvatting waarop ook onderdelen 1 en 1.1 berusten: het hof heeft overwogen - nog steeds in rov. 4.5 - dat de herkomst van gedecodeerde producten niet gemakkelijk te achterhalen is - niet, dat dat onmogelijk is.
Deze overweging is zeer wel verenigbaar met het feit dat het een enkele maal wél mogelijk zou zijn om de herkomst van een gedecodeerd product vast te stellen.
Het evidente en ook onweersproken feit dat het - nogal omslachtige, en dus vermoedelijk navenant kostbare - decoderen in praktijk wordt gebracht met de uitsluitende bedoeling om het vaststellen van de herkomst van de gedecodeerde producten te bemoeilijken, maakt deze overweging van het hof eens te meer plausibel én begrijpelijk.
- Het ontbreken van "afdoende controle" zou onvoldoende grond vormen voor het aannemen van een reële dreiging van toekomstig onrechtmatig handelen, (mede) omdat - zo parafraseer ik - niet zou zijn gesteld of gebleken dat op de afspraken van Kruidvat met haar toeleveranciers geen staat zou kunnen worden gemaakt.
Dit argument stuit erop af dat het hof juist met zijn overweging dat geen afdoende controle op de nakoming van Kruidvats afspraken met haar toeleveranciers mogelijk is, tot uitdrukking heeft gebracht dat naar het oordeel van het hof rekening is te houden met de (reële) kans dat die toeleveranciers het afgesprokene niet steeds zullen nakomen (of, eventueel, zelf het slachtoffer zullen blijken te zijn geworden van minder bona fide vóórleveranciers). Het bestaan van loutere niet deugdelijk controleerbare afspraken met niet nader geïdentificeerde leveranciers (in combinatie met het feit dat in het verleden is gebleken dat er producten werden verhandeld die niet met deugdelijke toestemming van de merkhouders in het verkeer waren gebracht) kán grond opleveren om aan te nemen, dat gevreesd moet worden voor toekomstig onrechtmatig handelen (ik verwijs weer naar het illustratieve geval dat ik in voetnoot 15 noemde). Het gaat hier om een weging van feitelijke omstandigheden, waarover men in cassatie geen oordeel kan vragen. Onbegrijpelijk is de uitkomst van de weging die het hof gemaakt heeft, zeker niet.
Waar het middelonderdeel nog stelt dat anderszins niet voldoende zou zijn gebleken dat er nog van inbreukmakende handelingen sprake zou zijn, stuit (ook) dat argument op mijn eerdere bedenkingen af.
13) Onderdeel 2 klaagt over de verwerping van het betoog van Kruidvat dat, met het oog op de afscherming van nationale markten die aan het distributiesysteem van Lancôme c.s. inherent zou zijn, er aanleiding zou zijn om de bewijslast ten aanzien van de herkomst van de door Kruidvat verhandelde producten van Lancôme c.s. op dezen te leggen (en niet op Kruidvat).
Dit onderdeel zoekt klaarblijkelijk steun bij de gedachten die ontwikkeld zijn in rov. 33 - 42 van het arrest HJEG 8 april 2003, Jur. 2003, p. I 3051 e.v.; BIE 2004, 11; IER 2003, 49, p. 245 e.v. m.nt. Speyart (Van Doren). Het ging in dat arrest (blijkens rov. 9 daarvan) om een systeem van zgn. "exclusieve" distributie, waarbij voor elk land van de EER (slechts) één alleenverkoper en algemeen distributeur was aangesteld, terwijl het de betrokkenen niet was toegestaan de waren aan tussenhandelaren te leveren voor wederverkoop buiten het aan dezen toegewezen gebied(16).
14) In dit arrest oordeelde het HJEG dat de bewijslast ten aanzien van de herkomst van door een derde verhandelde merkproducten (in geval van geschil over de vraag of die producten met toestemming van de merkhouder in de EER in het verkeer waren gebracht) rust op de derde, die zich tot zijn verweer op de zo-even aangehaalde (uitzonderings)regel beroept (rov. 33 - 36).
Maar, vervolgde het HJEG, op deze bewijsregel moet met het oog op de art. 28 en 30 EG-Verdrag een uitzondering worden gemaakt wanneer die regel de merkhouder in staat stelt de nationale markten af te schermen en aldus het voortbestaan van eventueel tussen de lidstaten bestaande prijsverschillen bevordert, wat bijvoorbeeld bij een systeem van exclusieve distributie het geval kan zijn; zodat, wanneer de derde aantoont dat hiervan sprake is (dwz.: dat er een reëel gevaar bestaat dat de nationale markten worden afgeschermd wanneer de bewijsregel wordt gehandhaafd), de merkhouder moet bewijzen dat de waren aanvankelijk door hem of met zijn toestemming buiten de EER in het verkeer waren gebracht (rov. 37 - 41)(17).
15) Het zal geen verbazing wekken dat parallel-importeurs van via selectieve distributiesystemen verkochte waren, de redenering uit dit arrest graag aangrijpen om zich tegen aanspraken van merkhouders te verweren. Zij leggen dan, allicht, de nadruk op de overweging van het HJEG dat "bijvoorbeeld in situaties waarin....de merkhouder zijn waren binnen de EER in de handel brengt door middel van een exclusief distributiesysteem" er een reëel gevaar van afscherming van de nationale markten bestaat (rov. 39); en zij scheren daarbij systemen van exclusieve distributie met systemen van selectieve distributie - zie voetnoot 16 hiervóór - over één kam.
Van de kant van de merkhouders wordt, evenzeer begrijpelijk, benadrukt dat het HJEG aansluitend heeft overwogen dat de gevonden regel van bewijslastomkering pas opgeld doet als de derde "erin slaagt aan te tonen dat er een reëel gevaar bestaat dat de nationale markten worden afgeschermd wanneer hij zelf moet bewijzen dat de waren door de merkhouder of met diens toestemming binnen de EER in de handel zijn gebracht" (rov. 41). Het loutere bestaan van - althans - een selectief distributiesysteem betekent - aldus deze merkhouders - niet dat met het reële gevaar van afscherming van de markten rekening moet worden gehouden - daarentegen moet de derde "erin slagen aan te tonen" dat dat in het gegeven geval wél zo is.
16) In het thans in cassatie te beoordelen geval heeft het hof onderzocht óf er gevaar voor afscherming van de nationale markten was gebleken. Het hof heeft dus klaarblijkelijk het arrest van het HJEG niet zo uitgelegd, dat dat gevaar aan ieder systeem van selectieve distributie inherent moet worden geacht.
Of dat inderdaad de strekking is van de hier bedoelde overwegingen van het HJEG, lijkt mij niet geheel boven twijfel verheven - in elk geval blijkt daar in de literatuur zeer verschillend over te worden gedacht. Sommigen zien het inderdaad zo, als in de opvatting die ik in de vorige alinea aan parallel-importeurs heb toegeschreven(18); anderen menen dat, althans waar het om selectieve distributie en niet exclusieve distributie gaat, de overwegingen van het HJEG de ruimte laten die het hof zich in deze zaak heeft gegund: dus de ruimte, om in het concrete geval te beoordelen of er daadwerkelijk van afscherming van de markt(en) - of van een reëel gevaar daarvoor - is gebleken(19).
17) Van belang is daarbij allicht, wat men zich moet voorstellen bij de hier beoogde "afscherming van de markt".
Men zal op het eerste gezicht geneigd zijn te denken dat het hierbij moet gaan om een ongeoorloofde, "an sich" met de regels van EG recht strijdige afscherming - bijvoorbeeld een afscherming die op een met art. 81 EG Verdrag onverenigbare afspraak/afgestemde feitelijke gedraging berust, of op een met de art. 28 - 31 EG Verdrag strijdige uitoefening van rechten van intellectuele eigendom. Tegen die gedachte pleit echter al meteen, dat systemen van exclusieve distributie zoals die in het Van Doren-arrest aan de orde waren, niet persé met het communautaire mededingingsrecht in strijd zijn(20) - en dat het HJEG in dit arrest niet differentieert naar systemen die mededingingsrechtelijk wel of niet toelaatbaar zijn.
18) In de arresten HJEG 11 november 1997, Jur. 1997, p. I 6227 e.v., NJ 1999, 216 (Loendersloot) en HJEG 11 juli 1996, Jur. 1996, p. I 3457 e.v. (Bristol-Myers Squibb), allebei zaken betreffende het zogenaamde "ompakken" dan wel opnieuw van merken voorzien van van de merkhouder afkomstige waren, heeft het HJEG zich ook uitgesproken over het verschijnsel van "afscherming van de markt(en)". Aan de rov. 34 e.v. van het arrest-Loendersloot ontleen ik, wat dat betreft, de volgende gedachten:
- terwijl bij parallel-import van geneesmiddelen (het onderwerp van het arrest Bristol-Myers Squibb) er rekening mee moet worden gehouden dat afscherming van de markten het gevolg is van discrepanties tussen nationale systemen van geneesmiddelendistributie (waar de merkhouder niet noodzakelijkerwijs de hand in heeft, en waarbij ook niet terzake doet óf de merkhouder de afscherming wel of niet bewust heeft willen bewerkstelligen, zie rov. 36), is bij parallel-import van andere goederen veeleer de vraag of de op zichzelf met het merkenrecht strijdige ompakking/heretikettering noodzakelijk is om de bevoorradingsbronnen van de parallelhandel te beschermen (rov. 38)(21).
- daarbij kan niet worden uitgesloten dat het noodzakelijk is, verpakkingen of etiketten te wijzigen met het oog op het feit dat de producenten (hier worden bedoeld: de met de merkhouder samenwerkende of verbonden producenten), ook indien die gedragingen inbreuken op de mededingingsregels van het EG Verdrag zouden opleveren, identificatietekens aanbrengen om de weg die hun producten gegaan zijn te kunnen natrekken, en wel om te voorkomen dat hun wederverkopers aan personen leveren die zich met de parallelhandel bezig houden (rov. 39). In dat geval is het overigens als merkinbreuk aan te merken ompakken/heretiketteren dus kennelijk (toch) geoorloofd.
- identificatietekens kunnen echter ook worden aangebracht met het oog op wettelijke (etiketterings)verplichtingen of legitieme doeleinden zoals identificatie van partijen levensmiddelen, terugroepen van gebrekkige producten of bestrijding van namaak. Als dat laatste het geval is, en óók als identificatietekens met zowel legitieme bedoelingen als met de bedoeling om lekken in de verkooporganisatie op te sporen worden aangebracht, worden de parallel-handelaren verwezen naar de bescherming in het kader van het mededingingsrecht van het EG Verdrag (rov. 41 - 43). In dat geval, zo begrijp ik het, is hun inbreuk op het merkenrecht dus niet als "gelegitimeerd" aan te merken.
19) Wanneer ik de overwegingen uit het Loendersloot-arrest in verband breng met die uit het Van Doren-arrest ben ik geneigd te denken dat de marge, die wordt opengelaten voor gelegitimeerde parallel-handel waarbij "vrij wordt omgesprongen" met andermans merkrechten, een beperkte is; en dat daarbij alleen inbreuken op de rechten van de merkhouder worden "gelegitimeerd" als er aan diens zijde sprake is van effectieve afscherming van de markten (bijvoorbeeld door voorschriften betreffende de geneesmiddelenvoorziening of door een systeem van exclusieve distributie (dat immers naar zijn aard een zekere territoriale opsplitsing van de markt beoogt); maar niet, als het door de merkhouder/producenten in stand gehouden distributiesysteem als geoorloofd moet worden aangemerkt en daaraan niet inherent is, dat er afscherming van markten plaatsvindt. En zelfs wanneer, in het laatste geval, dat systeem naast geoorloofde doelen mede een (ongeoorloofde) beperking van legitieme parallel-handel zou beogen, zo begrijp ik rov. 43 van het Loendersloot-arrest, kan het zo zijn dat voor de parallel-handelaar niet de weg van (gelegitimeerde) merkinbreuk openstaat, maar dat deze moet "terugvallen" op de verdragsrechtelijke mededingingsregels(22).
20) Tegen de achtergrond van deze beschouwingen meen ik, dat het (Amsterdamse) hof de juiste uitleg aan het Van Doren-arrest heeft gegeven: het is niet zo dat aan ieder systeem van "gerestringeerde" distributie het vermoeden moet worden verbonden, dat zich (reëel gevaar van) afscherming van de markten voordoet (waardoor de bewijslast ten aanzien van de herkomst van de betreffende producten althans voor een deel naar de merkhouder wordt verlegd); en het is dus, als het om distributiesystemen gaat waaraan "afscherming" niet inherent is, aan de partij die zich op het bestaan van (een reëel gevaar voor) afscherming van de markten beroept - in de onderhavige zaak dus: aan Kruidvat - om te stellen en waar vereist aannemelijk te maken, dat daarvan wél sprake is.
21) Bij die uitkomst lijkt mij het oordeel van het hof dat er van een gevaar voor afscherming van de nationale markten niet blijkt, noch rechtens aanvechtbaar noch on(voldoende) begrijpelijk.
Ik begrijp rov. 4.15 van het bestreden arrest zo, dat het hof zich bij dit oordeel vooral heeft laten leiden door zijn vaststelling dat het distributiesysteem van Lancôme c.s. de erkende wederverkopers uit verschillende tot de EER behorende landen de vrijheid laat om de Lancôme-producten(23) onderling aan elkaar te verkopen.
Ik denk dat men aan de hand van dat gegeven inderdaad kán komen tot het oordeel dat er onvoldoende blijkt van gevaar voor marktafscherming. "Parallel-handel" op het niveau van de erkende distributeurs - en reeds: de enkele mogelijkheid dat die handel zich zal ontwikkelen als prijsverschillen tussen de EER-landen (trouwens: ook minder omvangrijke regio's binnen dat gebied) dat lucratief maken - kán immers een waarborg opleveren dat men het niet zo ver zal laten komen, en dat dus afscherming van de nationale markten én de als gevolg daarvan gevreesde "ongevoeligheid" van de prijzen op de nationale markten voor prijsfluctuaties elders, zich niet zullen voordoen. Zoals hoger al gesuggereerd, kan men dit bij een systeem van selectieve distributie, waaraan immers niet naar zijn aard een zekere territoriale opsplitsing inherent is, gemakkelijker aannemen dan bij een systeem van exclusieve distributie (waarbij territoriale opsplitsing expliciet beoogd wordt).
Óf de hier geboden vrijheid - ik bedoel dan: de vrijheid van distributeurs onderling om elkaar te beleveren - een voldoende waarborg biedt, is iets wat aan de hand van feitelijke waardering moet worden vastgesteld(24). Het ligt in de rede dat de uitkomst van die waardering maar bij uitzondering als niet-begrijpelijk zal zijn aan te merken. Dit lijkt mij zeker niet zo'n geval.
22) Daarom denk ik dat het hof kon komen tot het hier bestreden oordeel - ik bedoel dan het oordeel dat onvoldoende van gevaar voor afscherming van de nationale markten bleek; en dat daaraan het in cassatie namens Kruidvat benadrukte feit dat er in het systeem van Lancôme c.s. geen ruimte zou zijn voor verkoop, op detailhandelsniveau, aan eindgebruikers uit andere EER-landen het hof niet tot een andere uitkomst noopte. De ruimte voor onderlinge verkoop op het niveau van erkende distributeurs kan men immers, zoals ik al zei, beoordelen als voldoende om het gevaar voor "afscherming" te ondervangen; het hof hoefde zich door het hier namens Kruidvat benadrukte aspect niet van het tegendeel te laten overtuigen.
23) Daarbij komt dat ik het arrest van het hof zo begrijp, dat het hof de bepalingen uit de dépositaire-contracten zo heeft uitgelegd, dat die niet iedere verkoop aan afnemers-eindgebruikers uit andere EER-landen verbieden. Een uitleg waarbij verkoop is toegestaan aan iedere gegadigde die zich bij de dépositaire vervoegt, ongeacht de herkomst van die gegadigde, ligt immers nogal voor de hand.
Het middel verdedigt in dit verband, zoals al aangestipt, dat namens Kruidvat specifiek een beroep op een andere uitleg van de depositaire-contracten zou zijn gedaan (en dat er bij die uitleg wel een relevante "afscherming" zou moeten worden vastgesteld) - maar wat namens Kruidvat op de in het middel (en in de schriftelijke toelichting) aangehaalde plaatsen in de pleitnota in appel (alinea 27) en blijkens het proces-verbaal van de pleitzitting in appel (bladzij 4) hierover is aangevoerd, noopt bepaald niet tot de lezing die in de stukken in cassatie wordt verdedigd, en liet wat mij betreft ook alle ruimte voor de uitleg van de depositaire-contracten die ik aan het begin van deze alinea aan het hof heb toegeschreven.
Bij die uitleg (van de depositaire-contracten) kan men veronderstellen dat, wanneer er aanmerkelijke prijsverschillen tussen aangrenzende gebieden in de EER zouden optreden, afnemers zich in merkbare aantallen bij dépositaires aan de "goedkope" kant van de gebieds-grens zullen vervoegen. Daardoor komt de prijs van de dépositaire aan de "dure" kant van die grens onder druk te staan; en als die zijn prijs verlaagt, oefent dat weer druk uit op de prijs van de dépositaires in het daaraan grenzende gebied.
Aan de hand van zo'n redenering kan men besluiten dat ook een "halfdoorlatend" systeem van selectieve distributie, dat tot op zekere hoogte gevoelig blijft voor het effect van prijsverschillen aan weerszijden van de landsgrenzen, in relevante mate kan bijdragen tot het niet intreden van de afscherming van markten, die volgens Kruidvat gevreesd moest worden.
De combinatie van het in de vorige alinea besproken gegeven (vrije handel tussen dépositaires) met het zojuist beschreven effect van de contractsbepalingen zoals die, naar ik aanneem, door het hof zijn begrepen, maakt de door het hof gevonden uitkomst - onvoldoende blijk van gegronde vrees voor marktafscheiding - eens te meer plausibel.
24) In dit verband moet ik er wel op wijzen dat de Europese Commissie het standpunt heeft ingenomen dat het een mededingingsrechtelijk ontoelaatbare beperking is (of kan zijn), wanneer het de deelnemers aan een selectieve distributie-organisatie op detailhandelsniveau wordt verboden, de contractsproducten via het internet aan te prijzen én te verkopen.
Tegelijkertijd wordt echter het standpunt ingenomen dat de beperking tot verkoop via "erkende" of "toegelaten" verkooppunten wél toelaatbaar is(25).
25) Tussen deze beide standpunten kan men een zekere discrepantie bespeuren: verkoop via het internet is immers niet aan een bepaalde plaats van vestiging gebonden, en dus moeilijk verenigbaar met een verplichting om zijn verkoop slechts vanuit "erkende" vestigingsplaatsen te verrichten.
De tegenstrijdigheid die ik hier meen te bespeuren dringt zich eens te meer op als men zich er rekenschap van geeft, dat stelsels van selectieve distributie als geoorloofd middel om concurrerend werkzaam te zijn, plegen te worden gerechtvaardigd met argumenten die er op neerkomen dat voor bepaalde producten of diensten - waaronder: parfumerieën en schoonheidsmiddelen - de verkoop via kwalitatief daarop ingerichte verkooppunten dienstig of zelfs noodzakelijk is met het oog op deskundigheid en serviceverlening, al-dan-niet gecombineerd met een breed en kwalitatief superieur productassortiment die, resp. dat men in zulke verkooppunten kan bieden(26). Als dát de drijfveren zijn die tot het hanteren van selectieve distributie aanzetten én die de daarmee gepaard gaande beperkingen rechtvaardigen, valt opnieuw niet in te zien hoe men dat met internet-verkoop denkt te kunnen rijmen. Begeleiding van ter plaatse aanwezige deskundigen en een hoog niveau van serviceverlening (ook) bij advisering en (verdere) verkoopbegeleiding, zijn immers zaken die bij verkoop via het internet niet, of niet dan met aanzienlijke beperkingen te realiseren zijn.
26) Men kan zich, in verband hiermee, afvragen of de beschouwingen van de Commissie die ik eerder aanhaalde, "at face value" genomen moeten worden, dan wel of men daarbij bij nader inzien in meerdere of mindere mate nuanceringen zal (moeten) aanbrengen.
Voor de onderhavige zaak behoeft dit intussen misschien niet verder te worden overwogen of uitgediept: namens Kruidvat is in de feitelijke instanties geen beroep gedaan op een beperking in de depositaire-contracten die verkoop aan particulieren via het internet aan banden zou leggen (naar in de rede ligt: omdat zij nog geen rekening kon houden met de bronnen van EG-recht waaruit opgemaakt zou kunnen worden dat dit een relevant gegeven kan zijn. Aan de rechtsregels zoals die destijds (al) golden, verandert dit echter niets.). Ook het hof behoefde daarmee dus geen rekening te houden (als het het hof al vrijstond daar rekening mee te houden).
27) Daarbij komt nog dit: in HR 3 december 2004, NJ 2005, 118 m.nt. MRM, rov. 3.7.2. - 3.7.3, wordt overwogen dat de vaststelling dat er in een gegeven geval sprake is van een overeenkomst met mededingingsverstorende gevolgen (als bedoeld in art. 81 EG Verdrag), een feitelijk onderzoek - in de vorm van een marktanalyse - vergt, waaraan hoge eisen worden gesteld.
In alinea's 18 - 20 hiervóór heb ik verdedigd dat "afscherming van markten" zoals bedoeld in het Van Doren-arrest door de rechter moet worden onderzocht aan de hand van hem door de partij die zich hierop wenst te beroepen aannemelijk gemaakte gegevens. Het is dan, meen ik, bepaald aannemelijk dat daarbij - ongeveer - dezelfde beoordelingsmaatstaf moet worden aangelegd, als de in HR 3 december 2004 bevestigde maatstaf.
Aan het hof waren in deze zaak geen gegevens voorgelegd die grondslag zouden kunnen opleveren voor een gedegen onderzoek/marktanalyse, zoals die voor een vaststelling als de onderhavige nodig zou zijn(27).
Ook dat lijkt mij een reden waarom de onderhavige klachten in cassatie geen effect kunnen sorteren: er kan, ook in deze instantie, worden vastgesteld dat er geen gronden aan het hof waren voorgehouden die de vaststelling dat er van een afscherming van markten sprake was, zouden kunnen dragen. (Al) daarom kan de uitkomst waartoe het hof is gekomen, niet als onjuist worden gekwalificeerd (en uiteraard ook niet als onvoldoende begrijpelijk).
28) In de voorafgaande alinea's ben ik er - zonder dat met zoveel woorden uit te spreken -, van uit gegaan dat de rechtspraak van het HJEG voldoende houvast biedt om te kunnen beoordelen hoe het Europese recht op het onderhavige punt moet worden uitgelegd. Daarover kan men allicht ook anders denken. Denkt men daar inderdaad anders over, dan zou er aanleiding zijn om het HJEG prejudiciële vragen voor te leggen, ter nadere opheldering van de rechtstoestand met betrekking tot parallel-handel in merkartikelen die via een selectieve distributie-organisatie worden aangeboden. Als vragen die dan voor opheldering in aanmerking zouden komen, beschouw ik:
- of (ook) bij verkoop via een systeem van selectieve distributie, als werkhypothese c.q. uitgangspunt moet worden aanvaard dat daardoor een reëel gevaar ontstaat van afscherming van nationale markten als bedoeld in (rov. 39 van) het Van Doren-arrest, met als gevolg dat de in dat arrest aangegeven consequenties voor de bewijslast ten aanzien van de herkomst van via parallel-handel aangeboden merkartikelen intreden; dan wel of het aan de (feitelijke) rechter is om vast te stellen of van een reëel gevaar van afscherming van de nationale markten sprake is; en in het laatste geval: of de feitelijke rechter hierbij een bepaalde beoordelingsmaatstaf in acht moet nemen, en zo ja: welke dat is.
- of, aangenomen dat de zojuist omschreven vraag in de als tweede omschreven zin moet worden beantwoord, het feit dat binnen de selectieve distributie-organisatie in kwestie aanbieding en verkoop via het internet niet - expliciet - zijn toegestaan, meebrengt, dan wel ertoe kan bijdragen, dat moet worden aangenomen dat er een reëel gevaar ontstaat van afscherming van nationale markten als in het Van Doren-arrest bedoeld;
- of voor het antwoord op de eerder geformuleerde vragen (of een of meer daarvan) gewicht in de schaal legt dat de merkartikelen waarvan tussen partijen (namelijk: merkhouders aan de ene kant, en een parallel-handelaar aan de andere kant) omstreden is waar die voor het eerst met toestemming van de merkhouder in het verkeer zijn gebracht, zonder toestemming van de merkhouders waren ontdaan van controletekens die het mogelijk maken om vast te stellen via welke kanalen die goederen in het verkeer zijn gebracht; en zo ja, in welk opzicht dat het geval is(28).
29) Ik kom dan toe aan onderdeel 3 van het middel. Daarin wordt bestreden de wijze waarop het hof, in het vierde met een "gedachtestreepje" beginnende onderdeel van het dictum, heeft omschreven welke evenementen als overtreding van het (al in de vorige instantie) aan Kruidvat opgelegde verbod zullen gelden. Het hof had, daar komt het op neer, dat niet afhankelijk mogen stellen van de voorwaarde dat Kruidvat niet kan aantonen dat de desbetreffende producten niet door de merkhouder of met diens toestemming in de EER in het verkeer zijn gebracht.
Een van de klachten die het middelonderdeel (in subonderdeel 3.2) in stelling brengt is, dat het hof hiermee buiten het kader van de rechtsstrijd in appel zou zijn getreden. Die klacht is ongegrond, nu de door het hof gekozen formulering klaarblijkelijk rechtstreeks is ontleend aan het petitum onder 4 van de namens Lancôme c.s. uitgebrachte appeldagvaarding. Tegen de formulering van het dictum "an sich" was trouwens namens Kruidvat in appel geen bezwaar ingebracht (haar bezwaren richtten zich op de materiële vraag óf aan de desbetreffende veroordeling een dwangsom behoorde te worden "gekoppeld"; de formulering van de dwangsomveroordeling is niet ter discussie gesteld). Daarmee was dit ongetwijfeld mede inzet van de rechtsstrijd in appel; en geldt tevens dat er, daargelaten of het hof daar de vrijheid toe had, voor het hof geen aanleiding was om aan de formulering van het dictum op dit punt, specifiek aandacht te besteden.
30) Hier meteen op aansluitend, beoordeel ik ook de klacht van het eerste subonderdeel (subonderdeel 3.1) als ondeugdelijk. Die klacht strekt ertoe dat een dwangsom-veroordeling geen ruimer bereik zou mogen hebben dan het verbod waar de dwangsom aan wordt verbonden.
Deze gedachte, die zich overigens op het eerste gezicht als plausibel aandient, leidt in het onderhavige geval niet tot het beoogde doel, omdat miskend wordt dat er geen strikt onderscheid kan (of mag) worden gemaakt tussen het door de rechtbank in de eerste aanleg opgelegde verbod enerzijds, en de daaraan op vordering van Lancôme c.s. in appel verbonden dwangsom anderzijds.
Voorzover immers de formulering van de dwangsomsanctie die Lancôme c.s. in appel vorderden inderdaad zou betekenen dat een ruimer gebied werd bestreken dan het door de rechtbank gegeven verbod, bete | Translation - English

1. with effect from the date of the judgment to be passed in this matter, to prohibit Kruidvat et al from removing and/or damaging the cellophane and/or the coding and or the identification numbers from the packaging of the Lancôme and/or Cacharel and/or Paloma Picasso products and/or from instructing third parties to this effect, as well as prohibiting Kruidvat et al from selling, offering for sale or stocking Lancôme and/or Cacharel and or Paloma Picasso products of which the packaging had been damaged and/or modified through removing the coding and/or identification numbers and/or on which these numbers had been rendered illegible and/or of which the original cellophane packaging had been removed, damaged or replaced subject to a penalty of ƒ 1.000 for every infringement - infringement being understood to mean the selling and stocking of a retail packaging of one of the Lancôme, Cacharel or Paloma Picasso products respectively, the cellophane of which had been removed or damaged and/or the coding and/or identification numbers of which had been removed or damaged resulting in the penalty being forfeited to Lancôme in respect of the Lancôme products, to L'Oréal in respect of the Cacharel products and to Paloma Picasso et Cie in respect of the Paloma Picasso products;
2. within ten days of the judgment to be passed in this matter being served, to order Kruidvat et al each individually to furnish Parfums & Beauté a list of the names and addresses of the persons who supplied Kruidvat et al with Lancôme and/or Cacharel and/or Paloma Picasso products as referred to under (1) in the course of the past 36 months, with details of the references and quantities supplied, subject to a penalty, by each of Kruidvat et al to Lancôme in respect of the Lancôme products, to L'Oréal in respect of the Cacharel products and to Paloma Picasso et Cie in respect of the Paloma Picasso products, of ƒ 10,000 for each day during which Kruidvat et al each individually are in default of fully complying with this order;
3. to prohibit Evora from selling, offering for sale or stocking Lancôme, Cacharel and Paloma Picasso products, subject to a penalty of ƒ 1,000 for each infringement - infringement being understood to mean the selling, offering for sale and stocking of a retail packaging of one of the Lancôme, Cacharel or Paloma Picasso products respectively - resulting in the penalty being forfeited to Lancôme in respect of the Lancôme products, to L'Oréal in respect of the Cacharel products and to Paloma Picasso et Cie in respect of the Paloma Picasso products;
4. with effect from the date of the judgment to be passed on this matter, to prohibit Kruidvat et al from selling, offering for sale or stocking Lancôme and/or Cacharel and/or Paloma Picasso products not put into circulation in the European Economic Area by or with the consent of the respective proprietors of the trademarks, subject to a penalty of ƒ 1,000 for each infringement - infringement being understood to mean the selling and stocking of a retail packaging of one of the Lancôme, Cacharel or Paloma Picasso products respectively, of which Kruidvat et al could not demonstrate that they were put into circulation in the EEA with the trademark proprietor’s consent, in any event of which the coding and/or identification numbers had been removed, as a result of which the trademark proprietors were not (or no longer) in a position to establish whether the products had been legitimately put into circulation in the EEA, resulting in the penalty being forfeited to Lancôme in respect of the Lancôme products, to L'Oréal in respect of the Cacharel products, and to Paloma Picasso et Cie in respect of the Paloma Picasso products;
5. to order Kruidvat et al to pay the costs of these proceedings.
[Respondent 7] presented a motion for the joinder of Lancôme.
After referral on the part of Kruidvat et al and with the approval on the part of Lancôme et al, the District Court, after its interlocutory judgment dated 28 May 1997, admitted [respondent 7] by means of its final judgment dated 6 August 1997 on the procedural issue in the proceedings as joint party on the side of Lancôme et al, and referred the principal action to the cause list to continue with the proceedings.
[Respondent 7] then delivered a statement of claim in accordance with the above-mentioned claims.
Kruidvat et al contested the claims.
By judgment dated 19 November 2006, the District Court:
1. with effect from the fifth day after service of this judgment, prohibited Kruidvat et al from decoding the packaging of the Lancôme and/or Cacharel and/or Paloma Picasso products in such a way that it left a long white rectangle behind or that a white sticker was applied to it, and/or from instructing third parties to this effect;
2. with effect from the fifth day of serving this judgment, prohibited Kruidvat et al from selling, offering for sale or stocking Lancôme and/or Cacharel and/or Paloma Picasso products on which a long white rectangle or white sticker was visible on the packaging;
3. understands that with regard to Lancôme, Cacharel, L'Oréal, Cacharel et Cie, P&B Holding and Parfums & Beauté that the prohibitions issued under 1. and 2. above in respect of the Lancôme and Cacharel products have been imposed on Kruidvat and Trademax inasmuch as article 50, paragraph 6 of the [TRIPS?] Treaty has direct effect and inasmuch as the Dutch relief, laid down in section 289 of the Code of Civil Procedure, granted in interlocutory proceedings is an interim measure within the meaning of aforesaid article 50, paragraph 6;
4. with effect from the fifth day after service of this judgment, ruled that Kruidvat et al will forfeit a penalty of ƒ 1,000 for each infringement of the prohibition imposed under 2. above - infringement being understood to mean the selling and stocking of one of the Lancôme Cacharel or Paloma Picasso products respectively, on the packaging of which a long white rectangle or white sticker is visible - resulting in the penalty being forfeited to Lancôme in respect of the Lancôme products, to L'Oréal in respect of the Cacharel products and to Paloma Picasso et Cie in respect of the Paloma Picasso products;
5. ruled that no penalties would be forfeited in excess of an amount of ƒ 10,000,000;
6. ruled that this penalty amount is susceptible of mitigation, insofar as its enforcement were to be unacceptable based on standards of reasonableness and fairness, and also taking into consideration the extent to which the sentence had been complied with, the gravity of the infringement and the degree of blame attaching to the infringement;
7. with effect from the fifth day of serving this judgment, prohibited Kruidvat et al from selling, offering for sale or stocking Lancôme and/or Cacharel and/or Paloma Picasso products not put into circulation in the EEA by or with the consent of the trademark proprietors under Lancôme et al after 31 December 1995;
8. declared this judgment so far to be provisionally enforceable;
9. compensates the costs of these proceedings (as well as the costs incurred in the joinder procedural issue) among the parties in that each party bears its own costs, and
10. dismisses all other applications.
Lancôme et al l instituted appeal proceedings against the judgment with the Court of Appeal in Amsterdam. Kruidvat lodged a cross appeal.
By ruling dated 14 October 2004, NJ [Dutch Case Law] 2005, 122, the Court of Appeal quashed the disputed judgment with the exception of the decisions under 1, 2, 4 and 7, which were upheld, and insofar as the disputed judgment had been quashed, in a new judgment:
- (in addition to the decisions under 1, 2 and 4 of the disputed judgment) prohibited Kruidvat with regard to Lancôme, Cacharel, L'Oréal, Picasso, Cacharel et Cie, Picasso & Cie and Parfums & Beauté as from ten days after service of this ruling:
* from removing or damaging the cellophane and/or the coding and/or the identification numbers of the packaging of Lancôme, Cacharel and Paloma Picasso products and/or from instructing third parties to this effect,
* as well as from selling, offering for sale or stocking the perfume products of which the packaging had been damaged and/or modified by removing the coding and/or identification numbers and/or on which these numbers had been rendered illegible and/or of which the original cellophane packaging had been removed, damaged or replaced,
* all of the foregoing with due regard for the matter considered under 4.24 of this ruling and subject to a penalty of € 453.78 (ƒ 1,000) for each infringement,
* whereby infringement shall be understood to mean the selling and stocking of a retail packaging of one of the Lancôme products, of the Cacharel or Paloma Picasso products respectively of which the cellophane had been removed or damaged and/or the coding and/or identification numbers had been removed or damaged,
* and whereby the penalty in respect of Lancôme products shall be forfeited to Lancôme, in respect of the Cacharel products to L'Oréal, and in respect of the Paloma Picasso products to Picasso et Cie;
- (likewise in addition to the decisions under 1, 2 and 4 of the disputed judgment) prohibited Kruidvat with regard to [respondent 7] as from ten days after service of this ruling:
* from removing or making invisible the coding and/or identification numbers on the packaging of the Cacharel products Anaïs Anaïs, Lou Lou and Eden in such a way as to cause the packaging to be damaged and/or instructing third parties to this effect,
* as well as from selling, offering for sale or stocking the aforementioned perfume products of which the packaging had been damaged in the aforesaid manner,
* all of the foregoing subject to a penalty of € 453.78 (ƒ 1,000) to be forfeited for each infringement,
* infringement being understood to mean the selling and stocking of a retail packaging of one the aforementioned Cacharel products, of which the packaging, the coding and/or the identification numbers had been removed or made invisible in such a way that the packaging was damaged as a result;
* and whereby the penalty will be forfeited to L'Oréal;
- ordered Kruidvat, within ten days of service of the ruling to be passed on this matter, for the benefit of Lancôme, Cacharel, L'Oréal and Picasso, to furnish to Parfums & Beauté a list of names and addresses:
* of the persons who supplied perfume products, within the meaning of paragraph 1 of the appeal summons, to Kruidvat as from 11 October 1993,
* as well as of the persons who supplied Kruidvat with perfume products not put into circulation in the EEA by or with the consent of Lancôme et al after 31 December 1995,
* all of the foregoing with details of the references and quantities supplied and subject to a penalty of € 4,537.80 (ƒ 10,000) for each day Kruidvat fails to fully comply with this order, whereby the penalty in respect of Lancôme products will be forfeited to Lancôme, in respect of the Cacharel products to L'Oréal and in respect of Paloma Picasso products to Picasso & Cie;
- enforces a penalty of € 453.78 (ƒ 1,000) for each infringement under the prohibition imposed by the District Court under 7 of the disputed judgment,
* infringement being understood to mean the selling and stocking of a retail packaging of one of the Lancôme Cacharel or Paloma Picasso products respectively, of which Kruidvat was unable to show that they were put into circulation in the EEA by or with the consent of the trademark proprietor,
* and whereby the penalty in respect of Lancôme products is forfeited to Lancôme, in respect of Cacharel products to L'Oréal and in respect of Paloma Picasso products to Picasso & Cie;
- determined that in excess of an amount of € 4,537,802.16 (ƒ 10,000,000) no penalties would be forfeited, including any penalties forfeited by reason of the disputed judgment;
- compensated the costs of the proceedings in first instance (as well as the costs incurred in the joinder procedural issue) between the parties in that each party would bear its own costs;
- ordered Kruidvat to pay the costs of the appeal on the main issue as well as the cross appeal;
- declared this ruling to be provisionally enforceable, and
- dismisses all other applications.
The ruling of the Court of Appeal is attached to this judgment.
2. The proceedings in cassation
Kruidvat instituted appeal in cassation against the ruling of the Court of Appeal. The notice of appeal in cassation is attached to this ruling and forms part of it.
Lancôme et al moved that the appeal be rejected.
The matter was explained to parties by their lawyers.
The conclusion of the Advocate-General, J.L.R.A. Huydecoper holds that the appeal be rejected, specified as indicated at the end of paragraph 54 under d) of this conclusion.
By letter dated 24 May 2006, the Kruidvat lawyers responded to this conclusion.
3. Evaluation of the remedy
3.1 In the cassation proceedings we may proceed from the following.
(i) Lancôme is the proprietor of the rights to the Lancôme, Niosôme and Trésor trademarks, registered with the Benelux Trademarks Office for, inter alia, class 3 (perfumes, eaux de toilette and other cosmetics and beauty products).
(ii) Pursuant to international trademark registration, Cacharel is the proprietor of the right to the Cacharel trademark for, inter alia, class 3.
(iii) Pursuant to international trademark registration, L'Oréal is the proprietor of the rights to the Anaïs Anaïs, Lou Lou and Eden trademarks for, inter alia, class 3.
(iv) Cacharel et Cie are the proprietors of the rights to the formulas for the preparation of the products sold under the Cacharel, Anaïs Anaïs, Lou Lou and Eden trademarks.
(v) Pursuant to international trademark registration, Picasso is the proprietor of the rights to the Paloma Picasso trademark for, inter alia, class 3.
(vi) Picasso et Cie are the proprietors of the rights to the formulas for the preparation of the products sold under the Paloma Picasso trademark.
(vii) P & B are the general representatives in the Netherlands of Lancôme, Cacharel et Cie and Picasso et Cie, and as such in charge of the development and maintenance of the Lancôme, Cacharel and Paloma Picasso sales organisations in that country.
(viii) Parfums & Beauté have been put in charge by P & B of the sale and distribution of the Lancôme and Paloma Picasso products in the Netherlands.
(ix) Lancôme, Cacharel et Cie and Picasso et Cie market their perfume articles by means of their closed, independent and brand-distinctive sales organisations (selective distribution), which cover the whole of the European Union and beyond. In terms of this distribution system, Lancôme, Cacharel et Cie and Picasso et Cie impose qualitative requirements on their authorised resellers which, in pursuance of the stockist contracts they entered into, are allowed to resell the trademark articles in question only within the chain of resellers, only to end-users for their personal needs respectively. In order to enable Lancôme, Cacharel et Cie and Picasso et Cie to exercise control, these resellers are contractually obliged to Parfums & Beauté, their Dutch representative, to make available their books of account for auditing when requested to do so.
(x) To verify compliance with the aforesaid selling obligations, the Lancôme, Cacharel and Paloma Picasso products are bar-coded per product per reseller.
(xi) Kruidvat operates a chain of chemists throughout the Netherlands. None of these points of sale forms part of the resellers referred to under (ix).
(xii) All of the visible codes, including in particular the bar-coding referred to under (x) above, had been removed from the packaging of the products (“decoded”) sold by Kruidvat. In the process of decoding, the cellophane is removed from the packaging, the bottle or jar is taken out of the packaging and this outer carton packaging is mostly completely pulled apart. The barcode is removed from the original packaging, and a fancy barcode is applied, and either a long white rectangle with a slightly rough surface remains, or the barcode is cut away and a white sticker put in its place. After decoding, the product is repackaged, with the original cellophane being mostly put back in place.
(xiii) In the period 26 November 1993 to 7 September 1996, the Kruidvat shops offered for sale Lancôme et al products which had been put into circulation outside of the EEA.
(xiv) Picasso is the designer of the packaging in which products under the Paloma Picasso brand are marketed. The Picasso rights ensuing from this design were transferred to Picasso et Cie.
(xv) [Respondent 7] is the designer of the packaging of the Cacharel products Anaïs Anaïs, Lou Lou and Eden. [Respondent 7] transferred the rights related to this design to Cacharel et Cie.
(xvi) With the exception of the Trésor products, the Lancôme packaging and products were designed within the Lancôme organisation. The Trésor packaging and design are the work of a French company, which transferred the rights concerned to Lancôme. The packaging and design of the Lancôme products are not the work of an individual designer but are the result of collective efforts.
3.2 Lancôme et al have based their claims set out under 1. above on the fact that – briefly put - the actions of Kruidvat are in breach of their trademark rights and the rights accruing to them to oppose the infringement or mutilation of the (copyright-protected) works embodied in the packaging of the products, and that these actions are otherwise also unlawful. In the disputed ruling, the Court of Appeal decided as set out under 1. The outcome of the proceedings in the fact-finding instances is that the claims of Lancôme et al have been largely sustained.
3.3.1 Part 2 is directed at the opinion of the Court of Appeal laid down in ratio decidendi 4.13-4.15 that there is no question of a system of distribution that implies the real danger of protection of national markets.
After summarising the rules of evidence set out in ECJ 8 April 2003, case No. C-244/00, Jurispr. [ECJ Case Law] 2003, p. I-3051 ff. (Van Doren/Lifestyle) in ratio decidendi 4.12, and after stating the standpoint of Kruidvat in ratio decidendi 4.13 that there is cause for reversing the burden of proof because, briefly put, the selective distribution system applied by Lancôme et al implies the real danger that the national markets are being protected – the Court of Appeal held in ratio decidendi 4.15 that it follows from the provisions (referred to in ratio decidendi 4.14) of the stockist contract used by Lancôme et al that authorised resellers in the EEA are allowed to buy from and sell to other authorised resellers, so that there is no evidence to show that there is a danger of national markets being protected. The Court of Appeal further held that Kruidvat did not put forward any (other) facts and circumstances on the grounds of which it could be established that there was a real danger of the national markets being protected when it was up to Kruidvat itself to prove that the goods had been put into circulation in the EEA by or with the consent of the trademark proprietor, and that the burden of proof therefore continued to be borne by Kruidvat.
The part complains that the disputed opinion is incorrect, at any rate incomprehensible, or that in this respect the Court of Appeal overlooked, without (adequate) reason, the argument - which according to Kruidvat is of the essence – that resellers of Lancôme et al were prohibited from selling the products to consumers beyond their own territory.
3.3.2 The part fails. The opinion of the Court of Appeal is based on the conclusion that the Lancôme et al selective distribution system under review leaves the EEA authorised resellers free to trade the products amongst themselves, and therefore relies on the Court of Appeal’s prerogative to interpret the provisions in question of the stockist contract. This opinion does not show any evidence of an incorrect interpretation of the law. The Court of Appeal’s opinion is, moreover, not inexplicable and based on sufficient reasons, including the reason implied in the Court of Appeal’s conclusions that Lancôme et al’s distribution system does not stand in the way of the EEA authorised resellers to sell products they bought from authorised resellers in another country of the EEA to end-users in their country.
3.4 Part 7.4 complains that the Court of Appeal (on page 29 of its ruling) held that the penalty is to be forfeited to L'Oréal, instead of to [respondent 7], whose right it is that is being impaired by the infringement of the prohibition to which the penalty relates.
The complaint succeeds. However, this complaint cannot lead to cassation, because the Court of Appeal, apparently erroneously – which Lancôme et al also recognise –concluded that the penalty would be forfeited to L'Oréal. This error can be simply rectified by reading “[respondent 7]” in the dictum instead of "L'Oréal".
3.5 The other complaints of the argument cannot lead to cassation. Considering section 81 of the [RO?], this does not require any further grounds since the complaints do not call for the answering of issues of law in the interest of the unity of law or the development of law.
4. Decision
The Supreme Court:
understands that in the dictum of the ruling of the Amsterdam Court of Appeal of 14 October 2004 on page 29 instead of “and whereby the penalty will be forfeited to l'Oréal" must be read "and whereby the penalty will be forfeited to [respondent 7] ";
rejects the appeal;
orders Kruidvat to pay the costs of the cassation proceedings, up until this ruling on the part of Lancôme et al estimated at € 362.34 by way of disbursements and € 2,200 by way of fees.
This ruling was passed by the vice-president, D.H. Beukenhorst, as chairman and Justices P.C. Kop, J.C. van Oven, E.J. Numann and W.A.M. van Schendel, and pronounced in open court by Justice E.J. Numann on 22 September 2006.

Facts and course of the proceedings
1) The case currently before the court of cassation concerns the proceedings on the merits of the case following earlier interim injunction proceedings between the parties ( ) likewise considered in cassation ( ). In the proceedings on the merits of the case, the questions put forward for consideration otherwise differed in several respects from the issues that were the subject of consideration in the interim injunction proceedings – which in themselves made it understandable that the points at issue between the parties were again the subject of a comprehensive cassation remedy being submitted to the Supreme Court.
In both procedures, the points at issue were, or are, still concerned with the same phenomenon: the sale by Kruidvat, the appellant in cassation, of products - namely: luxury perfume and cosmetic products – originating from the respondents in cassation, Lancôme et al, and which are marketed outside of the system of “authorised” distributors by means of which Lancôme et al, by applying so-called “selective distribution”, themselves offer their products to the public in the Netherlands.
Also of relevance in this matter is that the batch and code numbers which Lancôme et al applied or had others apply to the products concerned - among other things with a view to being able to trace the origin of the products in question - were removed from them; and that parties are divided about the question whether this caused an unacceptable impairment of the image of these products, resulting in infringing the trademark rights or copyrights accruing to Lancôme et al .
2) I sum up the relevant facts as follows ( ):
a) Each of Lancôme, Cacharel, L'Oréal and Paloma Picasso is the holder of one or more registered trademarks that are used for luxury perfume and related cosmetic products.
b) P&B and Parfums & Beauté constitute the Dutch distribution organisation of Lancôme, Cacharel and Picasso & Cie products.
c) Lancôme, Cacharel and Picasso & Cie have the products originating from them marketed by means of so-called selective distribution, that is to say: via closed selling organisations within which qualitative requirements are imposed on the resellers, as well as the further obligation to sell the relevant products only to end-users for their personal needs, and to other “authorised” resellers. The system further provides Lancôme et al with control facilities.
To verify compliance with the aforesaid obligations, the products in question are provided with barcodes, enabling identification of the product and the reseller.
d) Kruidvat operates a chain of chemist shops. None of these forms part of the Lancôme et al distribution organisation. Kruidvat sold products of Lancôme et al which has been brought into circulation outside of the EEA.
e) The barcodes referred to under c) above had been removed from the products sold by Kruidvat. To this end, the cellophane of the product packaging is taken off, the outer carton packaging taken apart and the bar-coding removed. The product is then repackaged and the cellophane packaging put back ( ).
f) Paloma Picasso and [respondent 7] are the respective designers of the packaging of some of the relevant products, namely: the products marketed under the Paloma Picasso trademark, and the products marketed under the Anaïs Anaïs, Lou Lou and Eden trademarks. Of the (other) Lancôme products, with one exception ( ), the packaging and design are the result of “collective efforts” by the parties concerned within the Lancôme organisation.
3) As already stated in passing, the case under review concerns the lawfulness of the marketing by Kruidvat of the products of Lancôme et al under the conditions summarised in the previous paragraph. Lancôme et al believe that the actions of Kruidvat are an infringement of their trademark rights and the rights accruing to them to oppose the impairment or mutilation of the works (protected by copyrights) embodied in the packaging of the products, and that these actions are otherwise also unlawful. Kruidvat disputes this.
4) In both the first instance and on appeal, the judges dealing with the proceedings in the fact-finding instances held that the standpoint defended on behalf of Lancôme c.s. was (largely) correct ( ); as an extension to this, they sustained most of the claims that Lancôme et al had coupled to the standpoint they defended ( ).
Appeal in cassation was duly and timely instituted on behalf of Kruidvat ( ). Lancôme et al moved to have it dismissed. The standpoints were explained in writing by both sides and a written reply and rejoinder respectively were submitted.
Discussion of the cassation remedy
5) The remedy has seven “main parts”, each of which considers different aspects of the parties’ debate, conducted on a broad front, in cassation (again). I propose to discuss these parts of the remedy in the sequence in which they were put forward. This sequence coincides with that of the points at issue in the ruling contested in cassation.
6) Parts 1 and 1.1 are directed at the conclusion in ratio decidendi 4.5 of the contested ruling, namely that in respect of one of the products Lancôme et al exhibited at the hearing – during the counsel’s pleas before the Court of Appeal on 27 November 2003 – it was noted that it originated from outside the EEA, and that this had reportedly not been contradicted by Kruidvat. With the opinion implied in this conclusion, the Court of Appeal - and what follows is my summary interpretation of the ground for appeal - failed to recognise the rules of what is known as the “system of contentions”, or at any rate (in different respects) disregarded the standards of proper rules of procedure.
7) The evaluation of these grounds for appeal depends in no small measure on how one interprets the different texts on which they rely. Of importance in this regard in turn, is that inasmuch as we are concerned with the Court of Appeal’s interpretation of party standpoints or of opinions of the judge in first instance, this interpretation has to apply as de facto, so that its correctness cannot be evaluated in cassation ( ).
8) Having said that, my opinion of the contentions of these parts is as follows:
- firstly, it seems to me that it is open to doubt whether this conclusion has been a supporting factor in the Court of Appeal’s opinion, in which this conclusion was taken into consideration: the Court of Appeal introduces this conclusion with the words "in addition", meaning that in the given context this consideration may well have been dispensed with, when the reason for the opinion might already have been given without this consideration in the same sentence;
- secondly, I believe that in the remedy it is erroneously assumed as fact that it would appear from the locations referred to in part 1.2 that the court in first instance, or at any rate Lancôme et al , accepted as fact that, based on the “decoded” packaging, it could reportedly not be evaluated where the product had first been brought onto the market, and that this invariably applied to all relevant products. The text invoked here in the remedy can be read in such a way (and in my opinion the Court of Appeal did read it in that way), that with “decoded products” it is mostly the case that one cannot see where they were first brought onto the market, and that particularly parallel traders who come into contact with these products cannot see where these products were first brought onto the market. It is in that context (namely in the context of the problem that Kruidvat was reportedly unable to determine where products which it came across in the market had first been put into circulation) that the arguments and conclusions referred to here on behalf of Kruidvat were notably made. Of course, this does not mean that the origin of all products can never be determined based on their packaging alone; nor does it mean that Lancôme et al themselves would at times be able to determine the origin of a product, where Kruidvat was unable to do so ( ). The further argument which the remedy assumes was therefore not implied in the arguments the remedy relies upon; and apparently the Court of Appeal did not read these arguments and conclusions into the sentence which the remedy now takes as its point of departure. This deprives the ground for appeal of its contention that the Court of Appeal failed to recognise the system of contentions.
9) What remains to be assessed is whether the Court of Appeal, by taking into account the fact referred to here, can be blamed for approving an unacceptable change of direction by Lancôme et al and/or for allowing Kruidvat insufficient room to defend itself.
This argument, too, relies to a significant extent on the undue interpretation given in these parts of the remedy to the cited passages of the court documents; if as was done in the previous paragraph one were to consider a less far-reaching interpretation as correct (at any rate: if one assumes that the Court of Appeal could honour it within the confines of its evaluation margins), there would be no question of any unacceptable change of direction on the part of Lancôme et al , but “simply” of a new de facto small piece of information presenting itself, in the course of the appeal, outside of the framework of facts established thus far. Such facts may be taken into account provided the boundaries of good rules of procedure are not disregarded ( ); and whether the latter is the case can be assessed in cassation only to a limited extent. For a question of detail such as that under review to be addressed in appeal pleadings, and for the appeal judge to then take into account a reaction (or the lack of it) by the party to whose detriment the fact counts, does not necessarily mean that good rules of procedure have been disregarded. Whether or not this is the case depends on a wide range of guiding circumstances, which have to be assessed on the basis of strong de facto evaluation. I believe that the Court of Appeal was able readily to assess that it was allowed to take this fact into account without harming good rules of procedure (which implies that Kruidvat was allowed adequate room for defence). Unlike in the case law referred to on behalf of Kruidvat ( ), in the case under review it was within the Court of Appeal’s actual evaluation margin to rule on that in this way.
10) The point of departure in part 1.2 is the assumption that the Court of Appeal supposedly accepted that all products in the Kruidvat shops had been decoded. I do not see any reference point or points, however, supporting this assumption. In the wake of the District Court, the Court of Appeal disapproved in the main of two aspects of Kruidvat’s actions (and attached orders or prohibitions thereto), namely:
- forms of involvement in the decoding of Lancôme et al products, including the marketing of such products. In the case of this action and the orders or prohibitions attaching thereto, it can by its very nature only concern “decoded products”, so that it is accordingly irrelevant to what extent Kruidvat is or was also involved in trading in non-decoded products.
- forms of involvement in the marketing of Lancôme et al products which had been brought into circulation in the EEA after 31 December 1995 without the consent of the right-holders ( ) (and the further marketing of which within the EEA must for this reason qualify as unlawful). Again, it does not matter here whether these are “decoded” products or not; and it is accordingly irrelevant to what extent Kruidvat is or was also involved in the marketing of non-decoded products. Here is of relevance only when the products in question had first been put into circulation with the consent of the right-holder in question and, insofar as this was after 1 December 1995, whether putting these products into circulation with the consent of the right-holder happened within the EEA.
11) Neither for the formation of the Court of Appeal’s opinion, nor for the interpretation of the orders and prohibitions adjudged by the court is it therefore of significance whether Kruidvat markets or has marketed “decoded” as well as “non-decoded” products; and it is for this reason if for no other that it is implausible that the Court of Appeal included this fact in its opinion. (In addition, I believe that Kruidvat does not have an interest in this complaint: even if the Court of Appeal had formed an idea of the fact referred to here, it would not have made any difference as regards the sustainability of the claim and the interpretation of the dicta).
12) In itself correctly, part 1.3 assumes that for the allocation of a judicial prohibition there must be a sufficiently plausible reason; and also, that such a reason usually exists when it has been made plausible that failing the prohibition, further unlawful actions by the party against which the prohibition is demanded will take place in the future. The part propounds that the Court of Appeal was too lenient in accepting that this requirement had been met; but that reproach seems to me to be without proper grounds.
I am now going one-by-one through the different arguments which the part asserts:
- the fact that decoded products were marketed in the past is insufficient to assume that future unlawful trading is to be feared in the future. This objection is not effective for the simple reason that the Court of Appeal established that Kruidvat continued to market decoded products after 1 January 1996 and still continued to do so ( ), (and I mean of course up to the time the Court of Appeal was called upon to pass judgment). The Court of Appeal, therefore, did not base its opinion only on the fact that decoded products were marketed in the past ( ).
- The Court of Appeal’s reasons for believing that decoding makes it impossible to verify the origin of the products, is incomprehensible. This complaint, too, does not seem to be effective. I believe that at issue here is a variant of the misconception on which parts 1 and 1.1 are also based: the Court of Appeal considered – again in ratio decidendi 4.5 – that while tracing the origin of the decoded products is not easy, it is not impossible.
This consideration is certainly compatible with the fact that on a single occasion it may well be possible to ascertain the origin of a decoded product.
The evident and also uncontested fact that the – rather cumbersome and hence supposedly correspondingly costly – decoding practice has the sole intention of impeding the determination of the origin of the decoded products, makes this consideration of the Court of Appeal all the more plausible as well as understandable.
- The lack of “conclusive control” constitutes insufficient grounds for assuming a genuine threat of future unlawful actions, (partly) because – this is how I paraphrase it – it has neither been argued nor demonstrated that the arrangements of Kruidvat with its sub-contractors were unreliable.
This argument falls through, given that the Court of Appeal, precisely with its consideration that no adequate control over Kruidvat’s compliance with its sub-contractors is possible, has expressed that in its opinion account has to be taken of the (real) possibility that these sub-contractors will not at all times abide by the arrangements (or possibly prove to have become victim themselves of less bona fide suppliers). The existence of mere, not properly verifiable arrangements with suppliers whose identity details are unknown (in combination with the fact that in the past products had proved to have been marketed without proper consent of the trademark proprietors to put them into circulation) can provide grounds for assuming that future unlawful actions must be feared (I again refer to the illustrative case set out in footnote 15). We are concerned here with weighing de facto circumstances about which no opinion can be asked in cassation. The outcome of the weighing the Court of Appeal has made is by no means incomprehensible.
Where the part of the remedy states that it has not otherwise been adequately proven that there had been infringing actions, that argument, too, fails on the grounds of my earlier reservations.
13) Part 2 complains about the rejection of Kruidvat’s assertion that, with a view to protecting national markets, which is reportedly inherent to the Lancôme et al distribution system, there would be reason to shift the burden of proof regarding the origin of the Lancôme et al products marketed by Kruidvat from the latter to the former.
This part apparently relies on the thoughts considered in ratio decidendi 33 - 42 of judgment ECJ 8 April 2003, ECJ Case Law 2003, p. I 3051 ff.; BIE (Industrial Property Supplement] 2004, 11; IER [Intellectual Property and Advertising Law] 2003, 49, p. 245 ff. [m.nt.?] Speyart (Van Doren). According to ratio decidendi 9 of this judgment it dealt with a so-called exclusive system of distribution, with a sole retailer and a sole general distributor being appointed for each EEA country, under which the parties concerned were not permitted to supply the goods to intermediary traders for resale outside the areas allocated to them ( ).
14) In this judgment, the ECJ held that as regards the origin of trademark products marketed by a third party (in the event of a dispute on the question of whether these products had been put into circulation in the EEA with the consent of the trademark proprietor) the burden of proof is borne by the third party, who for his defence invokes the (exception) rule referred to earlier (ratio decidendi 33 - 36).
But, the ECJ went on to say, having regard to articles 28 and 30 of the EC Treaty an exception must be made to this burden-of-proof rule when this rule enables the trademark proprietor to protect the national markets, thus facilitating the continued existence of any price differences between the Member States, which can be the case, for instance, with an exclusive system of distribution; so that when the third party shows that this is the case (that is to say that the danger of the national markets being protected is real when the burden-of-proof is maintained), the trademark proprietor must prove that the goods had initially been put into circulation in the EEA by him or with his consent (ratio decidendi 37 - 41) ( ).
15) It will cause no surprise that parallel importers of goods sold via selective distribution systems will be keen to grasp the reasoning in this ruling to defend themselves against the claims of trademark proprietors. In doing so, they would likely put the emphasis on the consideration of the ECJ that "for instance in situations in which . . . the trademark proprietor puts his goods into circulation within the EEA by means of an exclusive distribution system" there would be a real danger of protecting the national markets (ratio decidendi 39); and would thereby fail to differentiate between exclusive distribution systems and selective distribution systems (see footnote 16 above).
Just as understandably, the trademark proprietors emphasise that the ECJ, following on from the above, held that the reversal of the burden-of-proof rule that was arrived at is valid only when the third party “succeeds in showing that there is a real danger of the national markets being protected when he must himself prove that the goods were put into circulation in the EEA by or with the consent of the trademark proprietor" (ratio decidendi 41). The mere existence of – at any rate – a selective distribution system - according to these trademark proprietors does not mean that the real danger of market protection has to be taken into consideration – whereas the third party “has to successfully show” that in the case concerned it would indeed have to be so taken into account.
16) In the case currently to be considered in cassation, the Court of Appeal examined whether there had been any evidence of danger of national market protection. The Court of Appeal has therefore apparently not interpreted the ruling of the ECJ in such a way that this danger must be deemed inherent to every system of selective distribution.
Whether this is indeed the import of the ECJ’s considerations referred to here seems to me not entirely devoid of doubt – at any rate it is evident that there are very divergent views on this in the literature. Some do see it as in the interpretation I attributed to parallel importers set out in the previous paragraph ( ); others believe that – at least when it concerns selective distribution and not exclusive distribution – the ECJ’s considerations allowed for the leeway which the Court of Appeal gave itself in this case: i.e. the leeway to evaluate in a concrete case whether there was any evidence of actual protection of the market/markets, or of a real danger of this happening ( ).
17) Likely to be of importance in this is what one should understand by the “protection of the market” envisaged here.
At first sight one would be inclined to think that what is at issue here is unlawful protection, in itself a breach of the EC legal rules – such as protection based on an arrangement/concerted de facto action incompatible with article 81 of the EC Treaty, or the exercise of intellectual property rights in breach of articles 28 - 31 of the EC Treaty. At once pleading against this thought, however, is that systems of exclusive distribution such as those considered in the Van Doren ruling, are not by definition contrary to EC competition law ( ) – and that in this ruling the ECJ does not differentiate between systems that are or are not acceptable in terms of competition law.
18) In the ECJ rulings of 11 November 1997, ECJ Case Law 1997, p. I 6227 ff., Dutch Case Law 1999, 216 (Loendersloot) and 11 July 1996, ECJ Case Law 1996, p. I 3457 ff. (Bristol-Myers Squibb), both regarding cases dealing with either the so-called “re-packaging” or re-branding of the goods originating from the trademark proprietor, the ECJ has also voiced its opinion on the phenomenon of “protection of the market/markets". From ratio decidendi 34 ff. of the Loendersloot ruling, I derive the following thoughts in that respect:
- while with parallel imports of medicines (the topic of the Bristol-Myers Squibb ruling) account has to be taken of the fact that protection of markets is the result of discrepancies between national medicine distribution systems (in which the trademark proprietor does not necessarily play a part, and in which it does not matter whether the trademark proprietor did or did not consciously want to bring about the protection, see ratio decidendi 36), with the issue of parallel import of other goods the question much rather is whether the packaging/re-labelling, in itself inconsistent with trademark law, is required to protect the stocking sources of the parallel trade (ratio decidendi 38) ( );
- the necessity of changing the packaging or labelling cannot be excluded, however, bearing in mind the fact that the producers (by which is meant the producers in collaboration with or affiliated to the trademark proprietor) - even if these actions were to infringe upon the competition rules of the EC Treaty - apply identification marks to be able to trace the route their products have followed, in order to prevent that their resellers supply persons who are doing business in the parallel market (ratio decidendi 39). In that case, the repackaging/relabeling, otherwise qualifying as trademark infringement, is apparently permitted (after all);
- identification marks can, however, also be applied with a view to lawful (labelling) obligations or legitimate purposes such as the identification of foodstuff shipments, the recall of deficient products or combating cloning. When the latter is the case, and even when identification marks are applied with legitimate purposes as well as for the purpose of tracing leaks in the sales organisation, the parallel traders are referred to the protection afforded under the EC Treaty competition law (ratio decidendi 41 - 43). In that case, so I understand, their infringement of the trademark right does not qualify as “legitimate”.
19) When I link the considerations from the Loendersloot ruling with those of the Van Doren ruling, I am inclined to think that the margin, left open to the legitimated parallel trade in which the trademark rights of others are “treated with abandon”, is a limited one; and that on top of this, only infringements of the rights of the trademark proprietor are “legitimated” when effective market protection is there for his benefit (for instance through regulations governing the provision of medicines or through an exclusive system of distribution (which by its nature envisages a certain territorial division of the market); but not, where the distribution system maintained by the trademark proprietor/producers must be qualified as lawful and it is not inherent to it that market protection takes place. And even when, in the latter case, that system, in addition to lawful objectives, were to also envisage an (unlawful) restriction of legitimate parallel trading – this being my understanding of ratio decidendi 43 of the Loendersloot ruling – it could be that the (legitimated) route to trademark infringement is not open to the parallel trader, but that he must “fall back on” the competition rules under the Treaty ( ).
20) Against the background of these considerations, I believe that the (Amsterdam) Court of Appeal has correctly interpreted the Van Doren ruling: it would not be proper for every system of “restrictive” distribution to be associated with the presumption that (a real danger of) market protection is occurring (as a result of which the burden of proof is shifted at least in part to the trademark proprietor); and when it comes to distribution systems to which “protection” is not inherent, it is therefore up to the party that invokes the existence of (a real danger of) market protection - in the case under review therefore up to Kruidvat – to assert, and where required to make plausible, that this is indeed the case.
21) Given this outcome, the opinion of the Court of Appeal that there is no evidence of any danger of protection of the national markets seems to me neither contestable at law nor insufficiently [I fail to grasp the purpose/meaning of “voldoende” in this sentence] comprehensible.
The way I understand ratio decidendi 4.15 of the disputed ruling is that in forming this opinion the Court of Appeal was above all guided by its conclusion that Lancôme et al ’s distribution system allows the authorised resellers in different countries forming part of the EEA the freedom to sell the Lancôme products ( ) to each other.
I think that based on that fact one could indeed arrive at the opinion that there is insufficient evidence of the danger of market protection. Parallel trading at the level of the authorised distributors – and even the mere possibility that this trade will develop when price differences between EEA countries (and for that matter less extensive regions within that area) make this profitable – could indeed produce a guarantee that this will not be allowed to happen, and therefore that protection of national markets, and the resultant fear that prices in those markets will be insensitive to price fluctuations elsewhere, will not occur. As suggested above, this is easier to accept with a system of selective distribution, to which, by its nature, a certain territorial split is not inherent, than with a system of exclusive distribution (where a territorial split is explicitly aimed at).
Whether the freedom offered here (by which I mean the freedom of distributors among themselves to supply one another) provides sufficient guarantee is something that has to be established based on de facto evaluation ( ). It stands to reason that the outcome of this evaluation will only on rare occasions qualify as incomprehensible. I certainly don’t think that this is one of those rare occasions.
22) This is why I think that the Court of Appeal was able to arrive at this disputed opinion – by this I mean the opinion that there was insufficient evidence of the danger of national market protection; and that for this reason [should “daaraan” be “daarom”?], the fact - emphasised in cassation on behalf of Kruidvat - that in the Lancôme et al system there was no room for selling at the retail level to end-users from other EEA countries, did not prompt the Court of Appeal to arrive at a different outcome. As I said earlier, at the level of authorised distributors the room to sell to each other can be considered sufficient to overcome the danger of “protection”; as regards the aspect emphasised here on behalf of Kruidvat, there was no need for the Court of Appeal to be convinced of the opposite.
23) Furthermore, I understand the ruling of the Court of Appeal to mean that it interpreted the provisions of the stockist contracts in such a way that they do not prohibit every sale to customers/end-users from other EEA countries; after all, an interpretation whereby selling is permitted to any potential buyer who applies to the stockist, regardless of the origin of this potential buyer, is a fairly obvious one.
As intimated earlier, what the remedy defends in this connection is that on behalf of Kruidvat another specific interpretation of the stockist contracts was allegedly invoked (and that with this interpretation a relevant “protection” would have to be concluded) – but what has been asserted on behalf of Kruidvat in the places in the remedy (and in the written explanation) referred to in the written pleadings on appeal (paragraph 27) and according to the official report of the plea hearing on appeal (page 4), is by no means conducive to the interpretation being defended in the cassation documents, and as far as I am concerned also leaves ample room for the interpretation of the stockist contracts I attributed to the Court of Appeal at the beginning of this paragraph.
This interpretation (of the stockist contracts) enables the assumption to be made that in the event of significant price differences occurring between adjacent regions in the EEA, sizeable numbers of customers would apply to stockists at the “cheaper” side of the region’s border. This would cause pressure on the price of stockists on the “expensive” side of that border; and when they in turn lower their price, it puts pressure on the price of stockists in the region along that border. Based on such reasoning, one could conclude that a “semi-selective” distribution system that continues to be sensitive to some degree to the effect of price differences on either side of a country’s borders, can to a relevant extent contribute to the absence of market protection, which according to Kruidvat had to be feared.
The combination of the fact (free trade between stockists) discussed in the previous paragraph, and the aforesaid effect of contract provisions, as - I assume - the Court of Appeal understood them, makes the outcome held by the Court of Appeal – insufficient evidence of a well-founded fear of market protection – the more plausible.
24) In this connection I have to point out, however, that the European Commission has adopted the standpoint that under competition law it is (or can be) an inadmissible limitation when the participants in a selective distribution organisation are prohibited at the retail trading level from advertising and selling the contract products through the Internet.
At the same time the standpoint is adopted, however, that the selling restriction through “authorised” or “permitted” points of sale is admissible ( ).
25) Between these two standpoints one can perceive a certain discrepancy: selling through the Internet is not tied to a particular place of establishment, and hence hard to reconcile with an obligation to sell only from “authorised” places of establishment.
The contradiction which I believe is noticeable here is the more obtrusive when one realises that systems of selective distribution as a lawful means for operating competitively, tend to be justified by arguments that boil down to the claim that the sale of certain products or services – including perfumes and cosmetics - benefit from or even require qualitatively organised points of sale with a view to the availability of expertise and service, whether or not combined with a broad and qualitatively superior product assortment that such points of sale can offer ( ). If these are the main motives prompting the use of selective distribution and justifying the accompanying limitations, there is, yet again, no reason to recognise how this can conceivably be reconciled with Internet selling. After all, the guidance of experts on site and a high provision of service, (even) advisory service and (further) sales guidance are matters that are not realisable, or only subject to substantial limitations, when selling via the Internet.
26) In this respect, one can ask the question whether the considerations of the Commission to which I referred earlier must be taken at face value, or whether on further reflection they will have to be differentiated to some extent.
For the purpose of the case under review there may not be any need to consider them in any more depth or detail: a limitation in the stockist contracts restricting sales to private individuals via the Internet was not invoked in the fact-finding instances on behalf of Kruidvat (it would stand to reason that this was because it could not yet take account of the sources of EC law which might have implied that this could be a relevant fact. This does not change anything to the legal rules already in existence at the time, however.). It follows that the Court of Appeal, too, did not have to take account of this (assuming it had the freedom to do so).
27) Moreover, in SC 3 December 2004, NJ 2005, 118 [m.nt.?] [MRM?], ratio decidendi 3.7.2. - 3.7.3, it is considered that a conclusion in a given case that an agreement with competitive restraints (within the meaning of article 81 EC Treaty) plays a part, requires a de facto study - in the form of a market analysis - which is subject to high standards.
In paragraph 18 - 20 above, I argued that the “protection of markets” within the meaning of the Van Doren ruling, has to be examined by the judge based on the information made plausible to him by the party who wishes to invoke it. I believe that it is by all means plausible in this respect that – approximately - the same assessment criterion is applied as that confirmed in SC 3 December 2004.
No information was submitted to the Court of Appeal which could serve as grounds for a thorough study/market analysis, such as would have been needed for the conclusion under review ( ).
That, too, seems to me a reason why the complaints under review cannot produce any effect in cassation: also in this instance it can be concluded that no grounds were submitted to the Court of Appeal that could support the conclusion that market protection was at issue. That alone prevents the outcome reached by the Court of Appeal from being qualified as incorrect (and of course as insufficiently comprehensible).
28) Without saying it in so many words, I assumed in the aforementioned paragraphs that ECJ case law provides enough of a starting point to be able to assess how European law on this point should be interpreted. One can likely think differently about this. Where this is the case, there would be reason to submit preliminary questions to the ECJ to obtain more clarity on the legal situation as regards parallel trading in trademark articles offered via a selective distribution organisation. I would consider the following questions as qualifying for clarification:
- whether when selling via a system of selective distribution, one would (also) have to accept as working hypothesis or point of departure, as the case may be, that it would give rise to a real danger of protection of national markets within the meaning (of ratio decidendi 39) of the Van Doren ruling, resulting in the burden-of-proof consequences regarding the origin of proprietary articles offered via parallel trading, as stated in this ruling, coming into play; or whether it is up to the (fact-finding) judge to establish when there is a real danger of protection of the national markets; and in the latter case: whether the fact-finding judge has to take into account a certain assessment criterion for this, and if so which.
- assuming that the aforesaid question has to be answered in accordance with the second sentence, whether the fact that, within the selective distribution organisation in question, offer and sale via the Internet are not – explicitly – allowed, implies or can strengthen the case for acceptance of a real danger of protection of national markets occurring within the meaning of the Van Doren ruling;
- whether for an answer to the above questions (or to one or more of them) it would be of any consequence where the trademark articles about which there is controversy between the parties (namely: proprietary holders on the one hand and a parallel trader on the other) were first put into circulation with the consent of the proprietary holder, and stripped, without the consent of the proprietary holder, of the bar-coding enabling identification of the channels via which the goods were put into circulation; and if so, in what respect that would be the case ( ).
29) I now come to part 3 of the remedy. It contests the manner in which the Court of Appeal- in the fourth part of the dictum starting with a dash - describes which events would apply as infringement of the prohibition imposed on Kruidvat, and already imposed on it in the previous instance. What it boils down to is that the Court of Appeal should not have made this dependent on the condition that Kruidvat would be unable to show that the products concerned were not put into circulated in the EEA by or with the consent of the proprietary holder.
One of the complaints which the part of the remedy (sub-part 3.2) brings to bear is that the Court of Appeal is supposed to have entered the arena outside of the legal conflict on appeal. This complaint is unfounded, now that the wording chosen by the Court of Appeal is apparently directly derived from the claim for relief under 4 of the notice of appeal issued on behalf of Lancôme et al . Against the wording of the dictum in itself, no objection was otherwise brought by Kruidvat on appeal (its objections were directed to the substantive question whether a penalty ought to be “linked” to the court order in question; the wording of the penalty order was not a topic of discussion). This undoubtedly made it part of the legal conflict on appeal; and, leaving aside whether the Court of Appeal had the necessary liberty, there was no reason for it to pay specific attention to the wording of the dictum on this point.
30) Directly following on to this, I am also assessing the complaint in the first sub-part (sub-part 3.1) as unfounded. This complaint is to the effect that a penalty order should not be allowed to have a broader scope than the prohibition to which the penalty is linked.
This thought, which at first sight appears otherwise to be plausible, does not lead in the case under review to the intended goal because it fails to recognise that a strict distinction cannot (or may not) be made between the prohibition imposed in first instance by the District Court on the one hand, and the related penalty claimed by Lancôme et al on appeal on the other.
Inasmuch as the wording of the sanction of a penalty which Lancôme et al claimed on appeal would indeed mean that a broader field is covered than the prohibition imposed by the District Court, it would merely mean that – on balance - the Lancôme et al claim not only intended to have a penalty linked to the prohibition ordered in first instance, but also that the validity of the prohibition and the penalty linked to it should be broadened in relation to that whi | | Dutch to English: Partnership Agreement | Source text - Dutch

ZETTEN VOORAF UITEEN:
Partijen hebben de uitdrukkelijke bedoeling om vermogensbestanddelen, vanuit een familiaal vermogensbeheer perspectief, in te brengen in een structuur van vennootschapsrechtelijke gemeenschap en derhalve met affectio societatis. Binnen deze bedoeling kadert dan de wil om in gezamenlijk overleg het ingebrachte vermogen te beleggen in private-equity investerings- projecten die zich van tijd tot tijd aandienen.
Te dien einde willen partijen onder en met elkaar een burgerlijke maatschap oprichten, hierna genoemd “de maatschap”, onder de voorwaarden en volgens de modaliteiten zoals uiteengezet in onderhavige overeenkomst, hierna genoemd de “Statuten”.
EN KOMEN OVEREEN, OVEREENKOMSTIG HIERNAVOLGENDE BEPALINGEN, EEN BURGERLIJKE MAATSCHAP OP TE RICHTEN
INBRENG
Partijen komen overeen hiernavolgende vermogensbestanddelen in te brengen:
- Partij sub 1 brengt de volle eigendom in van een geldsom ten bedrage van
driehonderd vierendertig duizend euro (334.000€)
- Partij sub 2 brengt de volle eigendom in van een geldsom ten bedrage van
driehonderd vierendertig duizend euro (334.000€)
- Partij sub 3 brengt de volle eigendom in van een geldsom ten bedrage van
driehonderd vierendertig duizend euro (334.000€)
Partijen komen overeen dat in ruil voor voormelde inbrengen 1.002 delen op naam worden gecreëerd die, naar evenredigheid met de door partijen gedane inbrengen, worden verdeeld. Voormelde delen worden in onderling overleg als volgt verdeeld:
- Partij sub 1 krijgt 334 delen in volle eigendom
- Partij sub 2 krijgt 334 delen in volle eigendom
- Partij sub 3 krijgt 334 delen in volle eigendom
Met betrekking tot de aldus ingebrachte vermogensbestanddelen doet de inbreng in de maatschap een vennootschapsrechtelijke gemeenschap ontstaan tussen de inbrengers-vennoten.
Verder zal de maatschap omvatten: alle toekomstige interesten, vruchten en opbrengsten, hoe ook genoemd, van deze inbreng en/of van de vermogens-bestanddelen waarin zal worden herbelegd.
STATUTEN
Partijen komen overeen de statuten van huidige burgerlijke maatschap als volgt vast te stellen:
Titel I : Aard van de maatschap
Artikel 1 : Rechtsvorm – naam van de maatschap
Het door partijen beoogde samenwerkingsverband heeft de rechtsvorm van een burgerlijke maatschap en draagt de naam “Burgerlijke Maatschap XXX.”.
Telkens de maatschap naar buiten toe optreedt, maakt zij van deze naam melding. Terzake wordt onder meer gedacht aan akten, aankondigingen, bekendmakingen, brieven en andere stukken waarvoor de zaakvoerder optreedt.
Artikel 2 : Zetel
De zetel wordt gevestigd te xxx, en kan worden overgebracht naar elke andere plaats in België of in het buitenland bij besluit van de Algemene vergadering.
Artikel 3 : Doel
Het doel van de maatschap is burgerlijk van aard, en behelst hetgeen volgt: het bundelen van vermogen om de risico’s, verbonden aan investeringen in private equity te spreiden. In dit kader wordt gestreefd om een continuïteit in de samenwerking tussen de vennoten te bereiken. In dit kader zal de maatschap het vermogen beheren als een goede huisvader. Aldus kan worden belegd in alle soorten roerend vermogen, zowel in het binnenland als in het buitenland. Opbrengsten, hetzij in de vorm van periodieke inkomsten, hetzij ingevolge behaalde meerwaarden, volgen datzelfde doel en dienen conform hiermee belegd te worden. Te dien einde mag ook worden belegd in delen van een vennootschap met een industriële, handels- of andere activiteit.
Met betrekking tot de ingebrachte en nog in te brengen vermogensbestanddelen, en met betrekking tot de vermogensbestanddelen waarin desgevallend zal worden herbelegd, mogen geen handelingen worden gesteld die de burgerlijke activiteit in het gedrang zullen brengen of zouden kunnen brengen. Meer bepaald zal de maatschap alsdusdanig zich onthouden van enige industriële, handels- of andere commerciële activiteit.
De maatschap kan alle handelingen stellen die op welke wijze ook kunnen bijdragen tot de verwezenlijking van haar maatschappelijk doel, met uitdrukkelijke uitsluiting evenwel van handelingen van vermogensbeheer en/of beleggingsadvies zoals bedoeld door de wet van 4 december 1990 en het K.B. van 5 augustus 1991.
Voormelde doelstellingen zijn dermate essentieel dat ze niet kunnen worden gewijzigd dan mits unanieme toestemming van de vennoten.
Artikel 4 : Duur
De maatschap wordt aangegaan voor bepaalde duur van 30 jaar. Bovendien is de maatschap te allen tijde opzegbaar door elke vennoot middels een aangetekend schrijven aan elke andere vennoot, rekening houdend met een opzegtermijn van 6 maanden.
Titel II : Delen
Artikel 5 : Overdraagbaarheid van de delen onder levenden
Een vennoot kan zijn delen in de maatschap aan een derde noch onder bezwarende titel noch om niet overdragen, noch bezwaren met andere zakelijke rechten of zakelijke zekerheden, dan mits unanieme, voorafgaande en schriftelijke toestemming van alle andere vennoten.
Evenwel kan een vennoot te allen tijde zijn vruchtgebruik op de delen geheel of gedeeltelijk afstaan aan een blote eigenaar zonder instemming van de andere vennoten.
Elke overdracht bij toepassing van dit artikel zal worden aangetekend in het vennotenregister waarvan sprake in artikel 6.
Alle delen zijn op naam.
Artikel 6 : Vennotenregister van de maatschap
Op de zetel van de maatschap wordt een vennotenregister bijgehouden.
Hierin wordt de naam, voornaam, beroep en woonplaats van alle vennoten opgenomen, met vermelding van hun respectieve delen in de maatschap, alsook de wijzigingen hierin.
Artikel 7 : Latere inbrengen
Het staat de vennoten vrij om naderhand, en tijdens de duur van de maatschap, andere vermogensbestanddelen, welke ook, in de maatschap in te brengen, mits unanimiteit onder de vennoten.
Elke latere inbreng zal het voorwerp uitmaken van een geschreven addendum bij huidige “Statuten”. In voorkomend geval zal telkenmale ook het delenbezit, zoals hoger uiteengezet, gewijzigd worden. Eventuele wijzigingen aan de verhouding in de delen van de maatschap zullen worden aangetekend in het vennotenregister van de maatschap.
Elk addendum aan de “Statuten” zal geacht worden er integraal deel van uit te maken, en zal alle bepalingen van de “Statuten” en van vorige addenda vervangen die hetzij expliciet, hetzij impliciet onverenigbaar zijn met elk nieuw addendum.
Titel III : Bestuur en Controle
Artikel 8 : Zaakvoerder
1. Definitie
Onder “zaakvoerder” wordt hierna begrepen de statutaire zaakvoerder.
2. Omschrijving van het mandaat
Aan de zaakvoerder wordt de meest ruime bevoegdheid gegeven met betrekking tot het bestuur en beheer van de maatschap, de interne en externe vertegenwoordiging van de maatschap en de beleggingsbeslissingen.
De zaakvoerder is exclusief, en met uitsluiting van alle andere vennoten, bevoegd om alle daden van beheer en alle daden van beschikking te stellen met betrekking tot het ingebrachte en nog in te brengen vermogen, alsook met betrekking tot de vermogensbestanddelen waarin desgevallend zal worden herbelegd, die nodig of dienstig zijn voor de verwezenlijking van het doel van de maatschap, daarbij optredend voor alle vennoten.
De zaakvoerder is onder meer (niet limitatief) exclusief bevoegd om de volgende daden van beheer te stellen:
- het innen van interesten, opbrengsten en vruchten, met betrekking tot het vermogen;
- het herbeleggen van roerende waarden, bekomen hetzij op de vervaldag, hetzij tussentijds;
- het doorstorten van niet-gereserveerde interesten, opbrengsten en vruchten aan de vennoten;
- het beslissen om de toekenning of de betaalbaarstelling van niet-gereserveerde interesten, opbrengsten en vruchten aan de vennoten al dan niet uit te stellen;
- de bevoegdheid om welbepaalde taken toe te vertrouwen aan een derde-lasthebber;
- de bevoegdheid om de vennoten in rechte te vertegenwoordigen;
- openen van een rekening bij De Post, banken of andere kredietinstellingen in naam van de maatschap.
De zaakvoerder is exclusief bevoegd om de volgende daden van beschikking te stellen:
- het vervreemden of wederbeleggen van de vermogensbestanddelen die deel uitmaken van de tussen de vennoten bestaande onverdeeldheid;
- het uitoefenen van het stemrecht verbonden aan alle aandelen die deel uitmaken van de tussen de vennoten bestaande onverdeeldheid;
- het kopen, verkopen, verhuren of het ten bezwarende titel afstaan van het gebruik aan derden van de goederen behorende tot de tussen de vennoten bestaande onverdeeldheid;
- het onderschrijven van kapitaal in een handelsvennootschap met rechtspersoonlijkheid (bijvoorbeeld in een NV, BVBA, CVBA, …) of een burgerlijke vennootschap, met of zonder rechtspersoonlijkheid (bijvoorbeeld in een maatschap, …);
- het wederbeleggen van de vermogensbestanddelen die deel uitmaken van de tussen de vennoten bestaande onverdeeldheid in onroerende goederen.
De zaakvoerder is verplicht het schriftelijk akkoord te krijgen van alle vennoten indien het investeringen betreft die een bedrag van 500.000 € te boven gaan.
De vennoten die niet werden benoemd als zaakvoerder kunnen geen daden van beheer, noch daden van beschikking stellen met betrekking tot de goederen die tot het vermogen van de maatschap behoren.
De zaakvoerder kan, met behoud van zijn verantwoordelijkheid, werkzaamheden van administratieve aard geheel of gedeeltelijk laten uitvoeren door een door hem voor die bepaalde aangelegenheden aangestelde lasthebber, en dit al dan niet tegen vergoeding.
Indien er meerdere zaakvoerders zijn, beschikken zij enkel collectief en niet elk individueel over de volheid van bevoegdheid met betrekking tot het beheer, het bestuur, de vertegenwoordiging en de beleggingsbeslissingen.
Het mandaat van zaakvoerder is onbezoldigd. De algemene vergadering kan beslissen het mandaat van de zaakvoerder te bezoldigen.
De aanstelling als zaakvoerder is intuitu personae en geschiedt bij unanimiteit.
3. Aanstelling van de statutaire zaakvoerder
Partij sub 1 wordt aangesteld tot statutaire zaakvoerder van de maatschap. De zaakvoerder kan ten alle tijde en enkel op zijn eigen initiatief, tijdelijk of definitief terugtreden uit deze functie.
Indien de statutaire zaakvoerder onbekwaam wordt verklaard conform artikel 513 B.W. of onder voorlopig bewind wordt gesteld conform artikel 488bis B.W. of overeenkomstig artikel 115 B.W. afwezig wordt verklaard, dan eindigt zijn mandaat voor de duur van deze periode van onbekwaamverklaring, bewind of afwezigverklaring.
Bij overlijden van de statutaire zaakvoerder of wanneer de zaakvoerder zich in de vorige paragraaf beschreven situatie bevindt, wordt partij 2 van rechtswege de opvolgende statutaire zaakvoerder.
Artikel 9 : Bankrelatie
Aan de zaakvoerder wordt volmacht verleend om voor zoveel als nodig bankrekeningen te openen op naam van de maatschap, alsook om daarmee elke transactie uit te voeren.
Titel IV : Algemene Vergadering
Artikel 10 : Algemene vergadering
Jaarlijks wordt in de loop van de maand maart een algemene vergadering van de stemgerechtigde vennoten bijeengeroepen op de zetel van de maatschap. De vergadering kan verdaagd worden met maximum één maand door beslissing van de zaakvoerder.
De algemene vergadering is bevoegd voor de goedkeuring van de jaarrekening, die in ontwerp door de zaakvoerder minstens 10 dagen vóór datum van de algemene vergadering aan alle stemgerechtigde vennoten dient te worden verstuurd.
De leden kunnen zich laten vertegenwoordigen door een andere stemgerechtigde vennoot mits schriftelijke volmacht of desgevallend via fax.
Artikel 11 : Stemrecht op de algemene vergadering
Alle delen geven recht op één stem. Alle beslissingen dienen met unanimiteit te worden genomen.
De delen zijn ondeelbaar. Wanneer meerdere personen eigenaar zijn van één aandeel of wanneer een aandeel in pand werd gegeven, is de uitoefening van de rechten verbonden aan dat aandeel geschorst, totdat één persoon aangewezen wordt als de vertegenwoordiger die het stemrecht zal uitoefenen.
Indien het eigendomsrecht over de delen is gesplitst in vruchtgebruik en blote eigendom verkrijgt de vruchtgebruiker de stemrechten verbonden aan de betreffende delen.
Artikel 12 : Buitengewone algemene vergadering
Elke wijziging van de “Statuten” vereist unanimiteit van alle vennoten en uitdrukkelijke goedkeuring van de zaakvoerder die geen vennoot is.
Artikel 13 : Bureau
De algemene vergadering wordt voorgezeten door de statutaire zaakvoerder.
De voorzitter duidt een secretaris aan die instaat voor de notulering van de vergadering, alsook voor de stemopneming. De secretaris is in de regel de jongste van de aanwezige vennoten.
Artikel 14 : Notulen
De notulen van de algemene vergadering worden door alle aanwezige vennoten en de zaakvoerder voor akkoord ondertekend. Een afschrift hiervan wordt bijgehouden op de zetel van de maatschap.
Titel V : Jaarrekening
Artikel 15 : Jaarrekening
De jaarrekening omvat een balans en een resultatenrekening.
De jaarrekening omvat een inventaris, opgemaakt per 1 januari van elk jaar, van alle door de maatschap beheerde vermogensbestanddelen, alsook een overzicht van alle gedane verrichtingen over het voorbije boekjaar.
Het boekjaar wordt bepaald per kalenderjaar, te beginnen op 1 januari om te eindigen op 31 december. Het eerste boekjaar begint echter op datum van de ondertekening van huidige statuten en eindigt op 31 december 2007.
De jaarrekening dient te worden opgesteld conform de beginselen die hierna worden uiteengezet:
Van het vermogen van de maatschap en wat daarvoor bij wijze van zaakvervanging, belegging of wederbelegging of hoe dan ook in de plaats is gekomen, wordt, op initiatief van de zaakvoerder, per 31 december van elk kalenderjaar een jaarrekening opgesteld en dit voor het eerst op 31 december 2006. Deze jaarrekening omvat een balans (actief en passief), een resultatenrekening en een resultaatverwerking. De winst en het verlies van de maatschap wordt gevormd door van alle inkomsten die tijdens een jaar in de maatschap werden gerealiseerd de kosten in mindering te brengen. Als inkomsten worden daarbij beschouwd alle burgerrechtelijke vruchten, alsook alle meerwaarden op het actief van de maatschap zoals die uit de jaarlijkse bankstaten
blijken en als kosten worden beschouwd de uit de jaarlijkse bankstaten blijkende minderwaarden.
Bijzondere regels bij vruchtgebruik
Indien er delen zijn die met vruchtgebruik bezwaard zijn, zullen de volgende regels gelden:
a) Als vruchten komt aan de vruchtgebruikers toe de nettowinst zoals die blijkt uit de jaarrekening in de mate dat deze laatste ze opvraagt. Deze opname door de vruchtgebruikers dient te gebeuren, ofwel door opname in de notulen van de algemene vergadering, ofwel door verzending van een aangetekende brief aan alle vennoten uiterlijk binnen de maand na de algemene vergadering. Een winst die niet tijdig door de vruchtgebruikers wordt opgenomen, wordt definitief en onherroepelijk geïncorporeerd bij het kapitaal en kan niet meer worden opgenomen.
b) Van winst die door de vruchtgebruikers wordt opgenomen, kan geen sprake zijn zolang alle in het verleden geleden verliezen niet eerst volledig zijn aangezuiverd.
Artikel 16 : Inkomstenverdeling
De algemene vergadering beslist over winstuitkering of reservering.
Indien echter delen bezwaard zijn met vruchtgebruik, dan wordt de winst van het boekjaar naar evenredigheid van het delenbezit aan de vruchtgebruikers toegekend in overeenstemming met de bepalingen vermeld in artikel 15.
Titel VI : Algemene bepalingen
Artikel 17 : Rapportering
De zaakvoerder kan jaarlijks een rapport ter inzage leggen op de zetel van de maatschap, waarin over de belangrijkste gebeurtenissen over het voorbije jaar wordt gerapporteerd.
Artikel 18 : Inlichtingen
Alle stemgerechtigde vennoten kunnen te allen tijde de zaakvoerder om inlichtingen vragen.
Artikel 19 : Bewaring stukken
Onderstaande documenten dienen bewaard te worden:
- een door alle vennoten ondertekende versie van de “Statuten”;
- elk addendum aan de “Statuten”, door alle vennoten ondertekend;
- het delenregister en elke latere wijziging daaraan;
- alle jaarrekeningen;
- notulen van de algemene en de buitengewone algemene vergadering;
- de boekhouding;
- de bankstukken.
Artikel 20 : Confidentialiteit
De vennoten zullen de “Statuten” en alle stukken en bescheiden betreffende de maatschap als strikt confidentieel behandelen.
Titel VII : Ontbinding – overlijden – uittreding – uitsluiting
Artikel 21 : Ontbinding van de maatschap
De maatschap wordt ontbonden bij het bereiken van de bepaalde duur als voorzien door artikel 4 of bij opzegging van deze overeenkomst overeenkomstig artikel 4.
Artikel 22 : Overlijden van één van de vennoten
Bij overlijden van één van de vennoten wordt de maatschap voortgezet tussen de andere vennoten en de erfgenamen van de overleden vennoot, die evenwel door de andere vennoten verplicht kunnen worden de aandelen in gelijke delen aan hen te verkopen tegen de intrinsieke waarde ervan. De overlevende vennoten dienen dit recht binnen het half jaar na het overlijden van een vennoot uit te oefenen.
Artikel 23 : Uittreding
Tijdens de duur van de maatschap (zoals bepaald in artikel 4) heeft geen enkele vennoot het recht om uit de maatschap te treden behoudens akkoord van de statutaire zaakvoerder, onverminderd het recht om het contract overeenkomstig artikel 4 op te zeggen.
Artikel 24 : Uitsluiting
Geen enkele vennoot kan uit de maatschap worden gesloten.
Titel VIII : Slotbepalingen
Artikel 25 : Kosten van de overeenkomst
Alle kosten voortvloeiende uit onderhavige overeenkomst, zijn ten laste van de maatschap.
Artikel 26 : Deelbaarheid
De eventuele nietigheid van één of meer clausules van de “Statuten” doet geen afbreuk aan de geldigheid van alle andere clausules van de “Statuten”. In dergelijk geval verbinden de vennoten er zich toe om een nieuwe clausule overeen te komen, die zo dicht mogelijk aansluit bij de bedoeling van de nietige clausule.
Artikel 27 : Arbitrage
Alle geschillen die mogelijkerwijze zullen ontstaan naar aanleiding van de toepassing van de "Statuten" zullen ter arbitrage worden voorgelegd aan een in onderling overleg aan te duiden arbiter die zich bij zijn beslissing zal laten leiden door de bepalingen van de "Statuten" en door het Belgische recht. Indien geen akkoord kan worden bereikt omtrent de keuze van arbiter, zal een arbiter worden aangeduid door het Belgisch Centrum voor Arbitrage en mediatie, Cepina, gevestigd te Brussel, Stuiversstraat 8. De kosten verbonden aan de arbitrage worden ten laste gelegd zoals bepaald door de arbiter.
Aldus opgemaakt te Waregem op 16 maart 2007, om 10 uur.

WHEREAS:
Looked at from a family asset management perspective, Parties have the express intention to contribute assets to a ‘corporate community’ (vennoot-schapsrechtelijke gemeenschap) structure, hence with affection societatis (‘the spirit of cooperation’). Encompassed in this intention is the will, by mutual agreement, to invest the contributed assets in private equity investment projects as may present themselves from time to time.
To this end, Parties amongst themselves and together want to establish a civil-law partnership, hereinafter “the Partnership”, subject to the conditions and formalities set out in the agreement under review, hereinafter “the Articles of Association”,
AGREE IN CONFORMITY WITH THE FOLLOWING PROVISIONS TO ESTABLISH A CIVIL-LAW PARTNERSHIP
CONTRIBUTION
Parties agree to contribute the following assets:
- Party sub 1 contributes the full ownership of a sum of money amounting to three hundred and thirty-four thousand euros (€ 334,000)
- Party sub 2 contributes the full ownership of a sum of money amounting to three hundred and thirty-four thousand euros (€ 334,000)
- Party sub 3 contributes the full ownership of a sum of money amounting to three hundred and thirty-four thousand euros (€ 334,000)
Parties agree that in exchange for the aforementioned contributions, 1,002 registered shares are to be created that will be allocated pro rata to Parties’ contributions. These shares are to be allocated by mutual agreement as follows:
- Party sub 1 receives 334 shares in full ownership
- Party sub 2 receives 334 shares in full ownership
- Party sub 3 receives 334 shares in full ownership
As a result of the assets contributed in this manner to the Partnership, there arises a ‘corporate community’ amongst the contributing partners.
In addition, the Partnership will encompass: all future interest, fruits and income, howsoever called, of this contribution and/or of the reinvested assets.

The form of ownership of the cooperative working arrangement envisaged by Parties is a civil-law partnership that bears the name: “Burgerlijke Maatschap XXX”.
The Partnership mentions this name whenever it acts externally. These external acts include deeds, announcements, notifications, letters, and other documents involving the business manager’s actions.
Article 2: Registered office
The registered office is at xxx, and can be relocated to any other place in Belgium or abroad by resolution of the general meeting.
Article 3: Object
The object of the Partnership is of a civil nature and encompasses the following: the pooling of assets in order to spread the risks of investing in private equity. In this context, the aim is to achieve continuity in the cooperation among the partners. In this respect, the Partnership will manage the assets with due care. Investments can therefore be in all kinds of movable property both at home and abroad. Income, whether in the form of periodic income or in the form of capital gains, pursues that same object and shall be invested accordingly. To this end, investments may also be in the shares of a company engaged in industrial, trading or other activities.
As regards the assets contributed and still to be contributed, and as regards the assets to be reinvested, as the case may be, no acts may be performed that would or could compromise the civil activity. More in particular, the Partnership as such shall refrain from any industrial, trading or other commercial activity.
The Partnership can perform all acts that can contribute in whatever manner to the accomplishment of its civil object, specifically excluding, however, asset management acts and/or investment advice within the meaning of the Act of 4 December 1990 and the Royal Decree of 5 August 1991.
The aforesaid objects are so essential that they cannot be changed without the unanimous approval of the partners.
Article 4: Duration
The Partnership is established for a fixed period of thirty years. Moreover, the Partnership can be terminated at any time by any partner by means of a registered letter to all the other partners subject to a period of notice of six months.
Part II: Shares
Article 5: Transferability of the shares amongst survivors
A partner cannot transfer his shares in the Partnership to a third party either for valuable consideration of free of charge, nor encumber them with other rights in rem or collateral security without the prior, written and unanimous approval of all the other partners.
However, a partner can at all times relinquish any part of his usufruct on the shares to a bare owner without the approval of the other partners.
Every transfer made in terms of this article is recorded in the register of partners referred to in article 6.
All shares are registered shares.
Article 6: Register of partners of the Partnership
A register of partners is kept at the Partnership’s registered address.
It includes the surname, first name(s), occupation and address of all the partners, stating their respective shares in the Partnership as well as any changes therein.
Article 7: Subsequent contributions
The partners are free, subsequently and for the duration of the Partnership to contribute other assets, of whatever kind, to the Partnership subject to the unanimous approval of the partners.
Any subsequent contribution shall be the subject of a written addendum to the present Articles of Association. Whenever appropriate, the share ownership as set out above shall also be amended at all times. Any changes to the ratio of the Partnership shares will be entered in the Partnership’s register of partners.
Any addendum to the Articles of Association is deemed to be an integral part thereof and replaces all provisions of the Articles of Association and previous addenda that are incompatible, either implicitly or explicitly with each new addendum.
Part III: Management and administration
Article 8: Statutory Business manager
1. Definition
Business manager shall hereafter be understood to mean the business manager appointed under the Articles of Association (i.e. the Statutory Business Manager).
2. Description of the mandate
The Statutory Business Manager is granted the widest authority concerning the management and administration of the Partnership, the internal and external representation of the Partnership and the investment decisions.
The Statutory Business Manager is solely authorised, and with the exclusion of all the other partners, to perform all acts of administration and all acts of disposition concerning the assets contributed and still to be contributed, as well as concerning the assets that have been reinvested, as the case may be, required for or conducive to accomplishing the Partnership’s object, thus acting for all the partners in this regard.
The following is an itemised, non-exhaustive summary of the acts of administration the Statutory Business Manager is authorised to perform:
- collect interest, income and fruits relating to the assets;
- reinvest movables acquired on the due date or in the interim;
- transfer non-appropriated interest, income and fruits to the partners;
- decide whether or not to defer the allocation or distribution of non-appropriated interest, income and fruits to the partners;
- appoint a third party as authorised agent and entrust well-defined tasks to him;
- represent the partners in court;
- open an account with De Post, banks or other credit institutions in the name of the Partnership.
The Statutory Business Manager is solely authorised to perform the following acts of disposition:
- alienate or reinvest the assets forming part of the undivided interest existing amongst the partners;
- exercise the right to vote attaching to all the shares forming part of the undivided interest existing amongst the partners;
- buy, sell, lease or allow third parties in return for valuable consideration to use the goods forming part of the undivided interest existing amongst the partners;
- subscribe for capital in a trading company operating as a legal entity (such as an NV (cf. company limited by shares), a BVBA (cf. private limited liability company), a CVBA (cf. cooperative society with limited liability, etc.) or a civil-law partnership operating either as a legal entity or not (such as a partnership, etc.);
- reinvest the assets forming part of the undivided interest existing amongst the partners in immovable property.
The Statutory Business Manager shall obtain the written approval of all the partners for any investment exceeding an amount of € 500,000.
Partners not appointed as business manager cannot perform any acts of administration or of disposition in respect of goods forming part of the Partnership’s assets.
While continuing to assume responsibility, the Statutory Business Manager can have work of an accounting nature performed in full or in part by a mandatory appointed by him for those specific matters, either in return for a payment or not.
In the event that there are several Statutory Business Managers, they would be able to exercise their full powers only jointly and not individually as regards the administration, the management, the representation and the investment decisions.
The mandate of Statutory Business Manager is unremunerated. The general meeting can decide to remunerate the mandate of Statutory Business Manager.
The Statutory Business Manager is appointed on a personal basis and unanimously.
3. Appointment of the Business Manager pursuant to the Articles of Association
Party sub 1 is appointed as Statutory Business Manager of the Partnership. The Statutory Business Manager can step down either temporarily or definitively at any time and at his sole initiative.
In the event that the Statutory Business Manager is declared legally incapacitated in conformity with section 513 of the Belgian Civil Code or is placed under provisional guardianship in conformity with section 488bis of the Belgian Civil Code or is declared absent in accordance with section 115 of the Belgian Civil Code, his mandate would be ended for the duration of the period he is declared incapacitated, is placed under provisional guardianship or is declared absent.
In the event of the death of the Statutory Business Manager or in the event of the latter being in the situation described in the previous paragraph, Party sub 2 would be appointed as successor to the Statutory Business Manager by operation of the law.
Article 9: Banking
The Statutory Business Manager is granted power of attorney to the extent required to open bank accounts in the name of the Partnership, as well to make any transaction through them.
Part IV: General meeting
Article 10: General meeting
Annually, in the course of the month of March, a general meeting of the partners entitled to vote is convened at the Partnership’s registered office. The meeting can be postponed by at most one month by order of the Statutory Business Manager.
The general meeting has the power to adopt the financial statements which the Statutory Business Manager shall forward at least ten days prior to the date of the general meeting in draft form to all the partners entitled to vote.
The members can have themselves represented by another partner entitled to vote provided it is by written proxy or via facsimile, as the case may be.
Article 11: Voting right in the general meeting
All shares carry the right to one vote. All resolutions must be taken unanimously.
The shares are indivisible. When a single share is owned by several persons or when a share has been pledged, the exercise of the rights attaching to that share are suspended until one person is designated as the representative who will exercise the voting rights.
In the event that the right of ownership to the shares is split into usufruct and bare ownership, the usufructuary acquires the voting rights attaching to the shares concerned.
Article 12: Extraordinary general meeting
Any amendment to the Articles of Association requires the unanimous approval of all the partners and the express approval of the Statutory Business Manager who is not a partner.
Article 13: Chairman and secretary of the general meeting
The general meeting is chaired by the Statutory Business Manager.
The chairman designates a secretary who takes care of the minutes of the meeting as well as of the recording of votes. As a rule, the secretary is the youngest of the partners present at the meeting.
Article 14: Minutes
The minutes of the general meeting are signed for approval by all the partners present at the meeting and by the Statutory Business Manager. A copy thereof is kept at the registered office of the Partnership.
Part V: Financial statements
Article 15: Financial statements
The financial statements consist of a balance sheet and an income statement.
The financial statements include all the assets and liabilities managed by the Partnership, drawn up as of 1 January each year, as well as an overview of all the operations carried out in the past financial year.
The financial year coincides with the calendar year, hence commencing on 1 January and ending on 31 December. However, the first accounting reference period starts on the date of signing these Articles of Association and ends on 31 December 2007.
The financial statements should be compiled based on the following accounting policies:
At the initiative of the Statutory Business Manager, financial statements are drawn up, disclosing the net assets of the Partnership or whatever came into their place by way of substitution, investment or reinvestment or in any other manner whatsoever, as of 31 December of each year, for the first time as of 31 December 2006. These financial statements consist of a balance sheet (assets and liabilities), an income statement, and either a profit appropriation or loss recognition account. The profit or loss of the Partnership is made up of all the income earned by the Partnership during anyone year less its expenses. Income in this respect consists of civil-law fruits, as well as all gains on the Partnership’s assets, such as disclosed in the annual bank statements, while expenses consist of all the losses on its assets likewise disclosed in the annual bank statements.
Special usufructuary rules
If there are shares encumbered by usufruct, the following rules shall apply:
a) The usufruct accruing to usufructuaries is the net profit as disclosed in the financial statements to the extent that the latter claim such profit. This claim by the usufructuaries should be made either by inclusion in the minutes of the general meeting, or by sending a registered letter to all the partners at the latest within one month of the general meeting. Profit not claimed by the usufructuaries on time is definitively and irrevocably incorporated into the capital and can no longer be claimed.
b) Usufructuaries cannot claim any profit until all past losses have been absorbed in full
Article 16: Profit appropriation
The general meeting decides on the distribution of profit or the setting aside of profit to reserves.
If shares are encumbered by usufruct, however, the profit for the financial year is allocated to the usufructuaries pro rata to their share ownership in accordance with the provisions of article 15.
Part VI: General provisions
Article 17: Reporting
Annually, the Statutory Business Manager can file a report for perusal at the registered office of the Partnership in which he elaborates on the most significant events over the past year.
Article 18: Information
All partners entitled to vote can at all times ask the Statutory Business Manager for information.
Article 19: Retention of records
The documents stated below must be retained:
- a version of the Articles of Association signed by all the partners;
- each addendum to the Articles of Association signed by all the partners;
- the register of shares and every subsequent change thereto;
- all financial statements;
- minutes of the general meeting and extraordinary general meeting;
- the accounting records;
- the bank statements.
Article 20: Confidentiality
The partners shall treat the Articles of Association and all records and documents concerning the Partnership as strictly confidential.
Part VII: Dissolution – death – retirement – exclusion
Article 21: Dissolution of the Partnership
The Partnership is dissolved upon reaching the fixed duration as provided for in article 4, or by termination of this agreement in accordance with article 4.
Article 22: Death of one of the partners
In the event that one of the partners passes away, the Partnership continues to exist amongst the other partners and the heirs of the deceased partner who can, however, be obligated by the other partners to sell the shares in equal parts to them at their net asset value. The surviving partners have to exercise this right within six months of the death of a partner.
Article 23: Retirement
For the duration of the Partnership (as provided for in article 4) no partner has the right to retire from the Partnership without the consent of the Statutory Business Manager, without prejudice to the right to terminate the agreement in accordance with article 4.
Article 24: Exclusion
No partner can be excluded from the Partnership.
Part VIII: Concluding provisions
Article 25: Costs of the agreement
All the costs arising from the agreement under review shall be borne by the Partnership.
Article 26: Validity
In the event of one or more clauses of the Articles of Association being invalid, the validity of any of the other clauses of the Articles of Association will not be affected. If this were to happen, the partners undertake to agree upon a new clause whose intention is as close as possible to that of the invalid clause.
Article 27: Arbitration
Any dispute that might arise as a result of applying the Articles of Association will be submitted for arbitration to an arbitrator to be designated by mutual agreement whose decision will be guided by the provisions of the Articles of Association and by Belgian law. If no agreement can be reached on the choice of arbitrator, an arbitrator will be designated by the Belgian Centre for Arbitration and Mediation (Belgisch Centrum voor Arbitrage en Mediatie, Cepina), established at No 8 Stuiversstraat, Brussels. The costs of the arbitration shall be borne in the manner as determined by the arbitrator.
This agreement was drawn up in quadruplicate at Waregem on 16 March 2007 at 10.00 hours, each partner having acknowledged the receipt of one copy, and the fourth copy being retained at the registered office of the Partnership.
