Существует два принципиальных фактора, от которых, при прочих равных условиях, зависит цена одной акции: общее количество акций и размеры компании. Таким образом, для того чтобы ответить на вопрос, насколько дороги акции компании А по сравнению с акциями компании Б, необходимо учитывать как размер компании, так и количество выпущенных ею акций. Согласитесь, что одновременно держать под контролем эти два фактора довольно сложно, даже в таких упрощенных примерах, как наши, не говоря уже о более сложных ситуациях, когда число акций исчисляется миллионами (причем это может быть числом со всеми значащими цифрами). Кроме того, всегда возникает и третий фактор: оцениваемая компания и ее эталон не являются абсолютно подобными: например, их выручка отличается в полтора раза, а чистая прибыль – только на 30%.
Для упрощения анализа стоимости и придуман метод мультипликаторов (сравнительных коэффициентов), который позволяет изящно абстрагироваться от влияния на цену акции двух упомянутых выше факторов – размера компании и количества акций, на которое поделен ее акционерный капитал. Иными словами, на основе этого метода становится возможным производить расчеты, исходя из предположения о том, что сравниваемые компании одинаковы по размеру и имеют одинаковое количество акций. Сравнение цен акций производится не по отношению к выручке или чистой прибыли всей компании, а к выручке или прибыли на одну акцию. Если мы поделим цену акции на выручку, приходящуюся на одну акцию, то как раз и получим коэффициенты P/S, где P – это цена (англ. price), а S – выручка (англ. sales), и Р/Е – отношение цены акции к чистой прибыли на одну акцию (earnings per share или, сокращенно, EPS). Мультипликаторы позволяют мыслить о стоимости акций как о котировках выручки или чистой прибыли компании. There are two major factors which, other things being equal, determine the price of a share: the total number of shares and the size of the company. Consequently, in order to compare the value of Company A shares with the value of Company B shares, both the size of the company and the number of shares issued by that company need to be taken into account. However, keeping track of both these factors is quite difficult, even in such simplified examples as cited above, not to mention more complex situations where the number of shares may run into millions (and where all digits in that number can be significant). Besides, there is always the third factor: the evaluated company and the guideline company are never exactly the same: for example, their sales may differ by 50%, while their net earnings – only by 30%.
To make the value analysis easier to perform, the multiplier (comparative factor) method was developed, which makes it possible to neatly negate the influence on the price of a share of the two above-mentioned factors – the size of the company and the number of shares of which its share capital is made up. In other words, this method allows calculations to be made on the assumption that the compared companies are equal in size and have the same number of shares. Instead of comparing share prices against sales or earnings of the entire company they are compared against sales or earnings per share. By dividing the share price by sales per share we will obtain the P/S ratio, where P is the price, S is the sales, and P/E is the share price-to-earnings per share (EPS) ratio.
Multipliers allow the value of shares to be regarded as a quotation of company sales or earnings. They demonstrate, for example, to what extent one dollar in the Company A sales is more valued than that in the Company B sales, being, therefore, relative or comparative measures of the company performance valuation. Naturally, no units of measurements are used since multipliers are the result of one monetary value divided by another.

CRANE STABILITY/STRUCTURAL STRENGTH
To avoid death or serious injury, ensure that the crane is on a firm surface with load and crane’s configuration within capacity as shown on the crane’s Load Chart and notes.
Do not lift loads unless the outriggers are properly extended and the crane leveled. On models equipped with outriggers that can be pinned at the mid-extend position, the outriggers must also be pinned when operating from the mid-extend position.
This crane should have a functional load moment indicator and control lock-out system. Test daily for proper operation. Never interfere with the proper functioning of operational aids or warning devices.
Before swinging the superstructure over the side when the outriggers are retracted, check the load chart for backwards stability.
TRAVELING WITH BOOM EXTENSION AND/OR INSERTS ERECTED, 10.1 m (33 ft)/17.1 m (56 ft) Extension
Travel is permissible under the following conditions:
1. The 10.1 m (33 ft) or 17.1 m (56 ft) boom extension shall be erected at minimum offset. If traveling with just the 10.1 m (33 ft) extension, the stinger section must be stowed on the boom base section, not on the extension base section.
2. Jobsite travel only on firm, level surface.
3. Main boom shall be fully retracted.
4. Main boom angle: 0 degrees minimum, 40 degrees maximum.
5. Maximum travel speed: 4 km/h (2.5 mph).
6. Main counterweight shall be installed.
7. The boom shall be over the front.
8. Swing lock and pin shall be engaged.
9. Hookblock must be removed from main boom nose.
CAB CONTROLS AND INDICATORS
DIFFERENTIAL LOCK CONTROL SWITCH (OPTIONAL)
NOTE: the differential lock will only work when the crane is in the 4WD mode.
The differential lock (AXLE DIFF) control switch (11) is located on the left side of the front console. It is a two position, momentary rocker switch placarded LOCK and UNLOCK. When positioned to LOCK, the splines on the shift collar are engaged with the splines on the differential case and the axle shafts and the differential assembly are locked together and there is no differential action between the wheels. When positioned to UNLOCK, there is normal differential action between the wheels all the time. The square amber LED on the switch is illuminated when the switch in each axle is activated.
TRANSMISSION RANGE SELECTOR SWITCH
The transmission range selector (DRIVE AXLE) switch (13) is located on the left side of the front console. This two-position rocker switch is placarded 2WD HI (high range) and 4WD LO (low range). The switch controls a solenoid valve that operates the speed range and axle disconnect cylinders on the transmission. When the switch is in the 4WD LO position, the square LED on the switch is illuminated.
OUTRIGGER SELECTOR PANEL
NOTE: the hydraulic boost switch must be positioned to LOW to function the outriggers.
The outrigger selector panel (15) is located on the left side of the front console. There are four three-position, spring centered to off rocker switches on the panel. These switches, in conjunction with the OUTRIGGER Extension/Retraction switch, provide control of all four outrigger extension and stabilizer cylinders. Positioning any one of the EXTENSIONS or STABILIZERS switches so that the desired component is selected, energizes the solenoid valve for the selected component. When the OUTRIGGER Extension/Retraction switch is positioned to EXTEND or RETRACT, the selected component moves in the selected direction.

УСТОЙЧИВОСТЬ КРАНА/ПРОЧНОСТЬ КОНСТРУКЦИИ
Для недопущения тяжелых травм или травм с летальным исходом установить кран на твердой поверхности так, чтобы конфигурация груза и крана соответствовала параметрам, указанным в таблице грузоподъемности и в примечаниях. До тех пор, пока выносные опоры не будут надлежащим образом выдвинуты, а кран – выровнен, подъем грузов запрещен. У моделей, выносные опоры которых могут выдвигаться на 50% своей длины и закрепляться в таком положении, выносные опоры при работе из такого положения должны быть закреплены.
Данный кран должен быть оборудован индикатором грузового момента и системой блокировки управления. Необходимо выполнять ежедневную проверку нормальной работы указанного оборудования. Запрещается препятствовать нормальной работе приборов или сигнальных устройств.
Перед разворотом верхней поворотной части с убранными выносными опорами необходимо удостовериться в достаточной устойчивости задней части крана, сверившись с таблицей грузоподъемности.
ПЕРЕДВИЖЕНИЕ КРАНА С УСТАНОВЛЕННЫМ ГУСЬКОМ И/ИЛИ ВСТАВКАМИ, гусек 10,1 м (33 фута)/17,1 м (56 футов).
Передвижение крана разрешается при соблюдении следующих условий:

Управляющий переключатель (11) механизма блокировки дифференциала (AXLE DIFF) расположен с левой стороны переднего пульта управления. Это двухпозиционный быстродействующий кулисный переключатель, снабженный пояснительными надписями LOCK (блокировка) и UNLOCK (разблокировка). При установке переключателя в положение LOCK шлицевая часть муфты переключения входит в сцепление со шлицевой частью картера дифференциала, замыкая полуоси с коробкой дифференциала и блокируя межколесный дифференциал. При установке в положение UNLOCK происходит разблокировка межколесного дифференциала. При активации переключателя каждой оси на переключателе загорается желтый светодиодный индикатор квадратной формы.
ПЕРЕКЛЮЧАТЕЛЬ ДИАПАЗОНА КОРОБКИ ПЕРЕДАЧ
Переключатель (13) диапазона коробки передач (DRIVE AXLE) расположен с левой стороны переднего пульта управления. При установке переключателей EXTENSIONS (выдвижные опоры) или STABILIZERS (стабилизаторы) в положение, соответствующее выбранному компоненту, на электромагнитный клапан выбранного компонента подается электропитание. При установке переключателя OUTRIGGER Extension/Retraction (переключатель выдвижения/втягивания выносных опор) в положение EXTEND (выдвижение) или RETRACT (втягивание), выбранный компонент начинает перемещение в заданном направлении.

6. Выпуски Акционерного капитала
6.1. Обязанность поиска альтернативного финансирования
6.1.1. Компания может осуществить Выпуск Акционерного капитала только тогда, когда это необходимо в порядке привлечения финансов для сделок Группы, одобренных Советом Директоров с учетом положений пункта 4.7.-4.10, в случаях, когда Компания не обладает достаточными денежными фондами для таких сделок и после того, как Совет Директоров предпринял все возможные действия (с учетом положений подпункта с) пункта 4.4.) по привлечению кредита на условиях, приемлемых для Компании.

6. Issues of Share Capital
6.1. Obligation to Seek Alternative Financing
6.1.1. The Company may carry out an Issue of Share Capital only when this is required to raise funds for the Group’s transactions approved by the Board of Directors with account of the provisions of clauses 4.7-4.10, provided that the Group does not have sufficient monetary funds to conduct such transactions after the Board of Directors have taken all possible actions (with account of the provisions of subclause c) of clause 4.4) to raise a loan on conditions acceptable to the Company.
6.2. Preemptive rights
6.2.1. Any issue and placing of any Company’s Shares and other equity securities or financial instruments granting the right to acquire the Shares by conversion, exchange or otherwise (“Issue of Share Capital”) shall be done at their fair market value and shall be offered in the first place to the Shareholders having preemptive rights to acquire such shares, other equity securities or financial instruments of the Company in proportion to the equity held by them in the Company. Any shares, other equity securities or financial instruments of the Company not acquired by a Shareholder, shall be offered to other Shareholders in proportion to the equity held by them in relation to each other or otherwise as agreed by them, within 20 (twenty) Working Days thereafter. |
