1 - Volontés d’exil
Ils attendirent la tombée du jour pour s’approcher du rivage. Ils roulèrent avec précaution pour évi-ter de s’embourber. La pluie avait cessé mais le sol tardait à s’assécher. Ils longèrent un étang sans ren-contrer personne. L’air emplit brièvement leurs narines du parfum des mûriers plantés sur les digues. Ils continuèrent jusqu’à un croisement en rase campagne et s’arrêtèrent. Yau pointa un fossé du doigt. Sin Ming y dissimula sa bicyclette puis enfourcha le porte-bagage de Yau. Ils parcoururent encore deux kilomètres cahin-caha.
Le chemin finit en cul de sac. Les adieux furent inexistants. Sin Ming sauta en marche. Yau fit demi-tour et, d’un coup de pédale, fila vers le nord. Sans se retourner, Sin Ming coupa en marge d’une rizière, en direction du fleuve.
Accroupi dans des buissons sur une berge, Sin Ming observa les environs. Le paysage était gris. Un ciel bas dérobait le coucher de soleil. Pas une âme en vue. Les habitants du delta étaient comme rentrés sous terre. Une brise soufflait, favorable. Aucune odeur pestilentielle ne lui parvenait. L’eau avait la couleur universelle de la saleté, rappelant une tasse de thé au lait dans laquelle auraient infusé des mé-gots de cigarettes. Le sort ordinaire des fleuves nationaux ! La rivière des Perles, formée par la conver-gence des fleuves « de l'Ouest « du Nord et « de l’Est » servait de dépotoir. Une chimère dont le nom poétique n’adoucissait en rien la condition. Le courant charriait en permanence son contingent de dé-chets et de fange vers la mer de Chine, souillant ainsi la zone côtière à distance.
Une bruine se mit à tomber. Un avant-goût indéfini. Le jeune Pékinois recula pour s’abriter. Il ne ressentait rien. La pénombre annonçait l’obscurité. Au loin, Sin Ming ne distinguait aucunes lumières. La province de Canton qu’on vantait plus à l’aise, vivait toujours dans la pauvreté.
Sans se relever, il rampa jusqu’à l’eau. Allongé sur ses avant-bras, il effleura d’un pied la surface de l’onde. Elle lui sembla tiède. Une bonne surprise. Il aurait plus chaud une fois immergé. Familier d’un climat souvent polaire, il s’étonnait d’être aussi sensible. Le froid imbibé de vapeur d’eau le transperçait. Ce mois de février était particuliè-rement frais. L’avant-veille, le thermomètre avait plongé jusqu’à six degrés. Depuis, la température s’était radoucie, atteignant les moyennes saisonnières.
Sin Ming se redressa et s’assit en tailleur. D’une poche, il sortit un sac en plastique contenant sa pi-tance et une gourde en fer blanc qu’il posa à côté de lui. Il enfonça ses doigts dans une boule de riz touillée de poisson séché dont il mangea la moitié en mastiquant chaque bouchée. Il but quelques gor-gées de thé. Il referma le sac de nourriture et noua ses deux extrémités pour le rendre étanche.
Il fouilla son autre poche dont il dégagea une lettre. La tête baissée, il ferma les yeux et la serra lon-guement entre ses mains. Il savait qu’il n’avait pas le choix. Il se décida enfin et la déchira sans la relire. Ses larmes jaillirent malgré lui. Courageusement, il jeta les petits morceaux dans le fleuve et regarda s’évanouir les pétales de papier.
Il se leva, ramassa ses Tongs et les relia l’une et l’autre à une bande d’étoffe qu’il déplia avec la minutie de celui qui s’apprête à commettre un crime. Il enroula cette étrange ceinture autour de la taille et glissa dans son pantalon les "flip-flop", qui tenaient lieu de pans.
Une deuxième bande de tissu dont il s’enroula le torse méthodiquement, le transforma en momie. Il sentait encore le baume du tigre dont Yau l’avait badigeonné pour lui chauffer les muscles. Au moyen d’une ficelle coulissante, il fixa à son mollet un tube de bambou creux pour respirer sous l’eau le cas échéant.
Il tata ses "langes", indécis quant à leur utilité. Pour atténuer la résistance de frottement avec l’eau, sa combinaison et son bonnet auraient été plus adéquats, mais les emporter eut été trop risqué.
Le crépuscule expirait. Le bourdonnement des insectes avait perdu son intensité. Seul, le déhan-chement des arbustes troublait le silence de cette fin de journée. L’heure des adieux avait sonné. Sin Ming entra dans l’eau, aussi opaque que le parti communiste. Une jambe puis l’autre, aussitôt avalées par le manque de transparence. Sous ses pieds, la tourbe était pâteuse. L’effet d’emprisonnement s’accentua au fur et à mesure qu’il avançait. Il se laissa submerger et déploya ses membres engourdis. La force du courant était quasiment nulle. Au loin la mer dansait, étale. Le vieux Yau savait calculer.
Sin Ming nagea quelques brasses puis se mit sur le dos. Il lui fallut quelques minutes d’adaptation. Une cadence régulière serait l’une des clefs du succès. En osmose avec le milieu aquatique, il se relaxa et s’élança dans la nuit.

Ses pensées s’envolèrent vers Pékin. Vers ceux qu’il s’apprêtait à quitter pour une période indéter-minée. Vers son père dont le régime l’avait dépossédé. Sin Ming n’oublierait jamais l’apparition du ca-davre debout qui avait frappé à leur porte, dix-huit mois auparavant. Au fond d’une paire d’orbites bril-lait un regard intense étouffé par les larmes. En silence, Liu l’avait longuement posé sur son fils.

They skirted a fishpond without encountering anyone. The air was filled briefly with the scent of mulberry trees planted along the dykes. They arrived at a crossroads in open country and came to a halt. Yau pointed to a ditch where Sin Ming concealed his bicycle. He mounted Yau’s baggage rack. They managed, precariously, to cover a further two kilometres.
The road ended in a cul de sac. There were no good-byes. Sin Ming jumped off. Yau turned around and sped off northwards. Without a glance behind him, Sin Ming cut the corner of a rice field in the direction of the river.
Crouched in the bushes on the bank, Sin Ming looked around him. The landscape was grey. Low clouds veiled the sunset. Not a soul in sight. The inhabitants of the delta seemed to have disappeared underground. A welcome breeze blew away the stench. The water was a uniform dun colour, like dirty tea awash with cigarette butts: the usual fate of rivers in China. The Pearl River, formed by the confluence of the ‘West’, the ‘North’ and the ‘East’ tributaries, was a garbage dump. An illusion, whose poetic name did nothing to hide grim reality. The current carried away its daily quota of waste and sludge towards the South China Sea, contaminating the coast for miles.
It began to drizzle. The young man retreated to find shelter. He felt nothing. It got darker in the gathering dusk. Sin Ming could not make out any lights in the distance. The province of Canton, allegedly more prosperous, still lived in abject poverty.
Without standing up, he crawled over to the water’s edge. Lying on his forearms, he skimmed the surface with the tips of his toes. It felt tepid. A pleasant surprise. He would warm up once he was in the water. Accustomed to an often polar climate, he was surprised he noticed the cold. The humid chill cut straight through him. This February was unusually cool. Two days earlier, the temperature had plunged to 6 deg C. Since then, it had got milder, back to the seasonal average.
He hauled himself up and sat cross-legged. From a pocket he pulled out a plastic bag containing his rations and a metal flask, which he placed beside him. He dug his fingers into a ball of rice mixed with dried fish, half of which he ate, chewing each mouthful slowly then drank a few sips of tea. He closed up the food bag and tied both ends to make it watertight.
He fumbled in his other pocket and withdrew a letter. He closed his eyes, bowed his head and held the letter tightly in his hands for some time. He knew he had no choice. Tears welled up. His mind made up, he tore it into small pieces without re-reading it, threw them into the stream and watched the paper petals disappear.
He staggered to his feet, picked up his flip-flops and tied one at each end of a strip of cloth, which he folded with the care of someone preparing to commit a crime. He wrapped this strange substitute for a belt around his waist, tucking the rubber sandals into his trousers.
A second strip of cloth, which he bound around his torso, transformed him into a mummy. He could still smell the tiger-balm that Yau had daubed on him to warm his muscles. To his calf he tied a hollow bamboo tube, to breathe under water if he needed to.
He ran his hands over the bandages binding his body, unsure how useful they would be in reducing water resistance. His racing swimsuit and cap would have been ideal but too risky to carry.
Night fell. The buzz of insects faded away. Only the rustling of trees broke the silence. The time had come. Sin Ming lowered himself into the uninviting river. One leg, then another, disappeared quickly into the water. Under foot, the silt felt like glutinous paste and got stickier the deeper he went. He launched himself forward and spread out his frozen limbs. The sea, totally calm on a slack tide, stretched out before him. Old Yau knew how to plan.
Sin Ming swam for a few strokes then rolled over on his back. It took him a few minutes to get the hang of it. A steady rhythm would be the key to success. At home in the water, he relaxed and set off into the night.

His thoughts flew back to Beijing. To those he had left behind, for who knew how long. To the father the Regime had stolen from him. Sin Ming would never forget the sight of the ‘walking corpse’ which had knocked at their door eighteen months earlier. From the depth of their sockets, two eyes had stared out at him, drowning in tears. In silence, Liu had propped himself up against his son.

Les faits
Il s’agit d’analyser les éventuels problèmes juridiques posés par les transports mis en place par la société entre Genève et Darmstadt pour ses employés.
Selon l’horaire établi pour les employés de Genève, le rendez-vous pour se rendre à Darmstadt est à 6h30 au lieu de travail à Genève pour le départ et l’heure du retour au même endroit est entre 22h et 22h30 selon le jour en question.
Il en résulte donc pour un employé de Genève que la journée de travail est d’une durée de 15h30 à 16h, et le dépassement serait donc encore plus important pour un employé de Coinsins, d’Aubonne ou de Corsier-sur-Vevey.
La situation en droit
Trois questions sont à examiner. La première est la question du temps de travail et des heures supplémentaires. La seconde concerne la durée du repos quotidien du travailleur. Enfin, la dernière porte sur la responsabilité de l’employeur.
1. Le temps de travail
Le Règlement d’entreprise (« Staff Regulations ») applicable aux entités de XYZ en Suisse romande (Genève, Coinsins, Aubonne et Corsier-sur-Vevey) fixe la durée de travail hebdomadaire à 40 heures, soit divise la semaine en 5 jours de 8 heures.
En une journée de travail avec déplacement à Darmstadt et retour, la durée de travail hebdomadaire de l’employé en question passe de 40 heures à 47heures 30 minutes, voire à 48 heures. Le temps de travail se compte en effet depuis le rendez-vous fixé au lieu habituel de travail et s’arrête lors du retour au même endroit (art. 13 al. 2 OLT 1).
Un tel dépassement est-il autorisé ?
La Loi sur le Travail dans l’industrie, l’artisanat et le commerce (ci-après « LTr »), qui est une loi de droit public à laquelle aucun contrat ne peut déroger, fixe une limite maximale des heures de travail à son art. 9. Pour les « travailleurs occupés dans les entreprises industrielles ainsi que pour le personnel de bureau, le personnel technique et les autres employés », cette limite est arrêtée à 45 heures hebdomadaires.

Background
The objective [of this Memorandum] is to analyse the possible legal issues raised by the Company’s provision of transport for its staff between Geneva and Darmstadt.
According to the timetable for staff in Geneva, transport to Darmstadt departs from the Geneva office at 6.30 a.m. and the return journey from Darmstadt arrives back at the Geneva office between 10.00 and 10.30 p.m., depending on the day in question.
Consequently, the working day for staff in Geneva lasts between 15 1/2 and 16 hours and the hours worked by staff from Coinsins, Aubonne or Corsier-sur-Vevey are even longer.
The Position in Law
Three points need to be examined: the first is the question of working hours and overtime; the second concerns the daily breaks to which each worker is entitled; the third relates to Employer’s responsibilities.
1. Working Hours
According to the XYZ Group’s Staff Regulations for the Swiss Romande (Geneva, Coinsins, Aubonne and Corsier-sur-Vevey), the working week comprises 40 hours, divided into five days of eight hours.
One working day that includes a return journey to Darmstadt increases the working week from 40 hours to 47 1/2 or 48 hours. Note that working hours start at the time of departure from the work place and stop at the time of arrival back at the same place, on the return journey (art. 13, para. 2 of OLT1)(see Translator's Note, below).
Are such extra hours permitted?
The Labour Law for Industry, Crafts and Commerce (the ‘LLICC’) is a Public Law the provisions of which are not subject to derogation by private contract. Art. 9 of the LLICC sets the maximum limit for working hours. For “workers in industrial companies, as well as office staff, technical staff and other employees” this limit is fixed at 45 hours per week.

- de l'artiste interprète « D » sur l'ensemble des interprétations contenues dans le PROGRAMME et des droits sex l’image de « D » dont COMPAGNIE Y est titulaire.
ARTICLE 2 - DUREE
Les droits sont cédés aux présentes pour une durée se terminant 7(sept) ans à compter rétroactivement du 2 juin 2004 soit jusqu' au 1er juin 2011.
ARTICLE 3 - TERRITOIRE
Le présent contrat s'applique pour la France (incluant Dom-Tom), les Principautés de Monaco et d'Andorre, la Belgique, la Suisse et le Luxembourg.
ARTICLE 4 – REMUNERATION
En contrepartie des droits cédés aux présentes, COMPAGNIE X versera à COMPAGNIE Y sur les ventes nettes retours déduits du DVD une redevance unitaire calculée comme suit :
1/ Ventes dans les circuits traditionnels en France (Monaco, Andorre, Dom-Tons) :
9 % (neuf pour cent) (ci-après « Taux de Base »)
2/ Ventes dans les circuits traditionnels en dehors des Territoires visé au 1) ci-dessus
Le taux de la redevance sera fixé à 6 % (ci-après Taux de Base étranger) et calculé sur le Chiffre d'Affaires Net Editeur du pays de vente.
3/ Location
En cas de vente en vue de la location des supports vidéographiques, le taux de la redevance sera fixé a 15 % (quinze pour cent) et calculée sur le Chiffre d'Affaires Net Editeur tel que défini ci-dessous.
4/ Droits dits institutionnels
En cas de vente des supports DVD effectuée dans le cadre de circuits institutionnels, COMPAGNIE Y percevra 8 % (huit pour cent) des sommes hors taxes encaissées par COMPAGNIE X à ce titre.
5/ Ventes à prix réduits
En cas de ventes, et sous réserve d'une information préalable à COMPAGNIE Y, dans une série bon marché, le taux de la redevance de COMPAGNIE Y sera fixé à deux tiers (2/3) du Taux de Base applicable étant précisé qu'en cas de sous-licence de distribution, COMPAGNIE Y recevra 15 % (quinze pour cent) des sommes hors taxes encaissées à ce titre.
Sont considérés comme faisant partie d’une série à bon marché les supports vidéographiques dont le prix de vente en gros n'excédera pas, provisoirement ou définitivement, 65 % (soixante cinq pour cent) du prix de vents en gros des supports vidéographiques de COMPAGNIE X figurant, dans la catégorie de prix la plus courante (code B02 pour les DVD).
9/ Définitions
Par "Chiffre d'Affaires Net Editeur", les parties conviennent d'entendre le prix de gros hors taxes diminué d'un abattement forfaitaire de 17.5% (dix sept virgule cinq pour cent) facturation hors taxes aux clients tenant compte des remises, rabais, ristournes.
ARTICLE 7 - CONTESTATION/ LOIS APPLICABLES
Pour l’établissement et l’application de la présente convention, les parties reconnaissent se placer sous l’empire de la loi française.
En cas de contestation et/ou de difficulté nées de l’interprétation et/ou l'exécution des présentes, les parties, à défaut d'accord amiable, font attribution de juridiction aux Tribunaux compétents de Paris.

COMPANY X SAS, a Société Anonyme [Public Limited Company] with a capital of EUR - - - - - -, whose head office is at x rue H, Paris, 75xxx, represented by Mr. Jacques Xxxxxx its Chairman and Managing Director,
(Hereinafter ‘COMPANY X’) of the first part
AND
COMPANY Y, a Société A Responsabilité Limité [Limited Liability Company] with a capital of EUR - - - - - - -, whose head office is at x rue D, Paris, 75xxx, represented by Mr. Bruno Yyyyyyy,
(Hereinafter called "COMPANY Y") of the second part,
WHEREAS:
COMPANY X has, since 2 June 2004, been marketing a programme entitled ‘XXXX’ (hereinafter referred to as the ‘PROGRAMME’) recounting the artistic career of singer ‘D’, under a licensing agreement with Company A dated 3 April 1998.
COMPANY Y contributed to the production of this DVD by providing visual images and documentation intended to be included in the ‘bonus’ section of this DVD.
The parties agree as follows:
IT IS UNDERSTOOD AND AGREED AS FOLLOWS:
ARTICLE 1: Purpose
COMPANY Y grants COMPANY X non-exclusive rights to copy, distribute and make available to the public through the DVD process:
- Documents, visual images and other similar material supplied by COMPANY Y and included as the ‘bonus’ section in the DVD of the PROGRAMME (hereinafter the ‘DVD’), as defined in Appendix 1 below.
- The performances by singer ‘D’ in all interpretations in the PROGRAMME and rights to sex images of ‘D’ owned BY COMPANY Y.
ARTICLE 2 – TERM
These rights are hereby assigned for a period of 7 (seven) years counting retrospectively from 2 June 2004, namely until 1 June 2011.
ARTICLE 3 - TERRITORY
This Agreement applies to France (including French Overseas Territories), the principalities of Monaco and Andorra, Belgium, Switzerland and Luxembourg.
ARTICLE 4 – PAYMENT
In consideration of the rights granted herein, COMPANY X shall pay COMPANY Y a per unit royalty on the net-of-return sales of the DVD, calculated as follows:
1. Sales through the usual distribution channels in France (Monaco, Andorra, French Overseas Territories):
9% (nine percent) (hereinafter ‘Base Rate’)
2. Sales in the usual distribution channels in Territories outside those mentioned in (1) above
The royalty rate is fixed at 6% (hereinafter ‘Foreign Base Rate) and is calculated on the Publisher’s Net Turnover applicable in the territory of the sale.
3. Rentals
In the case of sales of video recordings intended for rental, the royalty rate is fixed at 15% (fifteen percent.) calculated on the Publisher’s Net Turnover as defined below.
4. So-called Institutional Rights
In the case of sales of DVD recordings made through institutional distribution channels, COMPANY Y shall receive 8% (eight percent) of the sums excluding tax received by COMPANY X in this regard.
5. Sales at Discounted Prices
In the case of sales of Lines at Discounted Prices, and provided COMPANY Y has had prior notification, the royalty rate for COMPANY Y shall be two-thirds (2/3) of the applicable Base Rate, it being understood that in case of sub-licensed distribution COMPANY Y shall receive 15% (fifteen percent.) of the sums excluding tax received by COMPANY X in this regard.
Video recordings the provisional or final wholesale price of which does not exceed 65% (sixty five percent) of COMPANY X’s wholesale price for video recordings set out in the most common price category (code B02 for DVDs) shall be considered as part of a Line at Discounted Prices.
9. Definitions
The parties agree that ‘Publisher’s Net Turnover’ shall mean the wholesale price excluding taxes reduced by an all inclusive discount of 17.5% (seventeen and a half percent.) invoiced excluding tax to clients, taking into account of reductions, discounts and rebates.
ARTICLE 7 - DISPUTES & GOVERNING LAW
The parties agree that the drafting and implementation of this Agreement shall be governed by French law.
In the event of dispute and/or difficulty arising from the interpretation and/or performance of this Agreement and if they fail to reach an amicable settlement, the parties hereto submit to the jurisdiction of the competent courts in Paris.
