Impairment of Indefinite-lived Intangible Assets
An intangible asset that is deemed to have an indefinite useful life is not subject to impairment testing under Statement 144. The FASB noted that the non-amortization of the asset merits a more stringent model for the measurement and recognition of impairment. Additionally, because the cash flows associated with indefinite-lived intangible assets would extend into the future indefinitely, those assets might never fail the undiscounted cash flows recoverability test under Statement 144. The FASB concluded that the recognition of impairment losses on indefinite-lived intangible assets should be based on their fair value, without consideration of any recoverability test.
Indefinite-lived intangible assets are to be tested for impairment annually and on an interim basis if events or changes in circumstances between annual tests indicate that the asset might be impaired. The impairment test requires the determination of the fair value of the intangible asset. If the fair value of the intangible asset is less than its carrying value, an impairment loss should be recognized in an amount equal to the difference. The asset will then be carried at its new fair value. Thus, companies will have to determine fair values for these intangible assets every year and apply, in effect, a lower of cost or fair value model. Any subsequent reversal of a previously recognized impairment loss is prohibited. Further, recognition of an impairment charge for an intangible asset that was previously considered indefinite-lived may be an indication that the asset no longer meets the indefinite-lived criteria, and thus should be amortized over its remaining useful life.
Unlike the impairment test for amortizable intangibles and for goodwill, the impairment test for indefinite-lived intangible assets does not include a recoverability test. Because acquired intangible assets are initially recognized at fair value, any decrease in the fair value of the asset will result in an impairment charge. For example, if discounted cash flows are used to determine the fair value of indefinite-lived intangible assets, any increase in interest rates, without an offsetting increase in future cash flows, will cause those discounted cash flows to decrease, resulting in an impairment charge. Therefore, in periods of rising interest rates, companies may be required to record one or more impairment charges as interest rates rise, leading to earnings volatility. | Translation - Russian
Обесценение нематериальных активов с неограниченным сроком полезного использования
В соответствии с СФУ 144 нематериальный актив, срок полезного использования которого считается неограниченным, не подлежит проверке на обесценение. ССФУ было отмечено, что к неамортизируемым активам применяется более строгая модель оценки и признания обесценения. Кроме того, поскольку движение денежных средств от эксплуатации нематериальных активов с неограниченным сроком полезного использования наблюдается на протяжении неопределенного периода времени, результат проверки на возмещение стоимости таких активов недисконтированным денежным потоком по СФУ 144 будет скорее всего положительным. По заключению ССФУ, признание убытков от обесценения нематериальных активов с неограниченным сроком полезного использования должно производиться на базе справедливой стоимости без учета проверки на возмещение недисконтированным денежным потоком.
Проверка на обесценение нематериальных активов с неограниченным сроком полезного использования проводится ежегодно, а если события или изменившиеся обстоятельства в период между проверками указывают на возможность обесценения актива, то и на промежуточной основе. Для проведения проверки на обесценение требуется определить справедливую стоимость нематериального актива. Если учетная стоимость нематериального актива превышает его справедливую стоимость, то полученная разница подлежит признанию как убыток от обесценения, после чего актив будет учитываться по новой справедливой стоимости. Таким образом, предприятиям надлежит ежегодно определять справедливую стоимость данных нематериальных активов и фактически применять модель учета по наименьшей из себестоимости и справедливой стоимости. Последующее сторнирование ранее признанного убытка от обесценения не допускается. Далее, признание эффекта (потерь) от обесценения нематериального актива, срок полезного использования которого ранее считался неограниченным, может служить показателем того, что данный актив больше не отвечает критериям, предъявляемым к активам с неограниченным сроком использования, и подлежит амортизации на протяжении остаточного полезного срока службы.
В отличие от проверки на обесценение амортизируемых нематериальных активов и гудвилла, проверка на обесценение нематериальных активов с неограниченным сроком полезного использования не предусматривает проверки на возмещение недисконтированным денежным потоком. Поскольку приобретенные нематериальные активы первоначально отражаются в учете по справедливой стоимости, любое снижение справедливой стоимости актива приводит к возникновению потерь от обесценения. Например, если для определения справедливой стоимости нематериальных активов с неограниченным сроком полезного использования применяются дисконтированные денежные потоки, увеличение процентных ставок без компенсирующего увеличения будущих денежных потоков выразится в уменьшении дисконтированных денежных потоков, что приведет к потерям от обесценения. Deduction or Withholding for Tax.
(i) Gross-Up. All payments under this Agreement will be made without any deduction or withholding for or on account of any Tax unless such deduction or withholding is required by any applicable law, as modified by the practice of any relevant governmental revenue authority, then in effect. If a party is so required to deduct or withhold, then that party (“X”) will:-
(1) promptly notify the other party (“Y”) of such requirement;
(2) pay to the relevant authorities the full amount required to be deducted or withheld (including the full amount required to be deducted or withheld from any additional amount paid by X to Y under this Section 2(d)) promptly upon the earlier of determining that such deduction or withholding is required or receiving notice that such amount has been assessed against Y;
(3) promptly forward to Y an official receipt (or a certified copy), or other documentation reasonably acceptable to Y, evidencing such payment to such authorities; and
(4) if such Tax is an Indemnifiable Tax, pay to Y, in addition to the payment to which Y is otherwise entitled under this Agreement, such additional amount as is necessary to ensure that the net amount actually received by Y (free and clear of Indemnifiable Taxes, whether assessed against X or Y) will equal the full amount Y would have received had no such deduction or withholding been required. However, X will not be required to pay any additional amount to Y to the extent that it would not be required to be paid but for:-
(A) the failure by Y to comply with or perform any agreement contained in Section 4(a)(i), 4(a)(iii) or 4(d); or
(B) the failure of a representation made by Y pursuant to Section 3(f) to be accurate and true unless such failure would not have occurred but for (I) any action taken by a taxing authority, or brought in a court of competent jurisdiction, on or after the date on which a Transaction is entered into (regardless of whether such action is taken or brought with respect to a party to this Agreement) or (II) a Change in Tax Law. | Translation - Russian

(i) Пересчет сумм с учетом налогообложения. Все платежи по настоящему Соглашению производятся без налоговых вычетов и удержаний, при условии что они не предусмотрены применимым действующим законодательством с учетом практики соответствующих налоговых органов. (1) незамедлительно уведомить об этом другую сторону («Y»);

(3) незамедлительно направить стороне Y официальную квитанцию об оплате (либо ее заверенную копию) или иной документ, достаточно приемлемый для стороны Y, в подтверждение факта платежа в пользу соответствующих органов;
(4) если Налог представляет собой Возмещаемый налог, уплатить стороне Y в дополнение к платежу, на который в других отношениях имеет право сторона Y по настоящему Соглашению, дополнительную сумму, необходимую для приведения чистой суммы, фактически получаемой стороной Y (без Возмещаемого налога, вне зависимости от того, начислен ли он к уплате от лица Х или Y), в соответствие с полной суммой, которую получила бы сторона Y в отсутствие подобного вычета или удержания. При этом сторона Х не обязана производить дополнительных выплат стороне Y в тех случаях, когда данное требование не могло бы возникнуть, если бы не следующие обстоятельства:
(A) несоблюдение или неисполнение стороной Y какого-либо соглашения, предусмотренного Статьями 4(a)(i), 4(a)(iii) или 4(d); или
(B) недостоверность или неточность заверений, представленных стороной Y в соответствии со статьей 3(f), за исключением тех случаев, когда нарушение связано (I) с иском, предъявленным налоговыми органами или возбужденным в суде надлежащей юрисдикции после заключения Сделки, включая дату ее заключения (независимо от того, предъявляется и возбуждается ли такой иск в отношении стороны настоящего Соглашения), или (II) с Изменениями в налоговом законодательстве. |
